"County", and Cotorado Moi�ntain CoIIege Go2Work Progra�ns,hereafter referred to as
"Age�icy". Whereas,Goloradq Mountain College Go2Work Programs, a private non-praft
agency,pi�oviaes Go2Workshops for aisplaced and incumbent workers,��ith emphasis on basic
skiils enhancement and career skills.

1. Te►•m of A�reement:The term of this Agreement is from Jar�uary 1,2013, to December �
31,2013,
2. A�en_cv Obli ations:A�ency shall:
a) Strictly adhere to all applicable federal, state and local taws or reguEations that
have been or may hereafter be established.
b} Campliance�vith House Bi1146-1023.Perforin tl�e follo�ving verifications to
con�ply��vith House Bi1I 06-1023: Grautees who provide a beneft to persons aver•
the age of 18 years of age and which reqtci�•e at� individual appl�catian from the '
person wha�vill receive a benefit,are required to verify the applicant's legal
presence in the United StRtes.The verification of lawful presence rey��ires all
applicants 18 years of age or older to:
i. Prod2ice a vatid Colorado driver'S license ar a Colorado identificatiou
card;or a United States military ca��d or rnilita►y dependent's ident�fication
card;or a United States Coast Guard Merchai�t Mariner card;or a Native
Amea•iea�i Ti•ibal document;and
ii. �xecute an affidavit stating that applicant is a United States citizen or
legai permanent residei�i;or fhat applicant is othei•�vise lawfully
present in the United States pursuant ta Federal law. �

iv. shall comply�vith reasonable requests made in the course of an
investigation, undertaken pursuant to GRS §8-17.5-102(5),by the Colorado
Depa�•tment of Labor and Empto}+inent.If Grantee participates in the '
Depai�ment progra�n, Grantee shail deliver to t�e granting State ageney,
Institution of Higher Educatian or politieai subdivision, a tivritten,notarized
affirmation, affirming that Grantee has examined the legal work status of
such employee,and shail coinply tivith all of the other rec�uireme��ts of tlie
Departtnent p��ogram.If Grantee fails to comply wi#h any reqt�irement of
this pi�OVisipn pr CRS §8-17.5-101 et seq.,the granting State agency, ;
institution of higher educatio}I or political subdivision may terminate this j
Grant for breach ai�d, if so terminated,Gra��tee shall be liable for damages.

e) The Agency shall comply with any reasonable request by the Department of �
Labo�•and Employment made in the cou�se of an investigafion that the
Department of Labor and Empio}�nent is urldertaking pursuant to the authoriry
established in Si�bseetion(5}ofC.R.S. § 8-17.5-102,

g} Shall maintain an affordahle sliding-fee scale schedule for its services in order to '
accommodate lo�v-income i��dividuals,
h) S��bcontracts utilized by the Agency sl�all be subject to the requirements of the
Grant as Iisted here, and the Agency is responsi6le fo��the performar;ce of any
subcontractor. �
i) Abide by all applicable provisions of the Title VI and VII of the Federal Civil
Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973,and Title XX
of the Social Security Act of 1975 as revised.
j) Maintain weitten requirements for safeguarding clie»t information and co�nply
with the same.
k) Maintain seivice program records,f scal i•ecords, docuinentatio� and o#ha�•
records�•elevant to this Grant foi•the duration of the grant plus six years. The i
above shall be subjec#at al� reasonable titz�es to i3ispections, �•eview or audit by i
Federal, State or Cout�ty personnef,and other pe��sons authorized in w�•iting by the
County.
1) Provide the services at the bcation as shown as the address of the Agency or
�vhatever is appi•opriate for that service within Pitkin County.
m) Provide the sei�vice(s)described Eierein at a cost not gceater than cha�•�ed to odier
persons.
n} Pi•ovide seEni-annual Perfortnance Measure reports ax�d Financial Reports. These ;
repoi�ts wiIl include the mm�ber of�nciEtplicated clients�vho tive and/or�vork in
Pitkin County se�•ved by the Agency's prograin(s).
i. The first report is next year's application,and it is due August I,2013. i
You�vi�l report you�•fii�st six inonths' activity for 2413 within your �
applicafion. If you do nat choose to reapply,you will only be required#o {
submit a 2013 year-end repo��t. !
ii. The second report,the year-end s•epoct, is due 3anua�•y 3 t,2014, for the
entire period of the grant yea��. '
iii. The�•eports will incEude Agency'S illltlUAL gPc�IS Arid AClU1� resz�lts year-to-
date,as we(1 as an explanation of any variances observed and the steps that
are to be taken#o address those variances.

3. Pitkin Countv's Obli at�ions: Pitkin Coimty shall: I
a) County agi•ees to g►�ant$3,000 to Colorado Mountain Catlege Go2Woi�k Programs
as appi•oved in the County's 2013 budget,whieh r�vas approved by the Board of
Caunty Commissionet�s on December 19,2012. Grant func�ing will provide
Go2Workshops for displacecl and iueumbent worlcers,witli empliasis on
basic sleills enhancemeut and career slcills. ��

b) The total amount of this coi�tract shall not exceed $3,000 cash maximum iu 20i3.
The County�vill pay Agei�cy the totat amount of this grant on or before the last
day of Ma�•ch 2013. Payment is contingent upon receipt of mutually agreed upon
Performance Measures and satisfactory seini-amiiial repo►�ts as outlined in section
2(n)of this contract.The return of a comp(eted contract is i•equirec�iii arder to
receive payment.

4. General Pi•ovisions
a. The Parties to this Grant intend that the relationship beriveen them conteinplated
by the Grant is that of independent agency. No agent, employee,or se�vant
Agency rvill be solely and entirely responsible for its acts and the act of its agents,
employees, seivants and subcontractors during the perforinance of the Grant.
b. Payment pui•suant to the Grant, if in County, State or Fede��al funds, whether in
� �vhole ar in part, is subject to and contingent apon the contin�»ng availability and
appropriation of Cowrty fiinds for the piirpose thereof. �
c. This Grant constiti�tes tl�e full and complete agreemej�t of the parties and ;
supersedes or incorporates any prior written and o3•al agi'eements of t�ie pai•ties. Tn
addition,Agency understands that no Co«nty official or empIoyee,otl�er than the
Board of County Commissioners acting as a body at a Doa�•d meeting,has
a�ithority to entei•into a Grant or to tnodify the terms of this Grant on behalf af the
County. Any such Grant or modification to tliis Gcant must be in writing and be �
e:ceceited hy the parties hereto. �
5. DefauldCancellation. If Agency sl�all defautt in the performance of Agency's
Obligations pursuant to the tei•ms of this Agreement,and/or fails to provide an accounting
or use oe appeopriatio�z of monies granted in the manner in which such accounting was
represented to the County,Agency shall havs the right to cu�•e said default after written
notice by the Couuty of the default to Agency. If Age�zcy fails ta cure such default�vithin
sixty(60}days a$er�vrittei�notice is given fi•orri the County to Age��cy specifying the
��ature of si�ch default(or if such defautt cannot be cu�•eci rvithin the aforesaid period of
ti�ne, if the Agency shall fail to pi•omptly commence to cure tke saine and to thereafter
diligently proeeect�vith sttch cure), Coanty si�ail reserve the right to cancel this
Agreement anci make a demand for the return of aII monies that Coi3nty determines,at its �
sole discretion,were not appropriated in accordance�vith this Agreement. W�•itten notice ,
of default and cancellation shall be made to Agency by fi3•st ciass mail,postage prepaid

6. Entire Agreement: This Agreement constitutes the full and complete Agreement of the
parties hereto and shall not be modi�ed except by a�vritten agreement signed by the
parties.
