The Aspen Affiliate of the Susan B. Komen Foundation (hereafter, the "Applicant') has applied to the Director for approval of a Minor Special Event Permit to conduct the Aspen/Snowmass Ride for the Cure on August 17, 2013 from 6:OOAM to 7:OOPM. The race will be held throughout the County and includes approximately 400 riders and approximately 200 staff and volunteers. The race route includes a 37 mile option, 62.5 mile option and a 100 mile option. 3. No road closures are proposed for the Event. The route for the Race will utilize Maroon Creek Road prior to RFTA bus service beginning for the day and will not be closed or restricted for any reason. 4. The Applicant has provided a Certificate of Insurance demonstrating adequate General Liability coverage (and naming Pitkin County as an Additional Insured). The Special Events Committee including the United States Forest Service, RFTA, Colorado State Patrol (CSP), Sheriffs Office, Communication Department, Emergency Manager, Meadowood Homeowners Association, and Caucuses were made aware of the Event. Comments were received from most with some conditions. Specifically, the Sheriff's Office has approved the event. The Applicant has provided a communication plan satisfactory to the Communication Department. Aspen Ambulance has been contracted for the event. The Forest Service and CSP have issued permits for the event. The Director finds that, to the extent applicable, the application complies with the standards in Subsection 4- 30 -50(i) of the 2006 Land Use Code. NOW THEREFORE BE IT RESOLVED that the Community Development Director of Pitkin County does hereby grant approval for the 2013 Aspen/Snowmass Ride for the Cure Special Event Permit subject to the following conditions: The Applicant shall adhere to all material representations made in, or in connection with, the application, including but not limited to its Safety and Operations Plan. 2. The Applicant shall have proper personnel in place for Hwy 82 crossings. 3. No staging (aid stations, rest stops, etc.) shall occur at the Woody Creek Tavern or at the Chaparral Ranch tumoff. The Woody Creek Aid Station shall be located on the northwest side of River Woods Road. Page I o(2 4. County Roads shall not be closed or restricted during the event. 5. Meadowood Road shall not be restricted during the Ride in any way. Riders and spectators shall not disrupt the flow of traffic in the Subdivision. 6. Riders shall ride single file on Lower and Upper River Roads and McLain Flats Roads except to pass other riders. 7. Prior to commencement of the event, the Applicant shall provide the Pitkin County Sheriff's Office with the radio frequencies, satellite phone numbers and all other contact information in the event of an emergency. It's proposed for Saturday August 17`h from 7:OOAM to 7:OOPM. The event is capped at 500 riders, but around 250 -300 are expected, which is up from last year. 3 separate rides are proposed, a 37 miler, 62.5 miler, and the 100 miler. There is a clear map of the route(s) and where aid stations are located, radio frequencies exhibit, and traffic safety maps. This seems to be a more complete application than in years past so take a look and have comments back to me by August 31st or sooner. Staff: four 3. Volunteers: 200 (they are distributed through the course as race marshalls) 4. Security: 2 5. Vendors: 2 6. Yes, the event is open to the public (pre -ride and post -ride festivities) 7. A registration fee for cyclists (early bird $49 general $75) as well as a fundraising commitment of $250. Registrants are also allowed to raise their registration fee if they want for $325 per per person. 8. The number of participants will not exceed 500, our expected turn out in 2013 is 250 -300 9. Yes, training will be offered twice prior to the event, special events /volunteer coordinator organizes and trains volunteers 10. The post parry when cyclists finish the ride will have sponsored radio station in the park, the after parry is hoping to be located at the Limelight lodge (or other hotel as staging facility) this year instead of in the park. The park will be a specific place for registration, volunteer check -in, lost and found and a home base for our volunteers and communication and safetey team. We also must note that we will not need to have a tent permit based on the policy that under 400 square feet of tent, one is NOT required to purchase a tent permit, in our case we will have less than 400 square feet of tents used in Wagner Park. We strongly encourage riders that this is NOT a race, its a charity event. Risks include rider interface with other riders, walkers, and drivers. To help dilute any risks, we have over 200 volunteers staffed in positions along the entire course that act as course marshalls that are trained in traffic control procedures. Instead, with a police escort, to eliminate potential risk of wrecks from gravel and dirt for the Riders, a street clean would be a great necessary. The ride committee and ride course set up volunteers make sure to sweep any areas of loose gravel that might cause rider impact. On Friday August 16, 2013 (the day prior to the event) an entire set up crew places over 100 pink directional /caution/waming signs along the event course. It is cleaned up the next day after event ends (Saturday and Sunday by(am). Also, The Ride for the Cure event will be out of Wagner Park, so participants who do intend to drive will have to park at either 2 hour free parking (located west of Monarch and east of Spring), pay to park or metered parking. We strongly encourage anyone attending the Ride to use RFTA bus services, riding bicycles or walking to venue. Information on all of this is included on our website as well as all emails to participants, families and volunteers. If participants need any information on bus routes or fees they are welcome to call RFTA at 970 -925- 8484. RFTA is familiar with all of this information because they are one of our sponsors for the event and are willing to work with us. The traffic department has been contacted about putting up no parking signs all along Monarch (in front of park). In addition to this, the traffic department will know to drop off all cones and barricades to Wagner Park in front of Limelight Hotel to be placed according to needs. Barricades will need to be places on Monarch to set -up for Ride start as well as Ride finish, which the police are also involved with. The side of Monarch touching park that is normally no parking, due to bus drop off /pick up will be used for venue the Friday before (8/16) as well as day of (8/17). Food Permit: Yes, the event will have food stations with donated product from hotels /grocery stores. All food is previously prepared via donor and securely wrapped for safe handling. No food/cooking supplies will be stored overnight, the food will be delivered onsite for volunteers to take to the aid stations (fruit, peanut butter sandwiches, electrolyte drinks, chips. The other food will be prepared and onsite at the Limelight Lodge for the After party. At each ad station volunteers are required to where rubber gloves when handling any food products, have hand sanitizer for the their use as well as participants. All food will be on ice. As a nonprofit we have already paid $500 for the day use fee (see attached permit). We are having our lunch spot/aid station at two creeks pinic area pavilion in Snowmass and have obtained insurance of liablity for that use, however it is not considered a TOSV park. They will garanteed to be picked up before 12:30pm on Sunday 8/18. Hospital will provide the following service: _X_ Single ALS Ambulance Coverage. This includes the following: a) A 2- person crew, one of which will be a certified EMT Paramedic. (two ambulances) b) 2 fully stocked ALS ambulances (fuel and supplies) 2. Single Resource Coverage. This includes the following: a) A single EMT without ambulance b) BLS supplies, including AED B. Insurance. Hospital agrees to maintain comprehensive and professional liability insurance policy covering all operations hereunder in the amount of One Million Dollars ($1,000,000.00) per occurrence and Three Million Dollars ($3,000,000.00) aggregate annually. C. Hospital shall bill any patients for medical services only if the patient is transported to a hospital facility for medical care. II. Responsibilities of Company: A. Company agrees to obtain any certificates necessary in order to have the event approved by any deeming authorities required. B. Company agrees to pay any amounts due within thirty (30) days of receiving an invoice for services provided from Hospital. �jA17 Ill. Compensation: A. Company will reimburse Hospital for services provided under this Agreement in accordance with the following fee structure: Single ALS Ambulance Coverage— rate of $112.50 per hour for each ambulance provided 75.00 Single Resource Coverage— rate of $40.00 per hour for each EMT provided. Note: hourly rates are set at the beginning of each hour. (For example. if the event runs for 2hrs 15 minutes, the charge will be fer 3 hours.) B. Penalty for non - payment: Company agrees that should Hospital not receive payment within the time specified in Section 11(13) above, a penalty shall be assessed in the amount of five hundred ($500.00) dollars. Company also agrees that such penalty shall not act as a waiver of Hospital to enter into any legal action allowed to collect any such sums due and payable. IV. Term and Termination: A. Term. phis Agreement shall commence and shall be valid for the duration of the event. Event Date(s): _Saturday August 17, 2013 Estimated Hours required (in total): 11 Single ALS Ambulance Coverage x2 Single Resource Coverage B. Termination without Cause. Company may terminate this Agreement by providing Ambulance fourteen (14) days written notice prior to-the date of the evert. Termination within fourteen (14) days of the event will require payment in the amount of Y of the contracted amount. V. General. A. Assigniment/Non- Delegation. No assignment of this Agreement or of the rights and obligations hereunder shall be valid; provided, however that Hospital may assign its rights or interests under this Agreement to a corporation or other legal entity owned or controlled by Hospital. Nothing contained in the Agreement shall be construed to permit assignment by Company of any rights or duties under this Agreement, and such assignment is expressly prohibited. B. Governing Laws. This Agreement shall be governed in all respects, whether as to validity, construction, capacity, performance or otherwise, uUl'J1$ by the laws of the State of Colorado. Venue shall rest exclusively in Pitkin County, Colorado. C. Notices. Any notices to be given pursuant to this Agreement must be in writing and may be affected either by personal delivery or by mail (registered or certified; postage prepaid with return receipt requested.) Notices delivered personally shall be deemed communicated as of actual receipt. Mailed notices shall be deemed delivered as of three business (3) days after mailing. All notices shall be delivered or mailed to the respective addresses as set forth in the signature line. D. Waiver and Breach. The waiver by either Party of a breach or a violation of any provision of this Agreement shall not operate as, or be construed to be, a waiver of any subsequent breach of the same or other provision hereof. E. Enforcement. In the event any Party resorts to legal action to enforce the terms and provisions of this Agreement, the prevailing party or parties shall be entitled to recover the costs of such action so incurred, including, without limitation, attorney fees. F. Severability. In the event any provision of this Agreement is held to be unenforceable for any reason, such unenforceability shall not affect the remainder of this Agreement, which shall remain in full force and effect and shall be enforceable in accordance with its terms. G. Headings. The headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement. H. Amendments. This Agreement may be amended or modified only by written agreement executed by all Parties. Entire Agreement. This Agreement supersedes all previous contracts and constitutes the entire agreement between the Parties. Neither Party shall be entitled to benefits other than those specified in this Agreement. No oral statements or prior written material shall be of any force or effect, and no changes or additions hereto shall be recognized unless incorporated herein by amendment(s), such amendment(s) to become effective on the date stipulated in such amendment(s). The Parties specifically acknowledge that, in entering into an executing this Agreement, they rely solely upon the representations and agreements contained in this Agreement and no others. J. Independent Contractor. Company and Hospital intend to act and perform as independent contractors. Nothing contained in this Agreement shall be construed as creating a partnership, agency, joint venture or similar arrangement of or between Company and Ambulance, or as creating any other relationship between the Parties hereto other than that of independent contractors. Neither party is an agent of the other. �JU019 K. Indemnification. As further consideration for this Agreement, and to the extent permitted by law, each party agrees to release, indemnify and save harmless the other party, and its officers, agents, and employees, a6ainst any'and all claims for loss resulting from damage to property or injury and /br death to persons, including the property, agents, or employees resulting in any way from the operations of the Hospital in connection with this Agreement. Further, each party shall indemnify and save harmless the other party and their officers, agents, and employees from any and all claims, damages, suits, costs, expenses, liabilities, actions, or proceedings of any kind or nature whatsoever, including Worker's Compensation claims, of or by-any person, in any way resulting from or arising out of, either directly or indirectly, the operations of the Hospital in connection with this Agreement. This indemnification shall be deemed to include the acts and omissions of all officers, employees, representatives, suppliers, invitees, contractors, and agents of the Hospital. The minimum insurance requirements, as set forth within, shall not be deemed in any way to limit or define this indemnification, or the, obligations of either party. L. Signature. By subscribing to this Agreement the parties represent to each other that they have heretofore acquired the necessary approval and authorization to enter into this Agreement.
