1, Term. 1be term of this contract is from�yaust 20_2013 to Seotember 5 2013.
2, Conhactor's ObliQations. Contractor shafl provide trea trunming services as described in
Attackunent A(3 pages), Dated 08/16/13, including but not lunited to all labor, equipment,tools,
safety ma�erials,traffic control, peimits,site clean-up and disposal of all removed materials. All
work must be coordinated with.ihe Pitkin County FaciliUes Slaff For access,pazking aad staging as
well as the Pitkiu Covnty Court Clerk regazding court schcdules;reduce disivption court �
ptnccedings.
3. Compensatinn and Expenses Invoicing Pavment and Offset. The Counry shall compensate
' Contractor for its services in accordance with the Project$udget and Schedule sei out in Paragraph 2,
' It is e7cpressly uoderstood and agreed that in no event will the total compensation and reimbursement
to be paid hereunder exceed t6e. sum of S 095.OQ for all services rendered. Hy contract or

4. County's F.xc[usive Ownershi� of Work Produc� lhawings, specifications, guidel'mes and
other documcnts prepazed by Contcactor in coanection with this conhact shall be the property of the
County. However, Contractor 'shal[ have the right to utilize such documents in the couzse of its
marketiag,professional presentetions, end for otha� busi�ss purposes. Contiactor assigns to County
the copyrights to all work prepared developed, or created pursuant to lhis contract, ineluding the
right to: 1) reproduce the work; 2) prcpaze darivative worJcs; 3) distribute copies to t6e public; 4)
petfotm the works publiciy; and 5) to display the woik publicly. Contractor shall have right to use ,
materials produced in the course of this conTract for mazketing pu�goses and ptofessional

5. Pitkin Countv's Oblieations. Pilkin County shal) adminisler this contract through a County

6, Termination Prior to Expiration of Contract 7'erm. The Counry has the righl to tecminate
this contract, with or vvithout cause, by giving written notice to the Contractor of such terminadon
and spxifying the effective date thereoE Such notice s6a11 be given at least ten QO) days before the
effective date of such teimination. In such event all finished ar unfinished documents, data, studies
and reporls prepared by the Contrector pursuant to this contrect shall become the Counry's property.
Contracwr shall be entitled ta receive compensation in accoidance with the contract for any
satisfactoiy wock completed pursuant to the terms of this conhact priot to the date of termination.
i3olwithstanding the above, ConUaclor shall noi be relieved of liabiliry to the County fot deinages
sustained by the Caunty by virtue of any breach of t}te conh act by the Contractor.
7, rndependent CoMractor Stsms.
A. The pazties to this convac[intend that the relalionship between lftem con[emplated by
the conlract is that of independent contractor, Con�aclor, and any agent, employce, or servant of
Conlractor shall not be deaned to be an empl�yee,ageat,or servent of pitFcin County.
B. Contractor is aoY required to offer his services exclusiyely to Pifkin County under this
eontract. Contraetor may choose to wrnk for other individuals or enlities during the term of this
conuact, provided thsl ihe basic services and deliverable products required under this contract are
submitted in the marsner and on the schedule defined under this contract.
' C. Contractor wsaents that all work pmduced wi11 conform to all applicable industry
standazd of care, skill and diligence in the performance of ConVactor's obfigatioas u�der this
contract,
D. Contraclor st�a[I not attempt to oversee or supervise the work ar aclions of any Pitkin
Counry employee,servant or agent in the course of cpmpleting work under this contract.
�, Conhactor is not entitled to any .Workers' Compensation benefits through Pitkin
County and is msponsible for payment of any federal, state, FTCA and other income taxes.
8 Assi¢nabiliN. This eonkact is not assignable by either partry. Any use of subcontzectors by
the Contractor for performance of this contract must be accepted in writiog by the County.
9, $indinA Arbitration. Any disputes aiising out of this contract shall be subject to btnding
arbitratian. The parties agree that any disputes conceming the terms and conditions of ttus contract
shall be submitted aad finally settled bq arbilratiou. Arbitration shall be conducted purs�ant to the
tules of the Amaican ArbitraGon Association and shall be presided ovcr by lhe Pitkin County

11, TntegrationandModification.
A. This contract represents the eutire and integiated conUSCt between the Counry and the
Conhactor aud supe�sedes all prior negotiations, representations, or contract, either writ0en or orel.

B. The County may, &om time fo time, request changes in the scope of services of the
Contractor to be perfo�med hereunder. Such chenges, including the inerease oc deerease in the '

I2. Indemni .
A. The Coauactor flgt•ees to indemnify, 6old hamiless and,not excluding the Counry's righC
to pacticipate, defenQ ihe Counry, iLs subsidiary,parent,associated and/or affiFisted eritities, successors,
or assigns, its efected officials, ttustees, employees, agents, volunteers, and any jurisdiction or agency
issuing peimits for any work ineluded in the project„ hei�einaf}er referrcd to as indcmnitce, from all
suiis and claims, including aUorney's fees and cost of litigation, aMions, loss,damage,e�[pense, cos[or
claims oF any character or any naturo arising out oF the work done in fulfilLnent of the ternss of this
Contract or on account of sny ect, elaim or amount azising or recovered under workeis' eompensalion
law or erising out of the failure of the Contractor to confam W any statutes,ordinances,x�egulation, law
or couit decree. Tt is agreed that the Contractor will be xespoasible for primary loss imestigation,
defense and judgment cos4s where this contract of indemnity applies. In consideration of the award of
this contract, the Contracror agrees to waive all rights of subs+ogaUon against the,County its subsidiary,
parent, associated andlor �liated entities, successors, or assignc, its elected officials, tivs�es,
employees, ageuts, and volunteers for losses arising finm the work perfomoed by the Contractor for the
Counry. �
B. The ContreGOr further shall investigate,process,cespond to,adjust,provide defense for
and defend, paq or settle all clairos, demands, or lawsuits relaoed hereto at iu sole expense and shall
bear ai1 other costs and expenses related thereto, even if the claim, demand or lawsuit is groundiess,
false or fraudulenl.
13. Insurance. Contrador end subcontractors shall procnre and maintain until all oftheir
obligatioos heve been disCherged, including any wanauty periads under this Contracf are satisfied, �
insurance against claims for injwy ta persons or damage to property which mey arise from or in
eonnection with the performance of the worlc hereunder by fhe Coahactor,ifs agents, roprescntatives,
employees or subconttactors. ,

15. ecords. The ContracEOr shall maintain comprehensive, complete and accurete books, records,
and documents conceming its performancc rclating ro this contract for a period of tkvee (3) years after
final payment under the contract and the Counry shall have Ehe right with'su the three(3)ycar period to
inspect end audit these books, records and documents, upon demand, in a reasoneble menner end at �
reasonable Gmes, for ihe purpose of determiniog, by accepted accounting and auditing standards,
compliance with all provisions of the conttact end applicable law.
16. Contract Made in Colarado. The parties agree that this contrect w2s made in accordance with
the lews ofthe Stete of Colorado and shall be so constiued. Venue is agreed to be exclusively in the
couits of Pitkin Cowty, Colorado. � .
17. Attomey's Fees. Jn lhe event that legal action is aecessary to enforce asry of 1he provisions of

18, Crovemmental IuununiN. Contractor agrees and understends thet Pitkin Counry is relying on
and does not waive, by �y provision of this conkact, [he monetary limitations or terms (p�esently
$150,000 per person and 5600,000 per occurrence) or any other rights, immunities, and protections
provided by the Colorado Gavemmeatal Immunity Act, 24-10-1O1, el deq., C,R,S„ as from time to
time amended, or otherwise available to Pitkin County pr any of its officers, agents or employees.
