CONTRACT FOR PROVISION OF SERVICES
Transport and disposal of Household Hazardous Materials to a licensed
Transfer,Storage and Disposal Facility
THIS CONTRACT is made and entered by and between the Pitkin County Board of County
Commissioners("County") and Clean Harbors Environmen[al Services, Inc. (hereinafter"Contracror").
I. Term. The term of this contract is from December 1, 2013 to November 30, 2016 with a 2 year
renewal option. �
2. Contrac[or's Obli¢ations. Contractor shall transport and dispose of Household Hazardous
Wastes as specified in their proposal. Proposal is following and is Exhibit A, attached hereto and made a
, part hereof.
3. Compensation and Expenses, [nvoicin¢, Pavmen[ and Offse[. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 2. It
is expressly unders[ood and agreed that in no event will [he to[al compensation and reimbursement to be
paid hereunder exceed the sum of $40,000 for all services rendered in one year. By contract or
amendment, the County and Contractor may reallocate the budget among project tasks ifthe total budget
amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked and
by material with payment expected �vithin thirty (30) days of invoice, but any payment by the County
may be offset by any amount the Contractor owes the County under[his agreemenf.
4. County's Exclusive Ownershio of Work Product. Drawings, specifications, guidelines and
other documents prepared by Contractor in connection with this wntract shall be the property of the
� County. However, Contractor shall have the right to utilize such documenks in the course of its
marketing, professional presentations, and for other business purposes. Contractor assigns to County the
copyrights to all work prepared,developed, or created pursuant to this contract, induding the right to: 1)
reproduce the work; 2)prepare derivative works; 3)distribute copies to the public; 4) perform the works
publicly; and 5) to display the work publicly. Contractor shall have right to use materials produced in
the course of this contract for marketing purposes and professional presentations, articles, speeches and
other business purposes.
5. Pitkin Countv's Obli atg iOnS. Pitkin County shall administer this contract through a County
Representative. Hilary Burgess will manage the project as Ihe County's Representative. The services
provided and products delivered by the Contractor under this contract will be subject to review by the
County's Representatives, or a designee, for compliance with Contractor's obligations prior to final
payment.
6. Termination Prior to Expiration of Contract Term. The County has the right to terminate this
contrac[, wi[h or without cause, by giving written notice to the Contractor of such termination a�d
specifying the effective date thereof. Such notice shall be given at least ten (10) days before the

effective da[e of such termination. In such event all finished or unfinished documents, data, studies and
reports prepared by the Contractor pursuant to this contract shall become the County's property.
Contractor shall be en[itled to receive compensation in accordance with the contract for any satisfactory
work completed pursuant to the tenns of this contract priar[o the date of[ermination. Notwithstanding
Ihe above, Contractor shall not be relieved of liability to the County for damages sustained by the
County by virtue of any breach of [he contract by the Contractoc Contrac[or may [erminate this
contract at any time for any reason upon 30 days written notice to the County.
7. hidependent Contractor Status.
A. The par[ies ro [his wntract intend that the relationship between them contemplated by
the conhact is that of independent contractor. Contractor, and any agent, employee, or servant of
ConVactor shall not be deemed to be an employee,agent, or servan[of Pitkin County.
B. Contractor is not required to offer services exclusively to Pitkin County under [his
contract. Contractor may choose to work for other individuals or entities during the term of this
contract, provided Ihat the basic services and deliverable products required under this contract are
submitted in the manner and on the schedule defined under this contract.
C. Contractor warrants tha[ all work produced will conform to all applicable industry
standard of care, skill and diligence in the perfonnance of Contractor's obli�ations under this contract.
D. Contractor shall not attempt ro oversee or supervise the work or actions of any Pitkin
County employee, servant or agent in the wurse of completing work under this contract.
E. Contractor is not entitled to any Workers' Compensation benefits [hrough Pitkin
County and is responsible for payment of any federal, state, FICA and other income taxes.
8 Assienability. This contract is not assignable by either party. Any use of subcontractors by the
Contractor for performance of this contract must be accepted in writing by the County, such acceptance
not to be unreasonably wi[hheld.
9. Bindina Arbitration. Any disputes arising ou[ of this contract shall be subject to binding
arbitration. The parties agree [hat any dispu[es concerning the terms and conditions of Ihis contract
shall be submitted and finally setNed by arbitration. Arbitration shall be conducted pursuant to the rules
of the American Arbitra[ion Association and shall be presided over by the Pitkin County Hearing
Officer appointed to arbitrate Pitkin County contract disputes. Costs of the arbitration shall be awarded
to the substantially prevailing party.
10. Severabili[v. In the event [hat any provision of [his contract shall be held to be invalid or
unenforceable, the remaining provisions of this contract shall remain valid and binding upon the parties
hereto
I 1. InteQration and Modification.
A. This contract represents the entire and integrated contract between the Counry and the
ConVactor and supersedes all prior negotiations, representations, or contract, either written or oraL This
contract may be amended only by written contract signed by both the County and the Contractor.
B. The County may, from time to time, request changes in [he scope of services of the
Contractor [o be performed hereundec Such changes, including [he inerease or decrease in the amount
of the Contractor's compensation, which are mutually agreed upon between the County and the
Contractor, shall be in writing and upon execution shall become part of this con[ract.
I 2. Indemnitv.
A. The Contractor agrees to indemnify, hold harmless and, not excluding the County's right to
participate, defend the Counry, its subsidiary, parent, associated and/or a�liated entities, successors, or
assigns, its elected officials, trustees, employees, agents, volunteers, and any jurisdiction or agency issuing

permi[s for any work included in the project„ hereinafter referred to as indemnitee, from all suits and
claims, including attomey's fees and cost of litigation, actions, loss, damage, expense, cost or claims of any
character or any nature arising out of the work done in fulfilhnent of[he terms of this Contrac[ or on
account of any ac[, claim or amount arising or recovered under workers'compensation law or arising out of
the failure of the Contractor to conform to any statutes, ordinances, regulation, law or court decree. [t is
agreed that the Conhactor will be responsible for primary loss investigation, defense and judgment costs
where this contract of indemnity applies, except to the extent any suit or claim is caused by the negligence
or willful misconduct of an indemnitee. In consideration of the award of this contract,the Contrac[or agrees
to waive all rights of subrogation against the County its subsidiary, parent, associa[ed and/or affiliated
entities, successors, or assigns, its elected officials, trus[ees, employees, agents, and volunteers for losses
arising from the work performed by the Contrac[or for the County.
B. The Con[ractor further shall investigate, process, respond to, adjust, provide defense for
and defend,pay or settle all claims,demands,or lawsuits related hereto at i[s sole expense and shall bear all
other costs and expenses rela[ed thereto, even if the claim,demand or lawsuit is groundless,false or fraudu-
lent.
C. Neither party shall be liable to the other for indirect, incidental, special or consequential
damages including loss of use or lost profits.
13. Insurance. Contractor and subcontractors shall procure and maintain un[il all of their
obligations have been discharged, including any warranty periods under this Contract are satisfied,
insurance against claims for injury to persons or damage[o property which may arise from or in
connection with the performance of the work hereunder by the Contractor, i[s agents, representatives,
employees or subcontractors.
The insurance requirements herein are minimum requirements for this Contract and in no way limit the
indemnity covenants contained in this ConVact.
The County in no way warrants Ihat the minimum limits contained herein are sufficient to protect the
Contrac[or from liabilities that might arise out of the performance of[he work under this Contract by the
Contractor, its agents, representatives, employees,or subcontractors. The Contractor shall assess its
own risks and if it deems appropriate and/or prudent,maintain higher limits and/or broader coverages.
The Contrac[or is not relieved of any liability or other obligations assumed or pursuant to the Contrac[
by reason of its failure to obtain or maintain insurance in sufficient amounts, duration, or types.

A. Coverage and Limits of Insurance. Contractor shall provide coverage with limits of
liability not less than those stated below. An umbrella and/or excess liability policy may be used[o
meet the minimum liability requirements provided that the coverage is written on a"following form"
basis.

B. Proof of Insurance:
L Each insurance policy required by the insurance provisions of Ihis Contract
shall provide[he required coverage and shall not be suspended, voided or canceled except after
thirty(30)days prior written notice has been given to the Counry, except when cancella[ion is
for non-paymen[of premium, then ten(10)days prior notice may be given. Such notice shall
be sent direcdy to(Counry Represen[ative's Name&Address). If Ihe insurance carrier will not
provide Ihe required notice, the Consul[anUContracror and or i[s insurance broker shall notify
the County of any cancella[ion,or reduction in coverage or limi[s of any insurance within seven
(7) days of receipt of insurers' notification to that effect.
Simultaneously with the Certificates of Insurance, Ihe Contractor shall file with the Procuremen[
Officer a certified s[atement as to claims pending against [he required coverages, reserves
es[ablished on account of such claims, defense costs expended and amounts remaining on policy
limits.
2. In addition,these Certificates of Insurance shall contain the following clauses:
a. The contracror's insurance shall be primary and non-contributory with
any insurance or self insurance purchased by the County.
b. The insurance companies issuing the policy or policies hereunder shall
have no recourse against Ihe County of Pitkin for payment of any premiums or for
assessments under any form of policy.
c. Any and all deductibles or self insured retentions in the above-described
insurance policies shall be assumed by and be for the amount of,and at the sole expense of
the Contractor.
d. Location of operations shall be:"all operations and locations at which
work for the referenced Project is being done"
3. Certificates of Insurance for all renewal policies shall be delivered to the County's
Representative at least fifteen (15) days prior to a policy's expiration date except for any policy
expiring on the expiration date of this contract or thereafter.

4. The County reserves the right to request and receive a copy of any policy and any
policy endorsement at any time during[he term of this con[ract.
14. Exemptions and Preferences. All purchases of construction or building or any other materials for
[his contract shall not include Federal Excise Taxes or Colorado Sta[e or local sales or use taxes. Pitkin
County is exempt from such taxes under registration numbers 98-02624 and 84-78000-SK.
I5. Records. The Contractor shall maintain comprehensive, complete and accurate books, records,
and documenu concerning its performance relating [o [his contrac[ for a period of three (3) years after
final payment under the contract and the Counry shall have the right within the Ihree (3) year period to
inspect and audit these bwks, records and documents, upon demand, in a reasonable manner and at
reasonable times, for the purpose of determining, by accepted accounting and auditing standards,
compliance with all provisions of the contract and applicable law.
16. Contract Made in Colorado. The parties agree that this contract was made in acwrdance with the
laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in Ihe cour[s
of Pitkin County,Colorado.
17. Attorney's Fees. In Ihe event Iha[ legal action is necessary to enforce any of the provisions of this
contract beyond Ihe arbitration described in Paragraph 9, [he substantially prevailing party shall be entitled
ro its costs and reasonable attorney's fees.
18. Governmental [mmunitv. Contractor agrees and understands that Pitkin County is relying on
and does not waive, by any provision of this contract, the monetary limitations or terms (presently
$I50,000 per person and $600,000 per occurrence) or any other rights, immunities, and protections
provided by the Colorado Governmental Immunity Act, 24-10-101, et seq., C.R.S., as from time to time
amended, or otherwise available to Pitkin County or any of its officers, agents or employees. Further,
nothing in this contract shall be construed or interpreted to require or provide for indemnification of the
Contrac[or by Ihe County for any injury to any person or any property damage whatsoever which is caused
by the negligence or other misconduc[of the County or its agent or employees.
19. Current Year Obli ate ions. The parties acknowledge and agree Ihat any payments provided for
hereunder or requirements for future appropriations shall constitute only currently budgeted
espenditures of Pitkin County. Pitkin County's obligations under this contract are subject to Pitkin
County's annual right to budget and appropriate the sums necessary to provide the services se[ forth
herein. No provisions of the contract shall constitute a mandatory charge or requirement in any ensuing
fiscal year beyond the then current fiscal year of Pitkin County. No provision of the contrac[ shall be
construed or interpreted as ereating a multiple-fiscal year direct or indirect deb[ or other finaneial
obligation of Pitkin County within the meaning of any constitutional or sta[utory deb[ limi[a[ion. This
contract shall not directly or indirectly obligate Pitkin County to make any payments beyond those
appropriated for Pitkin County's then current fiscal year. No provisions of Ihis contract shall be
construed to pledge or create a lien on any class or source of Pitkin County's moneys, nor shall any
provision of this contract restrict the future issuance of Pitkin County's bonds or any obliga[ions
payable from any class or source of Pitkin County's money.
20. Notice. Any written notice required by this contract shall be deemed delivered through any of the
following: (I) hand delivery to the person at the address below; (2) delivery by facsimile with confirmation
of receip[ [o the fax number below; or (3) wi[hin three (3) days of being sent certified first class mail,
postage prepaid, return receipt requested addressed as follows:

comply with reasonable requests made in the course of an investigation, undertaken pursuant[o CRS
§8-17.5-102(5), by the Colorado Department of Labor and Gmployment. If ConVactor participates in Ihe
Department program,Con[ractor shall deliver[o the contracting State agency, Institution of Higher
Education or political subdivision a written, notarized affirmation, affirming that Contractor has
examined [he Iegal work status of such employee, and shall comply with all of the other requirements of
the Department program. [f Contrac[or fails to comply with any requirement of this provision or CRS
§8-17.5-101 et seq.,the contracting State agency, instiwtion of higher education or political subdivision
may rerminate this con[ract for breach and, if so[ermina[ed, Contractor shall be liable for damages.

person eighteen(18)years of age or older, hereby swears and affirms under penalty of perjury tha[he or

B. - PROPOSED PROJECT APPROACH

As outlined in the Request for Proposal documents,Pitkin County is seeking a company to
provide all transportation and disposal of hazardous waste collected through its household
hazardous waste program'at the Pitkin County Solid Waste Center. Clean Harbors is p'repared to
provide the Pitkin County with the comprehensive services required for transportation and
disposal of items packaged by 4he County at the waste center. We will provide any materials
necessary to handle, contai�, transport and dispose of these wastes. Additionally, our personnel
are txained in the identification,containerization and labeling of materials and will proeide these
services to the County as requested. Clean Harbors has the experience and capabilities to
mobilize and anive on sife within 14 days of request to provide removal services.
Clean Harbors is prepared to perfonn all necessary tasks to achieve streamlined operations to
ensure successful waste removal for Pitkin County including but not limited to:
• Segregate, consolidate, and package waste
• Transport all hazardous wastes in accordance with state and federal requirements
• Prepare lab-packing sheets as necessary
• Prepare manifests, notifications and certifications, and any other necessary shipping
documentation
Pitkin County will benefit from experienced personnel located in our Denver service location.
Th8 Service Center is located approximately three hours from Pitkin County and is able to
provide expedient and proficient program management.
Solid Waste Center Services Approach
Chemists will be dispatched out of our Denver, CO service center as stated above and perform
the clean out in accordance with all applicable laws and regulations.
• Clean Harbors program plan is based on utilizing the local service center in Denver, CO
to provide the labor, disposal and transportation services to Pitkin County. Services will
be coordinated throu�h the Denver facility to meet all needs of the County.

♦ Transportation of waste materials will be handled by Clean Harbors owned and operated
trucks and will be routed directly to Clean Harbors—Kimball. Upon receipt of waste at
the Kimball,NE facility all containers will either be treated/disposed at Kimball or routed
to another facility for treatmenUdisposal. Restrictionspertaining to acceptable disposal
technologies and approved final disposal sites will be entered into Clean Harbors'
computers system upon notification of contract award.�
♦ In order for Clean Harbors to ensure that a11 Pitkin County requirements are being
addressed, a pre-contract award meeting will need to be established with key individuals
from both Clean Harbors and the County. The following Clean Harbors employees are
assigned to ensure service requirements and other contractual issues are addressed:

Clean Harbors will provide these critical services to Pitkin County in accord"ance with all state,
federal and local requirements. Clean Harbors is the only company positioned to offer Pitkin

Lab Pack Services
All Lab Pack work is performed in a safe and professional manner by our chemists and
technicians in strict compliance with all Local, State and Federal Regulations and Laws. Every
full-time Clean Harbors field employee is required by company policy to be certified in foriy-
hour OSHA and twenty four-hour RCRA training programs. These programs include courses in
toxicology, emergency response, site control, and contingency plans. In addition, all Clean
Harbors field chemists are college educated and take a forty-hour lab packaging course. This
course concentrates on segregation, packaging, and transpottation of chemical waste, in
compliance with all Local; State and Federal Regulations.
Clean Harbors' lab pack crews�consist of a Supervisor ChemisY and Chemists workin$ in pairs.

exits and nearest telephone. A formal safety meeting will be held to familiarize the crew with all
pertinent safety information.
Clean Harbors' Chemists' responsibilities are to properly categorize and separate the waste
according to Department of Transportation chemical compatibility guidelines (49 CFR 173.21),
state compatibility regulations (310 CMR 30.560 and 30.561), and ultimate disposal facility
packing protocoL The lab pack waste is packaged in accordance with the regulations and our
disposal facility packaging requirements,maximizing the amount of allowable waste packed per
container.
Packing lists are generated for each drum, listing each substance in the drum, its physical state,
size of the container, RCRA waste codes, and number of containers.
In addition to packing lists, the chemists also�generate the following regulatory documentation:

After material is properly'packaged, ]abeled and manifested, the waste is transported to one of

our Transfer, Storage and Disposal Facilities (TSDF). All lab pack waste cari be removed from -` -
the site the day it is packaged, unless prohibited by law.
Upon receipt at our TSDF, the waste is processed for transportation to the ultimate disposal '
facility. Our drum tracking system can trace your waste from cradle to o ave. Certificates of
Disposal will be supplied upon request. Y, ,
The following is a list of services provided by Clean Harbors' C1eanPack Division:
Unknown Chemical Disposal.� Our C1eanPack Chemists provide fingerprint analysis of lab pack
quantity unknown compounds. This analysis allows the chemist to determine the physical
properties of the chemical and package it with compatible materials.
Cvlinder Disnosal.• Our chemists will evaluate all cylinders to verify or refute the contents,
determine their transportability, and ascertairi whether the material will be sent for recovery or
disposal.
Chemical Moves: Clean Harbors has extensive experience in the relocation of laboratory
chemicals. Our chemists will package the chemicals intended to be moved in the same manner
as chemicals intended for disposal, following the same regulations and adhering to the same site
specific health and safety procedures.
CustomPack: Clean Harbors has developed self-pack guidelines to enable trained and
experienced generators to package their own waste chemicals for disposal through Clean
Harbors.

General Pricing Conditions
This proposal is submitted contingent upon the right to negotiate mutually accepta6le contract
terms and conditions, which are reflCctive of the work contemplated and an equitable distribution
of the risks involved therein. In the event that such agreement cannot be reached, Clean Harbors
reserves the right to decline to enter into such an agreement without prejudice or penalty.

Please find below the genera] pricing conditions for this contract. These conditions govern all
waste streams and generic pricing covered under this contract. These conditions are in addition
to specific pricing notes provided on the pricing matrixes. '
1. All manifests and labels will be fumished at no charge.
, 2. All approved ("Approved") waste streams are coded with Clean Harbors' Waste
Classification Codes, which define the specifications for drummed, containerized and bulked
wastes. Wastes that are received not conforming to these specifications may be subject to
additional costs. A completed waste profile sheet, sample, representative analysis or MSDS
must be submitted prior to approval and scheduling.
3. Lab Pack rates do not include explosive or potentially explosive, radioactive,temperature
sensitive or infectious materials. Clean Harbors reserves the right to decline to accept for
disposal any waste materials which, in its reasonable judgment, it cannot dispose of in a
lawful manner or without a risk of harm to public health or the environment, or for which no
legal means of disposal exists. Clean Harbors will provide separate quotations for any
potential high-hazard work (i.e. peroxidized ethers, explosives, cylinders, etc.) upon request.
4. All pricing presented in this contract is based on Clean Harbors' ability to utilize our
approved network of audited TSDF's. If the number of sites approved by Pitkin County is
reduced or restricted, additional costs may be applied due to increased handling of wastes
and reduced economies of scale.

well as applicable sales taxes are not included in disposal pricing and will be added to each

8. Dedicated or non-milkrun emergency pickups will be charged at full truckload price.
Cancellation of a pickup with less than 24 hours notice will incur a$287.00 cancellation fee.
9. Time over eight(8)hours in the normal workday and all day Saturday is considered overtime
and will be billed at 1.5 times the applicable sh-aight time rate for all billable personnel
un(ess otherwise quoted. Sunday and Holidays are considered premium time and will be
billed at 2.0 times the applicable.straight time rate for all billable personnel unless otherwise
quoted. '
10. All transportation rates are based on utilization of Clean Harbors' transportation equipment
or Clean Harbors approved transporters.
11. Clean Harbors requires free and easy access to each pickup site. Drums/containers must be
in DOT shippable condition.
12. Drum waste shipped itozen may be subject to a fee covering the costs associated with
defrosting/steaming the material in order to process the waste for disposal.
13. Overpacked drums with the drum inverted will be subject to a$25.00 inverted drum fee. If
waste must be overpacked upon receipt at a CHES plant, an overpack fee of$50.00 will be
invoiced.
14. Pricing is valid for the initia136 months of any resulting contract. Rates may be adjusted by
mutual agreement in the extension periods.

COMPANY HISTORY
Since its inception in 1980, Clean Harbors has grown to become the leading environmental
service provider and largest hazardous waste disposal company in North America. The
company, founded by Alan S. McKim, began as a small four-person tank cleaning business.
, Today, Clean Harbors is a publicly traded company that maintains a vast network of service
centers and waste management, treatment and disposal facilities and provides a broad range of
environmental services. Services include hazardous and non-hazardous waste transportation and
disposal, laboratory chemical packing, emergency response, field services, and industrial
maintenance. Mr. McKim continues to lead the company as President, Chief Executive Officer
and Chairman of the Board.
Clean Harbors' growth is the result of geographic and service line expansion, market penetration,
and the formation or acquisition of waste management companies and treatment, storage and
disposal facilities. ,Its first major expansion was in the early 1980's with the acquisition ofthe
Sraintree and Natick, Massachusetts facilities. In 1989, Clean Harbors purchased Chem Clear,
Inc., a company nationally recogqized for its industrial aqueous waste treatment capabilities,
with facilities located in Chicago, Cleveland, and Baltimore.
While the Chem Clear acquisition helped catapult Clean Harbors firmly into the waste disposal
business, Clean Harbors continued to expand its geographic coverage by adding a Connecticut

and a second Ohio treatment facility. Clean Harbors solidified its position as a full-service
hazardous waste disposal provider with vast in-house disposal resources with its acquisition of
the Kimball,Nebraska incinerator in 1995.
While broadening disposal and waste processing capabilities, Clean Harbors also further
developed existing service lines such as field services. Since ]980, field service centers have
been strategically located across North America to provide customers with emergency response
services and to perform planned work on customer locations. These centers service thousands of
customers in multiple industries. Today Clean Harbors is a recognized leader in environmental
emergency response services.
Service lines have also been created to meet customer demand. Clean Harbors' laboratory
chemical packing services, CleanPack�, was formed in 1986 to provide industries, schools and
universities, as well as communities with vital services to manage the collection,packaging and
disposal of laborator.y chemical and household hazardous waste. With the creation of the
Reactive Materials Teams, Clean Harbors can respond to the most hazardous and dangerous

chemical and compressed gas situations. Beginning in the northeastern United States and
• extending over time to the South and West, today, Clean Harbors' C1eanPack teams provide
service throughout North America.
Clean Harbors Industrial Services was formed in 1998. The company's industrial-service crews
focus on industrial cleaning and maintenance projects that typically require fast tumaround and
may include hydroblasting, liquid/dry vacuuming; sodium bicarbonate blasting, steam cleaning
and chemical cleaning of equipment and systems. i
In 2002, Clean Harbors acquired the assets of the Chemical Services Division of Safety-Kleen
Corporation. The Chemical Services Division, which was made up of 55 service centers, 33
waste management facilities and 4,400 employees, when combined with Clean Harbors existing
locations helped create the largest network of disposal technologies and environmental services
in North America.
In 2007, Clean Harbors acquired Teris LLC with more thaq 550 employees, several field
locations, an incineration facility in El Dorado, Arkansas, and a treatment, storage and disposal
facility located in Wilmington, Califomia. Clean Harbors' inveshnent in Teris further improves
its ability to service customers and demonstrates the company's commitment to maintaining the
largest attay of service offerings in the environmental services industry.
In 2008, the Company acquired two solvent recycling facilities in Chicago, Illinois and Hebron,
Ohio. This acquisition broadened the company's service portfolio and established a substantial
presence for Clean Harbors in the solvent recycling market. By acquiring these rivo recycling
facilities and constructing a solvent recovery plant at Clean Harbors' El Dorado,Arkansas
location, the company offers a broad spectrum of choices for addressing their solvent waste
streams. Clean Harbors core services include the recycling of a variety of chemicals and
solvents; which are available for sale, as well as offering tolling where material is recycled and
retum the customer for their reuse.

indush•ial maintenance and production, lodging, and exploration services to the oil and gas,
chemical, pulp and paper,manufacturing and power generation industries. With the addition of
over 2,100 employees, 79 locations, and a service fleet of over 2,400 truck and trailer units,
Clean Harbors' acquisition of Eveready broadens its energy and industrial service offerings and

In 2012, Clean Harbors acquired Safety-Kleen Inc. Clean Harbors Safety-Kleen subsidiary is a
leading North Amexican used oil recycling and re-refining,parts cleaning and environmental

personnel safety and environmental protection. The company's written safety philosophy states
this commitment as follows:

regulations. All procedures are designed to achieve this aim as well as to
protect a[l Clean Harbors personnel. Care and safety, rather than profit,
are the primary concerns of our org"anization. {
Rigoroz�s on-plant procedures have been designed to ensure safery
and they must be followed strictly. Our company's reputation and integrity
are the keys to our col[ective successes and our employees are the key to the
company's reputation. All Clean Harbors personnel are h-ained to fully
understand and follow proper procedures with respect to their particular
duties and responsibi[itres, but they are also encouraged to learn their
co-workers'responsibilities and the operations of the company as a whole.
It is necessary that all Clean Harbors employees have pride in what
they are doing because proper waste management is very important to both
the environment and the business community. If we work as a team, keeping
in mind that safety is the most important factor, success will naturally

All Clean Harbors' employees receive rigorous trairiing in the most sophisticated and advanced
techniques for handling toxic materials. Clean Harbors commitment to "learning by doing" ,
utilizes an in-house enviranmental training center. The training center is fully equipped to
accommodate all necessary hazardous waste practice exercises, including training stations for
staging mock chemical spills, tank/trailer confined space entry practice, and a maze to simulate
the hazards encountered while using a self-contained breathing apparatus (SCBA).
Clean Harbors' training curriculum begins with a five day, 40 hour Hazardous Waste
Management training program that certifies employees in accordance with OSHA Final Rule 29
CFR Part 1910.120 (e) (3).
Additional courses include the 24 hour Emergency Response Activities program in accordance
with OSHA Final Rule 29 CFR Part 1910.120 (g) (g) (111); ConFned Space Entry Rescue in
accordance with OSHA Final Rule 29 CFR Part 1910.146 and DOT/HM-I 81 in accordance with
DOT training requirements in 49 CFR 172.704 (a) (1) and (2).
In addition, all Clean Harbors C1eanPack chemists complete a 40-hour lab-packaging course.
This course concentrates on chemical segregation, packaging and transportation of both
industrial and household waste in compliance with local, State and Federal regulations. Detailed
explanations and exercises are provided in the following areas:

• Selecting the proper'waste code and chemical category for a variety of hazardous wastes

• Department of Transportation's Driver's Guide to Hazardous Materials which discusses
how to select the proper shipping name, chemicals forbidden to transport and materials
that must be shipped by themsebes
• Completion of hazardous waste manifest and land disposal restriction notifications forms,
bills of lading, TSCA manifests, scintillation fluid forms and waste profiles
• Proper use of personal protective equipment
• Procedures to be utilized when sampling drums, testing unknowns and evaluating
cylinders
• Reactive handling and packaging procedures
• Peroxidizable ethers, water reactives, hydrophobic and hydrophilic compounds, Drug
Enforcement Agency regulated compounds,picric acid, and chemicals with a low self
accelerating decomposition temperature
Chemists are required to perform a hands-on mock lab pack exercise that requires them to
segregate, properly manifest and label waste. The course ends with a second mock lab pack
exercise that encompasses all aspects of the training program. Our chemists alsp participate in a
3 month mentor'ing program with a senior chemist.
Employees participate in at least 12 hours of annual refresher training and site-specific training
prior to each job. Clean Harbors utilizes a monthly modular training schedule jo meet the annual
refresher training requirement.
For employees who drive for the company, we have designed a Driver Training Policy and
Program, which are structured to provide and maintain drivers with the necessary skills to
perform safely and efficiently and to comply with regulatory requirements. Training objectives
are met through a combination of initial and refresher training courses.
Upon employment by Clean Harbors, our drivers undergo a ]6-hour training course to
familiarize them with our policies and procedures. In addition, drivers are required to attend an

them. We require three years of experience and a road test prior to employment and a yearly
evaluation of driving skills. We also perform a check on each driver's record prior to
employment and annually thereafter.

Clean Harbors has the resources, vehicles,permits,personnel, and company owned disposal
facilities to perform all work under this contract without the need to rely on subcontractors,
ultimately reducing the county's liability risk.

All Clean Harbors' service centers and disposal facilities are linked on a real-time basis through
a sophisticated Information Management System. The overall system architecture is developed ,
and designed for access by employees and customers through web-based portal solutions. Clean
Harbors' Online Customer Support helps our clients manage their waste hazardous and non-
hazardous waste disposal programs more efficiently by offering comprehensive waste and
compliance management tools at<w�vw.cleanharbors.com.
There is no software to download. You only need only a personal computer with an internet
connection to use the applications. The service is free of charge and available 24/7. Online
Services offer many features, including the ability to:

Paperless Submittal Process for Profiles
Using our Waste Profile Module, both Pitkin County and Clean Harbors' personnel can create,
submit, edit, and view all of their waste profiles online. This paperless process utilizes an
electronic signature feature, thereby streamlining the approval process: no more back and forth
faa�ing of signed documents!

Inventory Management Overview
The Waste Inventory Module allows personnel at the Pitkin Collection site to create and track
drums, labpacks, and containers of any size. As each container is filled and placed into storage,
this information is entered into the online module. Packing lists can be printed directly from the
Module and attached to the containers.

Household Hazardous Waste Services
When ready for shipment, the data is submitted electronically through the website directly to our
• waste coordinator. E-mailing or faxing packing lists is no ]onger required. Shipping documents
can be created using the containers selected for shipment. Since inventory is being managed at
the time of creation, data integriTy is improved by eliminating the need to manually edit
paperwork.
Utilizing the Waste Inventory Module will allow County personnel to track their waste througfi
to final disposal or recycling at a Clean Harbors' facility.
Document Imaging and Retrieval System
All manifests, worksheets, weight tickets, and other related documents associated with everyjob
Clean Harbors manages are scanned into our pocument Lnaging and Retrieval System. Scanned
images are indexed for viewing, tipdating, and linking to�vaste tracking reports. Anytime
County personnel need a copy of a signed manifest, one can easily be downloaded from our
website and printed within seconds.

• As the Technical Services General Manager, Ms. Creekmore is responsible for developing
and maintaining business with existing and potential customers; networking with other
Clean Harbors'service centers to effectively service customer needs; determining the most

regulatory compliance; and managing ongoing contracts. She is responsible for all the
Sales and Operationaf aspects of her region that consists of Arizona, New Mexico,
Colorado, Utah, Wyoming, and portions of Idaho, Montana, South Dakota, and Nebraska.
Previously as a Technical Services Operations Manager, Jamie Creekmore supported the
Technical Services Genera! Manager by overseeing the daily waste transportation and
disposal; truck-to-truck transfer; and CleanPack operations (e:g. lab pack, HHW collection
events, etc.) for Utah, Idaho, Montana, Wyoming, Colorado, New Mexico, Arizona and
Western Nebraska. Her responsibilities included (but are not limited to): organizing
personnel and equipment resources to ensure their availabiiity for servicing customers and
collection events; supervising billing; managing her region's health and safety compliance;
and ensuring the health and safety of her employees. ,
. Prior to her promotion to Operations Manager, Ms. Creekmore was a Technical Services
Coordinator, and directly responsible for operational execution of all CleanPack and waste
t�ansportation and disposal operations Sor Utah, Idaho, Western Montana, and Western
Wyoming. Truck drivers and Chemists at the Tooele, Utah Service Center reported to her.
• Ms. Creekmore joined the Clean Harbors' team as a Facility Logistics Coordinator. Unlike
her other Coordinator position, she was primarily responsible for scheduling waste
shipments in and out of Clean Harbors' Aragonite Incinerator and Clive Rail Hub Facility
(both of which are located in Utah).
While working for other environmental companies, Jamie Creekmore's job titles included
Office Manager, Customer Service Specialist, Human Resources Supervisor, and Audit
Team Specialist.

and sampling, profiling, packaging, labeling, and manifesting of alf waste for transportation
and disposal),
• Kevin Gaff has been a backup Project Manager on all phases of the University of Colorado
Health Science Centers' lab move from their 9'" Avenue campus to Anschutz Medical
Campus. From the initial move in 2004 to the final move in 2008, Mr. Gaff had a constant
role and provided great operational insight through his move experience.
• Prior to joining Clean Harbors, Mr. Gaff was a Hazardous M2te�ial5 SpecialiSt f0� th2 -
University of Kentucky. His duties included maintaining compliance with federal, state, and
local regulations for hazardous waste segregation, storage, and disposal; development and
implementation of hazardous waste minimization and recycling programs; and providing
training to university staff and faculty about waste minimization and proper disposal
techniques.

• As a Lead CleanPack� Chemist for Clean Harbor's Denver Service Center, Mr. Franco is responsible
for developing and training CleanPack�Chemists throughout the region. He is also responsible for the
segregation of known waste, testing and characterization of unknown waste, sampling and profiling of
drummed waste, and packaging, labeling, and manifesting of all waste for transportation and disposal.
Additional responsibilities include: the safe and compliant execution of large lab pack projectsfjobs;
site training of new hires, mentoring and providing input for performance reviews for those employees
assigned; adhering to and enforces field standard operating procedures and understands customer
specific disposal options/special packaging requirements; executing projectfobs according to budget,
conducting site safety meetings and managing projectsfjobs according to site safety plans; acts as a
liaison between the TSDF and the field to help solve packing problems, define new guidelines, update
procedures, etc.; recording accurate billing information to ensure proper customer invoicing;
transporting hazardous materials/waste within DOT; and properly loading and segregating for
compatibility the waste materials on his transport vehicle.
Additionally, Mr. Franco is a certified member of Clean Harbors' Reactives Material Team. In this role,
_ he assists Reactive Materials Specialist in the safe and compliant completion of Reactive Materials
jobs tliat includes the stabilization of potential explosive and unstable chemical compounds. Mr.
Franco must follow the strict site-specific Health & Safety plans as well as safely and proper operate
the specialized PPE and equipment, which is utilized in the stabilization of these chemical compounds.
