Pitkin County, a Colorado home-rule county, is the owner, sponsor and operator of the Aspen/Pitkin County Airport(Sardy Field), located in the vicinity of Aspen, Colorado, and has the authority to regulate commercial activities and to lease and license space at the Airport, pursuant to, inter alia, 1973 C.R.S. 41-4-101 et seq., 30-35-202, Title IV of the Pitkin County Code, and Section 8.7 of the Pitkin County Home Rule Charter; and 2. The Airport has installed a computer controlled gate system at the entrance and exit to the commercial vehicle traffic circle. The Airport will generate monthly billing to users, based upon their use of the commercial system, as recorded by the gate system. 3. The billing rate structure has been established by the airport's consultant for this project, GateKeeper Systems, Inc. The rate structure is based upon past use, and related charges, of the Airport commercial traffic circle. 4. On the recommendation of staff, the BOCC finds that the approval of this rate structure is in the best interest of the County. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY, COLORADO, THAT: Section 1 Approval and Adoption. That the Commercial Traffic Circle Rate Structure, attached as Exhibit A, and incorporated herein by this reference, is hereby approved and adopted. Section 2 Authority to Execute. The Chair(or Vice-Chair) of the Board of County Commissioners is hereby authorized and directed to execute on behalf of the County this Resolution and the subject documents to accomplish the transactions that have been approved as to form by the County Manager and County Attorney. Section 3 Copies for Public Inspection. A true and corrected copy of the Contract Agreement(Exhibit "A")shall be kept available for public inspection during normal business hours in the office of the Pitkin County Clerk and Recorder, Pitkin County Courthouse, 530 E. Main, Aspen, Colorado 81611, and the office of the Director of Aviation, 0233 E. Airport Road, Suite A, Aspen, Colorado 81611. Section Public Hearing. That a public hearing on this Resolution will be held at 2:00 p.m., local time, or as soon thereafter as the conduct of business will allow, on January 24 in a location identified by a notice in the Pitkin County Courthouse, Aspen, Colorado. These vehicles will not use the gate controlled commercial traffic circle due to a lack of space. 1-7 passengers- $200 8-14 passenger- $400 14-21 passenger- $600 21> passenger- $800 Dwell Time: Dwell time is 30 minutes. Beyond the initial 30 minutes dwell there will be a charge per 15 minutes. Dwell time charges will be suspended for the initial 3 months of the system's operation and will be activated April 1, 2001. SOFTWARE MAINTENANCE AGREEMENT General Description Under this agreement, GateKeeper Systems, Inc will maintain in good working order the computer software licensed to Aspen/Pitkin County Airport. This software is currently used in the operation of the Commercial Vehicle Management (CVM) system. Specific terms and conditions of the agreement are stated below. Services GateKeeper Systems, Inc will provide up to 6 hours of software support each month to Airport personnel as necessary to eliminate or correct software malfunctions and return the software to normal operation. Two categories of software support will be provided by this contract: • Telephone Support- GateKeeper Systems will provide on-line telephone support to Aspen/Pitkin County personnel each month for the period of the contract. Qualified GSI personnel familiar with the CVM system and software will provide support. Sample types of support that can be done on the phone include answering system operational questions, diagnosis of likely causes of system malfunctions(hardware of software), providing additional information on system details and providing assistance in correcting operating problems. • Remote Support-Gatekeeper Systems will provide analysis of system data, troubleshooting system problems and making corrections to software code through remote dial-in capabilities to the system software. This will be done only with the approval of Aspen/Pitkin County airport personnel. Period of Coverage Telephone support is available 24 hours per day and 7 days per week for a period of one year from the date of this agreement. Support Reauest Procedure Aspen/Pitkin County personnel shall identify, in writing, at the initiation of the contract, personnel authorized to request assistance. When assistance is required, the responsible individual may call GateKeeper Systems at the following Dedicated Software Support Telephone number: 1- (800) 563-3323 The Support Line operator will record information about the request or problem and immediately contact the best available GSI specialist to respond. GSI may also be contacted directly at its general number: (952) 891-1291 during regular office hours. Response Time GateKeeper Systems, Inc will respond immediately during normal working hours(8:00 am to 6:00 p.m. Monday through Friday local Minneapolis time) at other times a response will be made within 1.5 hours by a qualified software specialist. Aspen/Pitkin County Airport Responsibilities Aspen personnel making a request for assistance should be prepared to provide detailed information regarding the problem experienced, actions already taken to remedy the problem and the current operating condition of the software and entire system. In addition, Aspen/Pitkin County agrees to provide, at its expense, a dial-up modem to provide for remote diagnosis and/or software modifications to the system Aspen personnel making the phone request should be prepared to work with GSI personnel as necessary for the duration of the phone call. Exclusions • Training of Aspen personnel on the operation of the system is not covered by this agreement. • Preventive and Emergency maintenance on hardware components of the system including Amtech readers, gates, computers, and intercom system are not included in this contract • Site visits to Aspen/Pitkin County Airport are not included in this contract. GateKeeper Systems is prepared to send a qualified software specialist to the airport as quickly as possible, if requested. The cost will be the actual cost of travel expenses and labor charges at the rate of $100.00 per hour. Price and Payment Terms In consideration for the software maintenance services to be provided under this agreement The Aspen/Pitkin County Airport shall pay to GateKeeper Systems, Inc, $5,900. per year. Payments are to be made in the amount of$1,475 per quarter(May, August, November, and February) in advance. Other Services From time to time Aspen personnel may identify, through phone consultations or by other means, the desire to modify the software to change its method of operation. GateKeeper Systems, Inc will provide a written estimate or quote for making the desired changes for approval outside of this agreement. Additional support, software modifications, site visits, or other tasks authorized by The Aspen/Pitkin County Airport will be preformed at the rate of$100.00 per hour plus the actual cost of expenses.
