This Grant is made as of the date last beloH si�ned between Pitkin County, herein referred to as
"County", and Roarine Fork Conservancy. hereafter referred to as "A�ency". Whereas, Roarine
Fork Conservancy, a private non-profit a�ency, operates programs that fill the need for.
w�biased, pro-active scientific watershed data; watershed education, both for adults and children;
and preserving and protecting river corridor and wetlands. �
I. Term of Aereement The term of this Agreement is from January 1. 2014, to December
31. 201d.
2. Aeencv Oblieations: Aeency shall:
a) Strictly adhere to all applicable federal, state and local laws or regulations that
have been or mav hereafter be established.
b) Comoliance with House Bill 06-1023.'Perform the following verifications to
comply with House Bill 06-1023: Grantees who provide a benefit to persoi�s over
the age of 18 years of age and which requirc an individual application from the
person who will receive a benefit, are required to verify the applicant's Ieeal
presence in the United States. The verification of lawful presence requires all
applicants I 8 ��ears of aee or older to:
i. Produce a valid Colorado drivers license or a Colorado identification
card; or a United States military card or military dependent's identitication
� card; or a United States Coast Guard Merchant Mariner card; or a Native
American Tribal document; and
� ii. E�ecute an affidavit stating that applicant is a United States citizen or
legal permanent resident; or that applicant is otherwise lawfully
present in the United States pursuant to Federal law.
c) Be la�vfully prohibited, pursuant to Article 76.5 of Title 24, C.R.S., from
providino a Federal public beneflt or a state or local public benefit in violation of
paraoraph (b) of this section.
i. Statutory Exceptions: Escepted from this requirement are the followin�
types of benefits:
A. Services for children under age 18;
B. Obtaining health care items and se�vices necessary for treatment of an
emergency medical condition of the person involved and not related to
an organ transplant;
C. Short-term, in-kind, non-cash emeraency disaster relieF,
D. Public health assistance for immunizations, with respect to
immunizable diseases and for testins and treatment of symptoms of

communicable disease, whether or not such symptoms are caused by
immunizable diseases:
E. Proarams, services or assistance such as soup kitchens, crisis
counselina and intervention:
F. Prenatal care. �
d) Public Grants for Services. CRS §8-17.5-101.
[Not applicable to agreements relating fo the ojfer, issuance, or sale of
securities, investmenfadvisory services or fi�nd munugement services,
sponsored projects, intergovernmenta!agreeme��ts, or informati�n ted�no%gy
services or products and services/Grantee certifies, warrants, and agrees that it
does not knowinaly employ or contract with an illegal alien who will perform
work under this Grant and will confinn the employment elibibility of all
employees who are newly hired for employment in the United States to perform
work under this Grant, throueh participation in the E-Verify Program or the
Department pro�ram established pursuant to CRS §8-17.5-102(Sj(c), Grantee �
shall not knowinQly employ or contract with an illegal alien to perform ti�ork
under this Grnnt or enter into a grant with a Subgrantee that fails to certify to
Grantee that the Suberantee shall not knowingly employ or contract with an
illegal alien to perfonn �vork under this Grant. Grantee:
i. shall not use E-Verify Program or Department program procedures to
undeRake pre-employment screenine of job applicants while this Grant is
beins performed
- ii. shall notiFy the Subgrantee and the er�ntin:,� State agency within three days
if Grantee has actual knowledge that a Subgruntee is employing or
contracting with an illeeal alien for work under this Grant �
iii. shall terminate the subgrant if a Subgrantee does not stop employin� or
contracting with the illeeal alien within three days oFreceiving the notice,
and
iv. shall comply �vith reasonable requests made in the course of an
investigation. undertaken pursuant to CRS §8-17.5-102(�), b�� the Colorado
Department of Labor and Gmployment. If Grnntee participates in the
Departmen[ proeram, Gran[ee shall deliver to the eranting State agency,
Institution of Fligher Education or political subdivision, a �vritten, notarized
affirmation. affirmin; that Grantee has examined the leenl work status of
such employee, and shall comply with all of the other requirements of the
Department program. If Grantee fails to comph with any requirement of
this provision or CRS §8-17.5-1 Ol et seq., [he�ranting StaCe aeency, �
� institution of higher educztion or political subdivision may tenninate this
Grant for breach and, if so terminated, Grantee shall be liable for damages,
e) The A�ency shall comply �vith any reasonable request by the DepaRment of
Labor and Employment made in the course of an investigation that the
Department of Labor and Employmen[ is under[akin�pursuant to the authority
established in Subsection (�) of C.R.S. § 8-17.�-102.
_ � Hold and maintain for the term hereof the necessary licenses(s} as specified under
State law, which permits the performance of the service(s) to be provided herein.

g) Shall maintain an affordable slidine-fee scale schedule for its services in order to
accommodate low-income individuals.
h) Subcontracts utilized by the Agency shall be subject to the requirements of the
Grant as listed here, and the AQency is responsible for the performance of any
subcontractor.
i) Abide by all applicable provisions of the 7 itle VI and VII of the Federal Civil
� � Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973,, and Title XX
of the Social Security Act of 1975 as revised.
j) Maintain written requirements for safeguarding client information and comply
with the same. �
k) Maintain service proaram records, fiscal records, documentation and other
records relevant to this Grant for the duration of[he grant plus six years. The
above shall be subject at all reasonable times [o inspections, review or audit by
Federal, State or County personnel, and other persons authorized in ti-riting by the
County.
I) Provide the services at the location as shown as the address of the Aeency or
whatever is appropriate f'or that service within Pitkin Counry.
m) Provide the service(s)described herein at a cost not g'reater than chareed to odier
persons.
n) Provide semi-annual Performance Measure reports and Financial Reports. These
reports will include the number of unduplicated clients ti�ho live and/or work in
Pitkin County served by the Agency`s program(s).
i. The first report is next years application, and it is due August I. 2014.
You will repoR your first six months' activity for 201d within your
application. If you do not choose to reapply. yeu will only bc required to
submit a 201=F year-end report.
ii. The second report, the year-end reporL is due January 31. 2015, for the
entire period of the grant year.
iii. The reports will include Aeency`s annual goals and actual results year-to-
date, as well as an explanation of any variances observed and the steps that
are to be taken to address those variunces.
3. Pitkin Countv`s Oblivations: Pitkin County'shall:
a) Counry a�rees to grant $10,000 to Roarine Fork Conservancy as approved in the
Counry's 2014 bud�et, which was approved by the Board of County
Commissioners on December 18, 2013. Grant request is for operating support.
b) The total amount of this contcact shall not esceed $10,000 cash masimum in
2014. The County will pay A�ency the total amo�mt of this geant on or before the
last day of March 201�4. Payment is contingent upon receipt of mutually a�reed
upon Performance Measures and satisfacrory semi-annual reports as oudined in
section 2(n) of this contract. The return of a completed contract is required in
order to receive paymznt.

4. General Provisions
a. The Parties to this Grant intend that the relationship between them contemplated
by the Grant is that of independent agency. No aeent, employee; or servant
Asency will be solely and entirely responsible for its acts and the act of its a�ents,
emptoyees, serva�ts and subcontractors durin�the performance of the Grant.
b. Payment pursuant to the Grant, if in County, State or Federal funds, whether in
whole or in part, is subject [o and contingent upon the continuin�availability and
appropriation of County funds for the purpose thereof.
c. This Grant constitutes the full and complete aereement of the paRies and
supersedes or incorporates any prior written and oral a;reements of the parties. In
addition, Agency understands that no County official or employee, other than the
I3oard of County Commissioners acting as a body at a Board meeting, has
authority to enter into a Grant or to modify the terms of this Grant on behalf of the
County. Any such Grant or modification to this Grant must be in writing and be
executed by the parties hereto.
5. DefaulUCancellation. If Agency shall default in the performance of Avency s
Obli�ations pursuant to the terms of this Agreement, and/or fails to provide an accounting
or use or appropriation of monics granted in the manner in which such accounting was
represented to the County. Aeency shall have [he ri�ht to cure said default after written
notice by the Counry of the default to Agency. If Agency fails to cure such default within
sisty (60) days after written notice is given ti�om the Counry to Agency specifying the
nature of such default (or if such dcfault cannot be cured within the aforesaid period of
time, if the Agency shall fail to promptly commence to cure the same and to thereafter
dili��ently proceed �vith such curc), County shall reser��e the right to cance! this
Agreement and make a demand for the return of all monies that County determines, at its
sole discretion, were not appropriated in accordance with this Agreement. Written no[ice �
of default and cancellation shal I be made to Agency by Frst elass mail, postage prepaid
and by certified mail, return receipt requested, to the following address:

6. Entire Aereement: This Aereement constitutes the full and complete A�reemznt of the
� pnrties hereto and shall not be modified except by a writ[en agreement signed by [he
