ORDINANCE OF THE BOARD OF COUNTY COMMISSIONERS OF PITKIN
COUNTY, COLORADO AUTHORIZING EXECUTION OF TWO AMENDMENTS TO
AGREEMENTS FOR ON-AIRPORT RENTAL CAR OPERATORS AT THE
ASPEN/PITKIN COUNTY AIRPORT

RECITALS
I. In December, 2011, the County made and entered into five On-Airport Rent-A-Car-
Company License and Use Agreements, hereafter, "Agreements", with rental car operators at the
Aspen/Pitkin County Airport, hereafter "Airport". The Agreements have continued in force
since that time.
2. Airport staff has discovered a discrepancy in two of the four Agreements,with the
Budget Rent A Car System, LLC d/b/a Budget Rent A Car, hereafter, "Budget", and Avis Rent A
Car System, LLC d/b/a Avis Rent A Car, hereafter, "Avis". The Agreements with Budget and
Avis reflect an incorrect amount of square footage of each company's Storage Lot Space at the
Airport, reflecting more square footage than actually exists.
3. As a result of this discrepancy, Avis and Budget have overpaid the County under their
Agreements by a combined total amount of$8,725.79 and $8,154.10 respectively.
4. Amendments to both the Avis and Budget Agreements reflect the correct amount of
square footage of Storage Lot Space and provide a mechanism to credit the overpayment amount
back to Budget and Avis.
5. The BOCC finds that adoption of this ordinance is necessary for the immediate
preservation of the public health, safety and welfare of the citizens of Pitkin County and
therefore declares this ordinance and legislation to be effective immediately
NOW, THEREFORE, BE IT ORDAINED by the BOCC that it hereby;
1. Authorizes the BOCC Chair to sign, on its behalf, the First Amendment to
Aspen/Pitkin County Airport On-Airport Rent-A-Car Company License and Use
Agreement with Avis.
2. Authorizes the BOCC Chair to sign, on its behalf, the First Amendment to
Aspen/Pitkin County Airport On-Airport Rent-A-Car Company License and Use I
Agreement with Budget.

FIRST AMENDMENT TO
ASPEN/PITKIN COUNTY AIRPORT
ON-AIRPORT RENT-A-CAR COMPANY
LICENSE AND USE AGREEMENT
THIS FIRST AMENDMENT TO ASPEN/PITKIN COUNTY AIRPORT ON-AIRPORT
RENT-A-CAR-COMPANY LICENSE AND USE AGREEMENT (this "First Amendment")
effective as of June 1, 2013 ("Effective Date"), by and between the BOARD OF COUNTY
COMMISSIONERS OF PITKIN COUNTY, COLORADO, a Colorado Home-rule County
("County") as Licensor/Pennittor, and the Budget Rent A Car System, LLC d/b/a Budget Rent A
Car ("Licensee" or "Company"). County and Licensee may be referred to collectively herein as
the"Parties".
Recitals
WHEREAS, the Parties made and entered into that Aspen/Pitkin County Airport On-
Airport Rent-A-Car-Company License and Use Agreement ("the Agreement") effective as of
December 1, 2011; and
WHEREAS, the Parties have discovered a discrepancy in Section A(l)(c) of the
Agreement with the respect to the square-footage size of Storage Lot Space, which incorrectly
reflects "[a]pproximately 19,017 sq. ft. of Storage Lot Space (of approximately 88,453 sq. ft.)"
instead of the actual 16,828 sq. ft. of Storage Lot Space (of approximately 83,450 sq.ft.);and
•
WHEREAS, pursuant to Section B(1)(c) of the Agreement, Licensee has been paying the
annual fee of$2.50 per square foot per year for Storage Lot Space in monthly installments to the
County, resulting in overpayment to the County of $8,154.10 as of the Effective Date (the
"Overpayment Amount"); and
WIIEREAS, the Parties wish to credit the Overpayment Amount to Licensee by reducing
the total amount of fees and charges Licensee pays to County on a monthly basis until the
Overpayment Amount has been fully credited to Licensee; and
WHEREAS, Section 22(c) of the Agreement permits amendments in writing signed by
the Parties, and provides that all matters affecting material terms of the Agreement, including
term, fees, charges and use of Location by Licensee may only be modified or amended by a
writing approved by a Resolution of the Board of County Commissioners at a duly-noticed
public meeting.
NOW, THEREFORE, for and in consideration of the mutual covenants, terms and
conditions contained herein, the County and Licensee do mutually undertake and agree as
follows:
A. CAPITALIZED TERMS
I. Capitalized terms shall have the meanings set forth in the Agreement unless otherwise
indicated herein or in the recitals hereto.
B. AMENDMENT TO SECTION A(1)(C) OF THE AGREEMENT
I. Section A(1)(c) of the Agreement is hereby deleted and replaced in its entirety with
the following:
Approximately 16,828 sq. ft. of Storage Lot Space (of approximately 83,450 sq.
ft.), in a configuration and location as shown on Exhibit"B".
C. AMENDMENT TO SECTION B(2) OF THE AGREEMENT
1. The following paragraph is hereby added as Section B(2)(f)to the Agreement:
£ Notwithstanding anything in this Agreement to the contrary, beginning on the
the Effective Date of the First Amendment, Licensee's monthly payments to the
County shall be reduced by the Overpayment Amount until such time as the
Overpayment Amount has been fully credited to Licensee. Once the Overpayment
Amount has been fully credited to Licensee, monthly payments shall continue as
otherwise provided in this Agreement.
D. AMENDMENT TO EXHIBIT B OF THE AGREEMENT
1. Exhibit B of the Agreement is hereby deleted in its entirety and replaced with the
Exhibit`B"attached hereto as Attachment 1.
E. MISCELLANEOUS
1. The Parties agree that this First Amendment was negotiated by the Parties mutually,
that each has had adequate opportunity to review this First Amendment and to consult
with legal and other counsel, and agree that no legal presumption shall arise as a
result of the identity of the drafter of this First Amendment or any presumed unequal
status arising therefrom.
2. This First Amendment shall be executed in duplicate originals, with one original to be
held by each Party.
3. Except as herein amended all terms and provisions of the original lease executed
December 1, 2011 remain in full force and effect.
4. As an inducement to the County to execute this Agreement, the undersigned officer of
Licensee represents that he/she is expressly authorized to execute this Agreement and
to bind Licensee to the terms and conditions hereof and acknowledges that the
County is relying on this representation, authorization and execution.

WHEREAS, the Parties made and entered into that Aspen/Pitkin County Airport On-
Airport Rent-A-Car-Company License and Use Agreement ("the Agreement") effective as of
December 1,2011; and
WHEREAS, the Parties have discovered a discrepancy in Section A(1)(c) of the
Agreement with the respect to the square-footage size of Storage Lot Space, which incorrectly
reflects "[a]pproximately 24,412 sq. ft. of Storage Lot Space (of approximately 88,453 sq. ft.)"
instead of the actual 21,601 sq. ft. of Storage Lot Space(of approximately 83,450 sq. ft.);and
WHEREAS, pursuant to Section B(1)(c) of the Agreement, Licensee has been paying the
annual fee of$2.50 per square foot per year for Storage Lot Space in monthly installments to the
County, resulting in overpayment to the County of $8,725.79 as of the Effective Date (the
"Overpayment Amount"); and
WHEREAS, the Parties wish to credit the Overpayment Amount to Licensee by reducing
the total amount of fees and charges Licensee pays to County on a monthly basis until the
Overpayment Amount has been fully credited to Licensee;and
WHEREAS, Section 22(c) of the Agreement permits amendments in writing signed by
the Parties, and provides that all matters affecting material terms of the Agreement, including
term, fees, charges and use of Location by Licensee may only be modified or amended by a
writing approved by a Resolution of the Board of County Commissioners at a duly-noticed
public meeting.
NOW, THEREFORE, for and in consideration of the mutual covenants, terms and
conditions contained herein, the County and Licensee do mutually undertake and agree as
follows:
A. CAPITALIZED TERMS
1. Capitalized terms shall have the meanings set forth in the Agreement unless otherwise
indicated herein or in the recitals hereto.
B. AMENDMENT TO SECTION A(1)(C) OF THE AGREEMENT
•
1. Section A(1)(c) of the Agreement is hereby deleted and replaced in its entirety with
the following:
Approximately 21,601 sq. ft. of Storage Lot Space (of approximately 83,450 sq.
ft.), in a configuration and location as shown on Exhibit`B".
C. AMENDMENT TO SECTION B(2) OF THE AGREEMENT
1. The following paragraph is hereby added as Section B(2)(f)to the Agreement:
f. Notwithstanding anything in this Agreement to the contrary, beginning on the
the Effective Date of the First Amendment, Licensee's monthly payments to the
County shall be reduced by the Overpayment Amount until such time as the
Overpayment Amount has been fully credited to Licensee. Once the Overpayment
Amount has been fully credited to Licensee, monthly payments shall continue as
otherwise provided in this Agreement.'
D. AMENDMENT TO EXHIBIT B OF THE AGREEMENT -
1. Exhibit B of the Agreement is hereby deleted in its entirety and replaced with the
Exhibit `B"attached hereto as Attachment 1.
E. MISCELLANEOUS
1. The Parties agree that this First Amendment was negotiated by the Parties mutually,
that each has had adequate opportunity to review this First Amendment and to consult
with legal and other counsel, and agree that no legal presumption shall arise as a
result of the identity of the drafter of this First Amendment or any presumed unequal
status arising therefrom.
2. This First Amendment shall be executed in duplicate originals, with one original to be
held by each Party.
3. Except as herein amended, all terms and provisions of the original lease executed
December 1,2011 remain in full force and effect.
4. As an inducement to the County to execute this Agreement, the undersigned officer of
Licensee represents that he/she is expressly authorized to execute this Agreement and
to bind Licensee to the terms and conditions hereof and acknowledges that the
County is relying on this representation, authorization and execution.
IN WITNESS WHEREOF, the Parties hereto have made and executed this First
Amendment as of the last date signed below.
