CONTRACT FOR PROVISION OF SERVICES .
TO CONDUC'I'AN AUDIT OF TF�PITKIN COUNT'Y REGORDS AND DOCUMENT
MANAGEMENTSYSTEMINFRASTRUCTURE
THIS CONTRACT is made and entered by and betweAri the between Pitkin County, Hoard
oF County Commissioners, 530 E. Main Slreet, Third Floor, Aspen, Colorado 81611 (hereinafter
"County")and IMERGE Consulting,Inc: oP Otlean,Virginia(hereinafter"Contractoi").
1. Term: 'Tfie term oftlus contract is from Januarv 1,2014 throueh Mav 31,2D14.
2. Contractor's Oblieafions. See Exhibit A, Scope of Work
3. Comnensation and Exoenses. Invoicin¢, Pavment and Offset THe County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Scope of
Work(Exhibit A). It is expressly understood and agreed that in no event will the total compensation'
arid reimbursement to be paid hereunder exceed the sum of sixty two thousand and eight hundred
dollazs ($62,800) for all seivices rendered. By conhact or amendment, the Couoty and Contractor
may reallocate the budget among project tasks if the total budget amount remains unchanged.
Contractor shall invoice for the pmject monthly based on hours worked, with payment expected
within thirty (30) days of invoice, but any payment by the County may be offset by any amount the
Contractor owes the County for any reason.
4. C_o_unty's Exclusive Ownershin of Work Product. Drawings, specifications; guidelines and
other docucnents prepared by Contractor in connection with ttris contract shall be the property of the
County. However, Conhactor shall have the right to utilize such documents in the course of its
marke6ng, pmfessional presentations, and for other business purposes. Contractor assigns to County
the copyrights to all work prepared, developed, or created pursuant to Yhis contract, including the
right to: I) ieproduce the work; 2) prepare derivati've works; 3) distribute copies to the public; 4)
perform the works publicly; and 5) to display the work publicly. Contractor shall have riglit to use
materials pcoduced in the course of tlus contract for inarketing purposes and professional
presentations,articles,speeches and other business purposes. '
5. Piticin Countu's Obligations. Pitkin County shall ad�iiinistec this contract tluough a County
Representative appointed by the County Manager. The services provided and products delive�d by
the Contractor under this contract will be subject to review by the County's Representative, or a
designee,For compliance with Contractor's obligations prior to final payment.

6. Termination Prior to Exniration of Contracf Term. The County t�as the right to terminate
this contract, with or witfiout cuuse, by giving written notice to the Contractor of such temtination
and specifying the effective date thereof. Such notice shall be given at least ten (10) days before the
effective date of such termination. In such event all finisHed or unfinished documents,data, studies
and reports prepazed by ttie Coritractor pursuant to this contrac4 shall become the County's propedy.
Contractor shull be entitled to receive compensa6on in accordance with the contract for any
satisfactory work completed pursuant to the terms ofthis contract prior to the date.of termination.
Not withstanding the above, Contractor'shall not be relieved of liability to the County for damages
sustained by the County by virtue of any breach of the contract by the Contractor.
Z. Indeoendent Contractor Status.
A. The parties to this contract intend that the relationship between tkiem contemplated by
the contract is that of independent contructor. Contractor, and any agent, employee, or servant of
Contractor st�all not be deemed to be an employee,agent,or servant of Pitkin County.
B. Contractor is not required to offer services.exclusively to Pitkin County under this
contract. Contractor may choose to work for other individuals or entifies during ihe term of tlils
contract, provided that the basic seryices and deliverable products required unde; this contracY aze .
submitted in the manner and;on the schedule defined.under fhis contract
C. Contractor warrants that ull work produced will.conform to all applicable industry
standazds of care, skill and diligence in the performance of Contractor's obligations under this
contract.
D. Contracto; is not entitled to any Workers' Compensafion benefits through Pitkin .
County and is responsible for payment of atiy federal, state,I'ICA and other income taxes.
8 Assignabilitv. This contruct is not assignable by either party. Any use of subcontractors by
the Contructor for perfo�mnnce,o£Uus contract must be accepted in writing by the Counry.
9. Bindine Arbitration. Any dispules arising out of this contract shall be subject to binding
arbitration. The parties agree,that,any disputes concerning the terms and conditions of this contract
shall be submitted and finally settled by azbitration. Arbitration shall be conducted pursuant to the
rules of the American�Arbitration Association and shall be presided over by Tim McPlynn (fust
choice) or Jim Moran (sewnd c,hoice), or if neither is available, a mutually a�;reeable neutral
arbitrator. Costs of the arbitrution shull be uwarded to the substantially prevailing party.
10, Severabilitv. In the.event that any proyision of tlus contract shall be held to be invalid or
unenforceable, the remaining provisions of this contract,shall remain valid and binding upon the
parties herelo. , .

12. Indemni . .
A. -� The Conhactor agiees to indemnify,hold haririless and, not excluding ttie Count}�s right
to ptuticipate, defend the Coimty,its subsidiary;parent, associated and/or affiliated enflties, successors,
or assigns, its elected officials, trustees; employees, agents, and volunteers� engaged.in action on
behalf of the.County in connection with this conh�act, hereinafter referred to as indemnitee, from all
suits and claims; including: attorriey's fees and cost of litigation, actions, loss, damage, expense,
cost or claims of nny character or ttny nature arising out of the work done in fulfillment of the
terms of this Contract oc on account of any act, claitn or amount arising or recovered under workers'
compensation law or arising out of the failure of the Contractor to conform to any statutes, ordinances,
regulalinn, law or cour[ decree. It is agreed that tlre.Contractor will lie responsible for prunary loss
investigafion, defease and judgment costs where this conhacf of indemnity applies. In consideration
of the award of�Uus contract, the .Contractor agrees to waive all rights of subrogation against the
County its subsidiary, parent, associated and/or affiliated en6ties, successors, , or assigns, its
elected officials, �ustees, employees, agents, and volunteers for losses nrising from the work
performed by the Contiactor for the County. Prov�ded, howeJer, that such indemnity shall not be
construed•as an indemnity for bodily injury oi properiy damage arising from the sole negligence of
the County or its"employees.
B. The Conttactor further sliall.investigate, process,respond to, adjust, provide defet�se for
and defend,pay or settle all claims,demands;or•.lawsuits related hereto at its sole expense and shall beaz
all other costs and expenses related thereto, even ifthe claim, demand or lawsuit is groundless, faLse or
fi-audulent , .
13. Ins�irance. . Conhactor and subcon4acfors sliall procure and maintain until all of their
obligations have been dischazged;including any wazranty periods uuder Uvs Conlract aze satisfied,
insurance against claims for injury to persons or damage to property which may arise from or in
connectio❑ with the performance of the work 6ereunder by the Contractor, its agents,
representatives,employees or subcon4actors.

The insurance requirements herein aze minimum requirements for this Conhact and in no way limit
the indemnity covenants contained in this Contract The contractor's insurance.shall be primary and

14. Ezeinofions and Preferences. All piucttases of consfruction or 6uilding or any othei materials

Pitkin County is exempt from such taxes under registration num6ers 98-02624 and 8478000-5K.
15. Records. The Contractor shall maintain 'coinprehensive, �oinplete and accuiate books,
records, and documents concerning its pe�formance relatuig to dus contract for a period'of three (3)
years after final payment under the conhact and the County shall have the right within the thcee (3)
yeaz period to inspect and audit these books;;records and documents, upon demand, in a reasonable
manner and at ieasonabl8 times,for the puipose of detemiining;by accepted accounting and auditing
standnrds, compliance with alPprovisions of the contract and applicable law.

16. Contract Made in Colorado. The parties agree that this conhact,was made in accordance with
the laws of the State of Colorado and shalt be so construed. Venue is agi�eed to be exclusively in the
courts of Pitkin County,Colorado. �
1�, Attome 'v s Fees. In the event that legal ac6on is necessary to enforce any of the provisions of
this conhact beyond the azbitration described in Paragraph 9, the substantiaIly prevailing party shall be
entiUed fo its costs and reasonable attomey's fees,
18. Govemmental Immunifv. Contiactor'agrees and understand"s that P"ttkin County is relying on
and does not waive, by any provision of this contracy the monetary limitations or terms (presenfly
$150,000 per person and $60Q000 per occurrence) or any other Tights,.immunities, and protecrions
provided by the Colorado Govemmental Immunity Act; § 2410-101,et seg., C.R.S., as fiom tiine to
time amended, or otherwise available to Pitkin County oi any of its officers, agents or employees.
Further, nothing in this contract shall be construed or interpreted to require or provide for
indemi}ification of the Conhactor by the County for any injury io any person or any pmperty damage
whetsoever which is caused by the negligence or other,misconduct of the County or its agent or
emgloyees. �
19.. . Curtent Year Oblieadons. The parties acknoryledge and agree that any;payments provided
for hereunder or requirements for future appropriations shall constitute only curremly budgeted
expendiWres of Pitkin County. Pitkin County's obligations under this conlract are subject to Pitkin
County's annual right to budget and appropriate the sums necessary to provide'the services set forth
Herein. .No prodtsions of the contract shall constitute a mandatory,charge,o; requirement in any
ensuing fiscal year beyond the then current fiscal yeaz of Pitkin County.., No provision of the
contract shall be construed or interpreted as creating a multiple-fiscal year direct or ind'uect debt or
other financial obligation of Pitkin Coue�ty within the meaning of any oonstitutional or statutory debt
limitation. This contract shall not directly or ind'uecfly obligate,Pitkin County to make any
payments beyond tliose,appropriated for Pitkin County's Yhep current f scal yeaz. No provisions of
this contract shall be conshved to pledge or create a lien on any class or source of Pitkin County's
moneys,nor shall any pcovision,of this contract restrict,the future issuae�ce of Pitkin County's bonds
or any obligations payable from any class or source of Pitkin County's moneg.
