MEMORANDUM OF UNDERSTANDING
BETWEEN ROARING FORK TRANSPORTATION AUTHORITY and
PITKIN COUNTY, COLORADO
CONCERNING
CONSULTANTS HIRED TO ASSIST IN COMPLETING
THE GLENWOOD SPRINGS TO ASPEN CIS/DEIS
The parties to this agreement are the Roaring Fork Transportation Authority, a body
corporate and politic ("RFTA"), and the Board of County Commissioners of Pitkin County,
Colorado, a body corporate and politic ("Pitkin County"). This Agreement is effective this 9N
day of A jriQL._ , 2002. --
WHEREAS, the Roaring Fork Railroad Holding Authority ("RFRHA") was formed in
1996 by an Intergovernmental agreement among the Cities of Aspen and Glenwood Springs, the
Towns of Basalt, Carbondale and Snowmass Village, and Eagle and Pitkin Counties; and
WHEREAS, RFRHA subsequently became the owner of the Denver Rio Grande Right of
Way, which is a 34-mile transportation/recreation corridor that varies in width from 50 to 200
feet extending from downtown Glenwood Springs to Woody Creek, Colorado; and
WHEREAS, in 1998 Pitkin County, CDOT, and RFRHA entered into an agreement to
cooperate in completing the CIS/DEIS, with Pitkin County being the fiscal agent for the FTA
grant awarded to complete the study; and
WHEREAS, Pitkin County is the grantee of an FTA award for completion of the
Glenwood Springs to Aspen Corridor Investment Study/ Draft Environmental Impact Statement
("CIS/DEIS") concerning the rail and highway corridor connecting the two cities; and
WHEREAS, at the election held November 3, 1998, Pitkin County voters approved
Ballot Question #100, providing that there shall be no expenditures of Pitkin County funds for
rail studies as part of the completion of the Bus Transit Alternative Study; and
WHEREAS, on September 12, 2000, the Roaring Fork Transportation Authority
("RFTA") was formed by Intergovernmental Agreement between the City of Aspen, Town of
Basalt, Town of Carbondale, Eagle County, City of Glenwood Springs, Pitkin County, and the
Town of Snowmass Village as a rural transportation authority pursuant to Colorado Rural
Transportation Authority Law, Title 43, Article 4, Part 6, C.R.S., as amended, which Agreement
was ratified by the electors of RFTA, at the state general election conducted on November 7,
2000; and

WHEREAS, Article VIII of the RFTA IGA provided for the reorganization of RFRHA
and its merger into RFTA; and
WHEREAS, on November , 2001, after transferring the rail corridor and all other assets
to RFTA, RFRHA was dissolved; and
WHEREAS, RFTA is now responsible for completing the CIS/DEIS; and
WHEREAS, previously CDOT was managing the subcontracts for completing the
CIS/DEIS but is prevented by state budget constraints from continuing to pass through funds
from the FTA to complete the CIS/DEIS; and
WHEREAS, approximately $900,000 remains unspent in the FTA grant awarded Pitkin
County for completion of the CIS/DEIS; and
WHEREAS, as part of its responsibility for completing the CIS/DEIS, RFTA wishes to
hire Parsons Transportation Group ("PTG") to assist in tasks required to complete the CIS/DEIS
with funds awarded for that purpose by the FTA; and
WHEREAS, RFTA and Pitkin County wish to make an agreement concerning the
Contract with PTG, so that the FTA grant funds awarded to Pitkin County for completion of the
CIS/DEIS, will be paid to PTG for assistance in completing the CIS/DEIS.
THEREFORE, RFTA and Pitkin County make the following Agreement:
1. Pitkin County will enter into a contract with PTG, a copy of which is
attached as Exhibit A (the "PTG Contract").
2. Alice Hubbard, RFTA manager, will be responsible for managing the PTG
Contract.
3. The RFTA prgject manager will authorize payment by Pitkin County
under the PTG Contract.
4. To the extent allowed by law, RFTA will indemnify and hold Pitkin
County harmless from all costs, claims and expenses, including reasonable
attorney's fees, arising from claims of any nature whatsoever made by any
person in connection with the acts or omissions, or representations by, the
PTG Contract.
5. In no event will Pitkin County be required to contribute an amount greater
than that actually paid by the FTA pursuant to its grant to complete the
CIS/DEIS.
6. RFTA will be directly responsible for compliance by Pitkin County with
the PTG Contract.
7. RFTA will be directly responsible to monitor compliance by PTG with the
PTG Contract.

8. No payment shall be made under this Agreement for any period after any
December 31 of any calendar year during the term of this Agreement
without an appropriation by Pitkin County in accordance with a budget
adopted by the Board of County Commissioners in compliance with state
budget law and the TABOR amendment.
9. RFTA will assure that no expenditures of Pitkin County funds shall be
made for rail studies as part of the completion of the Bus Transit
Alternative study.The parties to this agreement have executed this agreement this _a A day of 'Jn�

AGREEMENT REGARDING PROVISION OF PROFESSIONAL SERVICES
FOR
ADDITIONAL TASKS REQUIRED FOR
GLENWOOD SPRINGS TO ASPEN CIS/DEIS
COMPLETION
This Agreement Regarding Provision of Professional Services dated as off -7 , 2002,
is between Pitkin COUNTY, Colorado, a body corporate and politic, by and through its Board of
County Commissioners, ("COUNTY"), and Parsons Transportation Group
("CONSULTANT/ENGINEER").
A. COUNTY is cooperating with the Roaring Fork Transportation Authority ("RFTA") to
continue funding under a grant received by Pitkin County for transportation purposes for
RFTA's predecessor, the Roaring Fork Transit Agency. RFTA is charged with completing a
Corridor Investment Study/Draft Environmental Impact Statement ("CIS/DEIS") on the
transportation corridor running from Aspen to Glenwood Springs, Colorado. RFTA wants
professional assistance in completing the technical work activities required to complete and
release the Glenwood Springs to Aspen CIS/DEIS document for public review and to staff
the public review period. A Scope of Work— Exhibit A is attached.
B. Parsons Transportation Group is a corporation authorized to do business in the State of
Colorado, a principal of which is Roger Koester whose expertise is in transportation
engineering and who is a registered professional engineer authorized to act as such in the
State of Colorado.
C. The CONSULTANT/ENGINEER has performed work for the Colorado Department of
Transportation ("CDOT") on earlier phases of this project and wishes to continue,
performing the Work defined in Exhibit A, Scope of Work . CONSULTANT/ENGINEER has
represented that it has the expertise and personnel necessary to properly and timely
perform the Work.
D. The CONSULTANT/ENGINEER and COUNTY intend by this Agreement to set forth the
Scope of the responsibilities of the CONSULTANT/ENGINEER in connection with the Work
and related terms and conditions to govern the relationship between the
CONSULTANT/ENGINEER and COUNTY in connection with the Work.
AGREEMENT
Therefore, for good and valuable consideration, including the promises set forth herein, the
parties agree to the following:
1. Scope of the Work: The CONSULTANT/ENGINEER's Work consists of those services
performed by the CONSULTANT/ENGINEER, CONS ULTANT/ENGINEER's Employees
and CONSULTANT/ENGINEER's Consultants. The CONSULTANT/ENGINEER shall

provide all labor, materials and equipment necessary to perform and complete the work
described herein and as follows ("Work"):
a) Tasks One through Nine described in the attached Exhibit A Scope of Work
specifically including the deliverables listed for each task.
b) Nothing herein is intended to or constitutes a representation by COUNTY or
RFTA that it will construct the proposed project or that it will do so at a particular
time.
c) The Parties hereto recognize that the scope of the Work may change. When the
CONSULTANT/ENGINEER believes that the scope of the Work has been
changed or that by reason of a decision of COUNTY it will be required to redo
properly completed Work, the CONSULTANT/ENGINEER shall immediately
advise COUNTY of such belief and shall also provide a statement of the
maximum additional charges for such work. The CONSULTANT/ENGINEER
shall not be entitled to be paid for any such additional work unless and until
COUNTY agrees in writing that the scope of the Work has changed and accepts
the statement of the maximum additional charges.
2. CONS ULTANT/ENGINEER's Professional Level of Care: The
CONSULTANT/ENGINEER shall be responsible for the completeness and accuracy of
the Work, including all supporting data and other documents prepared or compiled in
performance of the Work, and shall correct, at its sole expense, all significant errors and
omissions therein. The fact that the COUNTY has accepted or approved the
CONSULTANT/ENGINEER'S work shall not relieve the CONSULTANT/ENGINEER of
any of its responsibilities. The CONSULTANT/ENGINEER and its professional
Consultants shall perform the Work in a skillful, professional and competent manner and
in accordance with the standards of care, skill and diligence applicable to transportation
engineers and transportation consultants, as the case may be, with respect to similar
work.
3. Time of Performance and Termination:
a) The CONSULTANT/ENGINEER shall commence the Work within five (5)
business days after the date of this Agreement. The CONSULTANT/ENGINEER
shall complete the nine tasks including the deliverables as described in the
Scope of Work attached as Exhibit A, provided that completion dates for any one
or more of the tasks identified in the Proposed Schedule may be extended by the
COUNTY at its sole discretion.
b) COUNTY may terminate this Agreement, in whole or in part, for its convenience
upon providing notice to the CONSULTANT/ENGINEER. Upon such a
termination, COUNTY shall be liable only for Work satisfactorily completed prior
to the notice and for unavoidable expenses directly incurred for performance of
those parts of the Work which have not been satisfactorily completed, provided
that, at its sole option, COUNTY may require that the
CONSULTANT/ENGINEER complete particular portions of the Work on a time
and reimbursable expenses basis consistent with paragraph 4 hereof. Upon
termination the CONSULTANT/ENGINEER shall deliver to COUNTY all

drawings, illustrations, text, data and other documents entirely or partially
completed, together with all material supplied to CONSULTANT/ENGINEER by
COUNTY. Payment will be due within thirty (30) days after
CONSULTANT/ENGINEER has delivered the last of the partially completed
documents, together with any records that may be required to determine the
amount due.
c) Notwithstanding anything to the contrary contained in this Agreement, no
charges shall be made to COUNTY nor shall any payment be made to
CONSULTANT/ENGINEER for any Work done after December 31, 2002, without
the written approval of the COUNTY in accordance with a budget adopted by the
Board of County Commissioners of COUNTY in accordance with the provisions
of Article 25 of Title 30 of the Colorado Revised Statues and the Local
Government Budget Law (C.R.S §29-1-101 et seq.).
4. Compensation and Payment: In consideration of its performance of the Work, the
CONSULTANT/ENGINEER shall be paid for professional time and reimbursable
expenses actually and directly spent on or incurred in performing the Work, provided
that the total payment for the Work shall not exceed $397,409.00. Payment shall be
made in accordance with the following:
a) The CONSULTANT/ENGINEER shall submit to COUNTY monthly invoices of the
progress made and expenses incurred during the previous calendar month.
Such invoices shall segregate the charges for work done by task as much as
practical, and may group interrelated tasks into one. The invoice shall describe
the Work performed, including the percentage of completion
CONSULTANT/ENGINEER contends was accomplished during the month, and
expenses incurred. Upon request, CONSULTANT(ENGINEER shall provide
COUNTY with such other supporting information as COUNTY may request.
b) One Hundred percent (100%) of the professional fees and reimbursable
expenses shall be due and payable within thirty (30) days after submittal by
CONSULTANT/ENGINEER together with submission of any required clarification
and documentation.
c) For the purposes of this Agreement, the term "reimbursable costs' shall include
only actual out-of-pocket expenses incurred by CONSULTANT/ENGINEER and
his consultants in connection with the Work. Reimbursable costs may include
necessary travel, telephone, postal, air freight, fax and photo-reproduction
charges.
d) The CONSULTANT/ENGINEER shall maintain comprehensive, complete and
accurate records and accounts of its performance relating to this Agreement for
a period of three (3) years following final payment hereunder, which period shall
be extended at COUNTY's reasonable request. COUNTY shall have the right
within such period to inspect such books, records and documents upon demand,
with reasonable notice and at a reasonable time, for the purpose of determining,
in accordance with acceptable accounting and auditing standards, compliance
with the requirements of this Agreement and the law.

5. Proiect Management: Roger Koester shall be designated as
CONSULTANT/ENGINEER's Project Manager for the Work. Alice Hubbard of RFTA
shall be COUNTY's manager responsible for this Agreement. All correspondence
between the parties hereto regarding this project shall be between and among the
project managers. Either party may designate a different project manager by notice in
writing.
6. Independent Contractor: It is expressly acknowledged and understood by the parties
hereto that nothing contained in this Agreement shall result in, or be construed as
establishing, an employment relationship. CONSULTANT/ENGINEER shall be, and
shall perform as, an independent contractor. No agent, subcontractor, employee, or
servant of CONSULTANT/ENGINEER shall be, or shall be deemed to be, the employee,
agent or servant of COUNTY, The CONSULTANT/ENGINEER shall be solely and
entirely responsible for its acts and for the acts of CONSULTANT/ENGINEER'S agents,
employees, servants and subcontractors during the performance of this Agreement.
7. Personnel: The COUNTY understands and accepts that CONSULTANT/ENGINEER will
subcontract some of the Work to be performed to a list of persons and consultants
provided in its proposal. This Agreement is conditioned upon the continuing direct
personal involvement of these persons or equally qualified persons in the Work. Unless
the persons and consultants replacing those listed in the proposal are of equal
qualification, CONSULTANT/ENGINEER may not subcontract or delegate any part of
the Work or substitute subcontractors without COUNTY's written consent, which
consent COUNTY may exercise in its sole discretion. The final documents to be
provided by Contractor shall be completely reviewed by Alice Hubbard.
8. Ownership of Documents: The studies and draft chapters and all other documents
(regardless of form) prepared under this Agreement shall become property of RFTA
upon completion of the work and payment in full of all moneys due to
CONSULTANT/ENGINEER.
9. Rights to Information Gathered: Recorded information, whether or not copyrighted, that
is delivered or specified to be delivered under this Agreement may not be published or
reproduced in whole or in part, or in any manner or form, nor may
CONSULTANT/ENGINEER do so, without the written consent of COUNTY, or until such
time as COUNTY may have either released or approved release of such data to the
public. In any event, CONSULTANT/ENGINEER agrees that COUNTY has entered a
master agreement with FTA concerning copyrights, licenses, and data collected and is
bound to provide information to the FTA, if requested pursuant to Section 18 of the FTA
Master Agreement, and such information may be shared by the FTA for FTA purposes.
10. No Assignment: The parties to the Agreement recognize that the services to be
provided pursuant to this Agreement are professional in nature and that in entering into
the Agreement COUNTY is relying upon the personal services and reputation of
Parsons Transportation Group. Therefore, CONSULTANT/ENGINEER may not assign
its interest in the Agreement, including the assignment of any rights or delegation of any

obligations provided therein, without the prior written consent of COUNTY, which
consent COUNTY may withhold in its sole discretion. Except as so provided, this
Agreement shall be binding on and inure to the benefit of the parties hereto, and their
respective successors and assigns, and shall not be deemed to be for the benefit of or
enforceable by any third party. Unless specifically stated to the contrary in any written
consent to an assignment, no assignment will release or discharge the assignor from
any duty or responsibility under the Agreement.
11. Insurance:
a) At all times during the term of this Agreement, Contractor shall maintain the following
insurance:

c) All insurance required hereby shall be issued by an insurance company or
companies authorized to do business in the State of Colorado. The
CONSULTANT/ENGINEER shall deliver certificates of required insurance to the
COUNTY before commencing the Work.
d) Unless falling into either exception listed in this paragraph, before permitting any
subcontractor to perform any work under this Agreement,
CONSULTANT/ENGINEER shall either (1) require each of his subcontractors to
procure and maintain, during the life of his subcontracts, insurance which meets
the requirements for the Contractor herein;, or (2) provide for insurance of the
subcontractor in Contractor's own policies in the amounts required hereinabove.
Notwithstanding the subcontractor insurance requirements in this paragraph, if a

subcontractor performs less than $10,000.00 work per calendar year on tasks
for this agreement; or if any of the insurance above listed in paragraph a) of this
Section is inapplicable to the work performed by the subcontractor,
subcontractor is not required to procure and maintain insurance outlined in
paragraph a).
12. Indemnification: Within the limits allowed by law, each party hereto shall indemnify the
other party for, and hold and defend the other party and its officials, boards, officers,
principals and employees, harmless from all costs, claims and expenses, including
reasonable attorney's fees, arising from any claims based on action, inaction or willful
misconduct whatsoever made by any person in connection with the negligent or willful
acts or omissions, or representations by, the indemnifying party in the performance of
this Agreement. This indemnification shall not apply to claims by third parties against
the indemnified party to the extent that the indemnified party is liable to such third party
for such claim without regard to the involvement of the indemnifying party.
Notwithstanding the foregoing, the CONSULTANT/ENGINEER acknowledges that
COUNTY is relying on, and does not waive or intend to waive, the monetary limitations,
or any other rights, immunities and protections provided by the Colorado Governmental
Immunity Act, (C.R.S §24-10-101 at seq.), as from time-to-time amended or as
otherwise available to COUNTY, its commissioners, officers and employees, all of which
rights, immunities and protections COUNTY expressly retains.
13. Notices: Any notice and all written communications required under this Agreement shall
be given in writing by personal delivery, FAX or mail to the appropriate party at the

c) Notices shall be deemed given on the date of delivery; on the date a FAX is
transmitted and confirmed received or, if transmitted after normal business
hours, on the next business day after transmission, provided that a paper copy is
mailed the same date; or three days after the date of deposit, first class postage
prepaid, in an official depository of the U.S. Postal Service.
14. Federally required third-party contract provisions: CONSULTANT/ENGINEER
understands that COUNTY has entered a Master Agreement with the FTA which
requires COUNTY to insert into its contracts certain provisions.
CONSULTANT/ENGINEER agrees to include all obligations to comply with the law in all
its contracts with subcontractors entered to complete this Agreement. This contract is
intended to comply with all the required third-party contract clauses required by the
Federal Transit Administration, and outlined in Circular FTA C 4220.1 D, including, but
not limited to,:
a) CONSULTANT/ENGINEER understands that the Federal Government has no
obligation or liabilities to any party, including any third party contractor such as
the CONSULTANT/ENGINEER, or its subcontractors.
b) CONSULTANT/ENGINEER understands that federal requirements may change
and the changed requirements will apply to the project contemplated in this
Agreement as required, unless the Federal Government determines otherwise.
c) CONSULTANT/ENGINEER agrees to comply, and agrees to assure the
compliance of each of each of its subcontractors at any tier under this
Agreement, with the provisions of 49 U.S.C. § 5332, which prohibits
discrimination on the basis of race, color, creed, national origin, sex, or age, and
prohibits discrimination in employment or business opportunity.
d) CONSULTANT/ENGINEER agrees to comply and agrees to assure the
compliance of each of each of its subcontractors at any tier under this
Agreement, with Title VI of the Civil Rights Act of 1964, as amended, 42 U.S.C. §
2000d et.seq., and U.S. DOT regulations, "Nondiscrimination in Federally-
Assisted Programs of the Department of Transportation—Effectuation of Title VI
of the Civil Rights Act," 49 C.R.R. Part 21, and any implementing regulations the
FTA may issue, prohibiting discrimination on the basis of race, color, or national
origin
e) CONSULTANT/ENGINEER agrees to comply, and agrees to assure the
compliance of each of its subcontractors at any tier under this Agreement, with
all requirements of Title VII of the Civil Rights Act of 1964, as amended, 42
U.S.C. § 2000e. and 49 U.S.C. § 533 and any implementing requirements FTA
may issue.
f) CONSULTANT/ENGINEER agrees to comply, and agrees to assure the
compliance of each of its subcontractors at any tier under this Agreement, with
all requirements of 1101(b) of TEA-21, 23 U.S.C. §101 note, and U.S. DOT
regulations, 'Participation by Disadvantaged Business Enterprises in Department
of Transportation Disadvantaged Business Enterprises in Department of
Transportation Financial Assistance Programs," 49 C.F.F. Part 26.
15. Warranties against Contingent Fees Gratuities Kickbacks and Conflict of Interest

a) Covenant Against Contingent Fees. The CONSULTANT/ENGINEER warrants that
no person or selling agency has been employed or retained to solicit or secure this
Agreement upon an agreement or understanding for a commission, percentage,
brokerage, or contingent fee, excepting bona fide employees or bona fide
established commercial or selling agencies maintained by the
CONSULTANT/ENGINEER for the purpose of securing business.
b) Gratuities Prohibited. The CONSULTANT/ENGINEER agrees not to give any
employee or former employee of Pitkin County a gratuity or any offer of
employment in connection with any decision, approval, disapproval,
recommendation, preparation of any part of a program requirement or a purchase
request, influencing the content of any specification or procurement standard,
rendering of advice, investigation, auditing, or in any other advisory capacity in any
proceeding or application, request for ruling, determination, claim or controversy,
or other particular matter, pertaining to this Agreement, or to any solicitation or
proposal for this Agreement.
c) Gratuity means a payment, loan, subscription, advance deposit of money,
services, or anything of more than nominal value, present or promised, unless
consideration of substantially equal or greater value is received.
d) Kickbacks Prohibited. It shall be a breach of Agreement for any payment, gratuity,
or offer of employment to be made by or on behalf of a subcontractor under a
contract to the prime contractor or higher tier subcontractor or any person associ-
ated therewith, as an inducement for the award of a subcontract or order. The
Contractor is prohibited from inducing, by any means, any person employed under
this Agreement to give up any part of the compensation to which he/she is
otherwise entitled. The Contractor shall comply with all applicable local, state and
federal "anti-kickback" statutes or regulations.
e) Conflict of Interest Prohibited. No official, officer, employee or representative of
the County during the term of this Agreement or one (1) year thereafter shall
have any interest, direct or indirect, in this Contract or the proceeds thereof.
(Additional restrictions on present and former employees of County are found in
Article 7 of the Procurement Code).
f) Sub-contract Clause. The prohibitions against contingent fees, gratuities,
kickbacks and conflict of interest prescribed in this Agreement shall be made a
condition of and conspicuously set forth in every sub-contract and solicitation for
such sub-contract.
g) Conspicuously means written in such special or distinctive format, print, or manner
that a reasonable person against whom it is to operate ought to have noticed it.
h) Remedies. In addition to other remedies it may have for breach of the prohibitions
against contingent fees, gratuities, kickbacks and conflict of interest, the County
shall have the right to:
(1) Terminate this Agreement without liability by the County;
(2) Debar or suspend the offending parties from being a contractor or sub-contractor

under County contracts;
(3) Deduct from the contract price or consideration, or otherwise recover,the value of
anything transferred or received by the Contractor; and
(4) Recover such value from the other offending parties.
16. Miscellaneous:
a) The CONSULTANT/ENGINEER shall not discriminate against any employee or
applicant for employment to be employed in the performance of this Agreement
on the basis of race, color, religion, national origin, sex, ancestry, physical
handicap, sexual orientation, age, political affiliation or family responsibility. The
CONSULTANT/ENGINEER shall require all subcontractors to agree to the
provisions of this subparagraph.
b) The making, execution and delivery of this Agreement by the parties hereto has
not been induced by any prior or contemporaneous representation, statement,
warranty or agreement as to any matter other than those herein expressed. This
Agreement embodies the entire understanding and agreement of the parties,
and there are no further or other agreements or understandings, written or oral,
in effect between them relating to the subject matter hereof. This Agreement
may not be amended, including by any modification or, deletion from or addition
to the scope of the Work, except by a written document of equal formality
executed by both parties hereto.
c) CONSULTANT/ENGINEER agrees to protect, defend, and save harmless
COUNTY against any demand for payment for the use of any patented or
copyrighted material, process, design, article or device that may enter into the
work being performed by CONSULTANT/ENGINEER under this Agreement.
d) This Agreement shall be governed by and construed in accordance with the
internal laws of the State of Colorado, without reference to choice of law rules.
The parties agree that venue in any action to enforce or interpret this Agreement
shall be in the District Court in the 9th District for the State of Colorado.
e) This Agreement does not and shall not be deemed to confer upon or grant to any
third party any right enforceable at law or equity arising out of any term,
covenant, or condition herein or the breach thereof.

This document details the technical work activity required to complete and
release the Glenwood Springs to Aspen CIS/DEIS document for public review
and to staff the public review period. A spreadsheet detailing task hours and
costs and a project schedule are attached. All technical work shall be
consistent with the requirements of NEPA and FTA New Starts Guidance (49
CFR Part 611, December 2000) requirements.
Task One - Prepare Chapter on Transportation Impacts
Purpose of this task
FTA Guidance for New Starts recommends a separate chapter on
Transportation Impacts in the CIS/DEIS document. The Transportation
Impacts chapter will clearly describe to the reader the overall impacts and
benefits of proposed transportation improvements.
Transportation impacts in the year 2020 have been assessed for the No-Action/
Committed Projects), Best Bus/TSM, and Rail alternatives. However, these
were only assessed for intersections directly serving proposed park and rides at
West Glenwood Springs, Carbondale / SH 133, El Jebel/Basalt, and Brush
Creek Road. Based on agency input and current needs, analyses of
transportation impacts need to be expanded, and updated.
Work to be accomplished
• Conduct a kickoff meeting with appropriate staff. (This is assumed to be in
the project corridor).
• Collect updated field information. This includes:

Environmental justice and cumulative impact criteria of NEPA and FTA

• Obtain county level income levels and information on subsidized housing
requirements
• Redefine low-income population
• Obtain and analyze 2000 census data for low-income and minority areas.
• Document public involvement completed to date.
• Assess the impacts of the alternatives on Environmental Justice
populations. This will be done for Year 2008 and Year 2025.
• Define mitigation.
• Meet with CDOT Region 3 staff to discuss cumulative impact issues.

Purpose of this task
The existing financial chapter will be revised to incorporate revisions to

to provide a detailed description of the first phase of implementation of the
RFTA long-range plan, with a summary discussion of later phases.
Work to be accomplished
• Conduct a task kickoff meeting with appropriate staff
• Document capital costs, including:
• Cost estimation methods, including the general approach taken, the
types of units estimated, summary quantities, discussion of non-typical
cost analyses, and a discussion of the level of uncertainty in the costs.
• Cost estimation results, including estimates in 2001 dollars summarized
by major components. These components could include right-of-way,
track-bed and track, equipment and vehicles, stations, and other
facilities.
• Other cost parameters, including annual capital requirements for
construction and vehicles, and a summary discussion of cost differences
between alternatives or phases.
• Document operating and maintenance costs, including:
• Cost estimation methods, including the general approach taken, the
basis for costs, cost by mode, discussion of non-typical cost analyses,
and a discussion of the level of uncertainty in the costs.
• Cost estimation results, including estimates in 2001 dollars summarized
by major components. Annualized O&M costs will also be provided.
• If appropriate, a summary discussion will be provided of cost differences
between alternatives and phases.
• Summarize project finance sources, including:
• Operating revenue, including a breakdown of transit farebox and non-
farebox sources (including new RFTA revenues). This will present a
summary discussion and status of all sources needed/anticipated to
cover operating costs.
• Capital sources, including type, amount, and percentage of Section 5309
New Starts funding, other Federal sources (Non-5309 New Starts), state
sources, local sources, private sector/in-kind match, and other funding.
These sources will be identified as to whether they are new or existing,
and committed or not committed. It will be recognized that the use of

flexible funds from other Federal sources will not be considered as part of

and succinctly articulate the relationship between corridor problems and
solutions.

• Revise purpose and need statement to be consistent with the redefinition of
the alternatives.
• Separate documentation of project process versus conclusions.
• Reserve the description of alternatives under Section A. "3 Project
Description" for later chapters. Retain and emphasize documentation of
