Contract#: A'qo .X15 Budget Line Item#: 'Ji.'Jai; Ii_ NI Ja l[J IN 11 << ) !� CONTRACT FOR PROVISION OF SERVICES FOR HEALTH AND HUMAN SERVICES CSBG PROGRAM SERVICES/CATHOLIC CHARITIES-WESTERN SLOPE THIS CONTRACT is made and entered by and between the Pitkin County Board of County Commissioners ("County") and CATHOLIC CHARITIES-WESTERN SLOPE (hereinafter "Contractor"). 1. The term of this contract is from March 1, 2015 to September 30, 2016._At the expiration of the initial term, the contract may be extended for an additional two (2) terms of one (1) year by the express written consent of both parties. 2. Contractor's Obligations. County agrees to purchase and the Contractor agrees to provide case management services addressing dental health and housing assistance needs to support family stability to progratn eligible adults_residing in Pitkin County location the Aspen Health and Human Services office or other location convenient for consumer and Contractor staff. The parties agree that the Contractor's relationship to the County is that of an independent contractor. The parties agree that payment pursuant to this Contract is subject to and contingent upon the continuing availability of funds for the purpose thereof. Contractor further agrees to the following: a. Not to assign any provision of this Contract to a Subcontractor. b. Not to charge clients any fees related to services provided under this Contract. c. To comply with the requirements of the Civil Rights Act of 1964 and Section 504 Rehabilitation Act of 1973 concerning the discrimination on the basis of race, color, sex, age,religion,political beliefs,national origin,or handicap. d. To submit a billing statement in a timely manner, no later than forty-five (45) days after services.Failure to do so may result in nonpayment. e. To provide the service free of charge to the participant. f. To provide County with reports on the provision of services as follows: a. Number of clients served in either category of dental service, or housing assistance. b. Follow up data on client status post service delivery as appropriate. 3. Compensation and Expenses. In the event that any provision of this contract shall be held to be invalid or unenforceable,the remaining provisions of this contract shall remain valid and binding upon the parties hereto. 8. Integration and Modification. A. This contract represents the entire and integrated contract between the County and the Contractor and supersedes all prior negotiations,representations,or contract,either written or oral.This contract may be amended only by written contract signed by both the County and the Contractor. B. Contractor to be performed hereunder. Such changes, including the increase or decrease in the amount of the Contractor's compensation, which are mutually agreed upon between the County and the Contractor,shall be in writing and upon execution shall become part of this contract. 9. Indemnity. A. The Contractor agrees to indemnify, hold harmless and,not excluding the County's right to participate, defend the County, its subsidiary, parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, volunteers, and any jurisdiction or agency issuing permits for any work included in the project,hereinafter referred to as indemnitee, from all suits and claims, including attorney's fees and cost of litigation, actions, loss,damage, expense,cost or claims of any character or any nature arising out of the work done in fulfillment of the terms of this Contract or on account of any act, claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contractor to conform to any statutes, ordinances, regulation, law or court decree. It is agreed that the Contractor will be responsible for primary loss investigation, defense and judgment costs where this contract of indemnity applies. In consideration of the award of this contract,the Contractor agrees to waive all rights of subrogation against the County its subsidiary, parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, and volunteers for losses arising from the work performed by the Contractor for the County. B. The Contractor further shall investigate, process, respond to, adjust, provide defense for and defend, pay or settle all claims, demands, or lawsuits related hereto at its sole expense and shall bear all other costs and expenses related thereto, even if the claim, demand or lawsuit is groundless,false or fraudulent. 10. Insurance. Contractor and subcontractors shall procure and maintain until all of their obligations have been discharged, including any warranty periods under this Contract are satisfied, insurance against claims for injury to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor, his agents,representatives,employees or subcontractors. The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in this Contract. The County in no way warrants that the minimum limits contained herein are sufficient to protect the Contractor from liabilities that might arise out of the performance of the work under this contract by the Contractor,his agents, representatives,employees or subcontractors and Contractor is free to purchase additional insurance as may be determined necessary. 3 Contract#: Budget Line Item#: The policy shall cover professional misconduct or Iack of ordinary skill for those positions defined in the Scope of Services of this contract.In the event that the professional liability insurance required by this Contract is written on a claims-made basis,Contractor warrants that any retroactive date under the policy shall precede the effective date of this Contract; and that either continuous coverage will be maintained or an extended discovery period will be exercised for a period of two(2)years beginning at the time work under this Contract is completed. Minimum Limits: Per Loss $ 1,000,000 Aggregate $ 2,000,000 • 5. Third Party Fidelity/Crime Insurance(including coverage for theft and mysterious disappearance) Limits: Per Loss $ 100,000 a. The policy shall include coverage for all directors,officers,agents and employees of the Contractor. b. The policy shall name the County and their clients as loss payee where as their interests may appear. c. The policy shall not contain a condition requiring an arrest and conviction. d. Policies shall be endorsed to provide coverage for computer crime/fraud. B. Additional Insured Requirements: The policies shall include,or be endorsed to include,the following provisions: 1. On insurance policies where the County is named as an additional insured,the County shall be an additional insured to the full limits of liability purchased by the Contractor even if those limits of liability are in excess of those required by this Contract. C. Notice of Cancellation: Each insurance policy required by the insurance provisions of this Contract shall provide the required coverage and shall not be suspended,voided or canceled except after thirty(30)days prior written notice has been given to the County,except when cancellation is for non-payment of premium,then ten(10)days prior notice may be given. Such notice shall be sent directly to County Representative.If any insurance company refuses to provide the require notices,the Contractor or its insurance broker shall notify the County of any cancellation,suspension,non-renewal of any insurance within seven(7)days of receipt of insurers' notification to that effect. D. Acceptability of Insurers: Insurance is to be placed with insurers duly licensed or authorized to do business in the state of Colorado and with an"A.M.Best"rating of not less than A-VII. The County in no way warrants that the above required minimum insurer rating is sufficient to protect the Contractor from potential insurer insolvency. 5 Contract#: Budget Line Item#: multiple-fiscal year direct or indirect debt or other financial obligation of Pitkin County within the meaning of any constitutional or statutory debt limitation. This contract shall not directly or indirectly obligate Pitkin County to make any payments beyond those appropriated for Pitkin County's then current fiscal year. No provisions of this contract shall be construed to pledge or create a lien on any class or source of Pitkin County's moneys,nor shall any provision of this contract restrict the future issuance of Pitkin County's bonds or any obligations payable from any class or source of Pitkin County's money. 15. Notice. Public Contracts for Services and Public Contracts with Natural Persons. In conformance with the provisions of C.R.S. § 8-17.5-101 and 102,as amended and C.R.S. §24-76.5-101,as amended. A. Contractor shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services. B. Contractor shall not enter into a contract with a subcontractor that fails to certify to the contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under the public contract for services. C. Contractor has confirmed the employment eligibility of all employees who are newly hired for employment to perform work under the public contract for services through participation in either the E-Verify Program or the Department Program. D.
