Contract#085.2016 1/26/15 Budget Line Item#110.21.92400.83617 t Q. _ �) F CONTRACT FOR THE PURCHASE OF Fleet Management Software License THIS CONTRACT is made and entered into this 3rdth day of January,2016 ,by and between the Pitkin County,Board of County Commissioners, 530 E.Main Street,Third Floor,Aspen,Colorado 81611 (hereinafter"County")and Flagship Fleet Management LLC, (hereinafter"Vendor"). 1. SOFTWARE LICENSE PURCHASED(Goods). Vendor shall provide County the following goods conforming to the stated description and any Technical Specifications attached to this contract: Licensed Fleet Management Software and implementation/data transfer,with Year-end reports per attached documents. To facilitate timely"DELIVERY OF GOODS"County will provide Vendor remote access and user rights to needed servers&software to enable Vendor to download,install and Configure software. County Fleet Management agrees to review software and updated changes within 10 days after being loaded on county servers. 2. DELIVERY OF GOODS. Goods,together with all warranties,guarantees,manuals, support information and notice of any extended warranties,shall be delivered by Vendor to the County at the following place and time: Place: 530 E.Main St.Garden Level Start or Install Date:February-2016 Implementation Completion Date:December 2016 3. RISK OF LOSS. At all times prior to delivery and County's acceptance of the goods, Vendor shall bear any and all risk of loss of or damage to the goods. During such period,Vendor shall insure the goods for loss or damage in amounts and under appropriate terms. 1 Contract#085.2016 1/26/15 Budget Line Item#110.21.92400.83617 4. TIME IS OF THE ESSENCE. Vendor acknowledges that time is of the essence for delivery of goods. 5. LIQUIDATED DAMAGES. Vendor hereby agrees to be responsible to County for liquidated damages for failure to deliver on time functional fleet management software as demonstrated and documented in the attached quote and scope of work,(for delay and not as Penalty)in the amount of $10.00 per calendar day for each day or part of a day that goods are not delivered on the date and time established in accordance with this contract. The parties agree that the stated sum is a reasonable forecast of fair compensation for the anticipated damages for delay and that they genuinely intend to liquidate such damages. Any such damages are to be deducted from purchase price. 6. ACCEPTANCE OF GOODS. Delivery of goods shall be complete only upon acceptance by County. County shall have 10 days for inspection of goods. At delivery and after inspection and acceptance,The goods shall be delivered to County free and clear of any liens,claims or encumbrances, and Vendor shall warrant the same,which warranty shall survive closing of this contract. 7. REJECTION OF GOODS. If goods are not delivered according to the specifications and descriptions of this contract,County may reject goods. Vendor shall have 30 additional days'time to deliver goods in conformance with this contract. Upon failure of Vendor to deliver goods,County may terminate this contract or declare Vendor to be in default and pursue remedies contained in this contract. 8. WARRANTY/REPAIRS: A. Delivery of Warranty. Upon delivery of the goods,Vendor shall simultaneously tender to County all warranties,guarantees,manuals and other documents specified by the contract documents or in possession of Vendor. B. Terms of Warranty and Repair. The Vendor hereby warrants that for a period of One Year after Vendor software is installed on County servers', Vendor will,at Vendor's own expense,without any cost to the County,replace all defective parts and make any repairs to the software code that may be required or made necessary by reason of defective material or workmanship. Warranty repairs are to be made via remote access to Pitkin County Servers C. Extended Warranties. In addition to the above,the County may avail itself of the Vendor's standard and/or extended warranties. The Vendor shall offer to the County any extended warranties,which may be available from the manufacturer at the time of delivery,or any subsequent extended warranties,for which the County may be eligible,which become available thereafter. The County is under no obligation to accept and pay for these extended warranties however. 9. PAYMENT. Full payment shall occur upon acceptance of goods delivered in compliance with this contract. In consideration of delivery and acceptance of the goods to County in accordance with this contract,County shall pay Vendor,and Vendor agrees to accept as its full and only compensation,the stated sum of$42,349.00,but any payment by the County may be offset by any amount the Vendor owes the County for any reason. 2 Contract#085.2016 1/26/15 Budget Line Item#110.21.92400.83617 10. TERMINATION PRIOR TO EXPIRATION OF CONTRACT TERM. County has the right to terminate this contract,with cause,by giving written notice to the Vendor of such termination and specifying the effective date thereof. 11. COUNTY'S REMEDIES UPON DEFAULT OF VENDOR. Whenever Vendor shall default in performance of this contract in accordance with its terms,County shall be entitled to suit for damages, specific performance or other relief in law or equity. 12 ASSIGNABLILITY. This contract is not assignable by either party. Any use of subcontractors by the Vendor for performance of this contract must be accepted in writing by the County. 13. BINDING ARBITRATION. Any disputes arising out of this contract shall be subject to binding arbitration. The parties agree that any disputes concerning the terms and conditions of this contract shall be submitted and finally settled by arbitration. Arbitration shall be conducted pursuant to the rules of the American Arbitration Association and shall be presided over by the Pitkin County Hearing Officer appointed to arbitrate Pitkin County contract disputes. Costs of the arbitration shall be awarded to the substantially prevailing party. 14. SEVERABILITY. In the event that any provision of this contract shall be held to be invalid or unenforceable,the remaining provisions of this contract shall remain valid and binding upon the parties hereto 15. INTEGRATION AND MODIFICATION. This contract,the attached quote#"Pitkin County 1-13-2016 VT'and the"Flagship Fleet Management LLC Software License Agreement"represents the entire and integrated contract between the County and Vendor and supersedes all prior negotiations, representations,or contract,either written or oral. This contract may be amended only by written contract signed by both the County and Vendor. 16. EXEMPTIONS. All purchases of construction or building or any other materials for this contract shall not include Federal Excise Taxes or Colorado State or local sales or use taxes. Pitkin County is exempt from such taxes under registration numbers 98-02624 and 84-78000-5K. 17. CONTRACT MADE IN COLORADO.The parties agree that this contract was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in the courts of Pitkin County,Colorado. 18. ATTORNEY'S FEES. In the event that legal action is necessary to enforce any of the provisions of this contract beyond the arbitration described in Paragraph 13,the substantially prevailing party shall be entitled to its costs and reasonable attorney's fees. 19. GOVERNMENTAL IMMUNITY. Vendor agrees and understands that County is relying on and does not waive,by any provision of this contract,the monetary limitations or terms(presently $150,000 per person and$600,000 per occurrence)or any other rights,immunities,and protections provided by the Colorado Governmental Immunity Act,24-10-101,et seq.,C.R.S.,as from time to time 3 Contract#085.2016 1/26/15 Budget Line Item#110.21.92400.83617 amended,or otherwise available to County or any of its officers,agents or employees. Further,nothing in this contract shall be construed or interpreted to require or provide for indemnification of the Vendor by the County for any injury to any person or any property damage whatsoever which is caused by the negligence or other misconduct of the County or its agent or employees. 20. CURRENT YEAR OBLIGATIONS. The parties acknowledge and agree that any payments provided for hereunder or requirements for future appropriations shall constitute only currently budgeted expenditures of Pitkin County as County. Pitkin County's obligations under this contract are subject to Pitkin County's annual right to budget and appropriate the sums necessary to provide the services set forth herein. No provisions of the contract shall constitute a mandatory charge or requirement in any ensuing fiscal year beyond the then current fiscal year of Pitkin County. No provision of the contract shall be construed or interpreted as creating a multiple-fiscal year direct or indirect debt or other financial obligation of Pitkin County within the meaning of any constitutional or statutory debt limitation. This contract shall not directly or indirectly obligate Pitkin County to make any payments beyond those appropriated for Pitkin County's then current fiscal year. No provisions of this contract shall be construed to pledge or create a lien on any class or source of Pitkin County's moneys,nor shall any provision of this contract restrict the future issuance of Pitkin County's bonds or any obligations payable from any class or source of Pitkin County's money. 21. With the capability defined in the quote, the Flagship cost per asset comes to $120.00 per asset. Flagship will honor this pricing for a period of 2 years after the date of purchase. Date 1/26/2016 Flagship Customer Satisfaction Commitment to Pitkin County ANNUAL SUPPORT INCLUDES: Annual support covers bug fixes, report changes, software updates, unlimited telephone support 8:am to 5:00 pm mountain and Pacific time, GoTo Meeting screen sharing, new report requests, and new application functional capability requests. Included in annual support, Pitkin County can request new reports and minor application functional capability provided the report data or general application functional capability is not already part of other Flagship solutions not purchased by Pitkin County and, the report or functional capability can be used by other public sector fleets. Reports and application functional capability that can only be used by Pitkin County are considered custom and will require customization at an additional cost. BUG FIXES: Flagship will programmatically (code modification) work to resolve software issues or bugs when notified of such bugs by Pitkin County . If the issue can not be quickly resolved through software code modification, Flagship will try to provide a work around till such code can be developed, tested and released. UPGRADES: Software Updates to Flagship Fleet Management are included with the cost of support and are primarily driven by customer requests. As long as Pitkin County is current with annual support they will have access to the latest software updates. Modifications/upgrades to the software can occur on a weekly basis. However, not every customer will need or care about every new functional capability or report. As a result, Flagship provides an on-line listing of new application functional capability, and reporting capability added to specific modules. If Pitkin County wishes to leverage added reports or new functional capability to Flagship modules purchased; they need only call Flagship and we will provide the update links for the download and support the install over the phone and via GoTo Meeting. Software License Agreement PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE YOU INDICATE ACCEPTANCE OF AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE.THIS AGREEMENT DOES NOT SUPERCEDE ANY OTHER WRITTEN AGREEMENT BETWEEN YOU AND FLAGSHIP FLEET MANAGEMENT LLC. This agreement(the "Agreement") is made between Flagship Fleet Management LLC.("Flagship")and you, the customer("Licensee"). The terms and conditions of this Agreement are intended by the parties as a final expression of their agreement with respect to the subject matter hereof and may not be contradicted by evidence of any prior or contemporaneous agreement unless such agreement is signed by both parties. In the absence of such an agreement, this Agreement shall constitute the complete and exclusive statement of the terms and conditions and no extrinsic evidence whatsoever may be introduced in any judicial proceeding which may involve the Agreement. This Agreement may not be modified except by a writing executed by both parties hereto. SECTION 1.GENERAL PROVISIONS. The provisions of this Section 1 shall apply to any and all Software, as defined below. 1.1 Software. For the purpose of this Agreement, the licensed computer software program(s) downloaded and/or installed and the supporting documentation for such will be referred to as the "Software." 1.2 Restrictions. Flagship reserves any rights not expressly granted to Licensee and retains title and full ownership rights under the copyright laws of the United States or any other jurisdiction or under any federal, state, or foreign laws. Flagship is not obligated to provide and Licensee acquires no right of any kind with respect to any source code for the Software. Licensee agrees that it has no right whatsoever to modify the Software or any portion thereof in any manner. Licensee shall not, nor permit any third party to reverse engineer, decompile, disassemble or otherwise reduce the Software to any other humanly perceivable form, and may not modify, adapt, rent, lease, loan or create derivative works based upon the Software or any part thereof. Licensee shall not permit any representative of Assetworks Inc., Constellation Software Inc., including all subsidiaries and consultants working for Assetworks Inc., and Constellation Software Inc. to view or use the software. 1.3 Export Law Assurances. Licensee shall not export or re-export, or allow the export or re-export of the Software or any copy, portion or direct product of the foregoing, in violation of any export laws, restrictions, national security controls or regulations of the United States or other applicable foreign agency or authority. 1.4 Limitation of Remedies and Damages. Licensee shall observe complete confidentiality with respect to the Confidential Information, and shall use its best efforts and take all reasonable steps to protect the Confidential Information from any use, reproduction, publication, disclosure, or distribution except as specifically authorized by this Agreement. Licensee shall promptly notify Flagship of any known unauthorized use or disclosure of the Confidential Information and will cooperate with Flagship in any litigation brought by Flagship against third parties to protect its proprietary rights. 1.6 Assignment. Licensee may not assign or transfer its rights and obligations under this Agreement without prior written approval by Flagship and any purported assignment or transfer without Flagship's consent shall be null and void. 1.7 Injunctive Relief. Licensee hereby expressly agrees that Flagship, in addition to any other rights or remedies which Flagship may possess, shall be entitled to injunctive and other equitable relief without having to post bond or other security to prevent a material breach or continuing material breach of this Agreement. 1.8 Software Supplied to the Government.The Software is a "commercial item,""commercial computer software"and/or"commercial computer software documentation." Consistent with DFAR section 227.7202 and FAR section 12.212, any use, modification, reproduction, release, performance, display, disclosure or distribution of the Software by the U.S. government shall be governed solely by the terms of this Agreement and shall be prohibited except to the extent expressly permitted herein. 1.9 Survival.Sections 1.2, 1.3, 1.4, 1.5, 1.7, 1.9, 1.10, 1.11 and 1.12 shall survive termination of this Agreement for any reason whatsoever. 1.10 Warranties.THE LIMITED WARRANTIES AS DESCRIBED IN SECTION 2.2 AND SECTION 3.3 OF THIS AGREEMENT ARE THE ONLY WARRANTIES PROVIDED BY FLAGSHIP AND ITS LICENSORS,WHO EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH REGARD TO THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS. 1.11 Term and Termination.This Agreement is effective for the term of the license grant unless sooner terminated, either through mutual agreement by the parties or by Licensee's material breach of the Agreement; provided, however, Licensee shall have ten (10)days from written notice to cure any such breach if curable. Upon any termination Licensee must immediately destroy the Software and all accompanying written materials and all copies thereof(including copies stored in computer memory)and shall so certify to Flagship in writing. 1.12 General.This Agreement will be construed under the laws of the State of Arizona, except for that body of law dealing with conflicts of law and the U.N. Convention of Contracts for the Sale of International Goods,which shall not apply. In the event there is a dispute concerning the subject matter of this Agreement, the proper venue shall be the County of Maricopa, State of Arizona, United States of America. Each party hereby waives opposition to jurisdiction in such court. Service of process can be done in accordance with the governing law of the Agreement. SECTION 2.TRIAL EVALUATION TERMS AND CONDITIONS. The provisions of this Section 2 shall apply to Software downloaded for temporary and/or trial use. 2.1 License.Subject to the terms and conditions of this Agreement, the Software is licensed, not sold to Licensee by Flagship for a free evaluation period of thirty(30)days from the download date ("Evaluation Period"). However, Licensee shall be responsible for any applicable shipping fees or taxes which may be incurred under this Agreement. Licensee may use the Software for its own internal evaluation and for no other purpose. 2.2 "AS-IS"Warranty. Flagship warrants that it or its licensors retain(s)all intellectual property rights in the Software and any accompanying written materials provided by Flagship, including but not limited to copyright, and that it has the legal right to grant Licensee the License granted under this Agreement. LICENSEE AND FLAGSHIP AGREE THAT THE SOFTWARE IS PROVIDED"AS IS"AND UNSUPPORTED, AND THAT FLAGSHIP MAKES NO WARRANTY AS TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SECTION 3. "FULL" LICENSE TERMS AND CONDITIONS. The provisions of this Section 3 shall apply to Software licensed with no time limits. 3.1 LICENSE. Subject to the terms and conditions of this Agreement and upon Licensee's full payment of the applicable fees, the Software shall be licensed, not sold, to Licensee by Flagship.The"License" granted hereunder shall be perpetual, non-exclusive, and non-sublicensable, and is defined as Licensee's right to: (a) For the number of copies licensed, Licensee may Use one (1)copy of the Software. "Use"shall mean Licensee may install, use, access, run, or otherwise interact with the Software in accordance with the applicable documentation and the license grant specified by Flagship. The Software may not be installed, accessed, displayed, run, shared, or used concurrently on or from different computers, including a workstation, terminal, or other digital electronic devise. (b) For the number of copies licensed, Licensee may make one copy(in machine-readable form only)of each copy of the Software licensed hereunder solely for backup or disaster recovery purposes. However, Licensee must reproduce each such copy without modification, including all copyright and other proprietary notices that are on the original copy. 3.2 Maintenance. During any Maintenance Period and for the applicable fees, Flagship shall provide the maintenance services as listed in this Paragraph 3.2. Maintenance services shall consist of the following: • Flagship shall make Software corrections, enhancements and upgrades available to Licensee if and when it makes them generally available under a maintenance subscription. • Flagship shall respond to communications from Licensee that report software failures not previously reported to Flagship. • Flagship shall respond to all valid communications from Licensee's Technical & Functional Coordinators that request consultation on the operational/technical aspects of the Software. • For all Software, Flagship's support service shall be available via telephone or email on business days between the hours of 8:00 a.m. and 5:00 p.m. PST/PDT. During those hours, Flagship shall respond to inquiries within twenty-four(24) hours of receipt of such inquiry. 3.3 Maintenance Software Fees: Flagship may increase annual maintenance software fees, provided Flagship has given Licensee sixty(60)days prior written notice. Flagship can not increase fees more than the average of the previous 12 months of the Consumer Price index (CPI) (Example provided monthly by the Bureau of Labor Statistics.) http://www.bls.gov/news.release/pdf/cpi.pdf and can be found at http://www.bls.gov/schedule/archives/cpi_nr.htm 3.4 Limited Warranty. Flagship warrants that it or its licensors retain(s)all intellectual property rights in the Software and any accompanying written materials provided by Flagship, including but not limited to copyright, and that it has the legal right to grant Licensee the License granted under this Agreement. Flagship also warrants for a period of thirty(30)days from the delivery date of the Software that(i)the media provided by Flagship, if any, on which the Software is recorded will be free from material defects in materials and workmanship under normal use, and (ii)the operation of the Software, as provided by Flagship,will substantially conform to Flagship's published documentation for the Software. In the event Licensee notifies Flagship during the warranty period that the Software does not meet these standards, Flagship shall, at its sole option and expense, either replace the media, refund the purchase price, or repair or replace the Software as Licensee's sole and exclusive remedy. THIS LIMITED WARRANTY IS THE ONLY WARRANTY PROVIDED BY FLAGSHIP WITH RESPECT TO THE SOFTWARE LICENSED UNDER THIS SECTION 3, AND FLAGSHIP EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
