The Provision of contract services(the"Agreement")dated Dec 8, 2008 between the Board of County
Commissioners of Pitkin County (the "County") and Jason Carey, Riverrestoration.org (the
"Contractor"),is hereby amended as follows:
Description of Change: Price adjustment and extend contract end date.
Reason for Change: Contractor shall perform an increase of scope from original contract and perform the
construction management services for RICD construction detailed in Exhibit A:Detailed Scope of Work.
The increase of funds for the construction management is sixty eight thousand one hundred ninety four
dollars ($68,194.00). The contract shall be extended to December 31, 2017 to manage construction to
completion.At the expiration of the initial term,the Contract may be extended for an additional term by the
express written consent of both parties.

Subject: Pitkin County Recreational In-channel Diversion (RICD) Project—Construction
Management Services
Dear Mr. Ely,
RiverRestoration is pleased to offer construction management services for the Pitkin County
RICD project. The services proposed include a wide variety of tasks, including: coordination,
meetings, submittal reviews, initial survey,pay request processing, stakeout survey, site
observations, field direction, revegetation review, punchlist generation and as-built survey.
The total fees for this effort are $68,194. As was discussed during the contractor selection
process,the selected company is fairly new and the contractor will require more involvement
from RiverRestoration staff during construction. The level of effort and fees reflect this increased
involvement. RiverRestoration has confidence that the selected contractor will complete the
project as designed and in the permissible time period, but oversight and guidance from
RiverRestoration will help the construction process go more smoothly. A detailed scope
(Attachment A) and fee breakdown(Attachment B) for RiverRestoration's efforts are included as
attachments.

Attachment A—Scope of Work
Task 5:Submittal Reviews
RiverRestoration shall review shop-drawings, materials and required planning documents submitted by
the contractor solely for their conformance with the design intent of and performance criteria specified
for the Project. RiverRestoration will approve each submittal or return it to the Contractor for
modification.
RiverRestoration will review and submit to Pitkin County or prepare any requested change orders per
the terms of the Contract. Pitkin County will prepare change orders for approval, if appropriate.
Task 6: Initial Survey Stakeout
RiverRestoration shall perform initial survey stakeout of the site for the Contractor at the start of
construction. Survey does not include Professional Land Survey for boundaries. Initial survey stakeout
will be performed to:
1. Establish project survey control.
2. Stake out limits of disturbance and project limits.
3. Stake out critical design features and section and profile stationing.
Task 7: Pay Request Processing
RiverRestoration will establish a pay request form and pay schedule. Contractor pay requests will be
reviewed by RiverRestoration and submitted to Pitkin County for payment. Contractor has stated that he
will be submitting a pay request every two weeks. RiverRestoration will obtain lien waivers from
Contractor for worked to be paid each time a payment request is made and calculate retaining, if any.
Task 8:On-site Observation including Documentations
Over the 5 month construction window, RiverRestoration will perform up to 196 hours of site
observation visits to include logging and photo documenting construction progress and activities and
conditions in the field. Monthly memos based on the construction logs will be prepared and submitted
to Pitkin County. All Best Management Practices required by the permits for the project are to be
monitored and documented by RiverRestoration.
Task 9:Critical Elevation Stakeout/Elevation Check
RiverRestoration will perform stakeout and checks during construction for critical elevations of the wave
and geomorphic structures.These will include footer and top of structure elevations.
Task 10: Fisherman's Park Colorado Parks and Wildlife Coordination and Field Direction
RiverRestoration will meet with Pitkin County, CPW and the Contractor on site prior to the start of work
at Fisherman's Park to discuss and agree upon the work to be performed.
RiverRestoration will be on site during the in-channel improvements at the Fisherman's Park boat ramp
to direct the placement/removal of boulder and alluvium.
RiverRestoration will meet onsite with Pitkin County, CPW and the Contractor after the Fisherman's Park
improvements are complete to review the changes.
