FOR THE RECREATIONAL IN-CHANNEL DIVERSION PROJECT AND THE EXPENDITURE OF FUNDS RESOLUTION NO. -2016 1. The Voters of Pitkin County and the Board of County Commissioners established the Healthy Rivers and Streams fund, a dedicated sales tax for healthy rivers and streams. 2. An objective of the Healthy Rivers and Streams program is to maintain and improve water quality and quantity within the Roaring Fork Watershed. 3. Pursuant to the decree issued in Case No. 2010CW305 on June 12,2014, Pitkin County obtained a water right through an application for Surface Water Right Appropriations for Recreational In-Channel Diversion. This allows for Pitkin County to call water to the in-channel features and maintain healthy stream flows in the Roaring Fork River. 4. Pursuant to the Pitkin County Procurement Code, a Request for Proposals was issued and Diggin It River Works Inc.was awarded the contract to construct two (2) recreational in-channel diversion recreation features at the project location which is south of Two Rivers Road approximately 0.35 miles west of the Two Rivers Road/CO-82 intersection, east of Basalt. (39° 21'47"N, 107° 1'46.3" W) NOW,THEREFORE,BE IT RESOLVED by the Board of County Commissioners of Pitkin County, Colorado that: 1. The Board approves an expenditure of healthy rivers funds up to an amount of $770,000 for the construction and management of the Recreational In-Channel Diversion Project. 2. Upon approval of the form by the County Attorney,the Chair or her designee is authorized to execute the contract between the Pitkin County Board of County Commissioners and Diggin It River Works Inc., and other documents needed to effectuate this transaction. Term of Contract. The term of this contract is from July 22, 2016 to April 30,2017. II. Scope of Work and Work Schedule. A. Contractor shall construct two(2)recreational in-channel diversion recreation features, install bank stabilization, install 5 geomorphic structures and maintain care of water throughout construction.The location of the project is south of Tow River Road approximately 0.35 miles west of the Two Rivers Road/CO-82 intersection, east of Basalt. (39° 21'47"N, 107° 1'46.3" W) B. The Technical Specifications for the Project are detailed in Exhibit A: Technical Specifications, Exhibit B: Bypass Modeling, Exhibit C: Emergency Access Plan and Profile, Exhibit D: Temporary Care of Water Plan. The Contractor's detailed approach to project includes but is not limited to: a. Obtain the licenses, permits, and signage, provide traffic control plan. an approved dewatering plan, and utility locates b. Contractor shall file the extension with CPW c. Install yard fencing d. Mobilize equipment for the Work at the Staging Area on Emma Road e. Implement Traffic control, construction area signage f. Provide and work to a Care of Water Practices g. Harvest all stakes and poles and store in an area approved by County representative h. Installation of bypass channel culverts,coffer dams and haul road i. Dewater construction area j. Remove and stock pile existing bank stabilization rocks, fill staging area, haul off approximately 90% of haul off material. At this time we will Grade the 1 upstream reach and install grade controls reusing the old bank boulders.At that time Contractor will acquire the extension at this time. k. Survey the diversions and precast locations, install precasts, haul in and install boulders. I. Boulder installation will start on downstream feature first completing center section. Second, river right wing, downstream reach and Emergency access Pathway. m. Continuing the in-channel boulder work Contractor will start at the wave blocks first building the center section of upstream feature,second the river right wing and connecting the bank work to the downstream feature, third the river left wing and forth the upstream river right and river left sections of the wing and forth the upstream river right bank work.At this point Contractor will resurvey, make adjustments if needed, open the coffer dams and test the feature. If needed, Contractor will re-dam and make adjustments in the dry or make adjustments in the wet. n. When the water features are perfected Contractor will remove the coffer dams, install riffle, install habitat boulders, remove the bypass piping, install the geomorphic structures, grade controls, fill the bypass channel and connect to upstream river left reach. Remove the holding ponds using boulders on grade controls. Contractor will demobilize from access road,topsoil and replace logs. Then Contractor will mobilize to Fisherman's Park to excavate and haul off materials,import and place boulders,and plant birch trees and install road base. o. Planting of willows and cottonwoods will proceed at the end of the project or as soon as it is best. C. All work performed under this Contract shall be done according to the following work schedule: a. August 15- September 30: Mobilize, implement dams and upstream reach and bypass piping and settling ponds. Perform dewater process,do 90%haul off and install boulder in the upstream reach. b. October 1- October 30: Await for CPW Extension c. November 1-30: Install safety path,wave blocks, build diversion structures and all boulder work within the dam. d. December 1-31: Remove dams,test features, install grade controls, riffle and geomorphic structures,remove holding ponds. e. January 1-30: Complete the in-channel work, move to Fisherman's Park to complete boar ramp and create a better eddie/pull out. f. February 1-April 15: Mobilize back to staging area and restore the access area and demobilize equipment. Complete the planting when conditions permit. D. Pricing Details a. Contractor shall provide an invoice for mobilization upon Contracting signing. The mobilization cost is$50,000.00. b. Detailed pricing is in Exhibit E: Detailed Pricing. III. Payment. The County agrees to pay, and the Contractor agrees to accept, in full payment for the performance of this Contract,the total price of six hundred ninety eight thousand,eight hundred fifty one dollars ($698,851.00) in accordance with this Contract, subject to increase or decrease in accordance with the provisions of this Contract; but any payment by the County may be offset by any amount the Contractor owes the County for any reason. A. Payment Procedures. 1. Contractor shall submit applications for payment every two (2) weeks for work done to date. 2. Progress payments for Contracts exceeding one hundred fifty thousand dollars($150,000). a. County shall make progress payments, within thirty (30) days of County's approval of Contractor's pay request. b. In accordance to amended Section 2 24-91-103, C.R.S. For contracts exceeding one hundred fifty thousand dollars ($150,000) and if the Contractor is satisfactorily performing this contract, progress payments shall be in an amount equal to ninety percent (95%) of the calculated value of completed Project work. If,in the opinion of the Procurement Officer and County,satisfactory progress is not being made on the Project, or if claims are filed under Section 38- 26-107,Colorado Revised Statutes,as amended,County may retain such additional amounts as County may deem necessary to assure completion of the Project or to pay such claims and any Procurement Officer's and attorney's fees reasonably incurred or to be incurred by County in defending or handling such claims. The withheld percentage of the Contract Price shall be retained until the Project is completed satisfactorily and finally accepted by County in accordance with the provisions of this Contract. Progress payments shall not constitute final acceptance of the Project. B. County shall make final payment, including release of retainage, to Contractor in accordance with this Contract and Section 38-26-107, C.R.S. and Section 24-91-103, C.R.S., as amended. IV. Contractor's Obligations. A. Supervision and Superintendence. 1. The Contractor shall supervise and direct the Project competently and efficiently devoting such attention thereto and applying such skills and expertise as may be necessary to perform the Project in accordance with this Contract. The Contractor shall be solely responsible for the means, methods, techniques, sequences and procedures of construction. The Contractor shall be responsible to see that the finished Project complies accurately with this Contract. 2. The Contractor shall appoint and identify to the County and Procurement Officer, a competent on-site superintendent to be kept on the Project at all times during its progress and who shall not be replaced without written notice to the County and the Procurement Officer except under extraordinary circumstances. The superintendent will be the Contractor's representative at the site and shall have authority to act on behalf of the Contractor. All communications given to the superintendent shall be as binding as if given to the Contractor. B. Subcontractors, Suppliers and Others. 1. The Contractor shall not employ any subcontractor,supplier or other person or organization (including those acceptable to the County and the Procurement Officer, whether initially or as a substitute) against whom the County or the Procurement Officer may have reasonable objection. 2. The identity of subcontractors, suppliers or other persons or organizations including those who are to furnish the principal items of materials and equipment must be submitted to the County in advance of any work performed or materials supplied under this Contract for acceptance by the County and the Procurement Officer. No acceptance by the County or the Procurement Officer of any such subcontractor, supplier or other person or organization shall constitute a waiver of any right of the County or the Procurement Officer to reject defective Project work. 3. The Contractor shall be fully responsible to the County and the Procurement Officer for all acts and omissions of the subcontractors, suppliers and other persons and organizations performing or furnishing any of the Project work under a direct or indirect Contract with Contractor just as Contractor is responsible for Contractor's own acts and omissions. Nothing in this Contract shall create any Contractual relationship between the County or the Procurement Officer and any such subcontractor,supplier or other person or organization,nor shall it create any obligation on the part of the County or the Procurement Officer to pay or to see to the payment of any moneys due any such subcontractor,supplier or other person or organization except as may otherwise be required by laws and regulations. 4. All Project work performed for Contractor by a subcontractor will be pursuant to an appropriate Contract between the Contractor and the subcontractor which specifically binds the subcontractor to the applicable terms and conditions of this Contract for the benefit of the County and the Procurement Officer. C. Patent Fees and Royalties. The Contractor shall pay all license fees and royalties and assume all costs incident to their use in the performance of the Project or the incorporation in the Project of any invention,design,process,product or device which is the subject of patent rights or copyrights held by others. Contractor shall indemnify and hold harmless the County and the Procurement Officer and anyone directly or indirectly employed by either of them from and against all claims, damages, losses and expenses (including attorney's fees and court costs) arising out of any infringement of patent rights or copyrights incidental to the use in the performance of the 4 Project or resulting from the product or device not specified in this Contract, and shall defend all such claims in connection with any alleged infringement of such rights. D. Permits. Unless otherwise provided in this Contract, the Contractor shall obtain and pay for all construction permits and licenses. The County shall assist the Contractor, when necessary, in obtaining such permits and licenses. The Contractor shall pay all governmental charges and inspection fees necessary for the prosecution of the Project. The Contractor shall pay all charges of utilities for connections to the Project, and the County shall pay all charges of such utility owners for capital costs related thereto such as plant investment fees. E. Laws and Regulations.The Contractor shall be familiar with and shall comply with all federal, state, and local laws, ordinances, rules, and regulations applicable to furnishing and performance of the Project including rules,regulations,and ordinances the County promulgates at any time. Except where otherwise expressly required by applicable laws and regulations, neither the County nor the Procurement Officer shall be responsible for monitoring the Contractor's compliance with any Laws or Regulations. F. Taxes. The Contractor shall pay all existing and future applicable federal, state and local sales, consumer, use and other similar taxes whether direct or indirect. Federal excise tax may not apply to materials purchased by the County. The Contract price shall include all other federal, state, and/or local direct or indirect taxes, which do apply. The Contract price shall include the cost of compliance with all other Federal Laws and Regulations at no additional cost to the County (except as provided in this Contract). The Contractor shall not be reimbursed separately for any taxes, which may apply except as provided in this Contract,and the Contractor shall be responsible for all taxes, which may apply. The County is tax exempt from Federal Excise Tax and Colorado State or local sales or use taxes. The Contractor and its subcontractors shall apply to the Colorado Department of Revenue for a Certificate of Exemption indicating that the Contractor or subcontractor's purchase of construction material or building materials is for use in a building, structure, or other public work owned and used by the County. G. Use of Premises. 1. The Contractor shall confine construction equipment, the storage of materials and equipment and the operations of workers to the Project site and land and areas permitted by this Contract,law,ordinances,and permits.The Contractor shall assume full responsibility for any damage to any such land or area, or to the County or occupant thereof or of any land or areas contiguous thereto, resulting from the performance of the Project. Should any claim be made against the County or the Procurement Officer by any such owner or occupant because of the performance of the Project, Contractor shall promptly settle with such other party. The Contractor shall,to the fullest extent permitted by Laws and Regulations, indemnify and hold the County harmless from and against all claims, damages, losses and expenses (including, but not limited to, fees of engineers, architects, attorneys and other professionals and court costs) arising directly, indirectly or consequentially out of any action, legal or equitable, brought by any such other party against the County or the Procurement Officer to the extent based on a claim arising out of the Contractor's performance of the Project. 5 2. During the progress of the Project, the Contractor shall keep the premises free from accumulations of waste materials, rubbish and other debris resulting from the Project. At the completion of the Project,the Contractor shall remove all waste materials, rubbish and debris from and about the premises as well as all tools,appliances,construction equipment and machinery, temporary structures, stumps or portions of trees, and surplus materials, and shall leave the site clean and ready for occupancy by the County. The Contractor shall restore to original condition all property not designated for alteration by this Contract. 3. The Contractor shall not load or permit any part of any structure to be loaded in any manner that will endanger the structure,nor shall the Contractor subject any part of the Project or adjacent property to stresses or pressures that will endanger it. H. Safety and Protection. I. The Contractor shall be solely responsible for initiating, maintaining and supervising all safety precautions and programs in connection with the Project. The Contractor shall take all necessary precautions for the safety of, and shall provide the necessary protection to prevent damage, injury or loss to: a. All employees in the Project area and other persons and organizations who may be affected thereby; b. All the Project materials and equipment to be incorporated therein, whether in storage on or off the site; and c. Other property at the site or adjacent thereto,including trees,shrubs, lawns,walks,pavements,road-ways,structures, utilities and underground facilities not designated for removal,relocation or replacement in the course of construction. The Contractor shall be required to assume sole and complete responsibility for job site conditions during the course of construction of the Project, including the safety of all persons who may enter on the job site for any reason and the security of all property located on the job site. This requirement shall apply at all times during the courses of the Contract and not only to normal Project work hours. 2. The Contractor shall at all times conduct the Project in such manner as will incur the least practicable interference with traffic and existing utility systems. No section of any road shall be closed to the public, nor any utility system put out of service except after permission, has been granted by the Procurement Officer. Each item of the Project shall be prosecuted to completion without delay and in no instance will the Contractor be permitted to transfer its forces from an uncompleted Project to a new Project without prior written notification of the Contractor to the Procurement Officer. Unless this Contract specifically provides for the closing to traffic of any local road or highway while construction is in progress, such road or highway shall be kept open to all traffic by the Contractor. The Contractor shall also provide and maintain in a safe 6 condition temporary approaches,crossings,or intersections with roads and highways. The Contractor shall bear all expense of maintaining traffic over the section of road affected by the Project to be done under this Contract, and of constructing and maintaining such approaches, crossing, intersections and any necessary features without direct compensation,except as otherwise provided. The Contractor shall provide, erect and maintain all necessary barricades, signs, danger signals and lights to protect the Project and the safety of the public. The Contractor's responsibility for necessary barricades, signs, and lights shall not cease until the Project has been accepted. I. Shop Drawings and Samples. 1. After checking and verifying all field measurements and after complying with applicable procedures specified in this Contract, the Contractor shall submit to the Procurement Officer for review and approval in accordance with the approved schedule of shop drawing submissions, three (3) copies (unless otherwise specified) of all shop drawings, which will bear a stamp or specific written indication that the Contractor has satisfied the Contractor's responsibilities under this Contract with respect to the review of the submission. All submissions will be identified as the Procurement Officer may require. The data shown on the shop drawings will be complete with respect to quantities, dimensions,specified performance and design criteria,materials and similar data to enable the Procurement Officer to review the information as required. 2. The Contractor shall also submit to the Procurement Officer for review and approval with such promptness as to cause no delay in Project,all samples required by this Contract. All samples will have been checked by and accompanied by a specific written indication that the Contractor has satisfied the Contractor's responsibilities under this Contract with respect to the review of the submission and will be identified clearly as to material, supplier,pertinent data such as catalog numbers and the use for which intended. 3. Before submission of each shop drawing or sample, the Contractor shall have determined and verified all quantities, dimensions, specified performance criteria, installation requirements,materials,catalog numbers and similar data with respect thereto; and reviewed or coordinated each shop drawing or sample with other shop drawings and samples and with the requirements of the Project and this Contract. 4. At the time of each submission, the Contractor shall give the Procurement Officer specific written notice of each variation that the shop drawings or samples may have from the requirements of this Contract,and,in addition,shall cause a specific notation to be made on each shop drawing submitted to the Procurement Officer for review and approval of each such variation. 5. Where a shop drawing or sample is required by the specifications,no related Project work shall be commenced prior to the Procurement Officer's review and approval of the shop drawing or samples. 6. The cost of furnishing all shop drawings and samples shall be borne by Contractor. V. Performance and Payment Bond. A. Contractor shall furnish a performance and payment bond in the amount of one half of the total Contract value for all Contracts over $50,000, as required by C.R.S. § 38-26-105, et seq. All Bonds shall be in the form acceptable to the County. All Bonds signed by an agent must be accompanied by a certified copy of the authority to act. B. If the surety on any Bond furnished by Contractor is declared bankrupt or becomes insolvent or its right to do business is terminated in any state or it ceases to meet the requirements of paragraph A of this Section, Contractor shall within five (5) days thereafter substitute another Bond and Surety,both of which must be acceptable to the County. VI. Indemnity. A. The Contractor agrees to indemnify, hold harmless and, not excluding the County's right to participate, defend the County, its subsidiary, parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, volunteers, and any jurisdiction or agency issuing permits for any work included in the project,hereinafter referred to as indemnitee, from all suits and claims, including attorney's fees and cost of litigation, actions, loss, damage, expense, cost or claims of any character or any nature arising out of the work done in fulfillment of the terms of this Contract or on account of any act,claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contractor to conform to any statutes, ordinances, regulation, law or court decree. It is agreed that the Contractor will be responsible for primary loss investigation, defense and judgment costs where this contract of indemnity applies. In consideration of the award of this contract, the Contractor agrees to waive all rights of subrogation against the County its subsidiary, parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, and volunteers for losses arising from the work performed by the Contractor for the County. B. The Contractor further shall investigate,process, respond to, adjust,provide defense for and defend, pay or settle all claims, demands, or lawsuits related hereto at its sole expense and shall bear all other costs and expenses related thereto, even if the claim, demand or lawsuit is groundless,false or fraudulent. VII. Insurance. Contractor and subcontractors shall procure and maintain until all of their obligations have been discharged, including any warranty periods under this Contract are satisfied, insurance against claims for injury to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representatives,employees or subcontractors. The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in this Contract. The policies shall include, or be endorsed to include,the following provision: On insurance policies where the County is named as an additional insured, the County shall be an additional insured to the full limits of liability 8 purchased by the Contractor even if those limits of liability are in excess of those required by this Contract. The County in no way warrants that the minimum limits contained herein are sufficient to protect the Contractor from liabilities that might arise out of the performance of the work under this Contract by the Contractor, its agents, representatives, employees, or subcontractors. The Contractor shall assess its own risks and if it deems appropriate and/or prudent, maintain higher limits and/or broader coverages. The Contractor is not relieved of any liability or other obligations assumed or pursuant to the Contract by reason of its failure to obtain or maintain insurance in sufficient amounts, duration, or types. Commercial General Liability Completed Operations coverage must be kept in effect for up to three(3) years after completion of the project. A. Coverage and Limits of Insurance: Contractor shall provide coverage with limits of liability not less than those stated below. An umbrella and/or excess liability policy may be used to meet the minimum liability requirements provided that the coverage is written on a"following form"basis. 1. Statutory Workers' Compensation: Colorado statutory minimums a. Policy shall contain a waiver of subrogation against the County. b. This requirement shall not apply when a contractor or subcontractor is exempt under Colorado Workers' Compensation Act., AND when such contractor or subcontractor executes the appropriate sole proprietor waiver form. Auto Liability: Bodily injury and property damage for any owned, hired, and non-owned vehicles used in the performance of this Contract. Minimum Limits: Bodily Injury/Property Damage(Each Accident) $ 1,000,000 4. Contractors Pollution Liability The County requires this coverage whenever work at issue under this Contract involves potential pollution risk to the environment or losses caused by pollution conditions(including asbestos)that may arise from the operations of the Contractor described in the Contractor's scope of services. Policy shall cover the Contractor's completed operations. Contractors Pollution Liability coverage (including Completed Operations)must be kept in effect for up to three(3)years after completion of the project. Coverage shall apply to sudden and gradual pollution conditions resulting from the escape of release of smoke,vapors, fumes, acids, alkalis,toxic chemicals, liquids, or gases,natural gas, waste materials,or other irritants,contaminants,or pollutants(including asbestos). If the coverage is written on a claims-made basis, the Contractor warrants that any retroactive date applicable to coverage under the policy precedes the effective date of this Contract; and that continuous coverage will be maintained or an extended discovery period will be exercised for a period of three(3) years beginning from the time that work under this contract is completed. a. The policy shall be endorsed to include the following as Additional Insureds: "Pitkin County, its subsidiary, parent, associated and/or affiliated entities, successors,or assigns, its elected officials,trustees,employees, agents, 10 and volunteers named as an additional insured with respect to liability and defense of suits arising out of the activities performed by, or on behalf of the Contractor, including completed operations". Minimum Limits: Per Loss $ 1,000,000 Aggregate $ 1,000,000 5.Professional Liability The Contractor shall maintain Professional Liability covering wrongful acts, errors and/or omissions, including design errors, if applicable, for damage sustained by reason of or in the course of operations under this Contract resulting from professional services provided by the Contractor as part of the Contract. Contractors Professional Liability(Errors and Omissions)policy must be kept in effect during the project and for up to three (3) years after completion of the project. The policy/coverages shall be amended to include the following: a. Coverage shall apply for three(3) years after project is complete. b. Policy is to be on a primary basis; if other professional coverage is carried. Per Loss $ 1,000,000 Aggregate $ 2,000,000 6. Builders' Risk Insurance or Installation Floater—Completed Value Basis Unless otherwise provided, the Contractor shall purchase and maintain, in a company or companies lawfully authorized to do business in the jurisdiction in which the Project is located, Builders' Risk Insurance in the amount of the initial Contract Sum,plus value of subsequent modifications, change orders, and cost of material supplied or installed by others,comprising total value of the entire Project at the site on a replacement cost basis without optional deductibles. a. Policy must provide coverage from the time any covered property becomes the responsibility of the Contractor, and continue without interruption during construction, renovation,or installation, including any time during which the covered property is being transported to the construction installation site, or awaiting installation, whether on or off site. b. Such Builders' Risk Insurance shall be maintained, unless otherwise provided in the Contract Documents or otherwise agreed in writing by all persons and entities who are beneficiaries of such insurance, until final payment has been made or until no person or entity other than the County's has insurable interest in the property to be covered,whichever is later. tt c. The Builders' Risk insurance shall include interests of the County and if applicable,affiliated or associate entities,the General Contractor, subcontractors and sub-tier contractors in the Project. d. The Builders'Risk Coverage shall be written on a Special Covered Cause of Loss form and shall include theft, vandalism, malicious mischief,collapse, false-work,temporary buildings,transit, debris removal including demolition, increased cost of construction, architect's fees and expenses, flood(including water damage), earthquake,and if applicable,all below and above ground structures,piping, foundations including underground water and sewer mains, piling including the ground on which the structure rests and excavation, backfilling, filling, and grading. e. The Builders' Risk shall include a Beneficial Occupancy Clause. The policy shall specifically permit occupancy of the building during construction. Contractor shall take reasonable steps to obtain consent of the insurance company and delete any provisions with regard to restrictions within any Occupancy Clauses within the Builder's Risk Policy. The Builder's Risk Policy shall remain in force until acceptance of the project by the County. f. Equipment Breakdown Coverage(a.k.a. Boiler& Machinery) shall be included as required by the Contract Documents or by law, which shall specifically cover insured equipment during installation and testing(including cold and hot testing). g. The deductible shall not exceed$25,000 and shall be the responsibility of the Contractor except for losses that involve all Acts of God such as flood, earthquake,windstorm, tsunami, volcano,etc. 7. Special Coverages (check as appropriate and insert amount): ❑ (1)Performance Bond $ ❑ Labor and Material $ ❑ Payment Bond $ ❑ (2)Professional Errors and Omissions (3)Aircraft Liability 1 (4)Owner's Protective 0 (5)Boiler and Machinery ❑(6)Loss of Use Insurance 0(7)Crime,including Employee Dishonesty Coverage,or Fidelity Bond B. Proof of Insurance: 1. Each insurance policy required by the insurance provisions of this Contract shall provide the required coverage and shall not be suspended,voided or canceled except after thirty(30)days prior written notice has been given to the County, except when cancellation is for non-payment of premium, then ten(10)days prior notice 12 may be given. Such notice shall be sent directly to(County Representative's Name& Address). If the insurance carrier will not provide the required notice, the Consultant/Contractor and or its insurance broker shall notify the County of any cancellation,or reduction in coverage or limits of any insurance within seven(7)days of receipt of insurers' notification to that effect. Simultaneously with the Certificates of Insurance, the Contractor shall file with the Procurement Officer a certified statement as to claims pending against the required coverages, reserves established on account of such claims, defense costs expended and amounts remaining on policy limits. 2. In addition,these Certificates of Insurance shall contain the following clauses: a. The contractor's insurance shall be primary and non-contributory with any insurance or self insurance purchased by the County. b. The insurance companies issuing the policy or policies hereunder shall have no recourse against the County of Pitkin for payment of any premiums or for assessments under any form of policy. c. Any and all deductibles or self insured retentions in the above- described insurance policies shall be assumed by and be for the amount of, and at the sole expense of the Contractor. d. Location of operations shall be: "all operations and locations at which work for the referenced Project is being done." 3. Certificates of Insurance for all renewal policies shall be delivered to the County's Representative at least fifteen(15)days prior to a policy's expiration date except for any policy expiring on the expiration date of this contract or thereafter. 4. The County reserves the right to request and receive a copy of any policy and any policy endorsement at any time during the term of this contract. VIII. Exemptions and Preferences. A. All purchases of construction or building or any other materials for any Contract shall not include Federal Excise Taxes or Colorado State or local sales or use taxes. Pitkin County is exempt from such taxes under registration numbers 98-02624 and 84-78000-5K. B. Pursuant to state statute and to the extent permitted by law,Colorado labor shall be employed to perform the Project to the extent of not less than eighty percent (80%) of each type or class of labor employed on such project; except for highway construction, which is subject to C.R.S. § 43-2-208, which provides that all laborers shall be bona fide residents of Colorado with a preference to residents of the County where the Project is performed. IX. Protection and Restoration of Property and Landscape; Hazardous Materials. 13 A. Protection and Restoration of Property and Landscape. 1. The Contractor shall be responsible for the preservation of all public and private property and shall carefully protect from disturbance or damage all land and property, as well as any monuments and property marks until the Procurement Officer has witnessed or otherwise referenced their location and shall not remove them until directed. 2. The Contractor shall be responsible for all damage or injury to property of any character, during the prosecution of the Project, resulting from any act, omission, neglect,or misconduct in its manner or method of executing the Project,or at any time due to defective Project work or materials, and said responsibility shall not be released until the project shall have been completed and accepted. 3. When or where any direct or indirect damage or injury is done to public or private property by or on account of any act, omission, neglect, or misconduct by the Contractor in the execution of the Project, or in consequence of the non-execution thereof by the Contractor, it shall restore, at its own expense, such property to a condition similar or equal to that existing before such damage or injury was done, by repairing, rebuilding, or otherwise restoring as may be directed, or it shall make good such damage or injury in an acceptable manner. 4. Materials storage,equipment parking,vehicle parking and stockpiling excavated materials shall be allowed only in those areas designated by the Procurement Officer. 5. If the Contractor disturbs any of the landscape not called for removal, it shall restore those areas as directed by the Procurement Officer at the Contractor's expense. B. Hazardous Materials 1. The County shall not be responsible for the cost of and the removal or cleanup of Hazardous Materials found in any materials brought to the Project site,after the Project site is turned over to the Contractor. 2. The Contractor shall provide the Procurement Officer with a written certification each time materials or equipment is brought onto the Project site that such materials or equipment do not contain Hazardous Materials. X. County Work at the Project Site. A. The County may perform other work related to the Project at the site by the County's own forces, have other work performed by utility owners or let other direct contracts therefor which shall contain terms similar to these. The Contractor shall perform and coordinate its activities with other contractors to avoid conflict and minimize disruptions. B. The Contractor shall afford each utility owner and other contractor who is a party to such a direct contract (or the County if the County is performing the additional work with the County's employees) proper and safe access to the site and a reasonable opportunity for the 14 introduction and storage of materials and equipment and the execution of such work, and shall properly connect and coordinate the work with theirs. The Contractor shall do all cutting, fitting and patching of the Project that may be required to make its several parts come together properly and integrate with such other work. The Contractor shall not endanger any work of others by cutting, excavating or otherwise altering their work and will only cut or alter their work with the written consent of Procurement Officer and the others whose work will be affected. The duties and responsibilities of Contractor under this paragraph are for the benefit of such utility owners and other contractors to the extent that there are comparable provisions for the benefit of the Contractor in said direct contracts between the County and such utility owners and other contractors. C. If any part of the Contractor's Project depends for proper execution or results upon the work of any such other contractor or utility owner(or the County),the Contractor shall inspect and promptly report to the Procurement Officer in writing any delays, defects or deficiencies in such work that render it unavailable or unsuitable for such proper execution and results. The Contractor's failure to report such conditions will constitute an acceptance of the other work as fit and proper for integration with the Contractor's Project except for latent or non-apparent defects and deficiencies in the other work. Xl. Changes in the Project and Use of Change Orders. A. The County may, from time to time,request changes in the scope of services of the Contractor to be performed hereunder. 1. The Procurement Officer shall issue a notice informing the Contractor of a planned change in the Project and requesting the Contractor's detailed price proposal and adjusted schedule of work. The Contractor shall submit a priced proposal for performing the proposed change in the Project within five (5) days of notice or such other time acceptable to both parties. When the Contractor and the County reach agreement on the adjustments to the Contract price and/or Contract time, and changes in the Project, such adjustments shall be promptly recorded in an executed Change Order. B. All Contractor initiated change requests shall be submitted to the County and the Procurement Officer in a letter or written notice with the reference notation "Contractor Change Request". If the Contractor: (i) receives any oral or written instructions, directives or interpretations of Contract Documents, or determinations from the Procurement Officer or, (ii) identifies what it believes are design errors or omissions in the Contract Drawings or Specifications, or(iii) encounters a differing site condition; or, (iv) is delayed in the progress of the Project; or, (v) becomes aware of any other matter or circumstance which it believes would require a change in the Contract Price or Contract Time,the Contractor shall give the Procurement Officer prompt written notice of such matters. 1. All Contractor change requests shall be dated, numbered sequentially, and shall describe the action or event which the Contractor believes may require an extension in time, price or other modification. The Contractor shall also provide descriptions of possible Contractor actions or solutions to minimize the cost of the Contractor change 15 request and, provide an estimate of the adjustment in the Contract price and/or Contract time, which it believes is appropriate. 2. Contractor Time Requirements. a. With respect to orders, instructions, directives, interpretations, determinations,or the discovery of any errors or omissions in this Contract, a Contractor change request shall be submitted before the Contractor acts on them,but in no event more than ten(10)consecutive calendar days after they were received or discovered. b. With respect to any differing site conditions, a Contractor change request shall be submitted before the conditions are disturbed, but in no event more than ten(10)consecutive calendar days after the conditions are first discovered. c. With respect to delays, a Contractor change request shall be submitted as soon as the Contractor has knowledge of the delay, but in no event more than ten (10)consecutive calendar days therefrom. d. With respect to any matters or circumstance which the Contractor believes would require a change, including delays, a Contractor change request shall be submitted as soon as the Contractor has knowledge of the matter or circumstance, but in no event more than ten (10) consecutive calendar days after the Contractor becomes aware of such circumstance or matter. 3. Submittal Requirements and Waiver of Claims a. If the Contractor does not submit a Contractor change request within the time required above, any action by the Contractor related to such order, direction, instruction, interpretation, determination, design error or omission,or other matter, including delays or differing site conditions, will not be considered by the County as a change to the Project and the Contractor waives any claim for an adjustment on the Contract price or the Contract time. b. The Contractor shall, at the time a Contractor change request is submitted provide the Procurement Officer with a complete and itemized proposal of Contract price and time adjustments. The proposal shall also contain a detailed explanation, citing all applicable provisions in this Contract, which supports the Contractor change request. If the Contractor does not submit its itemized proposal within the time described above or within such extension,which the Procurement Officer,in his/her discretion may have granted in writing, it waives any claim for an adjustment in the Contract price or Contract time arising out of the act or event described in the Contract change request. 16 c. If a Contractor change request is denied by the Procurement Officer, in whole or in part,any claim for an increase in the Contract price or Contract time arising out of the act or event described in the Contractor change request is waived unless the Contractor timely complied with the provisions of paragraphs 2(a-d) of this Section. d. All Changes to the design/plan shall have a revised drawing by the engineer with elevations, stamped by Engineer and approved by the County prior to change order submittal and work to be initiated. This includes Engineer directed adjustments,on and off site direction by the Engineer, elevation changes, positioning,methodology and schedule. e. Changes to the scope of work shall not occur unless approved by both the County and the Contractor in writing. A change in the scope of work for purposes of the contact are defined as follows: 1. Changes which vary the scope of work in the original scope of work based on estimated construction costs. 2. Change orders involving the procurement of additional subcontractors, not previously contemplated by the contract documents. XII. Warranty and Guarantee; Tests and Inspections; Correction, Removal or Acceptance of Defective Project Work. A. Warranty. 1. The Contractor warrants and guarantees to the County that all Project work, whether supplied,furnished,installed,provided,or performed by Contractor,a subcontractor, or supplier, will be in accordance with this Contract and will not be defective and that all Project work shall be performed in a skillful and workmanlike manner. Additionally, the Contractor shall warrant that all equipment which is incorporated into the Project or any subsystem shall be new, free from liens and defects in design, have clear title, be free from faulty materials and workmanship, and shall conform in all aspects to the terms of this Contract, to the drawings issued for manufacture by the Contractor, and shall be in conformance with the those technical specifications provided in Section II (Scope of Work) of this Contract and Contractor's Proposal. Except where longer periods of warranty are indicated for certain items, Contractor warrants Project work, whether furnished, installed, provided, performed or supplied by Contractor, a subcontractor or supplier, to be free from faulty materials and workmanship and that each piece of equipment or any part thereof incorporated into the Project or any subsystem shall conform to the aforementioned warranty and guarantee provisions and be free from failure for a period of not less than eighteen months (18) months from date of Final Payment. Landscaping replacement shall be warranted for two(2)growing seasons. 17 2. With respect to all warranties, express or implied, from subcontractors, manufacturers, or suppliers for Project work performed and materials furnished under the Contract,the Contractor shall: a. Obtain all warranties that would be given in normal commercial practice. To the extent that the subcontractor's, manufacturer's, or supplier's, standard warranty exceeds the minimum County requirements as set forth in this Section or elsewhere in this Contract,the subcontractor's,manufacturer's, or supplier's standard warranty shall apply. b. Require all warranties to be executed,in writing, for the benefit of the County, if directed by the Procurement Officer; or c. Enforce all warranties for the benefit of the County, if directed by the Procurement Officer. d. Assign all warranties and guarantees in writing to the County upon the request of the County. 2. Contractor is excluded from warranting the Engineer's design,engineer's on-site direction and methods as per " As directed by Engineer" to Contractor and/or Subcontractors if this differs from plans and drawings This exclusion shall pertain to structural integrity and performance of the entire project. The Contractor, Subcontractors and their employees shall not be held responsible for erosion,head cutting, material displacement created by the design and/or Design Engineer's on site changes and adjustments. 3. Contractor shall be excluded from all responsibilities as per the safety of all river activist, spectators,and public using this recreational diversion as built per plans and design by the Engineer which includes, but is not limited to, injury, entrapment, drowning, slipping and falling and death. B. Access to Project. The Procurement Officer and the Procurement Officer's representatives,other representatives of the County,testing agencies and governmental agencies with jurisdictional interests shall have access to the Project, at any time for their observation, inspecting and testing. Contractor shall provide proper and safe conditions for such access. C. Tests and Inspections. 1. The Contractor shall cooperate with material testing persons and firms, and for required inspections, and compliance and approval tests for the work performed by the Contractor or its subcontractor. 18 2. If any laws, ordinances, rules, regulations, code or order of any public body having jurisdiction requires any Project work (or part thereof) to specifically be inspected, tested or approved, the Contractor shall assume full responsibility therefore, pay all costs in connection therewith and furnish the Procurement Officer the required certificates of inspection,testing or approval. The Contractor shall also be responsible for and shall pay all costs in connection with any inspection or re-testing required in connection with the County's or the Procurement Officer's acceptance of a supplier of materials or equipment proposed to be incorporated in the Project, or of materials or equipment submitted for approval prior to the Contractor's purchase thereof for incorporation in the Project. The cost of all inspections, testing, re-testing and approvals in addition to the above which are required by this Contract shall be paid by the Contractor (unless otherwise specified). The County will conduct and pay for the conformance tests on materials installed in-place,and the Contractor shall pay for re-testing of all failing and non-conforming materials thereafter. 3. All inspections, tests or approvals other than those required by laws, ordinances, rule, regulations, code, or order of any public body having jurisdiction shall be performed by organizations acceptable to the Procurement Officer. 4. If any Project work(including the work of others)that is to be inspected,tested or approved is covered without written concurrence of the Procurement Officer, it must be uncovered for observation. Such uncovering and testing when required by the Procurement Officer shall be at the Contractor's expense. 5. Neither observations by the Procurement Officer nor inspections, tests or approvals by others shall relieve the Contractor from the Contractor's obligations to perform the Project in accordance with this Contract. D. Correction or Removal of Defective Work. If required by the Procurement Officer or the County, the Contractor shall promptly, as directed, either correct all defective Project work, whether or not fabricated, installed or completed, or, if the Project work has been rejected by the Procurement Officer or the County, remove it from the site and replace it with non-defective Project work. The Contractor shall bear all direct, indirect and consequential costs of such correction or removal (including but not limited to fees and charges of engineers, architects, attorneys and other professionals)made necessary thereby. E. Correction Period. If within two (2) years after the date of Final Payment or such longer period of time as may be prescribed by laws or by the terms of any applicable special guarantee required by the Contract Documents or by any specific provision of the Contract Documents, any Project work is found to be defective, the Contractor shall promptly without cost to County and in accordance with County's written instructions,either correct such defective Project work,or,if it has been rejected by County, remove it from the site and replace it with non-defective Project work. If the Contractor does not promptly(within seven(7)days from receipt)comply with the terms of such instructions,or in an emergency where delay would cause serious risk of loss or damage,the County may have the defective Project work corrected or the rejected Project work removed and replaced, and all direct, indirect and consequential costs of such removal and replacement (including but not limited to fees and charges of engineers,architects,attorneys and other professionals)will be paid by 19 the Contractor. Contractor shall also pay for any damage to other Project work, other property, or person,which occurred as a result of the defective Project work. F. County May Correct Defective Work. If the Contractor fails within ten (10) consecutive calendar days after written notice of the Procurement Officer or the County to proceed to correct and to correct defective Project work or to remove and replace rejected Project work as required by the Procurement Officer or the County in accordance with paragraph D of this Section, or if the Contractor fails to perform the Project work in accordance with the Contract Documents,or if the Contractor fails to comply with any other provision of the Contract Documents, the County may, after seven(7)days' written notice to the Contractor,correct and remedy any such deficiency. In exercising the rights and remedies under this paragraph the County shall proceed expeditiously to the extent necessary to complete corrective and remedial action. The County may exclude the Contractor from all or part of the site, take possession of all or part of the Project, and suspend the Contractor's services related thereto, take possession of the Contractor's tools, appliances, construction equipment and machinery at the site and incorporate in the Project all materials and equipment stored at the site or for which the County has paid the Contractor but which are stored elsewhere. The Contractor shall allow the County, the County's representatives, agents and employees such access to the site as may be necessary to enable the County to exercise the rights and remedies under this paragraph. All direct,indirect and consequential costs of the County in exercising such rights and remedies will be charged against the Contractor, and a Change Order will be issued by the County incorporating the necessary revisions in the Contract price. Such direct, indirect and consequential costs will include but not be limited to fees and charges of engineers, architects, attorneys and other professionals, all court costs and all costs of repair and replacement of work of others destroyed or damaged by correction, removal or replacement of the Contractor's defective Project work. The Contractor shall not be allowed an extension of the Contract time because of any delay in performance of the Project work attributable to the exercise by the County of the County's rights and remedies hereunder. XIII. Liquidated Damages. It is the County's intent to complete this project no later than April 15, 2017. Liquidated damages of seven hundred dollars($700.00) per calendar day shall be paid if project is not completed by that deadline. A. Time for Completion. It is hereby understood and mutually agreed,by and between the Contractor and the County,that the date of beginning Project work and the time of completion as specified herein are essential conditions of the Contract.The Contractor agrees that said Project shall be prosecuted regularly,diligently, and at such rate of progress as will ensure completion within the time(s) specified. It is expressly understood and agreed, by and between the Contractor and the County,that the time(s)for completion of the Project described herein are reasonable time(s)for the completion of the Project,taking into consideration the average climatic conditions prevailing in the locality of the Project. B. Time is of the Essence to the Contract. It is further agreed that time is of the essence in completing the Project,and that the Project Work Schedule and all dates set forth therein and where in this Contract, an additional time is allowed for the completion of the Project, the new time limit fixed by such extension shall be of the essence of the Contract. 20 C. Liquidated Damages. Completion of the Project is of paramount importance to the County. If any portion of the Project is not completed in accordance with any time extensions granted by the County,the County will suffer damage,the extent of which will be impractical and extremely difficult to estimate accurately. Therefore, as part of the consideration for executing the Contract, it is hereby agreed that the Contractor shall pay to the County the liquidated damage amounts specified in the Contract. This particular provision shall not be construed as a penalty upon said Contractor for failing fully to complete said Project as agreed in the Proposal and this Contract nor is it intended,but as Liquidated Damages to compensate the County for all costs incurred as a result of such breach of Contract. D. Delays in Project Completion of Construction Phase. Subject to the terms of "Excusable Delays", as contained in paragraph E of this Section,the Contractor expressly agrees to pay the County as a reasonable estimate of just compensation for damages contemplated with the clause,the amount set forth as liquidated damages for each consecutive calendar day that completion is delayed in the construction of the Project. E. Excusable Delays-Force Majeure. lf, by reason of Force Majeure,any party hereto shall be rendered unable wholly or in part to carry out its obligations under this Contract then such party shall give notice and full particulars of such Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon, and the obligation of the party giving such notice, so far as it is affected by such Force Majeure, shall be suspended during the continuance of the liability then claimed, but for no longer period, and any such party shall remove or overcome such inability with all reasonable dispatch.The term Force Majeure as employed herein, shall mean acts of God,strikes,lockouts,or other industrial disturbances,acts of public enemy,orders of any kind of the Government of the United States or the State of Colorado or any political subdivision, except the County, or any civil or military authority, insurrection, riots, epidemics, landslides, lightning, earthquakes, fires, hurricanes, storms, floods, washouts, droughts, arrests, restraint of government and people, civil disturbances, explosions, breakage or accidents to machinery,pipelines,or canals,or other causes not reasonably within the control of the party claiming such inability. It is understood and agreed that the settlement of strikes and lockouts shall be entirely within the discretion of the party having the difficulty,and that the above requirement that any Force Majeure shall be remedied with all reasonable dispatch shall not require the settlement of strikes and lockouts by acceding to the demands of the opposing party or parties when such settlement is unfavorable to it in the judgment of the party having the difficulty. F. Cumulative Remedy. The liquidated damages referred to herein are intended to be and are cumulative and shall be in addition to every other remedy now or hereafter enforceable at law, in equity, by statute,or under Contract. XIV. Termination of Contract. A. The County may terminate this Contract upon the occurrence of any one or more of the following events: 1. If the Contractor commences a voluntary case under any chapter of the Bankruptcy Code(Title II,United States Code),as now or hereafter in effect,or if Contractor 21 takes any equivalent or similar action by filing a petition or otherwise under any other federal or state law in effect at such time relating to the bankruptcy or insolvency; 2. If a petition is filed against Contractor under any chapter of the Bankruptcy Code as now or hereafter in effect at the time of filing,or if a petition is filed seeking any such equivalent or similar relief against Contractor under any other federal or state law in effect at the time relating to bankruptcy or insolvency; 3. If the Contractor makes a general assignment for the benefit of creditors; 4. If a trustee, receiver, custodian or agent of Contractor is appointed under applicable law or under Contract,whose appointment or authority to take charge of property of Contractor is for the purpose of enforcing a Lien against such property or for the purpose of general administration of such property for the benefit of Contractor's creditors; 5. If the Contractor persistently fails to perform the Project in accordance with this Contract including but not limited to, failure to supply sufficient skilled workers or suitable materials or equipment or failure to adhere to the work schedule established in this Contract; 6. If the Contractor disregards laws, ordinances, rules, regulations, or orders of any public body having jurisdiction; B. Termination Prior to Expiration of Contract Term. The County has the right to terminate this Contract, with or without cause, by giving written notice to the Contractor of such termination and specifying the effective date thereof. Such notice shall be given at least ten (10) days before the effective date of such termination. In such event all finished or unfinished documents, data, studies and reports prepared by the Contractor pursuant to this Contract shall become the County's property. Contractor shall be entitled to receive compensation in accordance with the Contract for any satisfactory Project work completed pursuant to the terms of this Contract prior to the date of termination. Notwithstanding the above, Contractor shall not be relieved of liability to the County for damages sustained by the County by virtue of any breach of the Contract by the Contractor. XV. Independent Contractor Status. A. The parties to this contract intend that the relationship between them contemplated by the contract is that of independent contractor. Contractor, and any agent,employee, or servant of Contractor shall not be deemed to be an employee, agent, or servant of Pitkin County. B. Contractor is not required to offer his services exclusively to Pitkin County under this contract. Contractor may choose to work for other individuals or entities during the term of this contract,provided that the basic services and deliverable products required under this contract are submitted in the manner and on the schedule defined under this contract. C. Contractor warrants that all work produced will conform to all applicable industry standard of care, skill and diligence in the performance of Contractor's obligations under this contract. D. Contractor shall not attempt to oversee or supervise the work or actions of any Pitkin County employee, servant or agent in the course of completing work under this contract. E. Contractor is not entitled to any Workers' Compensation benefits through Pitkin County and is responsible for payment of any federal, state, FICA and other income taxes. F. The Contractor shall be required to complete and submit to the County, a Form W-9 Taxpayer Identification Number Request. XVI. Computation of Time. A. When any period of time is referred to in this Contract by days,it will be computed to exclude the first and include the last day of such period. If the last day of any such period falls on a Saturday or Sunday or on a legal holiday, such day will be omitted from the computation. B. All times stated in this Contract are of the essence. XVII. Records and Cost Pricing Data. A. The Contractor shall maintain in a safe place at the site one record copy of all Drawings, Specifications, Addenda, Written Amendments, Change Orders, Project Directive Changes, Field Orders and written interpretations and clarifications in good order and annotated and updated weekly to show all changes made during construction. These record documents together with all approved samples will be available to the Procurement Officer for reference. Upon completion of the Project, these record documents and samples will be delivered to the Procurement Officer for the County. B. The Contractor shall maintain all data and records pertinent to the Project performed under this Contract, in accordance with generally accepted accounting principles, and shall preserve and make available all data and records until the expiration of three (3) years from the date of final payment under this Contract, or for such longer period, if any,as is required by applicable statute or by other articles of this Contract. The County shall have access to all such data and records for such time period to inspect, audit and make copies thereof during normal business hours. The Contractor covenants and agrees that it shall require that any subcontractor utilized in the performance of this Contract permit the authorized representatives of the County to similarly inspect and audit all data and records of said subcontractors relating to the performance of said subcontractors under this Contract for the same time period. C. If this Contract is completely or partially terminated,the records relating to the Project terminated shall be made available for three(3)years after any resulting final termination payment. 73 D. Records pertaining to appeals or to litigation or the settlement of claims arising under or relating to the performance of this Contract shall be made available until disposition of such appeals,litigation,or claims. XVIII. Miscellaneous. A. Assignability. This Contract is not assignable by either party. Any use of subcontractors by the Contractor for performance of this Contract must be accepted in writing by the County. B. Binding Arbitration. Any disputes arising out of this Contract shall be subject to binding arbitration. The parties agree that any disputes concerning the terms and conditions of this Contract shall be submitted and finally settled by arbitration. Arbitration shall be conducted pursuant to the rules of the American Arbitration Association and shall be presided over by the Pitkin County Hearing Officer appointed to arbitrate Pitkin County Contract disputes. Costs of the arbitration shall be awarded to the substantially prevailing party. C. Severability. If any term, section,or other provision of this Contract shall, for any reason, be held to be invalid or unenforceable, the invalidity or unenforceability of such term, section,or other provision shall not affect any of the remaining provisions of this Contract,and to this end,each term, section and provision of this Contract shall be severable. D. Integration and Modification. This Contract represents the entire and integrated Contract between the County and the Contractor and supersedes all prior negotiations, representations, or Contract, either written or oral. This Contract may be amended only by written Contract signed by both the County and the Contractor. E. Contract Made in Colorado. The parties agree that this Contract was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in the courts of Pitkin County, Colorado. F. Attorney's Fees. In the event that legal action is necessary to enforce any of the provisions of this Contract including the arbitration described in this section, the substantially prevailing party shall be entitled to its costs and reasonable attorney's fees. G. Governmental Immunity. Contractor agrees and understands that Pitkin County is relying on and does not waive the monetary limitations or terms or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act,24-10-101,el seq.,C.R.S., as from time to time amended,or otherwise available to Pitkin County or any of its officers,agents or employees. Further,nothing in this Contract shall be construed or interpreted to require or provide for indemnification of the Contractor by the County for any injury to any person or any property damage whatsoever which is caused by the negligence or other misconduct of the County or its agent or employees. H. Current Year Obligations. The parties acknowledge and agree that any payments provided for hereunder or requirements for future appropriations shall constitute only currently budgeted expenditures of Pitkin County. Pitkin County's obligations under this Contract are 24 subject to Pitkin County's annual right to budget and appropriate the sums necessary to provide the services set forth herein. No provisions of the Contract shall constitute a mandatory charge or requirement in any ensuing fiscal year beyond the then current fiscal year of Pitkin County. 25 I. Notice. Contractor has made or caused to be made examinations,investigations,and tests and studies of such reports and related data as it deems necessary for the performance of Project at the Contract price,within the Contract time, and in accordance with the other terms and conditions of this Contract;and no additional examinations,investigations,tests, reports,or similar data are or will be required by Contractor for such purposes. 4. Contractor has correlated the results of all such observations,examinations, investigations,tests, reports and data with the terms and conditions of this Contract. 26 5. Contractor has given Procurement Officer written notice of all conflicts, errors, or discrepancies that it has discovered in this Contract, and the written resolution thereof by Procurement Officer is acceptable to Contractor. 6. Required permits include but are not limited to: U.S. Army Corps of Engineers Individual Permit number SPK-2010-00639 (pending extension to February 28, 2018) Section 401 Water Quality Certification No. 4265 2.03 SITE INTEGRITY The CONTRACTOR is required to document the condition of the structures, utilities, roadway, riprap, sidewalks, construction access areas, mature vegetation and the general area with video recordings, submitted to ENGINEER prior to any construction phase and after each phase of construction is completed. The video recording shall document the surface integrity of the structures with clear and recognizable reference features or established and repeatable reference markers in the field of view. The CONTRACTOR is responsible for rehabilitating, repairing or replacing, to better than pre-construction conditions, any damage to the structures and vegetation directly or indirectly related to construction activities. 2.04 UTILITIES CONTRACTOR shall field-locate and mark all utilities within or adjacent to the Project. Any utility locations marked on plans are approximate and actual field location of any utility is wholly the responsibility of the CONTRACTOR. CONTRACTOR shall protect in place all utilities. 2.05 TEMPORARY FACILITIES CONTRACTOR shall provide all temporary facilities required for performing the work. Temporary construction facilities and utility connections are solely the CONTRACTOR's responsibility based on his selected method of operation and schedule. CONTRACTOR is responsible for providing a clean and safe environment for all workers on the job site. CONTRACTOR is responsible for providing sanitary facilities. CONTRACTOR shall follow Occupational Safety and Health Administration (OSHA) regulations. CONTRACTOR is responsible for providing all electrical, water and utility needs. CONTRACTOR shall keep the TS-18 Project Limits in a neat and orderly manner. CONTRACTOR is responsible for removing temporary facilities and controls after completion of all Work. 2.05.A. Staging Areas. Staging Areas are defined on the Plans. All construction staging, stockpiling of materials, equipment storage, and other, shall take place in designated areas with adequate barriers to protect the public from entry. If required, CONTRACTOR shall coordinate with private property owners for staging and access. Staging areas shall have a designated office or contact information posted for public inquires. Staging areas shall provide employees all necessary facilities, legal postings, and safety protocol. The CONTRACTOR is responsible for maintaining clean and organized staging areas. 2.05.B. Dewatering Areas. Construction activities are anticipated to produce clean fill materials, as well as other waste materials. All excess materials produced by construction activities shall be properly disposed. Dewatering areas shall have adequate BMPs in place to stockpile material prior to disposal. Dewatering areas may also be configured to include a Washout Area for concrete pours. Pours shall not be conducted during or before an anticipated storm event. All excess concrete and concrete washout slurries from the concrete mixer trucks and chutes shall be discharged off site or temporarily into a washout area and hauled off-site for disposal. No cement laden waters shall enter flowing waters. 2.05.C. Oiling Areas. Any and all fueling and oiling of equipment shall be in designated upland locations, with adequate BMP's to contain any potential spill. All major equipment/vehicle maintenance shall be performed off-site. Fuel tank may be kept on-site in the staging area with drip pans underneath the fueling area. All equipment fluids generated from maintenance activities shall be disposed of into designated drums stored on spill pallets in accordance with hazardous waste management practices. Drip pans shall be placed under all equipment receiving minor or routine maintenance. A Spill Cleanup Plan is wholly the responsibility of the CONTRACTOR and shall be posted and available at all times on site for all work areas prior to any construction activities and shall include coordination with local emergency response agencies. A release of any chemical, oil, petroleum product, sewage, etc.,which may enter waters of the State of Colorado(which include surface water, ground water and dry gullies or storm sewers leading to surface water) shall be reported to the Colorado Department of Public Health and Environment immediately(25-8-601 CRS) and form: https://www.colorado.gov/pacific/sites/default/files/WQ Ops- 2009 Spill Reporting Brochure.pdf and/or Toll-Free 24-hour Environmental Emergency Spill Reporting Line 1-877-518- 5608 may be used. Written notification to the Department shall follow within five(5) days(5 CCR 1002-61, Section 61.8(5)(d)). Releases of petroleum products and certain hazardous substances listed under the Federal Clean Water Act(40 CFR Part 116)must be reported to the National Response Center as well as to Colorado Department of Public Health and Environment as required under the Clean Water Act and the Oil Pollution Act. Furthermore,contact must be made immediately, reporting any spill incident, with the Pitkin County Department of Public Health,the Town of Basalt,the Colorado Park and Wildlife,the OWNER and ENGINEER. TS-19 2.05.D. Hauling Routes. The import and export of materials from the project limits shall occur at designated locations on defined haul routes. Haul routes shall be graded and maintained to drain and not pool water. Haul routes shall have wheel washing locations and tracking pads at the junction of paved surfaces. Haul routes shall also be flagged by the CONTRACTOR within the Project Limits and random access of equipment shall be prevented. Adequate dust suppression, such as watering of haul routes, shall be maintained at all times. Paved travel surfaces shall be maintained as clean surfaces and adequate equipment shall be onsite to maintain clean paved travel surfaces. 2.05.E.Channel Access Areas. CONTRACTOR shall be responsible for designating and maintaining channel access sites for equipment and workers within Project Limits defined on plans and for rehabilitating access sites once construction is complete. Random or multiple channel access areas shall not be used. Gravel berms shall be installed at the top of the access ramp and other areas to eliminate sheet flow or drainage onto the exposed or disturbed Riverbanks. A silt barrier shall be erected along the toe of any and all out-of-channel open cuts to eliminate the migration of material outside of the limits of work. Straw Bales shall be used at the toe of the ramp when the access is not in use to prevent the migration of material into the Roaring Fork River. See access ramp detail in plans. 2.06 CONSTRUCTION STAKING The OWNER shall provide adequate horizontal and vertical control points for the CONTRACTOR to establish the lines and grades shown on the plans. Grade elevations and additional construction staking shall be wholly the responsibility of the CONTRACTOR. Established control points shall be provided with special colored flagging and it shall be the responsibility of the CONTRACTOR to protect those control points. In the event they are lost, due to any cause,the CONTRACTOR shall re-establish adequate and permanent control markers. The OWNER will provide a proposed compatible digital surface model and river alignment to the Contractor.The contractor shall have the means to load the alignment and surface into afield survey controller, for use in layout, checking, and as-builts of any location in the project area. CONTRACTOR shall be available for construction staking inspection in the field at OWNER'S request. Established control points shall be provided with special colored flagging and it shall be the responsibility of the CONTRACTOR to protect those control points. In the event they are lost, due to any cause, the CONTRACTOR shall re-establish adequate and permanent control markers. 2.07 SITE GRADING CONTRACTOR shall establish and identify required lines, levels, contours and datum. Grade Site to match all lines, elevations and grades shown on the Project Drawings. TS-20 2.08 ACCEPTABLE AS BUILT ELEVATION VARIATIONS (feet) Average Elevations across each Cross-Section shall be exact and conform to Pitkin County Floodplain regulations and any State of Colorado applicable regulations. With natural building materials variances are expected and shall be allowed for average locations of individual particles. The following As-Built Variances are allowed. Table 2.08. Exposed Alluvium resulting in noticeable downstream turbidity shall be isolated from the flow of the channel. Excavated clean native alluvium, boulders and clean bedrock may be allowed to be backfilled in the channel around structures within the limits of excavation as defined in plans. All other excavated material including fines and bank material shall not be placed in any flow path, shall be properly disposed of in upland area and shall have appropriate erosion control measures in place. All in-stream structures shall be constructed in sections sized to minimize open excavation area. Each day of work shall be a completed work and no excavations of the bank or streambed shall be left open. 2.10 TEMPORARY DIVERSION STRUCTURES Control of the River stage and associated erosion during construction is wholly the responsibility of the CONTRACTOR. Setting boulders and grading of clean native alluvium may be performed in the wet channel. However, any and all wet cement work shall be isolated from the flow of the River. For In-Stream Boulder Placement, it is by CONTRACTOR's discretion whether to have a diversion and of what type. For In-Stream Construction of Pre-Cast Structures a temporary Coffer Dam structure shall be required. One example for control of River stage TS-21 during construction has been included in the Plans and consists of sheet pile coffers dams and a temporary bypass pipe system with a conveyance capacity of approximately 250 cfs. The example isolation/diversion plan shown in the Plans is provided for reference only. The Diversion Plan presented herein is only one example of controlling stage during construction. Other diversion methods may be suitable and the CONTRACTOR is wholly responsible for the diversion methods implemented. In addition to controlling the stage of the river, seepage and ground water will likely require additional control methods such as pumping, sand bagging, impermeable membranes and jersey barriers. The CONTRACTOR shall be wholly responsible for the selection of suitable method(s), and for design, installation, and operation of the diversion and care of the river required during the performance of the work under these specifications. The CONTRACTOR is required to design and install adequate diversion and care of water facilities in a timely fashion in accordance with his/her schedule of construction and the requirements of these specifications. Areas disturbed for diversion practices shall be restored and stabilized to better than existing conditions. Failure of the CONTRACTOR to become adequately familiar with and address the existing structures and river conditions which impact the work may result in unnecessary construction delays and associated increased costs for which the CONTRACTOR shall be solely responsible. The CONTRACTOR shall provide a minimum of 14 days' notice to the ENGINEER and CPW staff prior to implementing a diversion plan and dewatering any portion of the existing river bed. CPW staff shall be coordinated with for the removal of any fish within the planned isolated/dewatered area. The CONTRACTOR shall request and receive written notice from CPW staff that authorizes diversion and dewatering activities to commence prior to starting these activities. 2.11 TRAFFIC CONTROL PLAN CONTRACTOR shall submit a Traffic Control Plan, to include the roads, parking areas, bike path and river, to be approved by the Town of Basalt. The Traffic Control Plan shall address vehicular, bicycle, pedestrian and river users traffic. No construction activities shall impede public traffic patterns prior to written approval from the Town of Basalt. The Traffic Control Plan shall be submitted to the Town of Basalt for approval with 10 days' notice for review. If CONTRACTOR shows that it is necessary to close any Paths or re-route traffic. the Town of Basalt shall work with CONTRACTOR to approve a reasonable alternative route. 2.12 IN-CHANNEL CONSTRUCTION TIMING The CONTRACTOR shall time in-channel and open bank excavation work to be completed prior to February 15th, 2017. Completion shall include removal of all equipment, care of water and erosion control BMP's below ordinary water and the flow of the river returned to the main channel. The CONTRACTOR shall coordinate with the USACE and CPW on time extensions and install other necessary BMPs required to minimize turbidity transported downstream. No work shall be partially completed that would be subjected to high flow, approximately greater than 350 cfs. The CONTRACTOR shall be responsible to plan accordingly and monitored the TS-22 weather forecast to anticipate for storm events. Table 2.12 below provides the approximate existing Water Surface Elevations at the Project reach for anticipated flows. Water Surface Elevations (WSEL) are based on limited survey and one-dimensional hydraulic modeling. Actual WSELs in the field may vary from those listed herein. Approximate WSELs are provided herein solely for the information of the CONTRACTOR. Water Surface Elevations may be affected to an unknown degree with temporary flow obstructions of equipment, coffers, temporary alluvium placement or other construction activities. The CONTRACTOR is wholly responsible for monitoring and controlling WSELs during construction and any associated erosion, flooding, structure integrity or environmental damage. Base flows are typically between 100-250 cfs during the construction period; however storm flow events exceeding the 250 cfs maximum may occur. The CONTRACTOR is responsible for monitoring storm events, snow accumulation, and temperature to anticipate for high flow events. Section 7 provides statistical analysis of flows and estimated water surface elevations during construction. CONTRACTOR shall seed and plant in the early spring to take advantage of the cool weather and moist conditions. The CONTRACTOR may need to provide temporary water for adequate establishment of all seeding and container plantings. The CONTRACTOR may need to use a water truck to periodically water and establish plants for site restoration. 2.14 TURBIDITY MONITORING During periods of in-river construction turbidity of the water 300 yards downstream of the Project Limits shall not be visually greater than the turbidity of the water upstream of the Project Limits. BMP's to limit turbidity increases shall include: intermittent excavation; construction during periods of elevated background turbidity;Care of Water, and structural BMP's such as turbidity curtains. CONTRACTOR shall continually visually monitor and daily record turbidity conditions. If turbidity increases, above those conditions upstream of the Project Limits,cannot be avoided at a point 300 yards downstream of the Project Limits,the CONTRACTORS shall supply a turbidity monitoring device and recorder suitable to record half hour increments for allowable increases, above background,of less than 20 nephelometric turbidity units(NTU). CONTRACTOR shall take all precautions and implement any and all necessary BMP's to maintain turbidity increases less than 20 NTU. If measurements are lower than the 20 NTU maximum criteria for 2 consecutive days, measurements increments may increase to 4 hours on the third day and visual observations may be reinstated thereafter. When the nature of the instream activity changes and turbidity appears to change,then the original %2 hour increments must be reinstituted. ENGINEER or OWNER may stop construction during ineffective BMP's, visual increases of downstream turbid conditions,or exceedance of 20 NTU increases in turbidity above the conditions upstream of the Project Limits. CONTRACTOR is wholly responsible for time delays associated with inadequate BMP's, inadequate Care of Water,or stopped work. CONTRACTOR is wholly responsible for environmental damage associated with uncontrolled sedimentation outside of the Project Limits. TS-24 SECTION 3 BEST MANAGEMENT PRACTICES 3.00 GENERAL The Work covered by this section includes the furnishing of all labor, materials, equipment and incidentals for installation and maintenance of all on shore and in-channel BMPs. Within the Project Limits all disturbed surfaces shall utilize best management practices such as Turbidity Curtains, Silt Fences, Construction Sequencing, Care of Water, etc.; to minimize potential environmental damage, turbid conditions, locations of ponding, sediment loading in any flow path, dust, noise, light, etc. Adequate numbers, locations and properly functioning BMPs and erosion control are wholly the responsibility of the CONTRACTOR. The CONTRACTOR is responsible for maintaining all BMPs during construction activities, and for the removal post construction activities and/or adequate stabilization periods. The ENGINEER may stop work in any area due to improperly installed, inadequate,or non-functioning BMP's. 3.01 CONSTRUCTION SEQUENCING Prior to starting construction, the CONTRACTOR shall notify the ENGINEER and the OWNER of the date the CONTRACTOR intends to start construction with a written notice delivered a minimum 7 days in advance. The sequence of the critical construction processes are defined by the ENGINEER and CONTRACTOR shall follow the sequence. I. INITIAL SITE SETUP 1. Notify Pitkin County and ENGINEER of start date as required. 2. Notify Colorado Parks & Wildlife (CPW), Town of Basalt and Adjacent Property Owners of start date and establish emergency contact information. 3. Document with photographs and video the project vicinity, structures and vegetation and submit to ENGINEER in electronic format. 4. Obtain Traffic Control Plan approvals from Town of Basalt, including Two Rivers Road, the river and bike path. 5. Submit Diversion Plan and methods to prevent cement entering flowing waters to ENGINEER for review and comment. 6. Establish and post construction site safety protocol. 7. Place Barriers, Post Signs, Install Safety Fencing and Isolate Project Site. 8. Locate, in field, all Utilities. 9. Protect in structures,roads, utilities, boulders, trees and other. 10. Locate and flag Project Limits. 11. Locate construction staging and stockpile areas. 12. Install oil booms across wet channel downstream of work area; replace used oil booms per manufacturer's specifications. 13. Locate area for storage of spare oil booms and designate oiling and petroleum handling areas with appropriate and adequate BMPs outside of the riparian zone. 14. Establish and post protocol for potential oil spill cleanup and emergency response. TS-25 II. STAGING I. Install temporary portable toilet 2. Implement approved Traffic Control Plan. 3. Install BMPs i. Control erosion and concentrated runoff ii. Maintain and facilitate any and all existing Drainage Channels iii. Identify and install any other BMPs as necessary 4. Protect in Place Mature Trees and Riparian Areas. 5. Trim brush on access route and within disturbance limit on south side of the river. 6. Locate and Protect in Place Survey Control. 7. Grade Access and Staging Areas. 8. Maintain, add and repair BMP structures as necessary throughout project. 9. Pre-order materials and Pre-cast Concrete Wave Block Structures and seek approvals from ENGINEER as necessary. III. IN-CHANNEL STRUCTURE CONSTRUCTION All construction activities shall follow the project's U.S. Army Corps of Engineers Permit ref# (SPK-2010-00639). In-stream work shall be performed during low water periods. Prior to construction activities, Best Management Practices (BMPs) shall be in place in order to minimize turbidity and sedimentation, as well as prevent pollution and the potential release of contaminants from equipment. Construction activities shall be sequenced and sized to minimize temporary impacts to flowing water. 1. Stake out grades, lines, offsets and spot elevations as necessary. 2. Install all erosion and sediment control BMP's as per plans and specs. 3. Install temporary bypass system and coffer dam/work area isolation BMPs. 4. Bypass river flow around isolation area. 5. Stage pump or gravity flow system with sediment filter and adequate hose length to remove contaminants before return flow. 6. Remove all non-native channel debris including slag and metal. 7. Leave pump or gravity flow system and filter staged to filter all return waters. 8. Prepare a level pad at the design elevation of the precast concrete wave block footer as per plans. 9. Place Pre-Cast Base with Drain Plug not installed. Once base is set, place Drain Plug in base. 10. Place all rings to design elevation minus the lid height to achieve the design elevation once the lid is placed. (It is IMPORTANT to measure the lip depth of the lid as well as the lip height of the pre cast box and compensate for actual elevation of placed lid if there are discrepancies). 11. Place the Pre-cast Structure lid. 12. Isolate any flowing water from pre cast lids and ports. Pump Pre-cast structure dry. 13. Backfill and vibrate grout in pre-cast structures per plans and specs. There shall be zero discharge of concrete-laden waters into flowing water. Admixtures for Freezing Temperatures and Anti-Washout Admixtures may be used to accelerate drying times. TS-26 14. Protect fill ports from flowing water for 3 days or as per admixture manufacturer's specifications. 15. If installation of pre-cast structures requires phasing to minimize the obstruction on the flowing river, repeat steps 7-15. 16. Complete construction of other In-Channel Boulder Structures, including upstream geomorphic structures(bank attached rock vanes)that are within the isolated area. 17.Complete construction of all Bank Terracing. All bank disturbances shall be contained within a Permeable Turbidity Curtain at a minimum. 18. Backfill around structures and in-stream boulders to specified elevations. 19.Construct upstream geomorphic structures upstream of the isolated area. All bank disturbances shall be contained within a Permeable Turbidity Curtain. 20. Excavate channel upstream of isolated area and use excavated alluvium to backfill and grade bank around geomorphic structures. 21. Remove all excess materials from channel. 22. Remove all remaining BMP's from channel. 23. Remove turbidity curtains and coffers. 24.Construct boulder grade control in bypass alignment as shown on plans. 25. Remove and dispose of filters as required. 26. Restore temporary diversion channels. 27. Re-vegetate all disturbed cobble areas per planting plans. 28. Re-vegetate all disturbed soils with native erosion control grasses. Install jute matting and tackifier, if required. 29. Identify and install any other BMP's as necessary to control erosion from disturbed areas, constructed structures and potential storm water runoff. IV. FINAL SITE RESTORATION 1. Plant remaining stream-bank riparian vegetation areas 2. Dispose of any excess materials at a qualified disposal facility 3. Restore Temporary Equipment Access Routes to original grade 4. Remove all materials from staging areas 5. Re-grade or repair staging areas to pre-construction condition 6. Identify and install BMPs down-gradient from all disturbed areas until establishment of vegetation(approx. 1 yr) 7. Remove all waste materials 8. Remove utilities protection 9. Remove Temporary Signage, Barriers and Safety Fencing 10. Repair incidental damage to any adjacent property, structures or vegetation. 11. Establish erosion control grasses in all disturbed areas above the Ordinary High Water Line. 12. Remove non-biodegradable BMPs after the establishment of vegetation (approximately I year). TS-27 3.02 CHANNEL ACCESS Stone Berms shall be installed at the top of the access ramp and other areas to eliminate sheet flow or drainage onto the exposed or disturbed banks. A silt barrier shall be erected along the toe of any and all out-of-channel open cuts to eliminate the migration of material outside of the limits of work. Straw Bales shall be used at the toe of the ramp when the access is not in use to prevent the migration of material into the body of water. (See Details in Plan Set) 3.03 EQUIPMENT OPERATING IN WET CHANNELS Equipment shall be allowed to operate in the wet channels. Equipment operating in or adjacent to any wet channels shall be free of any fluid leaks and in excellent operating condition. Biodegradable hydraulic fluids shall be utilized for any equipment operating in the flowing river channel. CONTRACTOR shall submit a list of equipment operating with certified bio degradable hydraulic fluids to the ENGINEER prior to the use of the equipment in the flowing channel. No equipment shall be left unattended at any time in any wet channel or below the Ordinary High Water Line. Any and all fueling and oiling of equipment shall be in a designated upland location, with adequate BMPs to contain any potential spill. All equipment shall be cleaned prior delivery to the project area to minimize potential for spreading of invasive species. Equipment shall be power-sprayed and free of weeds, soil and untreated water. If any equipment being used for the Project has been previously working in another stream, river, lake, pond or wetland, one of the following disinfection practices is necessary prior to construction to prevent the spread of whirling disease, New Zealand mud snails, zebra mussels, didymosphenia, and other aquatic hitchhikers. These practices are also necessary after project completion, prior to the equipment being used in another stream, river, lake, pond,or wetland, for the same purpose: Offsite, remove all mud and debris from equipment (tracks, turrets, buckets, drags, teeth, hand tools, boots, etc.) and spray/soak equipment in a 1:15 solution of Sparquat institutional cleaner and water. Keep equipment moist for at least 10 minutes;or Offsite, remove all mud and debris from equipment (tracks, turrets, buckets, drags, teeth, hand tools, boots, etc.) and spray/soak equipment with water greater than 140 degrees Fahrenheit for at least 10 minutes. The excavators and backhoes may periodically need to be cleaned on site to remove excess local sediments stuck to the track or hoes. Sediments that are removed with a shovel shall be placed in designated clean fill material storage areas. Sediments removed with clean water shall be washed into the dewatering area. All dewatering areas shall have erosion control logs staked at flow lines before discharge into any flow path. 3.04 OIL BOOM An adequate number of oil boom SPC 5510 manufactured by SPC (https://www.bradyid.com/en- us/spc5510/prod-2023473.html) or equivalent shall be placed in a designated location onsite, TS-28 visible and unobstructed at all times. Any spills shall be contained and cleaned by the CONTRACTOR. Oil booms shall be installed across the channel at the downstream end of the Project Limits at all times equipment is working in or crossing the flowing. All Booms shall be replaced as needed, approximately weekly with new Oil Booms. 3.05 PERMEABLE TURBIDITY CURTIAN All exposed bank excavations and disturbances shall be separated from the main flow of the river by a Permeable Turbidity Curtain. The turbidity curtain shall have a non-woven 8 oz. non- woven filter fabric for at least 50%of the curtain area between the float and the ballast. 3.06 STRAW BALES AND EROSION LOGS Straw Bales shall be certified "Weed-Free" and not hay bales. Bales shall be secured with wood or metal stakes driven 2 feet into ground. 4 inches of 3 inch minus washed gravel shall be placed on the up-gradient toe of the bales. Bales can be removed when vegetation is established. (See Details in Plan Set) Erosion logs shall be curled aspen wood excelsior with a consistent width of fibers evenly distributed throughout the log. The casing shall be seamless, photodegradable tube netting and shall have minimum staked dimensions of 1.25"x 1.25"x 24"and have a minimum weight of 2.5 pounds/foot. The curled aspen wood excelsior shall be fungus free, resin free, and free of growth or germination inhibiting substances. Erosion logs shall be embedded 2 inches into the soil. Stakes shall be embedded to a minimum depth of 12 inches. At the discretion of the Engineer, a shallower depth may be permitted if rock is encountered. The Contractor shall maintain the erosion logs during construction to prevent sediment from passing over or under the logs. See CDOT Standard Plans M-208-1 (revised 3-29-16) for more details. 3.07 SILT FENCE Silt Fences shall be placed to contain construction activities on land. Silt Fence shall be constructed with 4oz. Non-Woven Filter Fabric (Mirafi 140n or equivalent) with a 6 inch by 6 inch anchor trench up-grade (i.e. uphill) of the fence line and fence posts in 6 ft centers. The anchor trench shall be backfilled to existing grade with native material compacted to 95% of maximum as determined by the Standard Proctor Method (ASTM D-698-66T or AASHTO T 99). (See Details in Plan Set) 3.08 FILTERING OF PUMPTED WATER Any pumped water being returned to the main flow of the river or other drainage shall first be processed through a Filter or settled in a dewatering area. Turbid waters that are clean of containments or concrete residue shall be filtered to prevent excessive turbidity. Waters with contaminants or concrete residue shall be filtered clean before returning to the natural flow. TS-29 • 3.09 REMOVAL OF BMPs All BMPs below the Ordinary High Water Line are to be removed prior to the completion of the work. All BMPs above the Ordinary High Water Line are to remain in place until the establishment of vegetation, approximately one year. Any non- biodegradable BMPs shall be removed after the establishment of vegetation covers at least 70%, approximately one year. All non-biodegradable BMPs are the property of the CONTRACTOR. The locations of the BMP installations shall be graded, seeded and restored to preconstruction conditions after removal. 3.10 RIPARIAN PROTECTION Any and all riparian areas and riparian vegetation outside of the limits of excavation shall be protected in place. No construction supplies, fuels nor oils shall be stored in riparian areas, no vehicles nor heavy equipment shall be allowed into riparian areas other than the designated channel access sites. No discharge of any materials shall be allowed into any riparian areas. Riparian areas shall be traversed only by foot and leak free hoses may cross riparian vegetation. Any incidentally disturbed riparian areas shall be restored to better than pre-construction conditions. 3.11 MATURE TREE PROTECTION The preservation of existing mature trees is an important component of the work and a measure of the successful completion thereof. Healthy root mass at the toe of the riverbanks is essential to the stability of the River channel. The healthy mature native trees that are adjacent to excavating activities shall be Protected-In-Place (PIP). The work shall include the preservation from injury or defacement of all vegetation that is NOT designated for removal by the ENGINEER in the field. ENGINEER shall mark all trees and large shrubs approved for removal prior to excavation work. Areas of tree removal shall be determined and marked in collaboration between the CONTRACTOR and the ENGINEER. The CONTRACTOR must coordinate with the ENGINEER prior to the removal of any tree with a diameter greater than 4-inches. a) CONTRACTOR guarantees that care, caution and best management techniques shall be implemented to maximize the survivability of native mature trees not designated for removal. b) All PIP trees shall have 100% success rate, showing vigor and general health, for one year after PIP measures are conducted. PIP mature trees that do not survive due to construction related reasons must be replaced at the expense of the CONTRACTOR. c) Post construction monitoring may recommend additional pruning, irrigation, or fertilizer to restore health to a damaged tree. The CONTRACTOR is responsible for all measures to restore the health of trees for one year after construction disturbances around protect-in-palace trees. d) If negligence results in potential mortality of trees, as determined by the ENGINEER, the CONTRACTOR shall replace all damaged trees with new native trees to reclaim an equivalent canopy cover at CONTRACTOR's sole expense. TS-30 Special care shall be applied when working under driplines or near the toe of the riverbank. The majority of critical roots are expected to run parallel to the River. The CONTRACTOR shall take great care when any earth disturbing activities beneath the drip line of trees are conducted. PIP mature trees shall follow the below guidelines: 3.11.A. Hand Excavations under the drip line. Under the drip line, or at a minimum of 10 feet from the base of a PIP Tree, all necessary excavating activities shall be done by hand to expose the roots. a. Expose all roots greater than 1-inch and preserve. b. If it is necessary for the removal of concrete litter,or for the installation of bank and in-channel features, the roots may be cleanly cut, and shall not be ripped or torn. CONTRACTOR to coordinate with ENGINEER prior to cutting roots. 3.13.B.Treatment of cut and exposed roots. Backfill all cut and exposed roots the same day of root cutting, and water until backfilling is accomplished. 3.13.C. Root Care. Roots can be up to 2-3 times the diameter of the drip line. The CONTRACTOR shall take as much care as possible to preserve roots. a. All roots that are necessary to remove for excavation activities shall be cleanly cut. b. The CONTACTOR shall apply all root cuts with approved root stimulator. 3.13. D. Areas of fill near PIP trees a. If necessary, any fill material shall be held away from PIP trees with a boulder retaining wall with a discontinuous footing. b. If fill is necessary adjacent to the PIP tree, then air vents shall be installed. c.No soils shall be compacted under the drip line without ENGINEER approval. 3.12 ENVIRONMENTAL PROTECTION The construction site shall be maintained to minimize dust, noise, erosion, and water ponding. Any and all fuel operated equipment near or within drainage areas, riparian areas or open water areas shall be leak-free and in excellent operational condition. Equipment operating in the riparian zone shall also use biodegradable fluids, unless specifically exempted by the OWNER representative. The CONTRACTOR is wholly responsible for any environmental damage directly or indirectly related to storage of supplies and equipment, equipment operation, any fluid spills or any other construction activities. 3.13 BARRIERS The CONTRACTOR shall furnish, install and maintain suitable barriers, as required to prevent public entry; and to protect the work, facilities, trees and wetland areas from any associated construction activities. Remove temporary barriers at the completion of work. TS-31 3.14 PROJECT SITE REHABILITATION After all other construction activities are completed; all disturbed areas are to be rehabilitated to pre-construction conditions. Clean the site of trash and debris and remove all construction measures, equipment and supplies. Permanent riparian plantings and seeding shall be installed per the planting plan immediately after the final design grades are achieved, but no later than 14 days after construction activities have permanently ceased at the disturbed area. One year after installation the CONTRACTOR shall guarantee that containerized, live stakes and B&B plants shall have a survival rate equal to the planting spacing show in the plans. CONTRACTOR may elect to overplant to achieve this rate. Seed plantings shall have 70% success rate. 3.15 SANITARY WASTE MANAGEMENT A temporary portable toilet shall be stored in the staging area. The portable toilet shall be placed away from flow and have collection pans placed underneath. 3.16 CULTURAL RESOURCES The project area has been disturbed by bank construction, road alignments, multiple utilities, pedestrian path construction and is within the main channel of the Roaring Fork River. No cultural resources are anticipated to be impacted by the project. If potential cultural resources in the project area are discovered during construction and cannot be avoided,CONTRACTOR shall suspend construction activities in that area until the properties can be evaluated for listing in the National Register of Historic Places in consultation with Colorado State Historical Preservation Office. The CONTRACTOR shall notify the ENGINEER and OWNER immediately if potential cultural resources are discovered during construction. 3.17 EMMA ROAD STAGING AND DISPOSAL AREA The ENGINEER has acquired permission from the owner of Basalt Commercial Park, Lot J to use this property for staging and disposal of approximately 250 cubic yards of excavated material. Excavated material must be sorted/screened to remove wood,debris and any rock/cobble/boulder larger than 5 inches in diameter. Screened material should be placed to the limits and elevations shown in the plans or directed by the ENGINEER in the field. Erosion and Sediment Control measures and other BMP's shall be utilized as required in Sections 2 and 3 of the Technical Specifications. TS-32 SECTION 4 IN-CHANNEL AND BANK CONSTRUCTION 4.01 GENERAL Care of Water(COW)practices, as part of BMP's, are required for all in-channel construction activities. See Section 3—Best Management Practices for more information. 4.02 CHANNEL CONSTRUCTION METHODS 4.02.1 Acceptable As-Built Elevation Variations(feet) With natural building materials variances are expected and shall be allowed for average locations of individual particles. See Table 2.08 for allowable variances of in channel boulders, alluvium and precast structures. 4.02.2 Channel Grading. Restoration of the channel includes in-stream grading within the project boundary at two independent sites. This work will primarily include the excavating, stockpiling, placement and grading of the native in-stream alluvial material. Backfill shall consist of native alluvium(cobbles and gravels) from the project reach. The CONTRACTOR shall coordinate with the ENGINEER and schedule the ENGINEER to assist with field fitting channel features and establishing final channel grades. 4.03 CONSTRUCTION OF BOULDER STRUCTURES 4.03.A- In-channel Structures All Boulder Structures constructed In-Channel or below the Ordinary High Water Line (OHWL) shall be constructed with Footer Rocks and Keying Techniques (See Details in Plan set). Construction of Boulder Structures shall include selection, rotation, placement and adjustment of each individual rock to minimize void spaces and maximize interlocking of boulders and smooth transition between boulders. The ENGINEER may identify each imported boulder that may affect surface flow, and direct the placement of surface flow boulders. Boulder Structures shall be constructed by placing individual boulders in designed cross- sections of the channel. Each cross-section has specific average elevations and alignments for the placement of rock as shown on the Project Drawings. Each structure shall include footer boulders extending at a minimum to the elevations shown on the plans. If no footer elevations are shown for a particular cross section, then the boulder shall be buried and minimum of 4 feet of depth below the bed elevation in the channel cross-section or the elevation shown in the plans, whichever is deeper. Stacked boulders shall have a minimum 0.5:1 horizontal to vertical slope with the footer offset in the downstream direction when buried and footer offset in all directions when exposed. TS-33 Each individual boulder shall be set with the '`B" axis in the direction of flow when exposed or the "A" or "B" axis when the boulder is interlocked between other boulders (See Details in plan set). Minimum acceptable boulder size is 42-inches along the B-axis. 4.03.B-Bank Terrace Structures Boulder terracing structures shall be constructed by placing individual boulders in designed sections of the bank. Each boulder shall include selection, rotation, placement and adjustment of each individual rock to minimize void spaces and maximize interlocking of boulders. Each section has specific elevations and alignments for the placement of rock as well as spot elevations as shown on the Project Drawings. Each Surface Boulder shall include footer boulders placed at least to depth shown on Project Drawings and at a minimum of 3 feet of depth below the existing grade and placed on 8oz Filter Fabric. Boulders placed at the toe of the slope shall be a minimum of 60 inches along the B-axis. All boulders shall have intimate contact with all adjacent boulders; boulders may be leveled and voids filled with less than 6 inch lift of 6 inch minus of well graded alluvium or gravel bedding. Filter fabric and geo-composite shall be installed between boulders and native material per Section 4.04. Existing boulders along the embankment may be reused for the boulder terrace construction, provided they meet the requirements outlined in Section 4.03.D. Any existing boulder material that does not meet Section 4.03.D requirements or is otherwise deemed unacceptable by the ENGINEER for use in the project construction shall be hauled offsite at the CONTRACTOR'S expense. 4.03.0—Boulder Geomorphic Structures Boulder geomorphic structures shall be constructed by placing individual boulders in the banks and along the channel bed as shown on the plans. Each boulder shall include selection, rotation, placement and adjustment of each individual rock to minimize void spaces and maximize interlocking of boulders. Each structure has specific dimensions, elevations and alignments for the placement of rock as shown on the Project Drawings. Footer boulders shall be placed at least to the elevation shown on Project Drawings and at a minimum of 5 feet of depth below the existing thalweg elevation. Footer boulders shall be a minimum of 48-inches along the B-axis. All boulders shall have intimate contact with all adjacent boulders; boulders may be leveled and voids filled with less than 6 inch lift of 6 inch minus of well graded alluvium or gravel bedding. 4.03.D-Imported Boulders Imported Boulders may be quarried or excavated and generally smooth in shape with the largest rock faces being approximately flat. Boulders shall be of a consistent material for the entire project and shall be a color that is aesthetically neutral with the native landscape. Boulder gradations shall conform to Table 4.03D by number, and measurement of the intermediate axis ("B"-Axis). The minor axis (shortest dimension or "C"-Axis)shall not be less than indicated in Table 4.03.D. Boulders exposed in the grade controls and keyed into the toe of each structure shall have a minimum intermediate axis (B-Axis)of 60 inches. TS-34 Table 4.03.D. Surface stones shall have an aesthetic neutral color. Stone shall be suitable for incidental human contact. CONTRACTOR shall submit source information and samples to ENGINEER. The ENGINEER shall approve Boulder material before use. Granitic and basaltic boulders subjected to weathering such as glacial or alluvial flows will be preferred. Boulders may be approved by the ENGINEER if, by visual inspection, the rock is determined to be sound and durable. The ENGINEER may reject boulder material if, in the ENGINEER's opinion, the material is marginal or unacceptable or has poor aesthetic value. At the request of the ENGINEER, the CONTRACTOR shall furnish laboratory test results indicating that the material meet the requirements including those below: — Boulders shall have a minimum specific gravity of 2.65. — Abrasion resistance by Los Angeles Machine; Test Method ASTM C535; Specification Requirement: 15% loss, maximum. — Soundness by use of Sodium/Magnesium Sulfate, Test Method ASTM D5240-04 Standard Test Method for Testing Rock Slabs to Evaluate Soundness of Riprap by Use of Sodium Sulfate or Magnesium Sulfate; Specification Requirement: 5% loss, maximum. Soundness by Freezing and Thawing, Test Method ASTM D5312-04 Standard Test Method for Evaluation of Durability of Rock for Erosion Control Under Freezing and Thawing Conditions; Specification Requirement: 5% loss, maximum. 4.01 GEOTEXTILES An undamaged filter fabric with geo-composite drainage shall overlay all exposed earthen embankment materials to be covered with rock. Filter fabric shall be placed to eliminate migration of fines through the boulder structures and the geo-composite allows water to drain from structure. 4.04.A- Filter Fabric 8oz filter fabric shall be Mirafi 180N or approved equivalent. The filter fabric shall be used for the bank coverage not overlaid by geo-composite. CONTRACTOR shall submit material specification for the chosen filter fabric to ENGINEER for approval. Filter fabric shall be placed to have intimate contact with intact bank material. Filter Fabric TS-35 shall not be torn or ripped by boulder installation and preventative measures such as less than 6 inches of 6 inch minus well graded gravel bedding material, or approved native alluvium shall be used. Install per manufacturers recommendations. 4.04.B- Geo-composite Geo-composite shall be Hydrotech USA's Hydrodrain 300 or approved equivalent. CONTRACTOR shall submit material specification for the chosen Geo-Composite to ENGINEER for approval. It shall be installed at a minimum of 4 feet width on 10 feet center (approximately 40% of total filter fabric coverage). Install per manufacturers recommendations. 4.05 GRADED GRAVEL BEDDING Native alluvium excavated from onsite may be used for graded gravel bedding. CONTRACTOR shall submit a sample of the native material to be used in a five gallon bucket to the ENGINEER for approval. If imported, aggregates for bedding of the boulder structures shall be crushed stone, crushed slag,crushed gravel, or natural gravel which conforms to the quality requirements of AASHTO M 147. Gravel bedding material harvested from onsite or imported shall meet the gradation specified in Table 4.05.1. Table 4.05.1 Graded gravel bedding. 6 inch Weight Indicator minus 100% Passing 6" 50%-100% Passing 3" 40%-60% Passing 3/4" 10%- 30% Passing No. 20 0%-4% Passing No. 200 Two areas of alluvial fill shown in the plans will require the washing of fines into the alluvium lifts as the banks and backfill is being placed. These areas include, the alluvial bank built between the geomorphic structures and the restoration alluvial bar in the bypass pipe alignment. The alluvium should be placed in a maximum of 18-inch lifts. For each lift, the contractor shall: - Spread Fine Material in a 3-inch layer over the alluvium. Fine Material shall be an imported, well-graded mixture of durable sand and river run gravel containing no particle with any dimension greater than 1/4". The material must be free from overburden, spoil, shale and organic material. Non-durable rock, shale or with shale seams is not acceptable. - Power Wash the alluvial surface until smaller materials settle between the larger cobbles and boulders. The equipment used shall have a maximum flow rate of 5 gpm. The pressure shall be sufficient enough to work the finer material down into the alluvium, but low enough as to not expel material during the power washing process. Add additional Fine Material and repeat this process until the smaller materials seals the alluvial layer, allowing water to pond or run off the surface the alluvial full. Repeat this process for each 18-inch lift of alluvial fill. Completion of Power Wash shall be approved by Engineer. BMP's shall be utilized TS-36 4.06 CRUSHER FINES A. Clean, hard, durable particles or fragments of/ inch minus select brown crushed granite or basalt. Fines shall be evenly mixed throughout the aggregate. When produced from gravel, fifty percent (50%) by weight,of the material retained on a Number four(4) sieve shall have one fractured face. B. The portion retained on the Number four (4) sieve shall have a maximum percentage of wear of fifty(50)at five hundred (500) revolutions as determined by AASHTO T96-77 C. The portion passing a Number forty (40) sieve shall have a maximum liquid limit of twenty-five (25) and a maximum plasticity index of seven (7), as determined by AASHTO T89-81,respectively. D. The crushed aggregate screenings shall be free from clay lumps, vegetable matter, and deleterious material. E. Grading requirements are as follows: 1. AASHTO TI 1-82 and T27-82 Sieve Percent Sieve Percent Designation Passing Designation Passing 3/8 inch 100 No. 30 40- 50 No. 4 95 - 100 No. 50 25 - 35 No. 8 75 - 80 No. 100 20- 25 No. 16 55 - 65 j No. 200 5 - 15 4.07 CDOT AGGREGATE BASE,CLASSES 2 AND 6 All Aggregate base course used for the project shall meet the requirements of Colorado Department of Transportation(CDOT)Construction Specifications, Section 703, Aggregates. 4.08 PERFORMANCE ADJUSTMENTS Minor adjustments to the placement and/or orientation of boulders associated with both the upstream and downstream structures will be required once the construction of the two features is complete,the diversion system is removed and water is returned to the main channel. This work TS-37 will be performed in the flowing waters of the Roaring Fork River under the field direction of the ENGINEER. It will consist of moving and/or rotating boulders with a tracked excavator or similar equipment. All equipment used in this work will require the use of biodegradable fluid per Section 3.03 of the Technical Specifications. This work is required to be completed by the end of the in-channel work window(including extension) if applicable. TS-38 SECTION 5 CONSTRUCTION OF CONCRETE STRUCTURES 5.01 GENERAL The following specifications, standards and codes shall govern the construction of any and all concrete structures,where applicable, with modifications as specified herein: ACI 318- Building Code Requirements for Reinforced Concrete. ACI 301 - Structural Concrete ACI 304R-Guide for Measuring, Mixing, Transporting and Placing Concrete ACI 301 Specifications for Structural Concrete for Buildings. AWS D12.1 Recommended Practices for Welding Reinforcing Steel, Metal Inserts and Connections in Reinforced Concrete Construction. ANSI/ASTM C 478 Standard Specification for Precast Reinforced Concrete Manhole Sections. All designs for precast concrete shall be for M-18(H-20)AASHTO bridge loading. ASTM A884/A884M-04 Standard Specification for Epoxy-Coated Steel Wire and Welded Wire Reinforcement ASTM C309- Liquid Membrane-Forming Compounds for Curing Concrete ASTM C979 - Pigments for Integrally Colored Concrete 5.02 PRECAST CONCRETE The Pre-Cast Structures shall be as detailed in plans, constructed to meet or exceed ASTM C-478 Specification for Pre-cast Reinforced Concrete except where modified herein. The extent of precast/prestressed concrete shall include manufacture,transportation and installation of the precast portions of the structure including both conventionally reinforced and pretensioned members, as shown on the contract drawings. All concrete used in the pre-cast structures shall include 6.5% air by volume +/- 0.5%and shall have a minimum compressive strength of 4,000 psi prior to placement. All Rebar layouts shall be composed of Epoxy Coated rebar to meet or exceed ASTM standards for Grade 60 Rebar. 5.02.A. COLOR ADDITIVES A. Color Additives: Comply with manufacturer's instructions. Deliver color additives in original, unopened packaging. Store in dry conditions. 1. Manufacturer: Davis Colors manufactured by Davis Colors; phone 800-356-4848, e-mail info@daviscolors.com, or www.daviscolors.com TS-39 on internet. Color of Lid Structures shall match a natural rock sample provided by OWNER. A color sample chip shall be submitted to OWNER for approval prior to manufacture. 2. Materials: Color additives shall contain pure, concentrated mineral pigments specially processed for mixing into concrete and complying with ASTM C979. B. Admixtures: Do not use calcium chloride admixtures. C. Dosage rate of color additive shall not exceed 10 percent of weight of cementitious materials in mix. 5.02.B. FORMS A. Form Facing Material: 1. Provide non-porous surface such as steel, plastic, or high-density overlaid plywood with joints sealed to prevent leakage. 2. Texturing shall be performed on all Pre-Cast Lid Structures. All exposed Lid surfaces shall be textured with a Proline Concrete Tools Seamless Coarse Sandstone (http://www.prolineconcretetools.com) or equivalent texture. B. Form Release shall be non-staining and minimize the formation of "bug- holes" in surface of concrete. C. Stripping: Leave forms in place as long as practical. Remove forms when concrete has reached a consistent age to maintain uniformity of curing conditions. 5.02.C. MIXES A. Color Additives: Mix in accordance with manufacturer's instructions. Mix until color additives are uniformly dispersed throughout mixture. B. Provide a consistent water-cement ratio to achieve uniform color and texture. C. Concrete mix shall have a 4 inch slump; 6.5% air plus or minus 0.5% and 4,000 psi 28 day cure strength prior to placement. 5.02.D. PATCHING A. Fill holes and defects in concrete surface within 48 hours of form removal. B. Use the same patching materials and techniques that were approved on mock- up. C. Make patches with a stiff mortar made with materials from the same sources as the concrete. Adjust mortar mix proportions so dry patch matches dry adjacent concrete. Add white cement to mortar mix if necessary to lighten it. TS-40 5.02.E. CURING A. Maintain concrete between 65 and 85 F(18 to 29 C)degrees during curing. B. Colored Concrete: Apply curing compound in accordance with manufacturer's instructions. Apply curing compound at consistent time for each pour to maintain close color consistency. Curing compound shall comply with ASTM C309 and be approved by color additive manufacturer for use with colored concrete. 5.02.F. TOLERANCES A. Minor variations in appearance of colored concrete, which are similar to natural variations in color and appearance of uncolored concrete,are acceptable. 5.03 PRE-CAST BASE STRUCTURES I he Ike-Cast Base Structures do not require coloring. Base piece of Structure shall have a cast- in drain plug 3" diam. There shall be an expandable rubber stopper plug/wingnut assembly for the drain. Styrene butadiene rubber; hardware is stainless steel, temperature range-80°to +180° F, Shore A durometer hardness of 43 or equivalent. Each Section of Structure shall have water-tight connections between the pieces, Henry Co. 1" Rubberneck doubled or equivalent. 5.04 PRE-CAST LID STRUCTURES The Pre-Cast Lid Structures shall require texture and coloring described in section 5.02. Lid Structures shall have threaded inserts Dayton/Richmond Concrete Accessories (http://www.daytonconcreteacc.com) #4, epoxy coated D-50 DBR Coupler System installed to meet or all manufactures installation, procedures,recommendations and specifications. The D-50 DBR Coupler shall be fastened internally in the pre-cast lid with a D-52 DBR 90 degree Hook Bar, epoxy coated,a minimum of 5.5 inches in the Lap length("B"dimension)and a minimum of 6.0 inches in the Splice length ("C" dimension). The Splice shall be tied to the adjacent horizontal reinforcing steel of the lid in the direction of the flow. A D-52 DBR Epoxy Coated 180 degree Hook Rebar #4 size or equivalent shall be field connected into the D-50 DBR Coupler System threaded inserts to manufacturer's specifications. Rebar shall extend a minimum of 0.75ft beyond the lowest field joint elevation in the structure and shall have a 5.0 inch minimum 180 degree hook below the lowest field joint elevation. Rebar may be spliced in the vertical direction with a minimum of 12 inches splice overlap. The field set rebar extending in the vertical direction shall be fastened with a grid of epoxy coated #4 rebar in the horizontal plane a maximum of 30 inches vertical between grids. TS-41 Pre-Cast lids shall be cast with a% inch 45 degree typical chamfer on all vertical and horizontal corners. Lid Structures shall have an adequate number of 6 inch diameter concrete pumping ports through the top. Lid Structures shall be cast with a seating lip depression and shall be centered and secured on center on the supporting structures during placement. Lid Structure shall have Elasto-Plastic, Bar Chip, Kyodo, www.elastoplastic.com/english/products.htm or equivalent corrosion free Reinforcing Fibers mixed as per Manufacturers Specifications. 5.05 PRE-CAST STRUCTURE PLACEMENT Placement methods for the pre-cast structures are wholly the responsibility of the CONTRACTOR. The structures may be constructed in sections for ease of placement and achieving elevations. Site specific elevations of bedrock or other subsurface conditions are unknown. Additional riser sections of intermediate sizes for precise field fitting and matching elevations shall be allowed and included in the bid cost of the structures. The integrity and adequacy of any lifting inserts cast into the structures in wholly the responsibility of the CONTRACTOR. The base of each structure shall be at or below the elevation shown on the plans. The crest of each structure at the elevation shown on the plans, +1- the allowable tolerances described in Section 2.08. 5.06 PRE-CAST INTERNAL FILL Both Pre-Cast structures shall be filled completely, after being set in-place, with self-compacting grout; 6 bag mix, #564. Grout backfill shall have a minimum density of 150 pounds per cubic foot. No wet grout shall be allowed in the flowing channel and the area adjacent to the grout ports shall be sufficiently isolated from the flows of the channel. All grout ports must be cleaned, isolated and maintained until the grout is sufficiently hardened. Pre-Cast Internal Fill shall be fully cured to 3,000 psi at 28 days. 5.06.A.ANTI-FREEZING ADMIXTURE If freezing temperatures are present, an accelerator such as Polarset can be used as 1-2% of total. This will typically accelerate drying time by I day. TS-42 SECTION 6 LANDSCAPING 6.01 PLANTINGS The CONTACTOR is responsible to provide water suitable for establishment of vegetation. Water shall be free from pollutants harmful to plants. 6.01.A. Grasses . All soil areas within the Project Limits, disturbed by construction activities, shall be seeded with erosion control grasses. All mixes shall be Certified Seed that is weed free and native strands of Pure Live Seed (PLS). Table 6.0IA provides the seed type and rate for all areas outside of the Riparian Corridor (Dryland Mix Species.) Evenly apply weed free straw 2 inches thick over the seeds to reduce erosion and wind losses. Do not use straw containing noxious weeds and foreign materials. Do not apply seeds when weather is too windy, hot or drying, or other adverse conditions exist. Optional hydromulch at better than specified coverage. Do not apply seeds when weather is too windy, hot or drying, or other adverse conditions exist. 6.O1.0 Riparian Plantings. Any willows, cottonwoods or native vegetation disturbed shall be replanted in equivalent coverage, at equivalent elevations, in existing open areas. Landscape tree planters shall be held open in the terrace banks at a minimum of 2.5 times the width of the rootball (Note: if holes are held during construction they shall be a minimum of 5' wide and approximately 2.5' deep). Carefully place Tree and backfill the planters with top soil and fertilizer. 1. Ball and Burlapped Plants All balled and burlapped plants shall have a solid ball of earth of adequate specified size held in place securely. Ball shall be confined securely with wrapped burlap and tightly bound with twine or rope. The burlap ball shall be encompassed by a firm wire basket designed for the size and shape of the ball. Broken, loose, damaged or manufactured ball shall be rejected. 2. Containerized Plants Containerized plants should not be root-bound in their containers. Roots that circle the container can become strangulated roots and hinder future growth of the plant. Extensive roots that have grown out through the drain ports of the container may be dried or damaged and become a source for infection and additional stress for the plant. Any or all abnormalities listed above shall be reason for rejection. 3. Transplanting On-site Vegetation TS-44 Native vegetation to be disturbed by excavation activities shall be transplanted. Vegetation suitable for transplants should be healthy native species. Prune shrub or tree to approximately 6 feet in height. Cleanly cut all broken and damaged limbs. Herbaceous clusters are also suitable for transplants. Excavate a hole that is larger than the transplant rootball. Scoop the entire root mass of the transplant with the bucket of a trackhoe, keeping intact the rootball and soils. Immediately place transplant in the excavated hole and hand backfill lightly compacting the soil. Water transplant as necessary to ensure survival. 6.01.D. Fertilizers. Planted trees shall be fertilized with a slow-release fertilizer, and placed deep into the planting hole and backfilled with soil to minimize fertilizer absorption by weeds and turf. Use a complete slow release fertilizer in a NPK ratio of 1:2:1, nitrogen, phosphate, and potash. 6.01.E. Staking. All planted ball and burlap trees and large shrubs shall be staked with hardwood stakes driven greater than 2 feet into the ground and extending 4 feet above the ground. At least two stakes shall be used and placed so that the tree grows vertically straight. Put the stake firmly in the ground, while assuring that it is not penetrating or damaging the root ball. Ties shall be of three-quarter inch or wider bands of polypropylene, elasticized or webbed strapping, or horticultural tape. Ties shall have a smooth surface and be flexible to allow some movement of the trunk without damaging the bark. Loop ties to and not girdle the trunks or branches. The CONTRACTOR is responsible for removing stakes and support of the tree after one year installation. 6.01. F. Fencing. All planted ball and burlap trees shall have small mammal protective fencing. Fencing shall be 14 gauge welded wire, or chicken wire with less than 6 inch spacing. The welded wire shall be held 6 inches from the truck and placed as a cylinder around the trunk of the tree at a minimum of 4 feet in height. The welded wire shall be fastened to hardwood stakes with cord. The welded fencing shall be flush with the ground. 6.02 EROSION CONTROL BLANKET All Natural biodegradable Erosion Control Blankets (ECB) shall be placed on all disturbed slopes greater than 10 percent grade. Material shall be North American Green/Tensar(800-772- 2040) SCI5OBN, or approved equivalent that is all natural coir fabric with a tensile strength 201 lbs/ft MD / 164 lbs/ft TD, a permissible shear force of 2.1 lbs/sqft, and mass of 8.3 oz/sqyd. CONTRACTOR shall submit material specification for the chosen ECB to ENGINEER for approval. Install per manufactures recommendations. Store all coir fabric elevated off the ground and insure that it is adequately covered to protect the material from damage. Protect fabric from sharp objects that may damage the material. Materials damaged during transport, storage or placement shall be replaced at the CONTRACTOR expense. The ENGINEER shall inspect and approve all materials prior to installation. TS-45 6.03 TOP SOIL Topsoil shall be salvaged a minimum of 6 inches in depth from all disturbed areas. Salvaged topsoil shall be stockpiled in areas that shall not interfere with construction phases and at least 15 feet away from areas of concentrated flows or pavement. The slopes of the stockpile shall not exceed 2:1 horizontal to vertical. A silt fence or other adequate erosion control shall be installed around the perimeter of each stockpile. 6.03.A. Top Soil Application. Top soil shall be applied to all areas for seeding and planting. Top soil shall be applied at a minimum of 6 inches depth on all seeded areas,and shall be used to backfill all shrub and tree plantings to the depth and twice the width of the root ball. Topsoil shall not be placed when the ground or Topsoil is frozen, or excessively wet. Following the spreading operation, the Topsoil surface shall be raked to final grades without surface irregularities that could contribute to concentrated waterflow downslope. Top soil shall be raked with 0.5 inch undulations for a seed bed. 6.03.B. Top Soil Material. Imported topsoil shall be a natural sandy loam that is weed free. Imported Topsoil shall be properly stored and protected, and shall be free of roots, hard clay and stones which shall not pass through a 1-inch square opening. It shall be a loamy mixture having at least 90 percent passing No. 10 sieve. Below lists the soil properties: 1. Contain no less than 2 percent nor more than 13 percent organic matter, as determined by the test for organic matter in accordance with ASTM D2974. 2. Contain no less than 12 percent or more than 40 percent clay, as determined in accordance with ASTM D422. 3. Sand content shall not exceed 55 percent, as determined in accordance with ASTM D422. 4. The pH shall not be lower than 5.0 or higher than 8.0. The pH shall be determined with an acceptable pH meter on that portion of the sample passing the No. 10 sieve, in accordance with the—Suggested Methods of Tests for Hydrogen Ion Concentration(pH) of Soils, included in the ASTM Procedures for Testing Soils issued December 1964. 5. One hundred percent shall pass the I-inch screen; 97-100 percent shall pass the 1.5- inch screen,and 40-60 percent shall pass the No. 100 mesh sieve. 6. Topsoil shall be free of clods, gravel, and other inert material. It shall be free of thistle, reed canary grass, creeping foxtail, noxious vegetation and seed. Should such regenerative material be present in the soil, the CONTRACTOR shall remove, at his expense and in a manner satisfactory to the Owner's Representative, all such growth, both surface and root, which may appear in the imported Topsoil within 1 year following acceptance of the work. 7. All soil to be seeded shall be amended with Humate and fertilizer product. The method of incorporation of amendments shall result in a uniform application of material as approved. Humate shall be applied at a rate of 1500 pounds per acre. The humate shall be TS-46 applied using approximately 1 gallon of water for 1 pound of dry powder. The fertilizer product shall be applied at a rate of 2000 pounds per acre. 6.04 LANDSCAPE IRRIGATION Drip irrigation systems shall be installed to tree planters. The irrigation system shall water each zone with less than 10 gallons per minute with irrigation water tapped from the Town of Basalt. Zone valves shall be Hunter HPV-101G with a Hunter PC-300 outdoor controller or equivalent. Perform the following field tests and inspections and prepare test reports: 1. Leak Test:After installation, charge system and test for leaks. Repair leaks and retest until no leaks exist. 2. Operational Test: After electrical circuitry has been energized, operate controllers and automatic control valves to confirm proper system operation. Test and adjust controls and safeties. Replace damaged and malfunctioning controls and equipment. 6.04. A. Start-up Service. CONTRACTOR to perform startup service. Verify that controllers are installed and connected according to the Contract Documents. Verify that electrical wiring installation complies with manufacturer's submittal and installation requirements. Complete startup checks according to manufacturer's written instructions. 6.04.6. Irrigation adjustments. Adjust settings of controllers. Adjust automatic control valves to provide flow rate of rated operating pressure required for each sprinkler circuit. Adjust sprinklers so they shall be flush with, or not more than 1/2 inch(13 mm)above, finish grade. 6.04.C. Irrigation system cleaning. Flush dirt and debris from piping before installing sprinklers and other devices. TS-47 SECTION 7 HYDROLOGY 7.01 HYDROLOGY Hydrology herein is based on gage ROARING FORK RIVER AB FRYINGPAN RIVER NR BASALT (ROAFRYCO) for water years 1999 thru 2009. Statistical Analysis of historical data is not a guarantee for the flow rates during construction and are provided herein solely for the information of the CONTRACTOR. The OWNER's goal is to complete the in-water work within this timeframe. Because flow conditions during this timeframe may vary, the OWNER's representative has negotiated with CPW to allow in-water work from October 1 through February 15. If flow conditions are consistently above 250 cfs at the start of the standard/authorized in-water work window and delay the start of in-water construction, the CONTRACTOR may request an extension in writing to CPW. Construction periods for work outside of the main channel shall be scheduled with Town of Basalt and Pitkin County. All out of channel work is to be completed by April 15, 2017. The date of beginning and the time for completion of the work are essential conditions of the Contract Documents and the work embraced shall be commenced on a date specified in the Notice to Proceed. The Contractor will proceed with the work at such rate of progress to ensure full completion within the Contract time. It is expressly understood and agreed, by and between the Contractor and the Owner, that the Contract time for the completion of the work described herein is a reasonable time, taking into consideration the climatic and other factors prevailing in the locality of the work. Every effort shall be made by the Contractor to complete the project within the "Contract Time" shown in the bid, quote or proposal. The "Contract Time" anticipates "Normal" weather and climate conditions in and around the vicinity of the Project site during the times of year that the construction will be carried out. Contractor acknowledges that the Project site is located in a high altitude environment where weather patterns can be variable and extreme during winter months. Freezing conditions are likely to be regularly encountered during the construction window. Frazil ice is a winter occurrence throughout much of the Roaring Fork River in Colorado. Ice can pile up significantly on many in-channel obstructions. Contractor is wholly responsible for maintaining conditions that prevent buildup of ice during construction and for delays associated with ice.
