RECITALS:
1. Pursuant to Title 29, Article 1, part 2, Colorado Revised Statutes,as amended (the
"Intergovernmental Relations Statutes")and Article XIV, Section 18 of the
Colorado Constitution, governments may contract with one another to provide any
function, service or facility lawfully authorized to each of the contracting units and
any such contract may provide for the joint exercise of the function, service or
facility, including the establishment of a separate legal entity to do so.
2. Pitkin and Aspen wish to enter into an intergovernmental agreement for the
purposes of construction of the Pitkin County Sheriff and Administration Facility
and the City of Aspen Police Department Facility and;
3. Both Pitkin and Aspen are governments authorized to enter into agreements
pursuant to C.R.S. §29-1-203 for purposes including the provision of any
function, service, or facility lawfully authorized to each;and
4. The BOCC finds that it is in the best interests of the citizens of Pitkin County and
the City of Aspen to enter into this agreement in order to insure the health and
welfare of the citizens of both Pitkin County and the City of Aspen.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Pitkin County, Colorado that Pitkin County is authorized to enter into an
Intergovernmental Agreement with the City of Aspen in substantially the same form
satisfactory to the County Attorney, and authorizes the Chair or designee,to sign the
agreement on behalf of the County.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ASPEN, COLORADO,
APPROVING AN INTERGOVERNMENTAL AGREEMENT FOR THE CONSTRUCTION
OF THE PITKIN COUNTY SHERIFF AND ADMINISTRATION FACILITY AND THE CITY
OF ASPEN POLICE DEPARTMENT FACILITY AUTHORIZING THE CITY MANAGER
TO EXECUTE SAID INTERGOVERNMENTAL AGREEMENT ON BEHALF OF THE CITY
OF ASPEN, COLORADO.
WHEREAS,there has been submitted to the City Council An Intergovernmental
Agreement — between the City of Aspen and Pitkin County, a true and accurate copy of which
is attached hereto as"Exhibit A"
NOW,THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL_OF THE CITY
OF ASPEN,COLORADO,
That the City Council of the City of Aspen hereby approves the Intergovernmental
Agreement between the City of Aspen and Pitkin County that will serve as the operating
agreement and facilitate cost sharing for items related to the construction of the new Aspen
Police Department and Pitkin County Sherriff's Office Facilities,a copy of which is annexed
hereto and incorporated herein,and does hereby authorize the City Manager to execute said
agreement on behalf of the City of Aspen.

T S INTEGOVERNMENTAL AGREEMENT(the"Agreement") is made this j& day of
14vW ,2016 by the COUNTY OF PITKIN, STATE OF COLORADO,by and through
its oard of County Commissioners, whose address is 530 East Main Street,Aspen, Colorado,
81611 ("Pitkin")and the City of Aspen. Colorado("City")by and through its Council,whose
address is 130 South Galena St.,Aspen, Colorado, 81611,collectively the ("Parties").
NOW, THEREFORE, in consideration of the mutual promises and agreements of the parties and
other good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged,
the parties agree as follows:
1. This Agreement is entered into pursuant to, inter alia,C.R.S. §29-1-201,et seq., and Article
XIV, Section 18 of the Colorado Constitution.
2. Term. The term of this Agreement is perpetual unless otherwise canceled, pursuant to
paragraph 11 below.
3. City and County Obligations. See Exhibit"A"
4. Assignability. This agreement is not assignable by either party.
5. Modification. This Agreement may be changed or modified only in writing by an agreement
approved by the respective governing bodies of the Governments and signed by authorized
officers of each party, however Exhibit A of this agreement may be modified by the
signatures of that Exhibit. This Agreement constitutes the entire Agreement between the
parties and all other promises and agreements relating to the subject of this Agreement,
whether oral or written, are merged herein and/or attached hereto.
6. Severability. Should any one or more sections or provisions of this Agreement be judicially
adjudged invalid or unenforceable, such judgment shall not affect, impair, or invalidate the
remaining provisions of this Agreement,the intention being that the various sections and
provisions hereof are severable.

7. Notice. Any notice required or permitted under this Agreement shall be in writing and shall
be hand-delivered or sent by registered or certified regular mail,postage pre-paid to the
addresses of the parties as follows. Each party by notice sent under this paragraph may
change the address to which future notices should be sent. Electronic delivery of notices
shall also be deemed sufficient and considered delivered upon receipt of confirmation of
delivery on the part of the sender.

8. Government Immunity. The parties agree and understand that both parties are relying on and
do not waive, by any provisions of this Agreement,the monetary limitations or terms or any
other rights, immunities,and protections provided by the Colorado Governmental Immunity
Act, C.R.S. 24-10-101,et seq.,as from time to time amended or otherwise available to the
parties or any of their officers,agents, or employees. (If applicable)
9. Binding Rights and Obligations. The rights and obligations of the parties under this
Agreement shall be binding upon and shall inure to the benefit of the parties and their
respective successors and assigns.
10. Agreement made in Colorado. This Agreement shall be construed according to the laws of
the State of Colorado,and venue for any action shall be in the District Court in and for Pitkin
County,Colorado. Each party to this Agreement shall have standing to bring an action to
enforce the terms of this Agreement in District Court, including an action for specific
performance and injunctive relief.
11. Termination: This agreement may only be terminated by an action of both governing boards.
12. Attorney's Fees: In the event that legal action is necessary to enforce any of the provisions
of this agreement and Exhibit A attached hereto,the substantially prevailing party, whether
by final judgment or out of court settlement, shall recover from the other party all costs and
expenses of such action of suit including reasonable attorney's fees.

The foregoing Agreement is approved by the Board of Coucommissioners of Pitkin County,

The Foregoing Agreement is approved by the Aspen City Council at its special meeting held on the

EXHIBIT A TO THE
INTERGOVERNMENTAL AGREEMENT FOR THE
CONSTRUCTION OF THE PITKIN COUNTY SHERIFF AND
ADMINISTRATION FACILITY AND THE CITY OF ASPEN
POLICE DEPARTMENT FACILITY
Pitkin County and the City of Aspen(Parties)understand that each Party's project has significant public benefits
they agree to cooperate to the fullest extent possible to facilitate efficient processes and timely construction of
both the Sheriff and Administration Facility(County Building)and new Aspen Police Department(APD),"the
Projects".
The specific agreements outlined in this IGA can be modified by mutual agreement from both Jack Wheeler
City of Aspen Capital Asset Manager,and Jodi Smith Pitkin County Facilities Superintendent when it is in the

best interest of the Projects.Such modifications shall not change the intent of this agreement as to scope or cost,
but shall rather be limited to minor changes of a logistical nature as to how to implement this scope.
1.Access
For public safety considerations and to further the goal of ongoing joint interdepartmental operations,the City
and County will work in good faith to execute an access casements as follows:
1. One that allows the County Sheriff vehicles to pass-through the APD parking garage (per exhibit
1) at times when security, privacy, a blockage to the Rio Grande exit, requires this secondary'
access/egress point to be used. The County agrees that this access is not a regular traffic route for
the County or Sheriff and is only for specific instances as outlined and will be used in accordance
with the Alley Use Policy(attached Exhibit 2).
2. One to be installed on the lot line between 530 and 540 E Main St that provides for a door opening
for a secondary pedestrian access to the jail for the APD,
3. One to be installed on the lot line between 530 and 540 E Main St that provides for a door opening
that provides a pedestrian access way between the Pitkin County Sheriff's Office and Aspen Police
Department. This access may be revoked at the request of either of the Parties with 120 days'
written notice.
2.Right of Way/Access Easement
The City and County will work together in good faith to establish a right-of-way easement no later than June
2017,that allows for City police vehicles,maintenance, trash vehicles and parking access(to the two on-grade
spots at the north of the site) for approximately 75 feet along the north-western edge of the APD site at 540 E
Main St. For public safety considerations, the easement must include conditions that prohibit any parking.
idling or otherwise blocking of the drive over which this easement applies. The approximate location of this
easement is shown on Exhibit 3,attached.
3. Security
The City and County will establish security protocols no later than June 2017 for the access to the garage only
as detailed in section 1,either through a common programmable security system or shared access cards. Pin
code or key access is not acceptable for the primary means of accessing the joint access way and garage entries.
Pin code may be used only as a component of a backup system.
4. Utilities
The City and County utility relocations, as per Permit Documents dated August 17, 2016 (attached exhibit 4
and as may be subsequently amended during the permit review process) are scheduled to commence on
September 6,2016(after Labor Day). The cost of the utility relocations/upgrades will be shared 50/50.
The Stormwater system costs for the Projects shall be shared 50/50 between the Parties,unless building permits
for the City's proposed City Hall relocation to the Galena Plaza location are issued prior to the completion of
the Sheriff and APD facilities. If the City Hall project proceeds, then the cost of the Stormwater system will
be split between the three(3) projects based on a mutually agreeable formula It is understood a Stormwater
main upgrade designed to accommodate both Projects will be included in the APD construction project and that
the City will make every effort to have this work completed so as not to delay occupancy of the Sheriff building.
Secondary utility connections, service lines to individual properties, cleanouts, vaults, feeders, panels etc. are
the responsibility of each individual project.
5.Lot Line Building Connection and Maintenance
The City and County agree that there are mutual benefits(reduced maintenance and lower utility costs)to both
parties in closing the lot line separation of the buildings at the common lot line between 530 and 540 Main St.
The County will work to grant an easement to the City to construct"false fronts"and a roof connection between
the two buildings in order to fill the gap. The City and County shall share 50%- 50% the cost for the design
of this connection;however the County shall have the right to review and approve the design of the connection
prior to issuance of building Permit. Any subsequent design changes requested by the City after permit will be
subject additional county review.
Construction costs relating to shoring, underpinning, utility relocation,etc.at this lot line location required to
construct the APD building will be at the sole cost to the City. The cost for the Construction of the
"connection detail"will be shared 50%-50% between the City and the County. County will be solely
responsible for design and execution for all water proofing of this tie in connection to their building. City will
warranty their work for the warranty period of two(2)years and thereafter repair costs for the wall and roof
connection at this line shall be shared 50/50. Any problems or concerns related to the foundation shoring or
underpinning from one property to the other,shall be corrected by the party that constructed the
shoring/underpinning.(i.e. if County shoring or underpinning causes issues to the City's property it will be
corrected by the County,and similarly if City shoring or underpinning causes issues to the County property it
will be corrected by the City). The County will have Opportunity to review and comment on all design and
construction details related to this work;the City will make a good faith effort to respond.to such comments
and incorporate as appropriate.
City and County understand and agree that the connector may result in snow or rain that falls on the connector
being dumped on to the roof of the adjacent city project and/or the county project. If need be. the Parties
agree to develop any required easements to allow this to happen.
6. Maintenance
The City and County agree to allow mutual access with proper notification and clearances,for the purposes of
maintenance and repair to the Projects without detriment to any security consideration the City or County may
have at the time. Access requests shall not be unreasonably denied. Should any work damage the respective
neighboring property, the responsible party shall repair and make good at their own cost, with the acceptance
of the contractor, materials and means & methods by the affected party. Each party shall he allowed to have
their own contractor perform any repairs at their sole discretion.
7.Noise and Odors
The City understand that the Housing units proposed for the north end of the City's property will be adjacent
to County Public Safety Operations that generate noise and odors. While the County will continue to comply
with all pertinent city regulations in the PUB zone district in regards to noise and odors, as a critical public
safety facility that operates continuously, there will be operational noise and odors twenty-four (24) hours a
day, seven (7) days a week. In addition, the County and City will need to perform regular testing on the
emergency generator on a weekly basis or more as needed. While these tests are intended to be held in the mid
-day, the County and City may, if the need arises, test or operate the generator as any time day or night. The
Parties understand and agree not to initiate any complaints to the other party for noise or odors generated by the
County and City Public Safety operations and vice versa.
8.Housing Parking
The Parties understand that maintaining an open and free access to and from the Sheriff's and APD parking
garage is critical to the operations of Pitkin County. The City therefore agrees to limit or otherwise control the
use of the employee housing parking spots so as not to block the Sheriff's or APD access on a daily basis, 24
hours 7 days a week including but not limited to eliminating those spaces if there are repeated violations.
9. Galena Plaza Parking
City and County agree that the public is best served by both entities having adequate and reliable access to their
vehicles for emergency response. Because of this, both during construction and after both new facilities are
completed and occupied the City agrees to allow the Sheriff to have exclusive use of three (3) spaces on the
west side of Galena Plaza. This use shall only be rescinded upon mutual agreement between the City and
County. The balance of the parking in this area shall be reserved for Law Enforcement/Public Safety use only.
10. Fire Department Access
The Fire Department has requested access to the County Jail through the Galena Plaza. This will be based on
a mutually agreeable plan to be developed by the Fire Department and County. This plan will need to include
access across the bike path to Rio Grande. Should easements be required for this work, both parties agree to
work in good faith to provide for those easements. The County will obtain all required permits for this work.
11.Temporary Sallvport Functions
During construction of the County's facility, the City APD and County Sheriff will need access to the County
Jail through the Galena Plaza. City agrees to allow this based on a mutually agreeable plan. This plan will
need to include access across the bike path to Rio Grande as well as a fenced in area to offload detainees. This
fenced in area is required to protect the general public and the City agrees to allow its use during the duration
of construction.The County will be required to obtain any required permits from the appropriate authorities.
12. Maintenance of the Easement area off of Rio Grande place(as identified in Exhibit 5)
City and County agree to work in good faith to develop and execute, no later than June 2017 a mutually
agreeable operations and maintenance plan. This plan will include, but is not limited to,the following:
a. City and County agree to a 50/50 share of the cost to install snowmelt piping and manifolds under
all the access drive to both the City and County parking garages extending out to the curb at Rio
Grande drive. This will be zoned in a way to allow both the County and City to turn on or turn off
their individual zones.
b. City and county agree to work in good faith to establish an operations agreement that splits the
operational costs 50/50 by June and will include if and when to connect the snowmelt. Prior to
such time in the future that the City and County agree to connect and operate the system,the City
and County will execute a cost sharing agreement and method share 50/50 in the cost of either the
boiler installation and connection or the connection to one the boiler systems installed for the
buildings. In the event the snowmelt system is not connected or is not functioning,all plowing and
snow removal costs will be shared 50/50.
c. The plan will identify all other shared expenses.
13. Layback of excavations on adjoining property
City and County will work together to minimize shoring expense and if possible allow layback of excavation
on to the adjoining property if the schedules permit and does not impact cost.A simple Memo of Understanding
will be executed by the parties as the specifics are understood and prior to any work being commenced. This
will reduce costs for both projects and save taxpayer funds.

Aspen Police Department - Alley Use Policy
This Alley Policy is made this_26 day of August, 2016, by the City of Aspen Police
Department (`APT)').
The APD, Obermeyer Place Condominium Association and Concept 600 Condominium
Association ("the Parties") share an alley located to the North of the 600 block of E. Main Street
which is generally used by the Parties for the purpose of vehicular and pedestrian access to their
respective properties. The alley is located in the area identified in the attached Exhibit A (the
"Alley"). The Alley is a part of the City of Aspen streets network and is considered a public
right-of-way.
C600 and Obermeyer are mixed use (residential/commercial) buildings that include
approximately 80 residential units along the Alley whose residents are impacted by vehicular
traffic within the Alley, including sound, light and congestion.
Due to construction of a new police facility and parking garage at the west end of the
Alley, the Parties anticipate the potential for increased use of the Alley from the APD by police
vehicles.
API)acknowledge that any increase in alley use may result in greater potential for
disturbance to the occupants of C600 and Obermeyer units along the Alley, including noise,
congestion, conflicts with parking and access, delivery of goods and services from the Alley, and
other negative impacts to all Parties. This Policy is intended to serve as a basis for APD vehicle
use to reduce these potential impacts.
The APD enters into this Alley Policy in good faith, with an ongoing intent to serve the
foregoing interests and practices as established herein. This Alley Policy shall be implemented
by APD for guidance on standard police practice. As such, it will not he binding if operational
efficiency dictates changes, and it is not binding as to any future use of the cast entrance to the
API) below-grade parking garage. However, any changes to this Alley Policy and the practices
established herein will be made available in advance for review, discussion and comments by
designated representatives of C'600 and Ohenneyer prior to implementation. Every effort will he
made to maintain the interests and practices set forth herein.
Exhibit 2
The following practices are hereby established by APT) under this Alley Policy:
•
Routine, non-emergency traffic in and out of the Aspen Police Department below-grade •
garage will be routed through the northern entrance of the parking garage and not through the
Alley. Traffic in and out of the east entrance to the parking garage and through the Alley will be
restricted, and will be reserved for use under the following conditions:
•
1. Limited emergency response situations as dictated by exigent circumstances.
2. When the north entrance to the garage is blocked for in or out-bound traffic.
When use of the Alley by APD is required, speeds within the alley will be limited to a •
maximum of 10 mph. APD vehicle sirens will not be used in the Alley. During emergency
responses, APD vehicle sirens will not be operated, unless warranted by the situation, until a
patrol vehicle exits the Alley onto Spring Street, and any active siren will be silenced once the
vehicle enters the Alley from Spring Street. Lights may he flashing as judged appropriate and
necessary by the APD. Signage to reinforce restricted exiting to the alley, speed limit, light and
siren usage will he placed inside the APD garage to communicate the requirements of this Alley
•
Usc Policy to APD staff
•
The Alley design at the APD garage entrance will feature a pedestrian warning system
(such as a low-key strobe light), activated by the garage door to give a visible warning of traffic
exiting the garage to pedestrians on the pedestrian walkway/ramp. The warning system will be •
designed with the input from Ohermeyer and C600 and he desit,med to minimize any light or
noise disturbance to unit owners along the alley. The C600 garage exit will also be installed with
a vehicle warning light at the garage exit that is acceptable to C600 in terms of function and
form.
In addition,The City Streets Department will install and maintain signage at the Alley's
east entrance indicating that the Alley is fur"Local traffic and Police vehicles only".
Activity during construction of APD will be detailed in a Construction Management Plan
which is subject to notification of neighbors and is not covered by this Alley Usc Policy.

AMENDMENT TO EXHIBIT A TO THE INTERGOVERNMENTAL AGREEMENT
FOR THE CONSTRUCTION OF THE PITKIN COUNTY ADMINISTRATION AND
SHERIFF'S FACILITY AND THE CITY OF ASPEN POLICE DEPARTMENT
FACILITY
The, Amendment to Exhibit A to the Intergovernmental Agreement Mt the Construction
of the Pitkin County Sheriff and Athol nish anon Facility and the City of Aspen Police Department
(the "Agieement") is entered into this 16th day of August 2018, by and between the
BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY (the "County"), a body
corporate and politic whose address is 123 Emma Road, Suite 106, Basalt, Colorado 81621 and
the CITY OF ASPEN, COLORADO(the "City")a Colorado municipal corpoi anon and home i ule
city whose address is 130 S. Galena, Aspen, CO 81611 The City and the County are at times
collectively referred to herein as the "Parties "
RECITALS
WHEREAS,the County is the owner of ceitain teal properly known as Lot 1,Pitkin County
Center Subdivision (the "County Property"), which County Property is fully depicted on the
Second Amended Plat of Lot I Pitkin County Center Subdivision recorded in the real property
iccoids in the Pitkin County Clerk and Recorder's Office at Reception No 626213, also known as
530 East Main St. Aspen Colorado, 81611 (the "County Property"); and
WHEREAS,the City is the owner of certain teal property located in County of Pilkin,State
of Colorado commonly known as 540 East Main Street, Aspen, Colorado 81611 (the "City
Property"); and
WHEREAS, on November 10, 2016, the City and County entered into an
Intergovernmental Agreement ("IGA") for the construction of the Pitkin County Sheriff and
Administration Facility("County Facility") located on the County Property and the City of Aspen
Police Department Facility ("City Facility") located on the City Property (collectively the
"Projects"); and
WHEREAS, the IGA includes an Exhibit A, which sets forth certain agreements and
obligations between the parties regarding access, construction, maintenance, and security for the
Projects; and
WHEREAS, the IGA provides that Exhibit A may be modified by the signatories to
Exhibit A; and
WHEREAS, Exhibit A to the IGA further provides that the specific agreements outlined
in the IGA can be modified by mutual agreement from the City of Aspen Capital Asset Director
and the Pitkin County Facilities Director when it is in the best interest of the Projects. However,
such modifications shall be limited to minor changes of a logistical nature as to how to best
implement the intent of the IGA; and
WHEREAS,the IGA states that the City and County agree to work in good faith to develop
and execute a mutually agreeable operations and maintenance plan for the City Facility and County

Facility; and
WHEREAS, in accord with the IGA, the Panics desire to agree to an operations and
maintenance plan to further amend, Chatty, and formalize additional details for the operations,
maintenance, security, and cost-sliming for the City and County tacilities and sun minding access
areas on the terms and conditions herein provided
AGREEMENT
NOW, THEREFORE, IN CONSIDERATION of the mutual promises and agreements set
forth below,and for other good and valuable consideration,the receipt and sufficiency or which is
hereby acknowledged, the Patties agree as follows:
I.
,PIApose. The purpose of this Agreement is to set forth the terms and conditions of
access to the City and County buildings, and to set forth certain terms and conditions for the
operation, construction, maintenance, secmity, and t quail of certain access areas to the buildings.
This agreement is intended to amend or supplement,and not replace,specific agreements outlined
in Exhibit A to the IGA. However, if Mem is a conflict between a pi oviston in the ICA and this
Agreement, this Agreement shall control.
2. Term and Renewals. The term of this Agteement shall be perpetual unless
otherwise cancelled by an action of both parties represented by the Pitkin County Manager and
Aspen City Manager.
3, Access. For public safety considerations and to futthcr the goal of ongoing joint
interdepartmental operations,the City and County agree to the following
a. The City allows the County Sheriff vehicles to pass-through the Aspen Police
Department ("APD") parking garage (per Exhibit I attached to the IGA) at times when
security,privacy,or a blockage to the Rio Grande exit requires this secondary access/egress
point to be used. The County agrees that this access is not a regular traffic route for the
County or Sheriff vehicles and is only for specific instances as outlined and will be used in
accordance with the Alley Use Policy described in Exhtbit 2 to the IGA.
City police vehicles will access the Pitkin County garage in order to drop off
detainees. It is agreed that the use is contained to drop off and does not include long term
parking or storage of any kind.
On the lot line between City Property and the County Property,there are two doors.
One is located at the basement level and the other at the first floor level for both buildings
These two doors are strictly for law enforcement personnel use. Access will he allowed
for law enforcement personnel that has been approved and agreed upon by the Pitkin
County Sheriff and the Aspen Police Chief.
The intent for the basement door is to serve as an alternative means to access the
Pitkin County Jail in cases where the vehicle was unable to enter the secured Pnkin County 6
basement for Jail access. It is agreed and understood that the operating standard is to enter

the secured Pitkin County Gm age tot both law enforcement agencies needing to access the
Jail.
The intent for the first floor door is for ease of access between the Pitkin County
and City of Aspen authorized and approved law enforcement personnel between the two
buildings. The list of approved personnel will he placed on file with the Pitkin County
Facilities Department in order to track and mentot approved security for access between
these two buildings Pitkin County and the City of Aspen law enforcement agencies will
be responsible to maintain the list tracking new employee approval and those who need to
be removed from access.
The City may revoke the County's access to the City Facility through one or both
door sat the request of the Aspen Police Chief upon sixty(60)days' advance mitten notice,
subject to review and final determination of the Aspen City Manager. Likewise, the
County may revoke the City's access to the County Facility through one or both doois at
the request of the Pitkin County Sheriff upon sixty (60) days' advance written notice,
subject to review and final determination of the Pitkin County Manager.
4. Security. The Police Department will utilize a card reader system and will giant
access to the City Facility to the Sheriff's department employees The Sheriff's department will
utilize a card reader system and will grant access to the County Facility to Police Depattmcnt
employees. The room by room access will be determined by each building's ownership group.
Security to the County Facility will be tracked by the Facilities Department. Approved access will
need to be submitted to the Facility Director in order to program the room by room access.Security
to the City Facility will be tracked by the Assistant Chief of Police. Approved access to the City
Facility will need to be submitted to the Assistant Chief of Police in order to program the worn by
room access.
5. Lot Line Building Connection and Maintenance
The City and County agree That there are mutual benefits (reduced maintenance and lower
utility costs) to both parties in closing the lot line separation of the City and County Facilities at
the common lot line between 530 and 540 Main St ("the lot line area"). The County has granted
an easement to the City to construct certain improvements to connect between the two facilities in
order to fill the gap, recorded in Pitkin County at reception number 644588.
The City and County have agreed to an amended design and construction of the lot line
area. The final design plans, instructions, and materials for the lot line area improvements are
depicted in Exhibits A-F attached hereto. The cost to construct the lot line area improvements
outlined in Exhibits A-F will he borne by the City with the exception of the concrete that will be
poured at grade along the lot line area(depicted in Exhibit A), which cost shall be shared equally,
50%-50% by the County and the City The City is responsible for installing the Fmseal between
the City and County buildings as noted in Exhibit A and E,and installing gravel in the area labeled
3 in Exhibit A attached hereto;the cost for the installation of both shall be shared 50%-50%by the
County and the City. The City is responsible for waterproofing the Ctty Facility and the County
is responsible for waterproofing the County Facility as depicted in Exhibit A.

The City will wan anty thcit work for the warranty period of two (2) years and thereafter
repair costs for the wall at this line shall be shared 50/50. Any pwblcros or concerns related to the
foundation shoring or underpinning from one property to the other, shall he collected by the party
that constricted the shoring/underpinning. (i.e. if County shoring or underpinning causes issues to
the City's property it will be corrected by the County, and similarly it City shoring of underpinning
causes issues to the County property it will he corrected by the City). The County will have
opportunity to review and comment on all design and construction details 'elated to this work; the
City will make a good frith effort to respond to such comments and urcot porate as appiopriatn.
The City and County understand and agree that removing the connecting clement may
resat: in snow er rain that falls between the two buildings Both parties agree to work together in
good faith to maintain this mea (labeled 4 to Exhibit A) and keep it bee from snow and debris
b Noise and Odors. The City understands that the Housing units proposed for the
north end of the City's property will be adjacent to County Public Safety Operations that generate
noise and odors The County intends to comply with all pertinent city regulations in the PUB zone '
district in regards to noise and odors: but, as a critical public safety facility that operates
continuously, it is likely that operational noise and odors will he present twenty-four(24)hours a
day, seven (7) days a week. In addition, the City and the County will need to perform tegutar
testing on the emergency generator on a weekly basis or more as needed, While these tests ale
intended to be held during normal business hours,the County and City may, if the need arises,test
or operate the generator at any times day or night. The Parties understand and agree not to initiate
any complaints to the other party for noise or odors generated by the County and City Public Safety
operations and vice versa. Full disclosure of this generator testing shall be included in the leases
for the new housing units that may be affected by this practice.
7. Maintenance of the City Right of Way and Access Area oft'of Rio Grande Place:
The following is a mutually agi ceable operations and maintenance plan for the City right-of-way
and access area off of Rio Grande Place ("Access Area"),depicted in Exhibit 5 to the IGA:
a. The snowmelt system, as agreed to be installed through the IGA, has been
amended as follows:
The County shall install,at the County's sole expense, all snowmett piping.manifolds,all
subbase, concrete, curb and gutter from the County building entrance to the County
property line as depicted in the attached Exhibit B. In addition,the County will extend the
snowmelt main for City hook up to 5'-0" beyond the County property line as depicted in
the attached Exhibit B. The cost to extend the snowmelt main will he borne entirely by
the County.
Pertaining to the section of snowmelt in the City right of way extending from the County
property line to Rio Grande Street,the County will provide,at its expense,compacted road
base. The City will complete the snowmelt on the County provided subbase to including
the snowmelt main to the final location of the zone valve box,piping, concrete,curb and
gutter and trench drain. If this work is not completed by September of 2018,then the City
will provide asphalt paving as defined in the attached Exhibit B.

If the City at some point in the future elects to eliminate any or all of the snowmelt from
the County property line to Rio Grande Sheet, the City will reimburse the County fon 50%
of the costs for providing snow melt from the County building entrance to the County
property line The costs for this construction will be kept on tile and properly documented
upon completion so both parties have the actual costs associated with this work.
h Upon the County's connection of the snowmelt system as descubed in a
above, the County will pay the full costs to connect to one of the existing County boiler
system. Upon the City's connection of the snowmelt system as described in a. above, the
City will pay the full costs to add the additional system to the County's existing system.
c. Pitkin County will manage and maintain all [ecoids of the operational costs,
based on separate snowmelt meter. Increased costs due to the addition of the newly added
snowmelt operations will be tracked through metered use, documented and presented to
City of Aspen Costs associated with the utilities and administration of 5% will be
presented to the Asset Director for review and approval once the snowmelt season has •
concluded. The approved invoice amount will be developed and submitted foi payment by
City of Aspen. This practice will begin with 2018 winter season for first annual payment
beginning in 2019.
e. If either party discovers that maintenance or other repair is needed to the •
access area, it is the responsibility of the party that identifies the maintenance or repair item
to bung it to the attention of the other party within 30 days of commencing with such
maintenance or repair so that the other party may approve said maintenance or repair. For
purposes of providing notice of maintenance or repair, the City shall notify Pitkin County
Facilities Director and the County shall notify the City Capital Asset Director. Such notice
shall be in writing. Approval foi any maintenance or repair shall not he unreasonably
withheld. The costs of any such maintenance or repair shall be shared equally 50%-50%
by the parties.
Notwithstanding the foregoing, in the event of an emergency situation or
condition with the boiler specific to snowmelt or the access arca, either party may
undertake any repair or maintenance activities they deem necessary to properly resolve the
emergency. The cost of such emergency repair or maintenance activities shall be borne
equally by the parties.
g. For long-term capital replacement needs for the access area the City and
County will meet to jointly determine a 10-year capital plan as part of each entities' budget
formulation. Since the County is utilizing existing boilers for the additional snowmelt, it
is agreed that the cost to replace a boiler of appropriate size to support the snowmelt system
will be shared equally by the parties, 50/50. The County will seek a one-time payment
from the City based on the cost for a holler as if the new snowmelt was on a stand-alone
system rather than tying into current boilers. The BTU calculation will be determined on
a per square foot breakdown and the county installed BTU meter will be the basis. The
cost calculation will he completed in the year a boiler needs to be replaced. If needed,the
10-year plan will be reviewed and updated annually by the Pitkin County Facilities Director

and the City of Aspen Asset Duectot prior to each year:s budget process to determine costs
and timing.
It.The County acknowledges that the access area from the County pioperty line to
Rio Giande Park (depicted in yellow in Exhibit 5 to the ICiA) is the City right-of-way and
nothing in this agreement shall be read to change the City's lights 01 intciests with respect
to the right-of-way.
10. No Assignment Without WI hien Consent. The Pm ties shall not, without first
obtaining the piior written consent of the other party to this Agreement, sell, assign, tr ansfei,
encumber, hypothecate, or sublease any or all of the rights, interests, or obligations under this
Agi cement.
11. Modification. No piovision or term of this Agreement maybe amended, modified.
revoked, supplemented, waived, or otherwise changed except by a written instiument duly
executed by the Parties hereto or the Parties' successors and/or assigns.
12. Severability. If any term or provision of this Agieement shall be held to he invalid
or unenforceable by a court with competent jurisdiction of by operation of statute, the remaining
terms and provisions of this Agreement shall continue to exist and shall be valid and enforceable
to the fullest extent permitted by law.
13. Notice. Except where otherwise provided in this agreement, any notice required or
permitted tinder this Agreement shall be in writing and shall be hand-delivered or sent by registered
or certified regular mail,postage pre-paid to the addresses of the parties as follows. Each party by
notice sent under this paragraph may change the address to which future notices should be sent
Electronic delivery of notices shall also be deemed sufficient and considered delivered upon
receipt of confirmation of delivery on the part of the sender.

14 Government Immunity. The parties agree and understand that both parties are
relying on and do not waive, by any provisions of this Agreement, the monetary limitations or
terms or any other tights, immunities, and protections provided by the Colorado Governmental
Immunity Act,C.R.S. 24-10-101, et seq., as from time to time amended or otherwise available to
the parties or any of their officers, agents, or employees.
15. Binding, Agreement. This Agreement is binding upon the parties hereto, their
successor s and assigns,and any.sale of the County Property or City Property,or any portion thereof
shall be subject to this Agreement
lb. Governing Law, Venue; Attorney Fees. This Agreement and the rights and
obligations of the patties hereunder shall be governed by and construed in accordance with the
laws of the Slate of Colotado Venue for all actions arising under this Agreement shall be Pitkin •
County,Colorado. In the event legal remedies must be pursued to resolve any dispute or conflict
regarding the terms of this Agreement or the rights and obligations of the parties hereto, the
prevailing patty shall be entitled to recover costs incurred in pursuing such remedies. including
expert witness fees and reasonable attorney fees.
17. Waiver. Any waiver by either party hereto of any breach of any kind or character
whatsoever by the other party, whether such shall be ditect or implied, shall not be construed as a •
continuing waiver of or consent to any subsequent breach of this Agreement on the part of the
other party.
18. Default. Either party shall have the right to enforce the obligations of pefor mance
of the other party as contained herein through litigation seeking an award of damages or injunctive
relief.
19 Authorization of Signatures. The parties acknowledge and represent to each other
that all procedures necessary to validly contract and execute this Agreement have been performed
and that the persons signing for each party have been duly authorized to do so.
20. Counterparts. This Agreement may be signed using counterpart signature pages,
with the same force and effect as if all parties signed on the same signature page
