Pastures"). WITNESSETH WHEREAS, Horseback is the owner of Lot 2 and Parcel B, Aspen Village River Homes, according to the Amended Final :blat thereof recorded August 10, 1995 in Plat Book 37 at Page 98 in the records of Pitkin County, Colorado, which properties are hereinafter referred to as "Lot 2", and/or! "Parcel B"; and WHEREAS, Woody Creek Pastures is the owner of Lot 3 and Parcel C, Aspen Village River Homes according to the Final Plat thereof recorded July 19, 1984 in Plat Book 16 at Page 34 and the Amended Final Plat thereof recorded August 10, 1995 in Plat Book 37 at Page 98 of the records of Pitkin County, Colorado, which properties are hereinafter referred to as "Lot 3" and/or :'Parcel C"; and WHEREAS, there exists on ParcE l B an area shown on the aforementioned Amended Final Plat as the "Leach Field Casement for Lots 2 and 3", hereinafter referred to as the "Common Leach Field"; and WHEREAS, Horseback and Wooidy Creek Pastures are desirous of providing for the common use and maintenance of the Common Leach Field. NOW, THEREFORE, for and in; consideration of the premises and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: I. Right to Use Common Lelach Field. Horseback hereby establishes and creates for the benefit of the owners from time to time of Lot 2, Lot 3, Parcel B and/or Parcel C, mutual, reciprocal and non-exdlusive easements, rights and privileges to use and enjoy the Common Leach Field for the purposes for which it has been dedicated, as well as the right of ingress and egress tothe Common Leach Field along and across the platted 30 -foot wide private driveway and utility easement on Parcel B as reasonably required for the purposes of using, inspeicting, repairing, maintaining, improving, relocating or replacing the Common Leath Field. The rights and privileges granted and conferred by this paragraph shall be exeicised and enjoyed in common by the parties hereto. It is the specific intent that the easements granted herein shall encumber and benefit Lot 2, Lot 3, Parcel B and Parcel C, and shall run with the title thereto. 2. Maintenance and Use of Common Leach Field. The Owner of Lot 2 shall pay fifty percent (50%) of the maintenance, repair and replacement cost iof the Common Leach'Field. The Owner of Lot 3 shall pay fifty percent (50%) of the imaintenance, repair and replacement cost of the Common Leach Field. No Owner, however, shall have any obligation to pay any cost associated with the Common Leach Field `until such time as that Owner constructs septic facilities which utilize the Common Leach Field. When the Lot 3 Owner is preparing to build a residential structure on Lot 3, said Owner shall have the existing leach field evaluated by a qualified engineer to determine if the leach field needs to be enlarged or otherwise improved in order to adequately serve Lot 3, and shall make all such required enlargements or improvements in a good and workmanlike manner at said Owner's cost and expense, and shall replace the surfacr of Parcel B (including vegetation) to the condition that existed prior to the commencement of the work. All such enlargements or other improvements shall be underground!. In addition to the foregoing, either Owner shall have the right from time to time to make improvements to the Common Leach Field as that Owner may consider appropriate, provided that all such improvements are underground, are properly engineered and permitted, are constructed in a good and workmanlike manner, and the installing Owner restores the surface of Parcel B (including vegetation) to the condition that existed prior to the commencement of the work. If said Owner wishes the other Owner to contribute to the costs thereofi said Owner shall first provide the other Owner with a written proposal and costs for such improvements. The other Owner shall have ten (10) days to notify the Owner desiring to make the improvements that it is willing to share in the costs, whereupon the costs of the improvements shall be borne in proportion of the percentages set forth herein. If the other Owner does not commit to sharing those costs, the Owner desiring the improvements shall be solely responsible for the costs of the improvements. The Owner of Parcel B shall have the right to relocate any Common Leach;Field improvements on Parcel B; provided, however, that such relocation shall not unreasonably interfere with the rights granted hereunder to the other party and shall nol impair the function of the Common Leach Field. 4. Cost Sharing: Default. Dear Mr. Harvey: As requested, Hepworth-Pawlak Geotechnical, Inc. performed a subsoil study for design of foundations at the subject site. The study was conducted in accordance with our agreement for geotechnical engineering services to Aspen Grove Financial c/o Mason & Morse Real Estate dated September 12, 1996. The data obtained and our recommendations based on the proposed construction and subsurface conditions encountered are presented in this report. We previously performed a subsurface study to evaluate the lining of two ponds at the site, reporting our findings on October 12, 1994, Job No. 194 344. Proposed Construction: Two residences, one located on Lot 1 and the second located on Lot 2 as shown on Fig. 1, are proposed. Design plans for the structures have not been developed. We understand the proposed residences will be large two story structures without basement levels. Ground floor will probably be a combination of slab -on -grade and structurally supported over crawlspace. Cut depths are expected to range between about 2 to 4 feet. Foundation loadings for this type of construction are assumed to be relatively light. An on-site septic disposal system is planned on the higher ground to the south of the Lot 2 building site. If building conditions or foundation loadings are significantly different from those described above, we should be notified to reevaluate the recommendations presented in this report. Site Conditions: The building sites are located on flat terrain adjacent to the south side of Roaring River. The lower parts of the sites, below the building envelopes, are reportedly within the 100 year flood plain of the river. Above and to the south of the building sites, the ground surface steps up at a steep slope to a higher terrace level. Elevation difference across the building sites is probably a few feet or less at Lot 2 but could be more at Lot 1 if the building transitions the steep terrace slope. The ground surface on the lots appears natural with the exception of cut and fill from construction of the access roads. Vegetation consists of grasses and cottonwoods with scattered aspen trees. Lot 1 has generally been cleared of vegetation. Subsurface Conditions: The subsurface conditions at the sites were evaluated by excavating five exploratory pits at the approximate locations shown on Fig. 1. Pits 1 and 2 were located on the lower terrain of the Lot 1 building envelope in the proposed building area and Pits 3 and 4 were located in the proposed Lot 2 building area. A 000019 Aspen Grove Financial October 8, 1996 Page 2 Profile Pit was located in the proposed on-site septic disposal area on the terrace level about the Lot 2 building site. The pits were excavated prior to our arrival on-site. The logs of the pits are presented on Fig. 2. The subsoils encountered at the building sites, below about 2 to 31fz feet of organic topsoil and Ih to 1 foot of loose silty sand at Pits 1 and 2, consist of relatively dense sandy gravels and cobbles with boulders to the depths 4 to 5 feet. At the Profile Pit, the subsoils consist of a minor root zone and silty to clayey sandy gravels with cobbles underlain at a depth of about 21h feet by the relatively dense sandy gravels. Results of a gradation analysis performed on samples of the subsoils (minus 3 to 5 inch fraction) obtained from the site are presented on Figs. 3 1' and 4. Free water was observed in Pits 1 through 4 at depths of from 11k feet in Pits 1 v - and and 2, to 3 feet at Pits 3 and 4. The subsoils were highly moist to wet with depth. At the Profile Pit, no free water was obsery o the it de th of 8 feet and the su ere genera v moist. Q Foundation Recommendations: Considering the subsoil conditions encountered in the exploratory pits and the nature of the proposed construction, we recommend spread footings placed on the undisturbed natural coarse gravels designed for an allowable soil bearing pressure of 3,000 psf be used for support of the residences. Footings should be a minimum width of 16 inches for continuous walls and 2 feet for columns. All topsoil, sands and loose or disturbed soils encountered at the foundation bearing level within the excavation should be removed and the footing bearing level extended down to the relatively dense natural coarse gravels. Dewatering of the footing excavations will probably be needed. Placement of a shallow depth of crushed rock (6 to 12 inches or less) may be needed in footing areas to allow construction in the dry. Exterior footings should be provided with adequate cover above their bearing elevations for frost protection. Placement of footings at least 42 inches below the exterior grade is typically used in this area. Continuous foundation walls should be reinforced top and bottom to span local anomalies such as by assuming an unsupported length of at least 10 feet. Foundation walls acting as retaining structures should be designed to resist a lateral earth pressure based on an equivalent fluid unit weight of at least 45 pcf for the on-site granular soils as backfill. Floor Slabs: The natural on-site soils, exclusive of topsoil, are suitable to support lightly loaded slab -on -grade construction. To reduce the effects of some differential movement, floor slabs should be separated from all bearing walls and columns with expansion joints which allow unrestrained vertical movement. Floor slab control joints should be used to reduce damage due to shrinkage cracking. The requirements for joint spacing and slab reinforcement should be established by the designer based on experience and the intended slab use. A minimum 4 inch layer of free -draining gravel should be placed beneath slabs to facilitate drainage. This material should consist of minus 2 inch aggregate with less than 50% passing the No. 4 sieve and less than 2% passing the No. 200 sieve. All fill materials for support of floor slabs should be compacted to at least 95 % of maximum standard Proctor density at a moisture content near optimum. Required fill H -P GEOTECH 000020 Aspen Grove Financial October 8, 1996 Page 3 can consist of the on-site sand and gravel or a suitable imported granular material devoid of vegetation, topsoil and oversized rock. Underdrain System: Free water was encountered in the pits at depths of 11/2 to 3 feet. The water level during spring runoff could be at, or possibly above, the ground surface. It is probably not practical to permanently dewater the site. We recommend that the lower floor slabs be elevated above the flood level at the site. Crawlspaces are not recommended due to the potential for wetting. If used, the crawlspace grade should also be above flood level and the crawlspace should be well ventilated to reduce moisture buildup. Surface Drainage: The following drainage precautions should be observed during construction and maintained at all times after the residences have been completed: 1) Water seepage into the foundation excavations and underslab areas should be controlled during construction. 2) Exterior backfill should be adjusted to near optimum moisture and compacted to at least 95 % of the maximum standard Proctor density in pavement and slab areas and to at least 90% of the maximum standard Proctor density in landscape areas. Granular wall backfill should be capped with about 2 feet of finer graded soils to reduce surface water infiltration. 3) The ground surface surrounding the exterior of the building should be sloped to drain away from the foundation in all directions. We recommend a minimum slope of 6 inches in the first 10 feet in unpaved areas and a minimum slope of 3 inches in the first 10 feet in pavement and walkway areas. 4) Roof downspouts and drains should discharge well beyond the limits of all backfill. Percolation Testing: Percolation tests were conducted on the natural soils at the proposed septic disposal site to evaluate the feasibility of an infiltration septic disposal system at the site. One profile pit and 3 percolation holes (P-1, P-2, and P-3) were dug at locations as shown on Fig. 1. The test holes (roughly 12 inch diameter by 12 inch deep) were hand dug at the bottom of shallow backhoe pits and were soaked with water the day prior to testing. The soils exposed in the percolation holes are similar to those exposed in the Profile Pit shown on Fig. 2 and consisted of silty sandy gravels with cobbles and boulders. The percolation test rates varied from about 10 to 40 minutes per inch. The slower rate at P-2 was probably due to a boulder exposed in st about half the bottom of the percolation hole. An average percolation rat of 13 to 15 minutes per inch is probably appropriate for this site. Limitations: This report has been prepared in accordance with generally accepted geotechnical engineering principles and practices in this area at this time. We make no other warranty either expressed or implied. The conclusions and recommendations submitted in this report are based upon the data obtained from the exploratory pits H -P GEOTECH 00'0021 0 0 Aspen Grove Financial October 8, 1996 Page 4 excavated at the locations indicated on Fig. 1, the proposed type of construction, and our experience in the area. Our findings include interpolation and extrapolation of the subsurface conditions identified at the exploratory pits and variations in the subsurface conditions may not become evident until excavation is performed. If conditions encountered during construction appear different from those described in this report, we should be notified at once so re-evaluation of the recommendations may be made. This report has been prepared for the exclusive use by our client for design purposes. We are not responsible for technical interpretations by others of our information. As the project evolves, we should provide continued consultation and field services during construction to review and monitor the implementation of our recommendations, and to verify that the recommendations have been appropriately interpreted. Upon subdivision and sale of the individual lots, it is the intention of the Homeowners Association to maintain its ownership and the operation of the water system. A 14 unit platted subdivision on 28.8 acres has been replaced by a ranch parcel with a ranch manager unit and ranch outbuildings, and 43 unit townhouses on 4 acres have been eliminated. A single family homesite with a caretaker unit on a 554 acre parcel has been added. ADEQUATE PROVISIONS FOR WATER NEEDS: Sections 2-17 and 3-1104: "It is the policy of the county to insure the availability of a water supply of adequate quality, quantity, pressure and dependability for fire protection and support of a proposed land use prior to approval of the use. The County shall require land uses to book up to existing public systems if service is available." The Aspen Village Mobile Home Park is serviced by two wells. The quality of the drinking water is monitored by the Colorado Department of Public Health and Environment on a monthly basis. This Department has not been notified of any unsafe levels of bacteria. During an annual inspection of the Water Treatment Facilities, a letter dated October 24, 1991 (attached) noted items that needed attention : an inverted "U" veryt repaired and a OnJO42 concrete pad repaired. BEFORE final approval, it needs to be established that these repairs have been made. The wells are not located in any of the parcels discussed in this application. The wells are located across Hwy 82 down slope from the sewage lagoons. A condition of approval for this application is that prior to recording of the final Plat, the applicant shall file and record conveyance to the Homeowner's Association the ownership of the wells, water rights, all of the pipeline and equipment, and adequate easements for the maintenance and operation of the system. A plat of this shall be provided to the Aspen/ Pitkin Environmental Health Department which includes showing the relationship of the wells to the sewage lagoon. Section I - Page 22 states that an upgraded water system for the park is currently under construction. There is no further documentation provided to substantiate this claim and this Department has no knowledge of this construction. This Department needs copies of any state permits for the new system. With regards to Parcel A & B, whenever a mobile/manufactured home is replaced or remodeled, the lot owner will be required to provide a letter to the Aspen/ Pitkin Environmental Health Department from the Homeowners Association stating that they have adequate water capacity to meet any increased demands. The application states that the Ranch manager unit will use either the existing water system serving the mobilehome park or will have its own well. Any additional use of the existing water system will require that the Association provide this department with a letter stating that they have adequate water to meet any increased demands. The application addresses concerns for the location of the single family homesite. Low well yield in this area is a concern. A storage tank may be required to assure adequate water quantity to the dwelling. This Department will need adequate information on the quantity and the quality of water available. This can be done from tests of wells present on-site by a water engineer's or well driller's report. The applicant must ensure that the water quality is acceptable by having it tested by a lab such as the Snowmass Water and Sanitation District or Aspen Consolidated Sanitation District. Before a sewage disposal permit can be issued, the well must be drilled to assure that setback requirements from the well to the sewage disposal system can be maintained. Pitkin County Land Use Code requires that the well site be within the building envelope. SEWAGE TREATMENT AND COLLECTION: Sections 2-18 and 3-1105: "It is the policy of the County to ensure that adequate sewage treatment facilities are available to serve existing and new developments. Public and private sewage disposal systems and connections to such systems shall comply with the sewage disposal guidelines of Pitkin County's Individual Sewage Disposal System Regulation." Renewal of this discharge to surface water permit should be started. Because the existing sewage lagoons have no liner, to be in compliance with the new federal water quality laws ,the Homeowner Association will need to begin the application process for a permit to discharge to groundwater. The Homeowners Association should be aware of the future high costs of this type of permit which requires monitoring wells, another permit fee and routine sampling fees. It is possible that a minimum of 4 monitoring wells would be required. There would be the initial cost of drilling these monitoring wells and then monthly sampling fees of possibly $400/ mo ($100 per well). An option would be to line the sewage lagoons, also costly, but a one time cost which over the long term might be more cost effective. With regards to Parcel A & B, whenever a mobile/manufactured home or the commercial facilities is expanded, the owner will be required to provide a letter to the Aspen/Pitkin Environmental Health Department from the Homeowners Association stating that they have adequate sewage disposal system capacity to meet any increased demands. If the Ranch manager unit wants to use the waste water treatment plant, the lot owner will be required to provide a letter to the Aspen/ Pitkin Environmental Health Department from the Homeowners Association stating that they have adequate capacity to meet any increased demands. The single family residence and possibly the Ranch manager unit will be served by individual sewage disposal systems. All such systems installed within Pitkin County require permits issued by the Environmental Health Department, and must comply with the Pitkin County Individual Sewage Disposal System Regulations. To receive a permit, the applicant will need to submit an application and appropriate fee with a completed Soil Data Form including percolation test results and profile hole information. It must be possible to design an adequate sewage disposal system before a building permit can be issued. The Aspen/Pitkin Environmental Health Department will design the system for the applicant as part of the permit fee, if an engineered system is not required. We will do a site visit, advise the applicant about the best location for the system and provide a system design. We will determine if an engineered system is needed based on soil test results. An engineered system is required if any one of the following conditions occurs: P.idN—R—'h NM CI0045 a percolation rate faster than 5 mpi or slower than 60 mpi; maximum seasonal level of the groundwater table or bedrock less than four feet below the bottom of the proposed absorption system; or a slope in excess of 30%. Activities such as road building and landscaping may require a Fugitive Dust Plan. This plan would need to include, but is not limited to, fencing, watering of haul roads and disturbed areas, daily cleaning of adjacent paved roads to remove mud that has been carried out, speed limits, or other measures necessary to prevent windblown dust from crossing the property line or causing a nuisance. The applicant must file a fireplace/woodstove permit with the Environmental Health Department before a building permit will be issued. The less densely populated parts of the county like Watson Divide may have two devices per building: a maximum of one wood burning fireplace and a second device which can be either a gas log fireplace or a certified woodstove. In addition, unlimited numbers of decorative gas appliances are allowed. Coal may not be burned in any device. No wood burning device may be installed in barns or agricultural buildings. Any remodeling that affects the firebox of a fireplace will necessitate that the device meet current regulations. Gentlemen: As requested, we met with you at the subject site on August 29, 1994 to observe the existing steep slope located below the sewage lagoons and above Highway 82. We understand the State Highway Department plans to cut into the steep slope as part of Highway 82 widening. The purpose our site visit was to assess the possible impact of the proposed grading with regard to the embankment stability and the sewage lagoons. The existing embankment is about 30 feet high and slopes down at about 1 1/2 horizontal to 1 vertical from a relatively flat topographic bench where the sewage lagoons are located. The existing slope is sparsely vegetated with brush and weeds. The soil exposed in the road cut appears to be alluvial terrace -sand and gravel with cobbles and boulders. There is no evidence of water seepage on the slope. The sewage lagoons are about 10 to 12 feet deep. The lagoons are lined with clay and have reportedly not experienced any seepage problems. The proposed slope grading will lay back the slope to approximately 2:1. The toe of the slope will remain where it is. The top of the slope will be within about 30 feet of the nearest sewage lagoon. Based on our observations at the site and the proposed construction, the regrading of the slope above Highway 82 should not adversely affect the performance of the lagoons. The proposed cut slope will be closer to the lagoon but somewhat flatter than the existing slope and should not reduce the overall stability. Moving the top of the cut about 15 feet closer to the lagoons should not affect the pond liner but if seepage loss through the liner were to occur, the risk of discharge on the slope face could be greater than at present. A. ASPEN VILLAGE MOBILE HOME PARK WATER SYSTEM. Your memo sets forth four (4) conditions requiring satisfaction by the applicant. Each of these are addressed as follows: 1. October 24, 1991 Annual Inspection Letter Relating to the Water Treatment Facilities. Kelly Gessele, under whose license the water and sewer systems are operated, has repaired the inverted "U" vent as well as the concrete pad around the water well heads. Tom Coutts, Manager of the Mobile Home Park, will contact Mr. Gessele and request a letter confirming these repairs. I will provide you with a copy upon receipt. 2. Transfer of Ownership of the Water Wells, Water Rights, etc. The contract of purchase and sale between our client, Aspen Village, Inc., and the Aspen Village Homeowners' Association, provides that the entire water system as well as the sewer system will be conveyed to the Homeowners' Association simultaneously with the conveyance of the real property comprising the Mobile Home Park itself. These conveyances cannot take place until the final subdivision plat is first recorded, otherwise the real property transfer would violate Pitkin County's Subdivision regulations. If you would like a copy of the purchase and sale agreement, let me know. 3. Relationship of the Water Wells to the Sewer Lagoons. I will provide you, hopefully by the end this week, a print prepared by Schmueser, Gordon, Meyer showing the location of the water wells and water line northerly of Highway 82, together with a print of the subdivision plat presently being prepared by Aspen Surveys Engineers showing the location of the sewer lagoons within the Mobile Home Park. These two maps will clearly show the great distance between the water wells and the sewer lagoons. 33nn53 0 0 HOLLAND & HART LLP ATTORNEYS AT LAW Nancy MacKenzie April 15, 1996 Page 2 Secondly, I have requested copies of two drilling reports, one prepared for Aspen Village, Inc. by Schmueser, Gordon, Meyer, Inc. and the second performed by the Colorado Department of Transportation in connection with its highway alignment work. The drilling was done to determine whether the sewer lagoons were leaking (CDOT wanted the information to determine how close the new alignment of Highway 82 could be placed with respect to the sewer lagoons and Aspen Village wanted the information for its own purposes). Both reports confirm the area down-slope from the lagoons to be dry. As soon as I have these reports, I will provide you with copies. 4. Water System Up -Grades. No State permits were required for the up -grades done to the Mobile Home Park water system last summer by Aspen Village, Inc. The work was performed under the supervision of Dean Gordon of Schmueser, Gordon, Meyer, Inc. and the installation of the new chlorination station, etc. was done by Kelly Gessele and Kevin Madison. For your information, the work involved the following: a. Installation of two new pumps (10 HP/100 GPM) on the two existing water wells. b. New chlorination station adjacent to the well house which was connected to the new 6" water line. C. A 3 phase electric line was extended under Highway 82 to the ~ new well pumps. d. Two 12" holes were bored under Highway 82 to house the new 6" water line and the new three phase electric line and water system controls. B. ASPEN VILLAGE SEWER SYSTEM. Your memorandum lists several matters needing attention before the final subdivision plat is approved. These are addressed below. First, however, let me correct one matter; the Land Use Application on Page 22, Section I, erroneously states that up -grades were being performed on the sewer system. No up -grades of any significance took place to my knowledge. Thus, no permits are available to provide to you. 1. Colorado Department of Health April 21, 1995 Annual Inspection Letter. Tom Coutts informs me that Kelly Gessele has performed the necessary repairs to the lift station to bring it into compliance with the State's requirements and that Kelly has calibrated the flow measuring equipment. Kelly Gessele will confirm this in writing and I will provide a copy of the confirmation to you when I receive it. nnn05L� HOLLAND & HART LLP ATTORNEYS AT LAW Nancy MacKenzie April 15, 1996 Page 3 E As far as the Discharge Permit is concerned, the copy I have (dated August 27, 1993) shows the legal owner as Aspen Village, Inc., which is correct. It also shows the Facility Contact person to be Kelly Gessele, which is also correct. The only correction needed would be with respect to the identity of the President of Aspen Village, Inc. as the "Legal Contact" person. That person is now John Turner and no longer Armand Bartos. Within the next forty-five days, however, upon the conveyance of the Aspen Village Mobile Home Park to the Homeowners' Association, the legal contact person will change. It seems appropriate for the permit to be amended at that time rather than amend it now and again in forty-five days. 2. Determination as to Whether the Sewer Ponds are Leakine. The information I indicated above in Paragraph A.3. of this letter should satisfy you in this regard. /U�r✓ 3. Starting of the Renewal Process of the Discharge Permit. I understand that this process must be started once the Homeowner's Association becomes the owner of the Mobile Home Park and the sewer facilities. As indicated above, the Association will become the owner of the sewer system in approximately 45 days and will likely start the renewal process immediately following the closing.
