Tenn of Contract The term of this contract is from May 1, 2017 to October 15, 2017. At the expnation of the initial team the conte act may be extended for four(4)additional terms of one(I) year by the express written consent of both parties II Contractor's Obligations Contractor shall provide Noxious Weed Management Services foi various locations throughout the County. Treatment of noxious weeds shall occur as spot-heahnents, with every seasonable effort made to prevent non-target plants from being sprayed All heibicide mixes shall include marker dye Noxious Weeds shall be treated in such a manner as to prevent plant propagation, before seed-set and in accordance with timing specified on the herbicide label. The only exception is in the case of a second heibicide treatment, in which case perennial weeds in seed may he treated in order to suppress mot growth. Scope of work shall pertain to herbicide tseatment of all weeds listed on the Pitkin County Noxious Weed Last and any additional Coloiado List A and List B Noxious Weeds which may be found during the course of the season. These plants shall be referred to herein generally as"Noxious Weeds" PITKIN COUNTY RIGHTS-OF-WAY 1. Base Scope: One herbicide treatment of Noxious Weeds in County and select County-managed US Forest Service rights-of-way(ROW). Proper signage,traffic control,and use of beacons arc required during all work within County ROW. Contractor shall coordinate all ROW spaying with the County Road and Bridge Mowing operations. REPORTING Pesticide Application reports shall be completed with each application,in accordance with the Colorado Pesticide Applicator's Act and National Pollutant Discharge Eliminations Systems(NPDES) Permit and their accompanying Rules and Regulations. Contractor needs to provide the following infounation in their data: • Weeds sprayed on ROW throughout the county. • Weeds splayed on General Fund properties within the County. Weed data needs to reflect the type of spray equipment used to access each plotted weed location. Fees arc to remain the same for the entire Contract term. III. Compensation and Expenses Invoicing,Payment and OIThet The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph II. It is expressly understood and agreed that in no event will the total compensation and reimbursement to he paid hereunder exceed the sum of thirty-seven thousand one hundred fifty-two dollars and zero cents($37,152.00)for all services rendered. By contract or amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contactor shall invoice for the project monthly based on hours worked, with payment expected within thirty(30)days of invoice.Any payment by the County may he offset by any amount the Contractor owes the County for any reason. IV. County's Exclusive Ownership off Work Product. Drawings, specifications, guidelines and other documents prepared by Contracln in connection with this contract shall be the property of the County. However,eve',Contractor shall have the right to utilize such documents as the course of its maketing,professional presentations.and for other business purposes. Contractor assigns to County the copyrights to all work prepared, developed,of created pursuant to this contract, including the nght to: I I reproduce the work; 2) prepare derivative works; 3) distribute copies to the public; 4)perform the works publicly;and 5) to display the work publicly, Contractor shall have right to use materials produced in the course of this contract for marketing purposes and professional presentations,articles,speeches and other business purposes. 5 Contract#065 2017 newsion 02/13/2016rm Budget Line Item#001.66,00000 82008 V. Pitkin County's Obligations. Pitkin County shall administer this contract through a County Representative. Melissa Sever, Public Works Office and Weed Program Manager will manage the protect as the County's Representative. In the event that Melissa Sever is not available, an alternate person will be identified and shall assume the County Representative's duties. The set vices provided and pioducts delivered by the Conti actor under this contact will be subject to review by the County's Representatives, or a designee, fm compliance with Contractoi's obligations pi to final payment VI. Telinitiation Pi for to Expiration of Contract Term. The County has the right to terminate this conte act,with or without cause,by giving written notice to the Contractoi of such termination and specifying the effective date thereof.Such notice shall be given at least ten (10) days befine the effective date of such termination. In such event all finished or unfinished documents, data, studies and reports prepared by the Conti actor pursuant to this contract shall become the County's property. Contractor shall be entitled to receive compensation in accordance with the contract for any satisfactory work completed pursuant to the turns of this contract prior to the date of termination Notwithstanding the above, Contractor shall not he ielieved of liability to the County for damages sustained by the County by virtue of any hi each of the contract by the Contractor VII. Independent Contractoi Status A The parties to this contract intend that the relationship between them contemplated by the contract is that of independent contractor. Contiactor, and any agent, employee, or servant of Contiactot shall not be deemed to be an employee, agent, or servant of Pitkin County. 13 Contractor is not I equimd to offer his services exclusively to Pitkin County under tins contract. Conti actor may choose to work for other individuals or entities during the term of this contact, provided that the basic services and deliverable products required under this contract are submitted in the manner and on the schedule defined under this contract. C. Contactor warrants that all work produced will conform to all applicable induaty standard of care, skill and diligence in the performance of Contractor's obligations under this contract. D. Conttactoi shall not attempt to oversee o' supervise the work or actions of any Pitkin County employee, servant ora agent in the course of completing work under Ibis contra act E. Assignability. This contract is not assignable by either party. Any use of subconuactots by the Contractor for performance of this contract must be accepted in writing by the County LX. Severability. In the event that ally provision of this contract shall be held to be invalid of unenforceable, the remaining provisions of this contract shall remain valid and binding upon the parties hereto. X. Integration awl Modification. A. This contract represents the entire and integrated contract between the County and the Contractor and supersedes all prior negotiations, representations, or contract, eithei written or oral.This contract may be amended only by wri.ten contract signed by both the County and the Conti actor. B. The County may, from time to time,request changes in the scope of services of the Couuactor to be performed hereunder. Such changes, including the increase or decrease in the amour,[ of the Contraciot's compensation, which aye mutua'.ly agreed upon between the County and the Contractor, shall be in writing and upon execution shall become part of this contract. XL Indemnity, A. The Contractor agrees to indemnify,hold harmless and,not excluding the County's right to participate, defend the County, its subsidiary, patent, associated and/or affiliated entities, successors, or assigns, its elected officials,tmstees, employees, agents, volunteers, and any jtuisdtction or agency issuing permits for any work included in the project, hereinafter referred to as indemnitee, from all suits and claims, including attorney's fees and cost of litigation, actions, loss, damage, expense,cost or claims of any character or any nature arising out of the work done in falfiflment of the terms of this Contract or on account of any act,claim or amount arising or recovered under worker' compensation law of arising out of the fallow of the Contractor to confonn to any statutes, ordinances, regulation, law or court decree. It is agreed that the Contractor will he responsible for primary loss investigation,defense and judgment costs where this contract of indemnity applies. In consideration of the award of this contract, the Contractor agrees to waive all rights of subrogation against the County its subsidiary, parent, associated andcor affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents,and volunteers fit losses arising from the work pet-Limed by the Contractor fen the County. B. XV. Cont act Made in Colorado. The parties agree that this contract was made in accordance with the laws of the State of Colorado and shaih be so construed. Current Year Obligations The parties acknowledge and avec that any payments provided for hereunder or tequiremenis for future appropriations shall constitute only currently budgeted expendituics of Pekin County.
