Title Officer Contract#180.2017 aev,.mn 02/13/2017ejm Budget Line Item# ,(1 ® Y 0 1 k I N Cie COU !% 1'ti e PITKIN COUNTY CONTRACT FOR PROVISION OF SERVICES PROFESSIONAL CUSTODIAL SERVICES THIS CONTRACT, made May 30, 2017 by and between the Board of County Commissioners of Pitkin County, Colorado. 123 Emma Rd., Suite #106, Basalt, CO 81621, (hereinafter called the "County") and US Cleaning Professionals, P.O Box 1285, Dillon, CO 80435 (hereinafter called the "Contractor") to perform the following work Aspen/Pitkin County Airport Professional Cleaning Services ("Project"). Term of Contract: The term of this contract is from July 13, 2017 to July 12, 2018. At the expiration of the initial term, the contract may be extended for four(4) additional terms of one(I ) year by the express written consent of both parties. Contractor's Obligations. Contractor shall provide custodial services to the Aspen/Pitkin County Airport ("Airport"), located at 0233 E Airport Road, Aspen, CO 81611, and the Airport Operations Center("AOC"), located at 1001 Owl Creek Road. Aspen, CO 81611, seven(7) days a week. Contractor shall supply all labor,equipment and consumable items required to fulfill the work described hereinafter. Services shall include hut are not limited to the below, (Exhibit A for full scope, hours of operation,frequency and expectations beyond what is described below): Empty trash receptacles.Clean drinking fountains. Sweep and damp mop or scrub bathrooms.Clean all toilet fixtures and stalls, and replenish toilet supplies Dispose of all trash and garbage generated in or about the building Sweep floors and vacuum carpet, in entrances, lobbies, stairs, elevators, meeting rooms, and corridors Dust honzontal surfaces Vacuum all carpets. Spray buff resilient floors in kitchen, bathrooms and entrances Thoroughly dust furniture. Sweep storage space. Spot clean all wall surfaces within seventy(70)inches of the floor Wash all trashcans in offices,public areas,break room(s), eating and vending area(s), and all hallway trasheans Damp wipe toilet wastepaper receptacles. stall partitions, doors, windowsills. and frames Wash all interior windows on entryways. Strip and apply tour coats of finish to resilient floors in toilets. Strip and refinish main entryways and kitchen and other heavily trafficked areas. Wash all blinds and then dust six months from washing. Vacuum or dust all surfaces in the building up to eighty-four (84) inches from the floor, including light fixtures. Vacuum all furniture in place. Spot clean furniture stains Spot clean carpets in public areas. elevators, stairways, offices and lobbies. Clean balconies, handrails, ledges, areaways, and public counters. All work is to be completed per the schedule as 1 Contract#180.2017 Remcmn 02/13/2017kim Budget Line Item# found in Exhibit B (Task Specification and Schedule) and Exhibit C IAOC Task Specifications and Schedule) In the event the Contractor has not responded within the allotted ninety(901 minutes to telephone contact, or the Contractor has not initiated corrective action for the unsatisfactory cleaning performance within the twenty-four(24)-hour time frame after notification as described above,the County has the right to immediately complete the work to its satisfaction, through use of County employees at a rate equal to the County employee's rate of time and a half the hourly wage, or through use of outside Contractor at the rate charged to the County plus twenty-percent (20%) and shall deduct that amount from any balances due or which may become due to the Contractor. Contractor shall provide an on-site shift supervisor/leader, fluent in English. to work with custodial staff each day, monitoring progress throughout the facility. County prefers at least one worker speak, read and understand English and/or one English speaking on-site supervisor/leader must he available for translation for fire department or other County employees as needed. Holidays: The Airport and AOC is open to the public year-round Custodial services will be required on all national holidays,unless otherwise negotiated prior to execution of the contract. Training: Any changes in staffing for the cleaning service, the County requires notification within three 13) days of any changes in staffing, including required documentation and security clearances. All new staff by the contract, shall be trained and supervised by the Contractor to ensure consistent practices, standards and quality Ill. Compensation and Expenses, Invoicing,Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph II. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of four hundred thirty-four thousand twenty four dollars and zero cents ($434,024.00) for all services rendered By contract or amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty(30) days of invoice. Any payment by the County may he offset by any amount the Contractor owes the County for any reason IV. County's Exclusive Ownership of Work Product. Drawings, specifications, guidelines and other documents prepared by Contractor in connection with this contract shall be the property of the County. Contractor shall have right to use materials produced in the course of this contract for marketing purposes and professional presentations, articles, speeches and other business purposes. V. Pitkin County's Obligations Pitkin County shall administer this contract through a County Representative Fil Meraz,Director of Operations will manage the project as the County's Representative. In the event that Fil Meraz is not available,Scott Benesh, Airport Facilities Manager shall assume the County Representative's duties The services provided and products delivered by the Contractor under this contract will he subject to review by the County's Representatives, or a designee, for compliance with Contractor's obligations prior to final payment. VI. Termination Prior to Expiration of Contract Term The County has the right to terninate this contract,with or without cause,by giving written notice to the Contractor of such termination and specifying the effective date thereof Such notice shall be given at least ten (10) days before the effective date of such termination In such event all finished or unfinished documents, data, studies and reports prepared by the Contractor pursuant to this contract shall become the County's property. Contractot shall be entitled to receive compensation in accordance with the contract for any satisfactory work completed pursuant to the terms of this contract prior to the date of teumnation Notwithstanding the above, Contractor shall not be relieved of liability to the County for damages sustained by the County by virtue of any breach of the contract by the Contractor VII. Independent Contractor Status A. The parties to this contract intend that the relationship between them contemplated by the contract is that of independent contractor. Contractor, and any agent, employee, or servant of Contractor shall not he deemed to be an employee, agent, or servant of Pitkin County. B. Contractor is not required to offer his services exclusively to Pitkin County under this contract. Contractor may choose to work for other individuals or entities during the tenn of this contract, provided that the basic services and deliverable products required under this contract are submitted in the manner and on the schedule defined under this contract C. Contractor warrants that all work produced will conform to all applicable industry standard of care. skill and diligence in the performance of Contractor's obligations under this contract. D. VIII Assignability. This contract is not assignable by either party. Any use of subcontractors by the Contractor for performance of this contract must he accepted in writing by the County IX. Se'erability In the event that any provision of this contract shall be held to be invalid or unenforceable, the remaining provisions of this contract shall remain valid and binding upon the parties hereto. X. Integration and Modification. A. This contract represents the entire and integrated contract between the County and the Contractor and supersedes all prior negotiations, representations, or contract, tither written or oral This contract may be amended only by written contract signed by both the County and the Contractor. B. The County may, from time to time,request changes in the scope of sere ices of the Contractor to be performed hereunder Such changes, including the increase or decrease in the amount of the Contractor's compensation, which are mutually agreed upon between the County and the Contractor, shall be in wnting and upon execution shall become part of this contract. X I. Indemnity. A The Contractor agrees to indemnify, hold harmless and, not excluding the County's right to participate, defend the County, its subsidiary, parent, associated and/or affiliated entities, successors, or assigns, its elected officials, trustees, employees, agents, volunteers, and any jurisdiction or agency issuing permits for any work included in the project, hereinafter referred to as indemnitee, from all suits and claims, including attorney's fees and cost of litigation. actions, loss, damage, expense, cost or claims of any character or any nature arising out of the work done in fulfillment of the terms of this Contractor on account of any act,claim or amount arising or recovered under workers' compensation law or arising out of the failure of the Contractor to confomi to any statutes, ordinances, regulation, law or court decree. It is agreed that the Contractor will he responsible for primary loss investigation,defense and judgment costs where this contract of indemnity applies. XII. Insurance. Contractor and subcontractors shall procure and maintain until all of their obligations have been discharged, including any warranty periods under this Contract are satisfied,insurance against claims for injury to persons of damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor. its agents, representatives, employees or subcontractors. The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in this Contract. The policies shall include, or be endorsed to include, the following provision: On insurance policies where the County is named as an additional insured, the County shall be an additional insured to the full limits of liability purchased by the Contractor even if those limits of liability are in excess of those required by this Contract. The County in no way warrants that the minimum limits contained herein are sufficient to protect the Contractor from liabilities that might arise out of the performance of the work under this Contract by the Contractor, its agents, representatives, employees, or subcontractors. The Contractor shall assess its own risks and if it deems appropriate and/or prudent,maintain higher limits and/or broader coverages. Simultaneously with the Certificates of Insurance, the Contractor shall file with the Project Lead a certified statement as to claims pending against the required coverages, reserves established on account of such claims, defense costs expended and amounts remaining on policy limits 2) In addition, these Certificates of Insurance shall contain the following clauses: a The contractor's Insurance shall be primary and non-contributory with any insurance or self-insurance purchased by the County. b. The Insurance companies Issuing the policy or policies hereunder shall have no recourse against the County of Pitkin for payment of any premiums or for assessments under any form of policy. c. Any and all deductibles or self-insured retentions in the above- described insurance policies shall be assumed by and be for the amount of, and at the sole expense of the Contractor. d. Location of operations shall he: "all operations and locations at which work for the referenced Project is being done." 3) Certificates of Insurance for all renewal policies shall be delivered to the County's Representative at least fifteen (15) days prior to a policy's expiration date except for any policy expinng on the expiration date of this contract or thereafter 41 The County reserves the right to request and receive a copy of any policy and any policy endorsement at any time during the term of this contract XIII. Pitkin County is exempt from such taxes under registration numbers 98-02624 and 84-78000-5k. XIV. Records. The Contractor shall maintain comprehensive, complete and accurate hooks, records, and documents concerning its performance relating to this contract for a period of three (3) years after final payment under the contract and the County shall have the right within the three(3)year period to inspect and audit these books,records and documents, upon demand, in a reasonable manner and at reasonable times, for the purpose of determining, by accepted accounting and auditing standards, compliance with all provisions of the contract and applicable law XV. Contract Made in Colorado. The parties agree that this contract was made in accordance with the laws of the State of Colorado and shall be so construed. Venue is agreed to be exclusively in the courts of Pitkin County, Colorado XVI. Attorney's Fees. In the event that legal action is necessary to enforce any of the provisions of this contract, the substantially prevailing party shall be entitled to its costs and reasonable attorney's fees. XVII. Governmental Immunity. Contractor agrees and understands that Pitkin County is relying on and docs not waive, by any provision of this contract, the monetary limitations or terms (presently SI50,000 per person and 4600,000 per occurrence) or any other rights, immunities, and protections provided by the Colorado Ciosemmental Immunity Act, 24-10-101, et seq., C.R S , as from time to time amended, or otherwise available to Pitkin County or any of its officers, agents or employees Further, nothing in this contract shall he construed or interpreted to require or provide for indemnification of the Contractor by the County for any injury to any person or any property damage whatsoever which is caused by the negligence or other misconduct of the County or its agent or employees. XVIII Current Year Obligations.The parties acknowledge and agree that any payments provided for hereunder or requirements for future appropriations shall constitute only currently budgeted expenditures of Pitkin County Pitkin County's obligations under this conti act are subject to Pitkin County's annual right to budget and appropriate the sums necessary to provide the services set forth herein No provisions of the contract shall constitute a mandatory charge or requirement in any ensuing fiscal year beyond the then current fiscal year of Pitkin County. No provision of the contract shall be construed or interpreted as ci eating a multiple-fiscal year direct or indirect debt or other financial obligation of Pitkin County within the meaning of any constitutional or statutory debt limitation This contract shall not directly or indirectly obligate Pitkin County to make any payments beyond those appropriated tor Pitkin County's then current fiscal year. Each party by notice sent under this paragraph may change the address to which future notices should he sent. If Contractor participates in the State program, Contractor shall deliver to the contracting State agency, Institution of Higher Education or political subdivision, a written, notarized affirmation, affirming that Contractor has examined the legal work status of such employee, and shall comply with all of the other requirements of the State program. If Contractor fails to comply with any requirement of this provision or §§8-175-101 et seq., C.R.S., the contracting State agency, institution of higher education or political subdivision may terminate this Contract for breach and, if so terminated, Contractor shall he liable for damages B. I MATERIALS AND EQUIPMENT The Contractor shall furnish all materials, equipment, training, and supplies necessary to perform said services; including all products for operational restrooms. The Contractor shall provide manufacturer's technical literature, specifications, and Material Safety Data Sheets on all materials to be used prior to commencement of services. Accurate MSDS will be maintained and a copy for each product shall be placed in each "Custodial Closet" or as designated by the County Representative. 2 GENERAL REQUIREMENTS The premises shall be maintained in a clean, safe and sanitary condition for public and employee use per the specified instructions herein. Compliance with the performance of the work to meet these specifications is the sole responsibility of the Contractor and shall be assured by systematic weekly inspection of the premises by a competent employee of the Contractor. Completion of the inspection form provided shall he submitted to the County Representative upon completion of said inspection. Any deficiencies shall be corrected within 24 hours or as agreed upon by the Contractor and the County Representative. The Contractor shall submit a monthly schedule to the County Representative when inspections are to be made so that the County Representative or assigned staff may accompany the Contractor if desired. The County Representative may request additional inspections at any time. Any discrepancies noted either from inspection reports or from County Representative shall be corrected within the next scheduled normal workday period. Services shall be provided in all areas of the premises except those areas specifically excluded by the Contract. When performing any services it is the Contractor's responsibility to ensure due diligence is practiced to insure a complete and thorough job The Contractor is to provide all the necessary equipment, products and training as required insuring compliance with the contract. Any damage to the premises observed by the Contractor should he reported to the County Representative immediately. Any damage caused by the Contractor shall be repaired, corrected or replaced at the sole expense of the Contractor and in a timely manner Exclusions: Snow removal, changing light bulbs, carpet replacement, plumbing, electrical or HVAC repairs 3 RECYCLING Office paper recycling containers are located throughout Airport. Recyclable materials shall be collected daily and deposited into approved collection bins in the alley. The recycle bins and trash cans must be secure and locked after each use. Cardboard shall be stored outside the recycle bins in the alley, the County will haul them to the recycle center as needed. 4 TIME OF SERVICE The schedule for the Airport shall be as follows. • Winter Season. Hours shall be seven (7) days a week, 5:30 a.m to 10:00 p.m., or until the last schedule departing commercial air carrier flight has departed the Airport,or the last delayed,which is usually never past Airport curfew(1 1.30 p.m ) Winter Season is defined as beginning Thanksgiving Day until the Aspen Ski Resorts close, typically mid-April • Spring Season: Hours shall be seven 7) days a week, 5.30 am to 06:00 p.m., or until the last schedule departing commercial air tamer flight has departed the Airport,or the last delayed,which is usually never past Airport curfew 1 1130 p m ). Spring Season is defined as the day after the Aspen Ski Resorts close until Memonal Day. • Summer Season: Hours shall be seven (7) days a week, 5:30 a.m. to 0800 p.m., or until the last schedule departing commercial air carrier flight has departed the Airport,or the last delayed,which is usually never past Airport curfew(11.30 p m ). Summer Season is defined as the day after Memorial day until Labor Day. • Fall Season Hours shall be seven (7)days a week, 5:30 a m to 06:00 p.m., or until the last schedule departing commercial air carrier flight has departed the Airport, or the last delayed, which is usually never past Airport curfew (11.30 p.m.). Fall Season is defined as the day after Labor Day until the day before Thanksgiving Airport Operations Center: • Sunday through Saturday: Hours shall he 5:30 a.m. to 10 00 p m The Airport and AOC are open to the year-round. Custodial services will he required on all national and local holidays, unless otherwise negotiated prior to execution of the contract. Dates of service must he indicated on Daily Checklist to be submitted with monthly invoices. County reserves the right to adjust the date of periodic services at its sole discretion. 5. AIRPORT EMERGENCY NOTIFICATION Airport staff shall be responsible for emergencies that arise such as broken pipes, over flowing toilets or clogged drains, inoperative heating, etc., that might occur in the terminal The Contractor shall be responsible for contacting Airport staff in the event of such emergencies immediately to prevent damage to the facility The Contractor shall notify the Airport staff through a method approved by the Airport in the event of such emergencies to prevent damage to the facilities. 6. EMPLOYEE IDENTIFICATION, KEYS AND BUILDING ACCESS A. All Contractor's employees assigned to and working at the Airport and AOC must successfully pas a 10-year fingerprint based criminal history records check ("CHRC") as required by Transportation Security Regulation 1542.209 and successfully complete an English-language, computer-based security training provided by the Airport. The CHRC and security training must be completed successfully prior to any employee of the Contractor beginning work at the Airport. Contractor's employees may not he escorted. B. Building keys will only be issued to Contractor supervisor/leads. Airport-issued identification badges will be issued to all Contractor's employees assigned to the Airport. All keys and identification badges are and will remain the property of Aspen/Pitkin County Airport Duplication of keys is prohibited C The Contractor is responsible for providing to the County Representative a current list of employees. It is the responsibility of the Contractor to notify the County Representative of changes to the employee listing within 24 hours. D. All employees are to wear a uniform shirt furnished to all employees by the Contractor and worn by all Contractors' employees while on premises, no exceptions E. Access to designated restricted areas is prohibited by Contractor's employees. The County Representative shall designate restricted areas. All doors shall be locked on completion of cleaning. F. Only authorized Contractor employees are allowed on the premises of the Airport. Contractor employees are not to be accompanied in the work area by acquaintances,family members, assistants or any other person unless said person is an authorized Contractor employee. G. The Airport remains the right to have any Contractor employee removed from the premises for any reason. Said reason does not have to be disclosed to the Contractor. 7. DEFINITION OF TERMS Term Definition AS APPLICABLE Performance of a service as deemed necessary in order to maintain appearance. AS NEEDED Where the term "AS NEEDED" is used herein, the decision as to the extent of service provided is left to the judgment of the person performing the task or as directed by supervision CARPET PILL LIFTING The removal of dried soil and grit from the carpet by means of a power pile brush. Used between cleanings to rejuvenate carpet. CLEAN The removal of all tbreign dirt or soils from any surface by means of damp sponge, rag or other cleaning utensil and the appropriate approved cleaning agent. DISINFECT To free from infection especially by destroying harmful microorganisms DRY CLEAN To remove soils by means of appropriate chemical solvents and pre-approved methods. DUST MOP The removal of loose dirt and debns from non-carpeted floor surfaces by means of dry or oiled dust mops MACHINE SCRUB The cleaning and refinishing of floor surface by specialized power cleaning equipment. POLISH The refurbishing of special surface finishes, such as metal, woods, etc., by the rubbing of the surface with the appropriate approved utensil and chemical agent to produce a high degree of luster and surface protection. RECYCLING The collection of office paper, magazines, aluminum cans and plastic bottles as a means of diverting these items from the County's waste stream. REFINISH The application of material to any surface. REPLENISH The placement of consumable supplies in appropriate dispensers. SANITIZE The application of an appropriate approved germicidal cleaning agent either as an integral step in the cleaning process or as a post application after cleaning. SHAMPOO The restorative cleaning of carpet or upholstery including the application of protective treatment by means of dry or wet chemicals and approved techniques. SPRAY BUFF fhe spraying of a light coating of finish on a floor surface while agitating with a buffing machine with appropriate pads, to provide a luster finish. SPOT CLEAN A spot is a foreign substance on the surface of the carpet fibers and can be removed by approved chemical or mechanical action. The removal of any foreign substance from small areas of carpeted floor surfaces, as needed, by means of approved carpet cleaning methods and cleaning products. Spot cleaning is to be performed in all areas of the facility on a daily basis. SPOT REMOVAL Spots arc to be removed from any carpeted area on a daily basis using only pre-approved methods and chemicals UPHOLSTERY The removal of stains and soiled spots on upholstered furniture by means of the appropriate approved method and cleaning agents OTHER SURFACES The removal of soil from walls, switch plates, glass,doorjambs, doors, etc., by means of sponge and mild cleaning agents. SWEEP The removal of loose dirt and debris from masonry, composition, tile or other non-carpeted floor surfaces by means of brooms or vacuuming TOPSCRUB/SCRUB The removal of top layer of finish and application of a new finish to any surface. TRASH The removal of all discarded materials in wastebaskets and/or other trash receptacles from all areas of the building and depositing in approved trash receptacles outside the building. This includes any and all containers marked trash. VACUUM The removal of loose dirt, liquid, and debris from floors or other surfaces by means of vacuum cleaner and appropnate attachments. WASH The cleaning of an item by dipping, scrubbing, and rinsing in water with appropriate chemical agents added. WET MOP The removal of adhered dirt or other material from masonry, composition, tile, or other non-carpeted floor surfaces by means of sponge or string mops using mild cleaning agents dissolved in water. QUARTERLY 4 times per year; cleaning services must commence during the first week of September, December, March and June. SEMI-ANNUAL 2 times per year, cleaning services must commence during the first week of November and April. ANNUAL Cleaning services must commence one time per year. 8. METHOD OF PAYMENT The Contractor will be paid on a monthly basis in arrears. Invoices must contain the contract number Disputed claims will be negotiated by the Contractor and the County Representative and resolved prior to approval of the invoice by Pitkin County for payment Purchase card account payments may also be set up with Pitkin County. The Contractor shall submit monthly invoices to. Aspen/Pitkin County Airport Airport Controller 0233 E. Airport Road, Suite A Aspen, Colorado 81611 9. CONTRACTOR'S PERFORMANCE A. REQUIREMENTS The Contractor shall furnish all necessary trained personnel. supervision, scheduling. equipment, cleaning chemicals, vacuums, supplies, bathroom supplies and other accessories required to perform the custodial services at the at the Airport as designated in the Scope of this REP and all ATTACHMENTS All work shall he performed in strict accordance with the conditions, provisions, standards, and specifications described herein. B. QUALITY AND ACCEPTABILITY OF WORK The County County Representative or their authorized representative shall decide all questions, which may anse as to the quality and acceptability of any work, performed under the resultant contract. If, in the opinion of the County County Representative performance becomes unsatisfactory, the County shall notify the Contractor, its authorized representatives, or agents C UNSATISFACTORY CLEANING PERFORMANCE Upon notice of unsatisfactory cleaning performance. the Contractor will have twenty-four (24) hours from that time to initiate corrective action in any specific instance of unsatisfactory cleaning performance. In the event the Contractor has not responded within the allotted ninety (90) minutes to telephone contact, or the Contractor has not initiated corrective action for the unsatisfactory cleaning performance within the twenty-four(241-hour time frame after notification as described above, the County has the right to immediately complete the work to its satisfaction, through use of County employees at a rate equal to the employee's hourly rate plus twenty-percent (20%) for County administrative costs, or through use of outside Contractor at the rate charged to the County plus twenty-percent (20"0 and shall deduct that amount from any balances due or which may become due to the Contractor. D SHORTAGE OF CLEANING SUPPLIES Should the Contractor not furnish the proper supplies, the County will make a one-time purchase of the needed supplies and charge them against the Contractor's invoice at the County's cost, including Airport staff time, plus twenty percent (20%) If the Contractor does not provide proper supplies after this action, then the Contractor will be in danger of default. 12. DEFAULT A. Repeated incidents of unsatisfactory cleaning performance, shortage of hours, or failure to comply with other terms of the contract will result in a recommendation for termination for default by the County Representative. B. If the Contractor receives three (3) or more deductions, adjustments or applications of liquidated damages within any thirty (30)workday periods or more than a total of twenty (20) deductions during a twelve(12) month period, the contract may be automatically terminated for default. C. Termination for default of any portion of the contract shall result in termination of the entire contract for default. 13. ADDITIONAL AIRPORT REQUESTED CUSTODIAL SERVICES In the event that other Custodial Services, in addition to or separate from the services specified herein. may he deemed necessary by the County Representative or authorized representative, the Contractor may be requested to perform the additional or special service. The County on the basis of the hourly labor rate specified by the Contract will reimburse the Contractor Proposal Price Schedule, plus the cost of the materials needed for the cleaning services beyond those required for regularly scheduled services. 14. CONTRACTOR'S EMPLOYEES A. All employees and representatives of the Contractor's company must be fluent enough in the English language to read and understand chemical labels and signs as well as converse intelligibly with County management and other personnel. The Contractor's supervisor/leader must be fluent in the English language: both verbally and in writing. B. The Contractor hereby agrees that any of its employees who may be assigned to the Pitkin County buildings to satisfy Contractor's obligations under this Contract shall he used exclusively for that purpose during the hours when they are working in areas covered by this contract and shall perform no other custodial work at Pitkin County facilities for this contract. In the event that other custodial services. in addition to or separate from the service specified herein.may be deemed necessary by the County Representative or his authorized representative, the Contractor may be requested to perfonu the additional or special service. The Contractor will be reimbursed by the County on the basis of the hourly labor rate specified by the Contractor in the Proposal Price Schedule of this agreement, plus the cost of the materials needed for the addtional leaning services 15. TYPE OF WORK SUPERVISION The Contractor shall protide on-site supervision to assure competent pertoimance of the Work during the scheduled hours, Also the Contractor or authorized agent will make sufficient routine inspections to ensure that the work is perfonned an required by this Contract. The supervisorileader must he literate and fluent in the English language, because of the necessity to read chemical labels,job mstrurtions and signs,as well as the need for cornet-sing with Airport personnel. 16. INSPECTIONS A. The County Representative or designee will conduct random inspections of the area covered under this contract B. The County Representative and the Contractor Supervisor or higher official shall conduct mint inspections of each location on a monthly basis. The date and time shall be mutually agreed upon. 18. DELIVERY OF SUPPLIES Because the Airport is providing services, which involve the safety, welfare, and convenience of the general and traveling public, delivery time is of the essence. Delivery must be made in accordance with the delivery schedule promised by the Contractor and agreed to by the County Representative. 19. SAMPLES/DEMONSTRATION The Contractor may be required to furnish a sample of the goods and/on demonstration of the services to be provided Any sample submitted and/or demonstration performed shall create an express warranty that the whole of the goods/services shall conform to the sample demonstration. All samples become the property of the County unless designated otherwise by the Contractor. 20 ENERGY CONSERVATION The Contractor shall practice energy conservation and all lights must be turned off when finished in each area and before leaving the building at night, all windows and doors shall be closed if found open when cleaning. Do not turn on computers or use other electronic equipment owned by the county. 21 STORAGE SPACE A. The Contractor may store supplies, materials and equipment in storage area on the Pitkin County facility premises designated by the County. The Contractor agrees to keep its portion of this storage area in accordance with all applicable fire regulations The use of County storage facilities will be on a space available basis and subject to the approval of the County Representative. B. No materials or equipment shall be stored or temporarily set in restrooms or other spaces accessible to the public 22 END OF CONTRACT REVIEW A. Approximately ten (10) days prior to the end of the contract, the Contractor's representative and the County Representative will schedule a walk through inspection of the facilities to review cleanliness B. If the cleanliness level of a facility is below that of the cleanliness standards established by the terms, conditions, and provisions of the contract, the County will hold the last monthly payment for that facility until the cleanliness standards are met. 23 SAFETY MEASURES The Contractor must certify that all employees and representatives arc trained to recognize and understand the Universal Safety Symbols The Contractor's supervisor shall be fluent in the English language, and the language of the custodians 23 PROPERTY DAMAGE The Contractor shall he responsible for repair of any damage to County property and restoration of any facility damage beyond normal wear and tear, caused by Contractor's Custodial activities. Repair and restoration shall be to the satisfaction of the County Representative. Any repair or restoration of these damages shall be performed at no cost to the County 25 OSHA and EPA GUIDELINE COMPLIANCE A. OSHA GUIDELINES HAZARDOUS COMMUNICATIONS The Contractor shall comply with the current OSHA Standards on Hazardous Communications as it pertains to the training, safety, and equipment needed for all employees engaged in custodial service. The Contractor shall be responsible for compliance on date of Contract acceptance and shall provide proof to the County Representative at the Pre-Start Up Meeting. B. MATERIAL SAFETY DATA SHEETS The Contractor shall furnish to the County Representative or designee copies of Material Safety Data Sheets for all products used prior to beginning service in any facility. The Material Safety Data Sheets must be organized and include an index. These Material Safety Data Sheets must be in compliance to the OSHA Guidelines. C. LABELING OF HAZARDOUS MATERIALS The Contractor shall comply with the OSHA Guidelines concerning the labeling of all chemical containers. D. CAUTION SIGNS The Contractor shall provide and use "caution signs" as required by OSHA Guidelines E. OSHA GUIDELINES BLOOD PATHOGENS The Contractor shall comply with the OSHA Standard "Blood borne Pathogens" as it pertains to the training, safety, and equipment needed for all employees engaged in Custodial service. The Contractor shall be responsible for compliance on date of Contract acceptance and shall provide proof to the County Representative at the pre-start up meeting. F. EPA I he Contractor is responsible for cleaning bodily fluid spills of a two (2) foot square area, or less. Immediately notify the County Representative or designee for any bodily fluid spills larger than two (2) feet square It is the sole responsibility of the Contractor to comply with any and all Environmental Protection Agency(EPA) regulations (For example: proper labeling, storage and or disposal of any products used by the Contractor.) Should the EPA have any additional requirements, it is the sole responsibility of the Contractor to insure compliance. Should the County Representative or designee determine noncompliance, the County Representative or designee retains the right to take any and all actions deemed necessary to comply with EPA iegulations? The Contractor is responsible to insure compliance with any and all guidelines outlined by the Center for Disease Control (CDC) for the overall protection of public health. 26. DAILY CHECKLIST A. The Daily Check List shall he signed and dated daily by contractor's supervisor/lead worker and placed in hinder located in storage room and must contain the following information as a minimum: I) Disciepancies from the routine work scheduled and an explanation of the circumstances involved. 2)Any property or equipment not in a serviceable or operating condition, listed by description and location. 31 Damage, vandalism or broken windows, listed by description and location 4) Any and all problems and/or complaints of a minor nature, or similar isolated incidences, may be handled directly between the Contractor's foreman and the County Representative. A summary of the incident and resolution shall be contained in the daily check list. A.
