From our conversations and your submittal documents, it appears that this upgrade and proposed building will be used for pump upgrades and redundancy to the existing water system for south side water users. The new pump house building appears to be approximately 12' in height and will only be used to house the necessary equipment associated with the new infrastructure. You have also provided an executed easement between the property owner and the City of Aspen for the proposed improvements. I did however notice that the proposed pump house building and associated improvements may be located off the subject property and within the Aspen Highlands Subdivision Right of Way. The pump house location should be clarified and necessary easements provided if this is in fact the case. Location and Extent Review is the applicable review for this request. Given that the City of Aspen waterline and vault are existing and that the proposal does not extend utilities in any way, but only upgrades existing infrastructure, please consider this proposal exempt from Location and Extent Review. Your project may proceed directly to building permit application, subject to the following requirements: 1) obtain a building permit under the current 2015 IBC and "U" classification; 2) earth tone colors for the facade and non -reflective roofing are required for the building; 3) submission of all necessary executed easements for construction of the pump house building and associated improvements. These pumps were removed several years ago, leaving the vault with only a pressure reducing function. Recently, the City altered its piping and replaced the interior pressure reducing valves and replaced interior piping. At that time, the City looked at ability to serve customers within the higher -pressure Highlands Zone. Due to System modifications over the years the City and consultant Engineers determined that there is only one route to serve existing customers within the Highlands pressure zone. The City has decided to pursue additional looping potential by installing pumps at the existing Aspen Highlands/ LDS Vault. These pumps, in addition to increasing system redundancy and improving ability to serve, also increase the City's ability to pump to the Highlands pressure zone, accommodating additional system expansion (be it new construction or remodels). The project must place a superstructure on top of the existing vault to meet new electrical codes for NEC compliance, as well as meet the City's confined space requirements. The City in a process to remove or redesign our permit -required, confined spaces to increase worker safety. The walk-in access and ventilation of this new vault allow for sufficient airflow to remove this structure from the City's permit - required, confined space list. During the design phase of this facility it was determined that adequate easements for surficial work were not in place. The City has engaged in a several months long process to acquire an appropriate easement for construction, operation, and maintenance of the pump station and pressure reducing vault facility. That Easement was recorded with the County Clerk's office on 6/30/2017 as Reception #639583. Pitkin County Land Use Code addresses Public Utilities in several fashions, Section 1-60-300: LOGICAL EXTENSION OF UTILITIES, states: "It is the policy of the County to regulate public and private utility extensions. Areas served by such extensions must be found suitable for development in accordance with the Pitkin County Comprehensive Plan." The applicant feels this application is consistent with all aspects of the Pitkin County Comprehensive Plan Pitkin County Land Use Mapping shows the subject parcel in the R-30 Suburban Density Residential Zone within Pitkin County. Table 4-1 of the Pitkin County Land Use Code allows use for Public Utilities, Minor. Additionally, Section 4-30-30: Civic and Institutional, Section F. KELLEY CARSON ("Grantor"), whose address is 5813 Glen Park Road, Louisville, KY 40222. The City shall provide Grantor with at least 30 days' prior written notice before the City commences any work in connection with construction of the Pumping Station, and the estimated time of completion. During construction of the Pumping Station, the Citys agents, employees, contractors and designees may go upon the Easement Premises during business hours to construct the Pumping Station and make improvements to the Infrastructure. After the Pumping Station is complete, the City's agents, employees, contractors and designees may go upon the Easement Premises at all reasonable times to undertake routine use, operation and maintenance of the Pumping Station and Infrastructure. In the event the City plans major repairs or replacement of Infrastructure, it shall provide Grantor with reasonable advance notice of the work to be undertaken, and the estimated time of completion. Notwithstanding the foregoing, the City may go upon the Easement Premises at any time in the event of any emergency situation or condition, and undertake such repair or replacement activities as it deems necessary to properly resolve the emergency situation. The Site Plan includes only the south elevation of the exterior of the Pumping Station. The exterior of the Pumping Station on elevations not shown on the Site Plan will be constructed in substantially the same manner, although only the south elevation will include a door and exhaust fan. 3. Restoration and Landscamust by City. No later than 30 days after the City completes construction of the Pumping Station (seasonal conditions permitting), the City shall, at its sole cost, restore, revegetate and landscape the Easement Premises in a manner approved by Grantor, such approval not to be unreasonably withheld (collectively, the "Landscaping"). The Landscaping shall include, but not be limited to installation of a reasonable number of trees and shrubs to reasonably screen the north and west sides of the Pumping Station. All trees and shrubs installed as part of the Landscaping shall have a warranty of at least 2 years. The City shall, at its cost, extend the irrigation lines on Grantor's existing irrigation system so that Grantor's irrigation system covers the Easement Premises and the Landscaping therein. In addition, the City shall reimburse Grantor for the cost of Grantor's water usage (for the entire Grantor Property) for the "Irrigation Season" (as defined below) in the calendar year in which the Landscaping is completed and for the Irrigation Seasons in the following two (2) years. For purposes of this paragraph, the term "Irrigation Season" means the period starting April 1 and ending October 31 each year. If seasonal conditions do not allow the Landscaping to be completed within 30 days after the City completes construction of the Pumping Station, the City shall complete the Landscaping within 30 days after seasonal conditions permit. If, in order to complete the Landscaping, it is necessary for the City to temporarily use any part of the Grantor Property outside of the Easement Premises, Grantor hereby grants to the City a temporary license over those areas of the Grantor Property outside the Easement Premises that are reasonably necessary to complete the Landscaping. All Landscaping in the Easement Premises shall be the property of Grantor. When the Landscaping is complete the City shall maintain the Easement Premises (including any Landscaping therein) in an attractive condition. If, following completion of the Landscaping and the Pumping Station, the City's use and maintenance of the Easement Premises and/or the Pumping Station causes damage to, or has an adverse impact on, any part of the Grantor Property, including the Easement Premises or any Landscaping, the City 2 shall promptly repair and/or replace any areas where damage or adverse impacts have occurred, and the City shall promptly restore any damaged or adversely affected areas to the condition that existed prior to the damage or adverse impact. 4. Use of Easement Premises by Grantor. Grantor shall retain the right to use and enjoy the Grantor Property including the Easement Premises so long as such use and enjoyment does not interfere with the City's rights hereunder, and provided that Grantor shall not install or allow any obstructions or permanent encroachments on the Easement Premises, including but not limited to fences, buildings, gates, or other structures, or trees, bushes, brush, gardens, or pavement, and shall not obstruct or permit obstruction of access to the Easement Premises. In the event any such obstructions or encroachments are erected, installed, or permitted to remain upon the Easement Premises notwithstanding this paragraph, the City shall provide written notice to Grantor, and if such obstructions or encroachments are not removed by Grantor within 30 days (seasonal conditions permitting), Grantor understands and agrees that such obstructions or encroachments may be removed by the City at Grantor's cost, and that the City shall have no responsibility or liability for any damage or destruction thereto. 5. Waiver of Tap Fees. If, after the date of this Agreement, the Grantor Property is redeveloped with a single family residence or duplex (including any caretaker dwelling unit(s) or other accessory structures that may be permitted under the then -applicable rules and regulations governing the Grantor Property) the City hereby agrees to a one-time waiver of a portion of tap fees in the amount of $9,000 that would otherwise be due and payable from the owner of the Grantor Property to connect the redeveloped Grantor Property to the City's municipal water distribution system. 6. Liability to Others. The City shall be responsible for any and all claims, demands, actions, losses, liabilities, or expenses of whatever sort, including attorneys' fees, that are incurred by Grantor arising out of or in connection with the City's use of the Easement or the use or occupation of the Easement Premises or the Landscape License Area by its agents, employees, contractors, invitees or licensees; provided, however, that nothing herein shall be construed to abrogate or diminish any protections and limitations afforded to the City by the Colorado Governmental Immunity Act, C.R.S. § 24-10-101 et seq. as amended, or other law. Without limiting the foregoing, the City shall keep the Grantor Property free and clear of any mechanics' or materialmen's liens for labor performed or material furnished at the instance or request of the City or its agents or contractors. Should any such lien be filed against the Grantor Property, the City shall cause such lien claim to be released (of record, if recorded) within twenty (20) days from when notice of such lien claim or action is received by Grantor or the City_ Should the City fail to obtain such release, or if the City fails to post a bond or other assurance which clears the Grantor Property of such lien or threat of lien, then the Grantor may (but is not obligated to) pay such lien or claim and any costs associated therewith, and the amount so paid, together with reasonable attorneys' fees incurred in connection therewith, shall be immediately due from the City to Grantor, together with interest thereon at twelve percent (12%) per annum from the date incurred. In the event the City and Grantor, or their respective officers, directors, members, employees, agents, contractors, representatives, heirs or assigns may be held jointly and severally 3 liable under any statute, decision, or other law providing for such joint and several liability for their respective activities on the Easement Premises, the obligations of each to respond in damages shall be apportioned, as between the City and Grantor, in proportion to the contributions of each as measured by the acts and omissions of each which in fact caused such legal injury, damage or harm and the City and Grantor shall indemnify each other to the extent necessary to assure such apportionment. 7. Notices. All notices required to be given shall be deemed given upon deposit in the United States mail, first class postage prepaid, properly addressed to the person or entity to whom directed at its address shown herein, or at such other address as shall be given by notice pursuant to this paragraph. Copies of such notices shall also be sent in the same manner to the City Attorney, City of Aspen, 130 South Galena Street, Aspen, Colorado 81611. Notwithstanding the foregoing, Grantor may notify the City of emergency conditions as provided in paragraph 3 above by direct delivery of notice to the City Water Department at 500 Doolittle Drive, Aspen, Colorado, or by telephone or facsimile communication with the City Water Department. This Agreement is binding upon the parties hereto, their successors and assigns, and any sale of the Grantor Property, or any portion thereof shall be subject to this Agreement. This Agreement shall be recorded with the Pitkin County Clerk and Recorder, and shall impose an easement and covenants running with the land upon the Grantor Property. 9. Governing Law: Venue; Attorneys' Fees. This Agreement and the rights and obligations of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Colorado. Venue for all actions arising under this Agreement shall be Pitkin County, Colorado. In the event legal remedies must be pursued to resolve any dispute or conflict regarding the terms of this Agreement or the rights and obligations of the parties hereto, the prevailing party shall be entitled to recover costs incurred in pursuing such remedies, including expert witness fees and reasonable attorneys' fees. 10. Authorization of Signatures. The parties acknowledge and represent to each other that all procedures necessary to validly contract and execute this Agreement have been performed and that the persons signing for each party have been duly authorized to do so. 11. Counterparts. This Agreement may be signed using counterpart signature pages, with the same force and effect as if all parties signed on the same signature page. These pumps were removed several years ago, leaving the vault with only a pressure reducing function. Recently, the City altered its piping and replaced the interior pressure reducing valves and replaced interior piping. At that time, the City looked at ability to serve customers within the higher -pressure Highlands Zone. Due to System modifications over the years the City and consultant Engineers determined that there is only one route to serve existing customers within the Highlands pressure zone. The City has decided to pursue additional looping potential by installing pumps at the existing Aspen Highlands/ LDS Vault. These pumps, in addition to increasing system redundancy and improving ability to serve, also increase the City's ability to pump to the Highlands pressure zone, accommodating additional system expansion (be it new construction or remodels). The project must place a superstructure on top of the existing vault to meet new electrical codes for NEC compliance, as well as meet the City's confined space requirements. The City in a process to remove or redesign our permit -required, confined spaces to increase worker safety. The walk-in access and ventilation of this new vault allow for sufficient airflow to remove this structure from the City's permit - required, confined space list. During the design phase of this facility it was determined that adequate easements for surficial work were not in place. The City has engaged in a several months long process to acquire an appropriate easement for construction, operation, and maintenance of the pump station and pressure reducing vault facility. That Easement was recorded with the County Clerk's office on 6/30/2017 as Reception #639583. Pitkin County Land Use Code addresses Public Utilities in several fashions, Section 1-60-300: LOGICAL EXTENSION OF UTILITIES, states: "It is the policy of the County to regulate public and private utility extensions. Areas served by such extensions must be found suitable for development in accordance with the Pitkin County Comprehensive Plan." The applicant feels this application is consistent with all aspects of the Pitkin County Comprehensive Plan. Pitkin County Land Use Mapping shows the subject parcel in the R-30 Suburban Density Residential Zone within Pitkin County.
