The project site is shown on Figure 1, The purpose of the study was to develop recommendations for the foundation design. The study was conducted as additional services to and in accordance with our agreement for geotechnical engineering servic:es to Kaegebein Fine Homebuilding, dated January 21, 2014. A field exploration program consisting o f exploratory borings was conducted to obtain information on the subsurface conditions. Samples of the subsoils obtained during the field exploration were tested in the laboratory to determine their classification and other engineering characteristics. The results of the field exploration and laboratory testing were analyzed to develop recommendations for foundation types, depths and allowable pressures for the proposed building foundation. This report summarizes the data obtained during this study and presents our conclusions, design recommendations and other geotechnical engineering considerations based on the proposed construction and the subsurface conditions encountered. PROPOSED CONSTRUCTION The proposed barns and utility shed buildings will be wood frame structures located as shown on Figure 1. Ground floor will be slab-on-grade. Grading for the structures will be relatively minor with cut depths between about 3 to 6 feet. We assume relatively light foundation loadings, typical of the proposed type of construction. If building locations, grading or loading information change significantly from those described above, we should be notified to re-evaluate the recommendations presented in this report. Job No. 114 0!9A GUEtech SITE CONDITIONS The building area was vacant, irrigated pasture at the time of our field exploration. The proposed Boring 122 location had been staked by others near the center of the equipment barn site. The ground surface slopes gently down to the west with about 1 to 3 feet of elevation difference across the individual proposed building sites. Vegetation consists of field grass and weeds. FIELD EXPLORATION The field 3xploration for the project was conducted on April 29 and May 6,2014. Three exploratory borings were drilled at the locations shown on Figure 1 to evaluate the subsurface conditions. The boring was advanced with 4 inch diameter continuous flight augers powered by a truck-mounted CME-45B drill rig. The boring was logged by a representative of Hepworth-Pawlak Geotechnical, Inc. Samples of the subsoils were taken with 1%-inch and 2-inch I.D. spoon samplers. The samplers were driven into the subsoils at various depths with blows from a 140 pound hammer falling 30 inches. This test is similarto the standard penetration test described by ASTM Method D-1586. The penetration resistance values are an indication of the relative density or consistency ofthe subsoils. Depths at which the samples were taken and the penetration resistance values are shown on the Logs of Exploratory Borings, Figure 2. The samples were returned to our laboratog for review by the project engineer and testing. SUBSURFACE CONDITIONS Graphic logs of the subsurface conditions encountered at the site are shown on Figure 2. The subsoils, below about M to l foot of topsoil, consist of up to 4 feet of medium stiff. sandy silt and clay overlying medium dense to dense, silty sand and gravel with cobbles and probable boulders to the boring depths of 414 to 7 feet. Drilling in the coarse granular Job No. 114 OIDA GAGech -2- soil with auger equipment was difficult due to the cobbles and boulders and practical drilling refusal was encountered in the deposit. Laboratory testing performed on samples obtained from the borings included natural moisture content and density, gradation analyses and liquid and plastic limits. Results of gradation analyses performed on a small diameter drive sample of the sand and gravel soils (minus 1 94-inch fraction) are shown on Figure 4. The liquid and plastic limits testing show the upper silt and clay soils to have low plasticity. No free water was encountered in the borings at the time of drilling and the subsoils were generally moist. FOUNDATION BEARING CONDITIONS The sandy silt and clay soils, encountered to a depth of about 4 feet at the borings are compressible when loaded and wetted. Lightly loaded spread footings bearing on the silt and clay soils may be suitable for building support with a risk of foundation settlement. Alternatively, footings extended down and placed on the underlying medium dense to dense, site sand and gravel soils would have a lower risk of settlement and building distress, and are recommended for the building support. DESIGN RECOMMENDATIONS FOUNDATIONS Considering the subsurface conditions encountered in the exploratory borings and the nature of the proposed construction, we recommend the buildings be founded with spread foolings bearing on the underlying coarse granular soils or compacted structural fill. Plie design and construction criteria presented below should be observed for a spread footing foundation system. Job No. 1 l4 0!,A G@Etech -3- 1) Footings placed on the relatively dense, natural granular soils or compacted structural fill should be designed for an allowable bearing pressure of 2,500 psf. Based on experience, we expect settlement of footings designed and constructed as discussed in this section will be about 1 inch or less. 2) The footings should have a minimum width of 16 inches for continuous walls and 2 feet for isolated pads. 3) Exterior footings and footings beneath unheated areas should be provided with adequate soil cover above their bearing elevation for frost protection. Placement of foundations at least 42 inches below exterior grade is typically used in this area. 4) Continuous foundation walls should be reinforced top and bottom to span local anomalies such as by assuming an unsupported length of at least 12 feet. Foundation walls acting as retaining structures should also be designed to resist lateral earth pressures as discussed in the "Foundation and Retaining Walls" section of this report. 5) The topsoil, silt and clay soils, and any loose or disturbed soils should be removed and the footing bearing level extended down to the natural granular soils. The exposed soils in footing area should then be moistened and compacted. Compacted structural fill placed to reestablish design bearing level should consist of a relatively well graded granular soil compacted to at least 98% of standard Proctor density at near optimum moisture content, and extend at least 2 feet beyond the footing edges. 6) A representative of the geoteehnical engineer should observe all footing excavations prior to concrete placement to evaluate bearing conditions. FOUNDATION AND RETAINING WALLS Foundation walls and retaining structures which are laterally supported and can be expected to undergo only a slight amount of defiection should be designed for a lateral earth pressure computed on the basis of an equivalent fluid unit weight of at least 55 pcf for backfill consisting of the on-site soils. Cantilevered retaining structures which are Job No. 114 01!?A G*Etech -4- separate from the residence and can be expected to deflect su fficiently to mobilize the full active earth pressure condition should be designed for a lateral earth pressure computed on the basis of an equivalent fluid unit weight of at least 45 peffor backfill consisting of the on-site soils. All foundation and retaining structures should be designed for appropriate hydrostatic and surcharge pressures such as adjacent footings, traffic, construction materials and equipment. The pressures recommended above assume draincd conditions behind the walls and a horizontal backfill surface. The buildup of water behind a wall or an upward sloping backfill surface will increase the lateral pressure imposed on a foundation wall or retaining stucture. An underdrain should be provided to prevent hydrostatic pressure buildup behind walls. Backfill should bo placed in uniform lifts and compacted to at least 90% of the maximum standard Proctor density at a moisture content near optimum. Backfill in pavement and walkway areas should be compacted to at least 95% of the maximum standard Proctor density, Care should be taken not to overcompact the backfill or use large equipment near the wall, since this could cause excessive lateral pressure on the wall. Some settlement of deep foundation wall backfill should be expected, even if the material is placed correctly, and could result in distress to facilities constructed on the backfill. The lateral resistance of foundation or retaining wall foolings will be a combination of the sliding resistance of the footing on the foundation materials and passive earth pressure against the side of the footing. Resistance to sliding at the bottoms of the footings can be calculated based on a coefficient of friction of 0.45. Passive pressure of compacted baekfill against the sides of the footings can be calculated using an equivalent fluid unit weight of 375 pof. The coefficient offriction and passive pressure values recommended above assume ultimate soil strength. Suitable factors of safety should be included in the design to limit the strain which will occur at the ultimate strength, particularly in the case of passive resistance. Fill placed against the sides of the footings to resist lateral loads should be compacted to at least 95% of the maximum standard Proctor density at a moisture content near optimuin Job No. I 14 019A G*Etech -5- FLOOR SLABS The natural on-site soils, exclusive of topsoil, are suitable to support lightly loaded slab- on-grade construction. To reduce the effects of some differential movement, floor slabs should bc separated from all bearing walls and columns with expansion joints which allow unrestrained vertical movement. Floor slab control joints should be used to reduce damage due to shriokage cracking. The requirements for joint spacing and slab reinforcement should be established by the designer based on experience and the intended slab use. A mininium 4 inch layer ofrelatively well graded sand and gravel, such as road base, should be placed beneath interior slabs. This material should consist o f minus 2 inch aggregate with at least 50% retained on the No. 4 sieve and less than 12% passing the No. 200 sieve. All fill materials for support of floor slahs should be compacted to at least 95% o f maximum standard Pioctor density at a moishjre content near optimum. Required fill can consist of the on-site soils ora suitable imported granular material devoid of vegetation, topsoil and oversized rock. The upper silt and clay soils are moist to highly moist and could require drying prior to use as backfill material, UNDERDRAIN SYSTEM Although free water was not encountered during our exploration, it has been our experience in the mea that local perched groundwater can develop during times of heavy precipitation or seasonal runoff. Frozen ground during spring runoff can also create a perched condition. We recommend below-grade construction, such as retaining walls and crawlspace areas, be protected from wetting and hydrostatic pressure buildup by an un<leidrain system. Where floor slab grade is near to above the sun·ounding exterior grade, an underdrain should not be needed. The drains should consist of drainpipe placed in the bottom of the wall backfill surrounded above the invert level with free-draining granular material. The drain should be placed at each level of excavation and at least 1 foot below lowest adjacent finish grade and sloped at a minimum 1 % to a suitable gravity outlet or drywell based in the Job No. 114 019A Gtech -6- natural granular soils. Free-draining granular material used in the underdrain system should contain less than 2% passing the No. 200 sieve, less than 50% passing the No. 4 sieve and have a maximum size of 2 inches. The drain gravel backfill should be at least lA feet deep. SURFACE DRAINAGE The following drainage precautions should be observed during construction and maintained at all times after the buildings have been completed: 1) Inundation of the foundation excavations and underslab areas should be avoided during construction. 2) Exterior backfill should be adjusted to near optimum moisture and compacted to at least 95% of the maximum standard Proctor density in pavement and slab areas and to at least 90% of the maximum standard Proctor density in landscape areas. 3) The ground surface surrounding the exterior of the building should be sloped to drain away from the foundation in all directions. Wc recommend a minimum slope of 6 inches in the first 10 feet in unpaved areas and a minimum slope of 2% inches in the first 10 feet in paved areas. Free-draining wall backfill should be capped with about 2 feet of the on- site silt and clay soils to reduce surface water infiltration. 4) Roof downspouts and drains should discharge well beyond the limits ofall backfill. 5) Landscaping which requires regular heavy irrigation should be located at least 5 feet from foundation walls. LIMITATIONS This study has been conducted iii accordance with generally accepted geotechnical engineering principles and practices in this areaat thistime. Wemakeno warranty either express or implied. The conclusions and recommendations submitted in this report are based upon the data obtained from the exploratory borings drilled at the locations Job No. 114 019A G*Etech -7- indicated on Figure 2, the proposed type of construction and our experience in the area. Our services do not include determining the presence, prevention or possibility of mold or other biological contaminants (MOBC) developing in the future. 1 f the client is concerned about MOBC, then a professional in this special field of practice should be consulted. Our findings include interpolation and extrapolation of the subsurface conditions identified at the exploratory borings and variations in the subsurface conditions may not become evident until excavation is performed. I f conditions encountered during construction appear different from those described in this report, we should be notified so that re-evaluation of the recommendations may be made. This report has been prepared for the exclusive use by our client for design purposes. We are not responsible for technical interpretations by others of our information, As the project evolves, we should provide continued consultation and field services during construction to review and monitor the implementation offour recommendations, and to verify that the recommendations have been appropriately interpreted. Significant design changes may require additional analysis or modifications to the recommendations presented herein. This is controlled from this area through computers or servers. This is not the typical irrigation clock on the side of a house. The server component for which the room was labeled is in regards to the master computer and controls which drive the system. Aspen Valley Ranch LLC ("Applicant") has applied to the Board of County Commissiorters of Pitkin County, Colorado ("BOCC') to amend the prior approvals to include the following: A. Amend the historic incentives granted for designation ofthe Bourg Homestead cabin, barn and potato cellar to the Pitkin County Historic Register. . Relocate approved but not built agricultural facilities (agricultural equipment building and hay storage) from the Agricultural Facilities Parcel c'AFP") to Homestead 1 to avoid a debris flow area and to separate agricultural functions. C. Obtain approval for a Caretaker Dwelling Unit on Homestead 1. D, Amend and/or establish development envelopes for additional landscaping, ditch relocation, new/expanded pinds, access improvements and new bridges. E. Establish utility -orridors throughout the property to accommodate utility lines and facilities, including a central water system. F. Amend the Agreement for Grant and Acceptance of Trail Easement recorded as Reception #583885. 2. The Applicant is also requesting to bury a water storage tank for a central water system for Aspen Valley Ranch within the approved building envelope on Lot 6; and to re-establish the Activity Envelope for a single family residence and obtain a new vested right for the Werk Cook Parcel. 3. These amendments require the following approvals: . Amendment to Development Permit . Activity Envelope and Site Plan Review Historic Preservation Benefits . Special Review and GMQS Exemption for Caretaker Dwelling Unit 4. The property is located on Upper River Road, and is described as Homesteads 1-9 and the Agricultural Facilities Parcel, Aspen Valley Ranch Subdivision Exemption; Lot 6, Aspen Valley Downs Subdivision; and the·Werk Cook Parcel, which is more specifically described in Exhibit A. 5. The property is zoned RS-20, with the exception ofthe Dry Woody Creek ParceIs, which are zoned Rural/Remote, and a 2 acre portion of the Agricultural Facilities Parcel that is zoned Affordable Housing (AH). The property contains approximately 809 acres broken down as follows: . 485 acres within Aspen Valley Ranch Homesteads 1-9 and the Agricultural Facilities Parcel. . 245 acres within the seven Dry Woody Creek Pamels; all are restricted as TDR Sending Sites (not included in this application). . 58 acres within Aspen Valley Downs Lots 6-9 (only Lot 6 is included in this application). : 20 acres within the Werk Cook *etadoft parcel at mouth of Red Canyon). bar 1 2 2014 Community Development Resolution NobIA-2014 Page 2 6. The BOCC approved the Aspen Valley Downs Subdivision, pursuant to Resolution No. 92-90, and the final plat is recorded in Plat Book 28 at Page 90. 10 free market single family. lots were subdivided out of the original Aspen Valley Ranch. As part of the approval, two non-development easements were granted on Aspen Valley Ranch: a 76 acre wildlife easement on the south-facing slopes of Triangle Peak and an 85 acre agricultural easement. 7. The BOCC approved Resolution No. 112-2005, which granted Special Review, 1041 Hazard Review, Conceptual Submission and GMQS Exemption for Homesteads 1-9 and the Agricultural Facilities Parcel of Aspen Valley Ranch. The BOCC granted 20 year vested rights with the approval. 8. The BOCC amended the 2005 approval, pursuant to Resolution No. 081-2008. The amendments included: A. Designation ofthe Bourg Homestead cabin, barn and potato cellar to the Historic Register, and as an incentive for the designation, granting of a GMQS exemption for 5,000 square feet of floor area on the Agricultural Facilities Parcel: 3,500 square feet for the Ranch House and 1,500 square feet for two accessory structures with bathing facilities. B. Voluntary deed restriction ofthree dwelling units on the Agricultural Facilities Parcel: one existing/historic and two new; maximum of 10,000 square feet C. Realignment ofthe entry road and construction ofa new road to the upper mesa (Homesteads 6&7 and Aspen Valley Ranch Lots 6-9) and constniction of a new "Core Road" on the Agricultural Facilities Parcel. D. Debris flow mitigation on the Agricultural Facilities Parcel E. Stream Enhancements on the upper and middle reaches of Red Canyon and Dry Woody Creeks, and ditch improvements in the lower pasture. F. Amendments to the building and development envelopes. 9. The BOCC considered this application at duly noticed public hearings on April 23 and June 11,2014, at which times evidence and testimony were presented with respect to the application. 10. The BOCC finds that it is appropriate to grant an historic incentive of 1,500 square feet of floor area on the second floor of the Bourg Barn for a locker room in exchange for the 1,500 square feet previously granted for two accessory structures with bathing facilities, which are no longer proposed to be built. 11. The BOCC further finds that it is appropriate to approve the use oftwo TDRs for an additional 4,150 square feet of floor area for common non-agricultural facilities on the Agricultural Facilities Parcel - 900 square feet on the second floor of the Bourg Barn for a locker room and 3,250 square feet for the Pool House. 1, The BOCC further finds that the relocation of agricultural buildings - the equipment barn and hay barn - from the Agricultural Facilities Parcel to Homestead 1 is acceptable, as it avoids development within the debris flow on the Agricultural Facilities Parcel; the buildings will be clustered, are sited near the entry to the ranch, and will net create additional impacts on wildlife; and the square foote ofthe buildings will count against the 30,000 square feet ofagricultural floor area approved pursuant to Resolution No. 112- 2005. 13. The BOCC further finds that it is appropriate to sterilize the Werk Cook Parcel from development in order to preserve important mute deer and elk habitat, and agrees in exchange to modify the 2011 Trail Easement as requested. Resolution NoNA-2014 Page 3 14. The BOCC further finds that it is appropriate to eliminate the new entty road that was constructed through the lower pasture and the proposed new road on the upper mesa to access Homesteads 6 and 7. Accessing Homesteads 6 and 7 from below ratherthan above will lessen disturbance the visibility of the driveways. Elimination ofthe lower road will maintain access around the perimeter of the main lower pasture with only ranch vehicle access through the center ofthe pasture. 15. The BOCC further finds that the proposed envelope on Homestead 8 to accommodate the on-site wastewater treatment system ("OWTS") avoids the 100' setback from Dry Woody Creek and is necessary to accommodate the OWTS for the proposed 13,000 square foot residence on Homestead 8. 16. The Board further finds that it is appropriate to amend the envelope on Homestead 9 to increase the setback from Dry Woody Creek from 20 feet to 50 feet. 17. The BOCC further finds that the other proposed amendments to building and development envelopes for landscaping, grading, ponds, driveways, utilities, ditch relocation and bridges are appropriate and comply with the applicable provisions of the Code. NOW, THEREFORE, BE IT RESOLVED by the BOCC that it does hereby approve the proposed amendments, subject to the following conditions, which shall run with the land and be binding on all successors in interest: 1. The Applicant shall adhere to all material representations made in the application or in public meetings or hearings and shall consider those representations to be conditions ofapproval, unless amended by other conditions. 2. The Applicant shall comply with all conditions of BOCC Resolution Nos. 112-2005 ·439except as amended herein. / 3. The following approvals related to the Werk Cook Parcel are hereby rescinded: Planning and Zoning Commission Resolution No. 91-14, BOCC Resolution No. 91-55, and Hearing Officer Determination No. 39-2006. 4. Prior to submission c f any development permit applications based on this approval, the Applicant shall be required to submit for approval by the County Attorney and Community Development amended Site Plans. The above referenced approvals shall be a condition precedent to finalization and recordation. The owner must sign the mylar copies ofthe site plans prior to submittal for recording. 5. Concurrent with recordation of the amended site plans, the Applicant shall record a Covenant in a form acceptable to the County Attorney restricting the Werk Cook Parcel against residential development 6. Prior to issuance of the first Certificate of Occupancy for any of the buildings on Homestead 1 (residence, caretaker dwelling unit, agricultural equipment building or hay barn), the Applicant shall record an amendmert to the 2011 Agreement for Grant and Acceptance of Trail Easement and shall complete the construction of the trail to the satisfaction of Pitkin County Open Space and Trails. The Amended Trail Easement shall be in a form acceptable to the County Attorney, and shall be accepted by the BOCC by Ordinance. The Amended Trail Easement shall include the following elements: . The alignment of the new trail, as shown in Exhibit B. . The use of the existing alignment along Aspen Valley Ranch Road for physically challenged trail users, as shown in Exhibit B. Resolution No.-2014 Page 4 C. Winter closure of the trails from December 1 through April 30 to protect wildlife habitat. The closure applies to the public, and any Aspen Valley Ranch owners, guests and employees. D. Recognition that the County will prepare and the Open Space and Trails Board will adopt a management plart for the trail. E. Eliminate the requirement for hunters to carry rifles in cases when crossing the property. 7. Consouction ofthe new trail shall be completed by October 1,2015. In conjunction with the construction ofthe trail and prior to October 1,2015: A. The Applicant shall install an interpretive sign or plague on the trail above the Bourg Homestead and Barn to educate trail users about the history ofthe property and the buildings. The Applicant shall coordinate with Open Space and Trails regarding the location and design of the sign or plague, prior to installation. B. If the trail crosses the Red Canyon drainage on tile Werk Cook Parcel, the Applicant shall install a pedestrian bridge across the creek. C. The Applicant shall complete wildlife habitat enhancement along the hillside trail by removing isolated juniper trees and/or pinyon pine trees, subject to review and approval by Colorado Parks and Wildlife. 8. Within 60 days ofthe date ofthis approval, the Applicant shall submit an earthmoving permit application for the reclamation of the entry road through the lower pasture (on Homesteads 2,3 and 4) to a limited use ranch road. The permit application shall show all re-grading and revegetation 9. The Ranch House is considered the principal residential structure on the Agricultural Facilities Parcel, and as such, may be built to the principal building height of 28 feet. a 1 lie residential floor area on Homestead 1 shall be limited to a maximum of 5,750 square feet of floor rea, as long as the common agricultural facilities for the ranch (agricultural equipment building and hay iarn) remain on Homestead 1. If one ofthe agricultural buildings is removed, then residential floor area of up to 7,000 square feet may be developed on Homestead 1. If both of the agricultural buildings on Homestead 1 are removed, then residential floor area of up to 8,250 square feet may be developed on Homestead 1. The Applicant must surrender one TDR to develop the initial 5,750 square feet of floor area on Homestead 1, and one additional TDR may be used to develop up to 8,250 square feet of floor area (1 TDR = 2,500 square feet). 11. As a replacement historic incentive for the two accessory structures with bathing facilities, which will not be built, a total of 1,500 square feet of floor area is exempt from growth management for use on the second floor ofthe Bourg Barn for a locker room. 12. At building permit application for the Pool House and to develop the second floor of the Bourg Barn as a locker room, the Apglicant shall suirender two TDR Certificates and a copy of the deed(s) evidencing the Applicant's acquisition of the Certificates (if applicable), in order to develop up to 4,150 square feet of floor area (3,250 square feet for the Pool House and 900 square feet in the Bourg Barn). 13. Agricultural buildings are prohibited on Homesteads 2-9. Agricultunl buildings on the Agricultural Facilities Parcel and Homestead 1 shall be limited to a total of 30,000 square feet. The agricultural equipment building may contain up to 6,600 square feet, but no other agricultural building shall exceed 5,000 square feet. If the agricultural buildings are removed from Homestead 1, then future agricultural buildings shall be prohibited on Homesteads 1-9. Resolution No.M-201, Page 5 0 -14. The hay storage structure on Homestead 1 shall be game proof - side walls shall be constructed of 8' L high solid siding or mesh fencing with gates of at least 7' in height. - 15. The Colorado Department of Public Health and Environment has determined that the proposed central water system for Aspen Valley Ranch does not currently meet the definition of a public water system ' and is not subject to those regulations. Once the development reaches 15 units or serves more than 25 persons for more than 60 days a year, the water system would be considered a public water system and subject to the State Health Departmenfs regulations. With each building permit application, the Applicant shall prop ide documentation for review by Environmental Health to demonstrate whether or not the additional development will trigger an application to the State for a public water system. 16. The caretaker dwelling unit on Homestead 1 shall comply with the following: A. Prior to issuance of a Certificate of Occupancy for the caretaker dwelling unit, the Applicant shall obtain and the Housing Office shall record a caretaker dwelling unit deed restriction. Actual floor plans of the unit shall be submitted to the Housing Office with the deed restriction. B. The kitchen shall contain a minimum of a two burner stove with at least a 5 cubic foot oven that can bake and broil, sink of at least 14"W X 16"D X 5.25"H, and at least a 5.3 cubic foot refrigerator and 0.73 cubic foot freezer. Two off-street parking spaces shall be provided for the unit. The caretaker dwelling unit must have separately accessible utilities. This does not preclude shared utilities. C. Prior to issuance of a Certificate of Occupancy for the caretaker dwelling unit, the Housing Office may inspect the unit. D. The floor area of the caretaker dwelling unit shall be included in the total allowed floor area for Homestead 1. 17. Failure to comply with these conditions of approval may result in revocation of this permit or any subsequent permits related to this property or vested rights associated with this property. The following shall not be considered residential development: . fences that comply with the Pitkin County Land Use Code; . agricultural activities; . the installation and maintenance ofunderground utilities; and . construction and maintenance of a public trail. Nothing herein shall be construed to be an approval by Grantee under the Land Use Code for any purpose. 4. Enforcement and monitoring. This restrictive covenant and its terms and representations shall be fully enforceable by Grantee, its successors, assigns and agents in any action at law or equity or both, to secure compliance, including but not limited to, seeking injunctive relief and/or specific performance requiring the Grantor, its successors or assigns to cease and desist all activity in violation of the terms o f this restrictive covenant and to return the Property to its condition prior to any violation. Prior to issuance of any Certificates of Occupancy for new structures on the Agricultural Facilities Parcel. the Applicant shall submit a detailed debris flow mitigation plan prepared by a qualified professional engineer or geologist licensed in the State of Colorado to staff and the Colorado Geological Survey for review and approval. The plan shall incorporate any recommendations made by the Colorado Geological Survey. The appreved mitigation plan shall be implemented prior to issuance of any Cerlificates o f Occupancy for new structures on the AFP. 8. With the building permit application for the residence on Homestead 9, the Applicant shall provide a site specific report from a qualified professional engineer or geologist licensed in the State of Colorado Resolution No#61 -2008 Page 4 addressing mitigation for potential debris flow. Required mitigation shall be implemented prior to issuance of a Certificate of Occupancy for the residence. 9. With the access permit application forthe driveway to Homestead 9, the Applicant shall provide engineered details for the bridge across Dry Woody Creek. If necessary, the Applicant shall also submit a floodplain development permit application. 10. The Applicant shall submit access permit applications for the relocation of the entry road and the new road to the upper bench (Homesteads 6 and 7 and Aspen Valley Downs Lots 6-9); the new roads shall comply with the Asset Management Plan and shall meet all fire department requirements regarding roadway width, adecuate pullouts and turnarounds, and adequate access to dry hydrants. With the permit application for the entry road, the Applicant shall subinit an earthmoving permit application to address the portion of the ex·.sting entry road to be reclaimed; the permit application shall show all re-grading and revegetation, and the remaining trail access. The trail shall be reviewed and approved by Open Space and Trails. 11. The Applicant shall submit an earthmoving permit application for improvements to the ditch on the lower pasture. With the permit application the Applicant shall demonstrate that this work will occur below the point where the blue line/intermittent streams shown on the USGS maps end (Red Canyon and Dry Woody Creek) to the satisfaction of the Environmental Health and Natural Resources Department. 12. Prior to submission ofa floodplain development permit for bank stabilization and riparian restoration work adjacent to and above the Core area on the Agricultural Facilities Parcel (within the blue line/intermittent stream areas), the Applicant shall submit a riparian enhancement plan to the Environmental Health and Natural Resources and Community Development Departments for review and approval. No in-channel work is permitted, unless the Code is amended in the future. 13. The Ranch House may contain a kitchen and bathrooms, but no bedrooms. 15. The total floor area on Aspen Valley Ranch shall not exceed 88,750 square feet. RECITALS: A. Developer is the owner of approximately 486 acres of real property situated in the County of Pitkin, State of Colorado, more particularly described in Exhibit A, attached hereto and incorporated herein by this reference. In this Agreement, the property described in Exhibit A shall be referred to as "Aspen Valley Ranch." B. Developer applied to the County for various approvals in order to develop Aspen Valley Ranch as a residential subdivision. C. The Board granted final approval for Aspen Valley Ranch at its regularly scheduled meeting on August 24,2005. Such "Final Approval" consisted of conceptual submission approval, a growth management quota system exemption, special review approval for the establishment transferable development rights receiving areas, construction of caretaker dwelling units and ] 041 hazard review approval. During the 15-year vesting period ending October 12,2020, Developer and/or its successors or assigns shall not be subject to any addition, modification or amendment to the Land Use Code or to any other regulation not in effect on the date of vesting which amends or has the effect of amending any of the following: ( 1) any provisions ofthe Land Use Code which restrict or eliminate the growth management exemptions approved in the Final Approval Resolution; or (2) the provisions of the Land Use Code which establish the amount of square footage available through utilization of transferrable development rights; or (3) the regulations, requirements, standards and conditions concerning the following provisions ofthe RS-20 Zone District in effect on the date of this Agreement (all terms are as defined in the Pitkin County Land Use Code, unless otherwise noted): (i) maximum floor area, or the calculation or definition thereof; (ii) minimum and maximum lot size: (iii) building height; (iv) road, property or stream setbacks for Homesteads 4,8 and 9; (v) grading and fill placement; and (vi) preservation or creation of scenic view planes. (c) Notwithstanding any other provision ofthis Agreement, no provision hereof shall be construed to exempt Developer or any future owner or owners of Aspen Valley Ranch from the requirements of Final Approval Resolution, building permits, or other necessary permits or approvals which become applicable subsequent to the approval of this Development Agreement. Nor shall any provision hereof be construed to preclude the application of the Uniform Building Code, Fire Code, Plumbing Code, Electrical Code, Mechanical Code, orotherrequirements reasonablynecessary for the protectionofthe public health and safety. 3. Amendment. This Agreement may be amended only by written instrument signed by the County and the Developer. 4. Binding Effect. Construction and Maintenance. The Public Trail Easement within Aspen Valley Ranch follows the alignment of existing roadways. Grantor shall not, by the terms of this Trail Easement, be required to improve, realign or upgrade any portion of the roadways as they exist on the date hereof. Grartor shall be obligated to maintain the roadways in a condition that will allow reasonable pedestrian access pursuant to the terms of this Trail Easement. Grantee shall have no responsibility, nor any authority, for the maintenance, repair, replacement or upgrade of said roadways. Nothing herein sha[1, however, preclude Grantor from undertaking and performing such maintenance, repair, replacement or upgrade to the roadways, including paving, as Grantor, or its successors and assigns, determine is necessary or desirable, so long as such work does not unreasonably restrict the public'suse of the roadways intended by this Trail Easement. Grantorshall construct a new trail along the alignment described on Exhibit B within the Werk Cook Parcel, Grantor shall thereafter be responsible for the reasonable maintenance and repair of said trail. Grantor may assign such responsibility to a homeowners' association representing the owners of Homesteads within Aspen Valley Ranch, whereupon Grantor's responsibility for maintenance and repair shall terminate. The Public Trail Easement may be closed temporarily during construction activities or in the event o fcircumstances which could endanger users ofthe Public Trail Easement. 4. Grantee's Obligation to Insure. The parties acknowledge that the Grantor is entitled to the benefits, protections and limitations on liability afforded by Colorado law, including C.R.S. Sections 33-41-101 through 105. Grantee agrees to add Grantor (and its successors and assigns in the ownership o fAspen Valley Ranch and the Werk Cook Parcel, or any ofthem or any part thereof) as additional named insureds on its comprehensive general liability insurance policy, which insurance shal I be maintained by the Grantee to provide protection against liability from claims arising out of the use ofthe Public Trail Easement. Such insurance shall be carried in amounts not less than the liability limits specified in C.R.S. In the event the interpretation or enforcement of this Public Trail Easement should everbecomethe subjectoflitigation between Grantor, or itssuccessors andassigns in the ownership of Aspen Valley Ranch and the Werk Cook Parcel, or any part thereof. and Grantee, the substantially prevailing party shall be entitled to an award of its reasonable costs and attorneys' fees incurred in connection therewith. 6. Binding Effect/Amendment. This Public Trail Easement shall be binding upon and inure to the benefit of the parties hereto and the heirs, personal representatives, successors and assigns of Grantor, including all future owners ofAspen Valley Ranch and the Werk Cook Parcel, or any of them.
