1. GSS PROPERTIES ("GSS") is the owner of real property described as a
Tract of land situated in Government Lots 3, 5, 8, 9, 12 and 13, Section 15, Township 9
South, Range 85 West of the 6`h P.M., being a portion of the Stranahan Ranch as
conveyed in Book 226 at Page 85 and Book 254 at Page 421 of the Real Estate Records
of Pitkin County, Colorado, attached hereto as Exhibit "A" and incorporated by this
reference (the "Property"). Co ('4'

3. The Compass School, a private school (f/k/a the Aspen Community L0 ° m m

School) serving grades K-8, sits on top of a hill above the Property with its driveway tM.
descending off the hill, and intersecting Woody Creek Road at a severe angle at the start r— on

3. In order to improve the alignment of the Compass School driveway onto
Woody Creek Road for safety and to allow for improved site distance on Woody Creek
Road at the intersection serving the Compass School driveway, GSS and the Board of
County Commissioners ("the County") desire that GSS convey to the County an p

easement for the relocation, installation, maintenance, use, repair and replacement of that
portion of Woody Creek Road adjacent to the easement, on and across a portion of the
Property, pursuant to the terms and conditions fully described in the Road Relocation

3. It is in the best interest of both the County and GSS to set forth the terms
by which an easement shall be conveyed, subject to certain agreements by the County and
GSS. The easement is more fully described as Exhibit "B" to the Road Relocation
Easement Agreement. J

4. The terms of the agreement are set forth, and the Chair (or Chair's
designee) shall be authorized to execute the Road Relocation Easement Agreement on
behalf of Pitkin County.
NOW, THEREFORE, be it ordained by the Board of County Commissioners of
Pitkin County, Colorado that the Board of County Commissioners does hereby authorize
the Chair to execute on its behalf, the Road Relocation Easement Agreement.

ROAD RELOCATION EASEMENT AGREEMENT
THIS ROAD RELOOCQTION EA ME T AGREEMENT (this "Agreement") is
made and entered into this day of , 2001,between GSS PROPERTIES,
LLC, an Ohio limited liability company, its successors in interest and assigns ("GSS"), and
Board of County Commissioners of Pitkin County, Colorado, its successors and assigns
("BOCC").
WITNESSETH:
WHEREAS, GSS is the owner of the property described on Exhibit A attached hereto
and by this reference incorporated herein, located in Pitkin County, Colorado (the "GSS
Property") and is authorized to enter into this Agreement and incur the obligations contained
herein; and
WHEREAS, GSS and BOCC desire that GSS convey to BOCC an easement for the
relocation, installation, maintenance, use, repair and replacement of an existing road on and
across the GSS Property, pursuant to the terms and conditions contained herein;

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency °9 m m
of which is hereby acknowledged, and in further consideration of the terms, conditions, M ; m m
covenants and mutual promises contained herein, the parties hereto agree as follows: cry

1. Grant of Easement. GSS hereby grants, transfers and conveys unto BOCC and a m
its successors and assigns, a non-exclusive easement over, upon, under and across the GSS
Property, which easement is more particularly described on Exhibit B (hereinafter the
"Easement"). The purpose of the Easement shall be to permit the relocation and installation into
the Easement of that portion of the existing county road, commonly known as Woody Creek
County Road, adjacent to the Easement and any utility lines adjacent thereto (collectively, the
"Road Segment") and thereafter the use, repair, maintenance and/or replacement of the Road
Segment within the Easement, as necessary. The Easement may be utilized, upon and below the
surface, as is necessary, to relocate, install, maintain, repair and replace the Road Segment,
which may include the excavation, removal and relocation of fill material within the boundaries �Y
of the Easement.

2. Term of Easement. The term of the Easement shall be perpetual, provided that '
upon completion of the relocation of the Road Segment into the Easement, the Easement shall �a
terminate except as to a sixty-foot (60') right-of-way, being thirty feet (30') either side of the >
centerline of the Road Segment (the "Right-of-Way"). To the extent the Easement terminates in
accordance with the preceding sentence, the portion of the Easement that is not within the Right-

of-Way (the "Terminated Portion") shall immediately and automatically revert to GSS, its
successors or assigns, as the owner or owners of the fee estate burdened thereby. If BOCC
desires, in its sole and absolute discretion, and at its or any adjacent landowner's sole expense, to
conduct a lot line adjustment such that the part of the Terminated Portion that is on the northerly
side of the Right-of-Way (the "Adjustment Property") would become part of the tract or tracts
immediately adjacent to the northerly edge of the Road Segment prior to its relocation, GSS
shall, at no expense to GSS, consent to the lot line adjustment and convey the Adjustment
Property by quitclaim deed or deed without warranty to the owner or owners of such tract or
tracts in connection with and pursuant to such lot line adjustment.
3. Use by GSS. GSS, for itself, it successors and assigns, hereby reserves the right
to use the Easement for all purposes not inconsistent with the grant of the Easement and to erect,
maintain, repair and replace fencing on, over and through the Easement but not across the Right-
of-Way after relocation of the Road Segment. To the extent that any such fencing is damaged,
destroyed or removed during relocation of the Road Segment, the BOCC shall, at its sole
expense, cause such fencing to be repaired or replaced with new fencing of the same type as the
then existing perimeter fence of GSS on the Easement. ca ,;;

4. Restoration and Abandonment of Road Segment. Upon completion of the LO N m
Relocation, BOCC shall remove the old Road Segment and restore the surface thereof to, as CV)
nearly as is practicable, a natural state, including, without limitation, by grading the surface, a m
spreading topsoil and planting native vegetation (collectively, "Restoration Operations"). Upon �m
completion of Restoration Operations, BOCC shall take all actions necessary to vacate and �m
abandon the portion of the road easement covering the old Road Segment (the "Abandoned
Segment"). Upon abandonment thereof, each portion of the Abandoned Segment form the
centerline to the edge thereof shall revert to the owner of the fee estate, or portion thereof,
adjacent to such edge of the Abandoned Segment.

5. Existins Gravel Road. The parties acknowledge that an existing gravel road
intersects the Road Segment in the northwesterly tip of the Easement. As part of the Relocation, �_
BOCC shall have the right to reengineer, rework and/or relocate said intersection within the iF
portion of the Easement that burdens the fee estate on which said gravel road intersection is
located.

6. Performance of Work. All work performed by BOCC in the Easement, whether
on the Road Segment or otherwise, or with respect to any Restoration Operations, shall be "
completed in a workmanlike manner by BOCC at its sole cost and expense. Prior to the
commencement of any work within the Easement or any Restoration Operations, BOCC shall
obtain from all authorities having jurisdiction of the premises any and all permits and approvals
that may be necessary in order to carry out the work.
7. Indemnification. To the fullest extent allowed by applicable law, BOCC, on
behalf of itself and its successors and assigns, agrees, unconditionally and irrevocably, to
indemnify, defend, protect and hold absolutely blameless and harmless GSS and its members,
managers, officers, successors and assigns from and against any and all losses (to persons or

property), damages, claims, demands, suits, proceedings, causes of action, awards, costs of
defense (including attorneys' fees), liability or obligations of whatsoever nature and by
whomsoever asserted related to, occasioned by, arising in connection with or in any manner
resulting from the presence on, use and enjoyment of or any work performed upon the Easement
or with respect to any Restoration Operations by BOCC or its guests, invitees, employees,
contractors, subcontractors or other authorized agents or users.
8. Notices. All notices, notifications, consents and approvals required or
authorized hereunder shall be in writing and shall be served upon the party entitled thereto either
by personal delivery to such party or by certified mail, with postage thereon fully prepaid,
addressed to such party at the addresses appearing on the signature page of this Agreement. If
any party hereto shall change its address, it shall give notice of the change thereof to the other
party in the manner set forth above.
9. Binding Effect. This Agreement is intended to run with the GSS Property
and be binding upon and inure to the benefit of the parties hereto and the respective successors
and assigns forever and the burdens and benefits hereof shall constitute covenants running with Go m

10. Authority. The persons signing this Agreement represent and warrant that ,- all
they have the right, authority and power to execute this Agreement on behalf of the parties for m
whom they are signing. Each party represents and warrants to the other party that this �m
Agreement is a binding obligation of such party.
11. Governing Law. This Agreement is made with respect to rights and
obligations accruing in the State of Colorado and shall be governed by and construed in
accordance with the laws of the State of Colorado. O F

12. Remedies for Breach of Covenants. The parties hereto shall be entitled to any �z
and all remedies permitted by law, including injunctive and mandatory relief, for breach of any
of the covenants, warranties, indemnities and obligations contained herein.
13. Attorneys' Fees. In the event the provisions of this Agreement require
enforcement, litigation or are a subject of controversy, the prevailing party shall be awarded its
reasonable attorneys' fees and costs incurred therein.
14. Entire Agreement. This Agreement constitutes the entire agreement and
understanding between the parties relating to the subject matter hereof. All preceding
representations or agreements relating to the subject matter hereof, whether written or oral, are
hereby merged into this Agreement.
15. Waiver. Any waiver by any party hereto of any breach of any kind or character
whatsoever by any other party, whether such shall be direct or implied, shall not be construed as

a continuing waiver of or consent to any subsequent breach of this Agreement on the part of the
other party.

desires, in its sole and absolute discretion, and at its or any adjacent landowner's sole expense, to
conduct a lot line adjustment such that the part of the Terminated Portion that is on the northerly
side of the Right-of-Way (the "Adjustment Property") would become part of the tract or tracts
immediately adjacent to the northerly edge of the Road Segment prior to its relocation, GSS
shall, at no expense to GSS, consent to the lot line adjustment and convey the Adjustment
Property by quitclaim deed or deed without warranty to the owner or owners of such tract or
tracts in connection with and pursuant to such lot line adjustment.
3. Use by GSS. GSS, for itself, it successors and assigns, hereby reserves the right
to use the Easement for all purposes not inconsistent with the grant of the Easement and to erect,
maintain, repair and replace fencing on, over and through the Easement but not across the Right-
of-Way after relocation of the Road Segment. To the extent that any such fencing is damaged,
destroyed or removed during relocation of the Road Segment, the BOCC shall, at its sole a
expense, cause such fencing to be repaired or replaced with new fencing of the same type as the M

4. Restoration and Abandoent of Road Segment, Upon completion of the �

Relocation, BOCC shall remove the old Road Segment and restore the surface thereof to, as d
nearly as is practicable, a natural state, including, without limitation, by grading the surface, a
spreading topsoil and planting native vegetation (collectively, "Restoration Operations"). Upon
completion of Restoration Operations, BOCC shall take all actions necessary to vacate and
abandon the portion of the road easement covering the old Road Segment (the "Abandoned
Segment"). Upon abandonment thereof, each portion of the Abandoned Segment form the
centerline to the edge thereof shall revert to the owner of the fee estate, or portion thereof,
adjacent to such edge of the Abandoned Segment.

5. Existing Gravel Road. The parties acknowledge that an existing gravel road
intersects the Road Segment in the northwesterly tip of the Easement. As part of the Relocation,
BOCC shall have the right to reengineer, rework and/or relocate said intersection within the
portion of the Easement that burdens the fee estate on which said gravel road intersection is
located. a

6. Performance of Work. All work performed by BOCC in the Easement, whether
on the Road Segment or otherwise, or with respect to any Restoration Operations, shall be
completed in a workmanlike manner by BOCC at its sole cost and expense. Prior to the
commencement of any work within the Easement or any Restoration Operations, BOCC shall
obtain from all authorities having jurisdiction of the premises any and all permits and approvals
that may be necessary in order to carry out the work.
7. Indemnification. To the fullest extent allowed by applicable law, BOCC, on
behalf of itself and its successors and assigns, agrees, unconditionally and irrevocably, to
indemnify, defend, protect and hold absolutely blameless and harmless GSS and its members,
managers, officers, successors and assigns from and against any and all losses (to persons or

property), damages, claims, demands, suits, proceedings, causes of action, awards, costs of
defense (including attorneys' fees), liability or obligations of whatsoever nature and by
whomsoever asserted related to, occasioned by, arising in connection with or in any manner
resulting from the presence on, use and enjoyment of or any work performed upon the Easement
or with respect to any Restoration Operations by BOCC or its guests, invitees, employees,
contractors, subcontractors or other authorized agents or users.
8. Notices. All notices, notifications, consents and approvals required or
authorized hereunder shall be in writing and shall be served upon the party entitled thereto either
by personal delivery to such party or by certified mail, with postage thereon fully prepaid,
addressed to such party at the addresses appearing on the signature page of this Agreement. If
any party hereto shall change its address, it shall give notice of the change thereof to the other
party in the manner set forth above.
9. BindingEffect.ffect. This Agreement is intended to run with the GSS Property
and be binding upon and inure to the benefit of the parties hereto and the respective successors
and assigns forever and the burdens and benefits hereof shall constitute covenants running with
the title to the property described herein. This Agreement shall be recorded in the records of the a

10. Authority. The persons signing this Agreement represent and warrant that 0) ° m m

they have the right, authority and power to execute this Agreement on behalf of the parties for m
whom they are signing. Each party represents and warrants to the other party that this n m

11. Governing Law. This Agreement is made with respect to rights and
obligations accruing in the State of Colorado and shall be governed by and construed in
accordance with the laws of the State of Colorado.
12. Remedies for Breach of Covenants. The parties hereto shall be entitled to any
and all remedies permitted by law, including injunctive and mandatory relief, for breach of any
of the covenants, warranties, indemnities and obligations contained herein. �3

13. Attorneys' Fees. In the event the provisions of this Agreement require
enforcement, litigation or are a subject of controversy, the prevailing party shall be awarded its
reasonable attorneys' fees and costs incurred therein. �g
14. Entire Agreement. This Agreement constitutes the entire agreement and
understanding between the parties relating to the subject matter hereof. All preceding
representations or agreements relating to the subject matter hereof, whether written or oral, are
hereby merged into this Agreement.
15. Waiver. Any waiver by any party hereto of any breach of any kind or character
whatsoever by any other party, whether such shall be direct or implied, shall not be construed as
