SIX CO NTRACT # d 22- 2 DATED JANUARY 9, 2003 TO CONTRACT BETWEEN WASHINGTON INFRASTRUCTURE SERVICES, INC. (Successor in Interest to) ISBILL DIVISION, Raytheon Infrastructure, Inc. AND PITK1N COUNTY, COLORADO The Sponsor and the Engineer agree to amend their "Engineering Consultation Contract" contract dated December 20, 1999 for improvements to Aspen-Pitkin County Airport, Aspen, Colorado. The items covered by this amendment are described as follows and amend the "Scope of Work" paragraph #1 as follows: CURRENT LANGUAGE: 1. The Engineer shall perform all Basic Services as defined below, and such Special Services as are specifically requested in writing by Pitkin as necessary or appropriate to the completion of all Capital Improvement Projects at the Aspen-Pitkin County Airport designated for construction by the Airport Manager from the date of the contract through the conclusion of all projects for the year 2004. The project is currently expected by the parties to include the following individual project elements. The scope of work contemplated under this agreement with regard to the Project is for engineering service services for improvements at the Aspen-Pitkin County Airport. Said improvements will include, but are not limited to, the following items: I. Relocate North GA Aimrafi Parking out of ROFA 2. Rehabilitate GA Apron Phase I 3. Acquire Land for Runway Protection Zone 4. Rehabilitate GA Apron Phase 1I 5. Construct Perimeter Road 6. Relocate GA Parking Between ARFF Building and Air Carrier Apron 7. Overlay Runway and Upgrade Medium Intensity Runway Lighting 8. Various projects to Meet Runway Safety Area and Object Free Area Standards 9. Relocate ARFF Building to West Side of Airport 15. Rehabilitate GA Apron Phase III AMEND TO READ: 1. The Engineer shall perform all Basic Services as defined, and such Special Services as are specifically requested in writing by Pitkin as necessary or appropriate to the completion of all Capital Improvement Projects at the Aspen-Pitkin County Airport for construction as identified by previously signed Amendments. The. scope of work defined by this amendment removes the following Projects for engineering services at the Aspen-Pitkin County Airport: 4. Rehabilitate GA Apron Phase II 5. Construct Perimeter Road 7. Overlay Runway and Upgrade Medium Intensity Runway Lighting, except as identified in Amendment #5 to the Contract 8. Various projects to Meet Runway Safety Area and Object Free Area Standards 9. Construct North GA Apron/Relocate Aircraft parking out of ROFA 10. Relocate North Portion Taxiway "A" 11. Widen Runway 15/33 Runway Safety Area 12. Relocate South Portion ofTaxiway "A" 13. Install Medium Intensity Taxiway Lights 14. Relocate ARFF Building to West Side of Airport 15. Rehabilitate GA Apron Phase III Page 2 of 4 Aspen-Pitldn Amend 6 ~.~ AMENDMENT NO. 6 Pitldn County, CO Contract Aspen/Pitkin County Airport CADD / ELECTRONIC FILE TRANSFER Engineer's electronic files are compatible with AutoCAD Release 14. Engineer makes no representation as to the compatibility of these files with other hardware or software beyond said Release. Data contained on these electronic files are a part of Engineer's instruments of service and shall not be used by Sponsor or anyone else receiving these data through or from Sponsor for any purpose other than as a convenience in the preparation of design or construction documents. Any other use or reuse by Sponsor or by others will be at Sponsor's sole risk and without liability or legal exposure to Engineer. Sponsor agrees to make no claim and hereby waives, to the fullest extent permitted by law, any claim or cause of action of any nature against Engineer, Engineer's officers, directors, employees, agents or subconsultants that may arise out of or in connection with Sponsor's use of the electronic files. Furthermore, Sponsor shall, to the fullest extent permitted by law, indemnify and hold Engineer harmless against all damages, liabilities or costs, including reasonable attorney's fees and defense costs, arising out of or resulting from Sponsor's use of these electronic files. These electronic files are not construction documents. Differences may exist between these electronic files and the corresponding hard copy construction documents. Engineer makes no representation regarding the accuracy or completeness of the electronic files Sponsor receives. In the event that a conflict arises between the hard copy documents and the electronic files prepared by Engineer, the signed and sealed hard copy ESID design or construction documents shall govern. Because information presented on the electronic files can be modified, unintentionally or otherwise, Engineer reserves the right to remove all indicia of ownership and/or involvement from each electronic display. Under no circumstances shall delivery of the electronic files for use by Sponsor be deemed a sale by Engineer, and Engineer makes no warranties, either express or implied, of merchantability and fitness for any particular purpose. In no event shall Engineer be liable for any loss of profit or any consequential damages as a result of Sponsor's use or reuse of these electronic files. Except as otherwise provided herein all other terms and conditions of the original contract shall remain in full force and effect.
