(Examples: original manufacturer, no regional distributor, standardization etc): Explain: Nokia is a communications company that specialized in high capacity microwave backhaul equipment and services. The Pitkin County microwave network must support public safety and TV/FM translator bandwidth requirements and must be scalable to support future broadband initiatives. The Nokia Microwave Packet Radio (MPR) meets the current needs of the county and is expandable to accommodate future broadband requirements. Pitkin County utilizes Nokia microwave products throughout the county and we have staff that are trained on installation, maintenance, and troubleshooting. Nokia is on the HGAC public safety contract and equipment pricing is part of a competitive procurement process that is compliant with State statutes. Confidential Statement of Work 4 / 11 1 Introduction This Statement of Work (“SOW”) describes the deliverables, parties’ respective responsibilities and other conditions applicable for the provision of Microwave and IP / MPLS Deployment Services (“Service(s)”) by Nokia of America Corporation. (“Nokia”) for Pitkin County, Colorado (“Pitkin County”). Performance of the Services described in this SOW shall be governed by the terms Houston-Galveston Area Council End User Agreement, Contract No. 10975-C-2017RA05-18, between Pitkin County and Nokia (“Agreement”). No obligation to provide any of the Services described herein arises unless an order for such Service, incorporating the terms of this SOW, has been placed by Pitkin County and accepted by Nokia. In the event of a conflict between the terms of the Agreement and this SOW, the terms of this SOW shall prevail with respect to the subject matter contained herein. Nokia’s performance of the Services described below is subject to the assumptions, exclusions and other conditions identified in this SOW. 2 Project Description 2.1 Description Pitkin County is expanding their backhaul network to a greater area, and as part of this expansion is deploying Nokia 7705 SAR-8 and 7705 SAR-A routers. This SOW provides Nokia Professional Services to support Pitkin County with Network Design Services in deploying of these network elements. 2.2 Equipment Configuration The Services described in this SOW are exclusively for the following products: IP / MPLS Professional Services  Four (4) new 7705 SAR-8s: JackRabbit, TOSV, Basalt MMC, Thomasville  Ten (10) existing 7705 SAR-8s: Sunlight PC and Sunlight SOC, Crown, Williams, PCREDC, Ajax, Loge, Hunter Creek, Jail and Ruedi  One (1) existing 7705 SAR-A: Basalt Southside Pitkin County Microwave and IP / MPLS Deployment and Professional Services © Nokia 2019. Proposed Network Deployment 3 Network Design – IP Service Routers Nokia will work with Pitkin County to update the current Network High Level Design (HLD) document based on the objectives and requirements for the network solution proposed in this SOW. The design work is done at a Nokia R&D center where design options can be verified in a lab and discussed among the Nokia team of architects. Confidential Statement of Work 6 / 11 3.1 Responsibilities Tasks Nokia Pitkin County Network Design – IP Service Routers: Provide the Nokia network architecture and design team with all relevant service and technical requirements prior to the commencement of the network design. This includes:  List of all standard network services to be supported by the new network elements. X Lead a services and technical requirements gathering meeting with Pitkin County to obtain the required information to start the network design process. X Provide knowledgeable personnel to attend the technical requirements gathering meeting, and review and approve the revised HLD in accordance with a schedule to be developed between Nokia and Pitkin County. X X Develop a network detailed design documenting the recommendations and design for the next-generation IP/MPLS project based on the service and network requirements provided by Pitkin County. The network detailed design will cover the following components:  Define port/interfaces (ethernet), bandwidth rates, paths.  Allocate IP addressing blocks based on the IP addressing scheme defined in the HLD  Develop IGP, MPLS, QoS, Network Management, System security for the new network elements per the HLD guidelines and recommendations.  Extend current L2 / L3 Network Services as defined in the HLD for the new network elements, as applicable for the solution proposed.  Perform traffic engineering and load balancing on network paths to optimize flow X Develop Configuration files:  Four (4) new 7705 SAR-8s: JackRabbit, TOSV, Basalt MMC, Thomasville  Ten (10) existing 7705 SAR-8s: Sunlight PC and Sunlight SOC, Crown, Williams, PCREDC, Ajax, Loge, Hunter Creek, Jail and Ruedi  One (1) existing 7705 SAR-A: Basalt Southside X Respond to Nokia technical questions and inquiries for information in a timely manner. Nokia requires turnaround on technical requests within 24 hours. X Review the updated HLD with Pitkin County and obtain sign off X X 3.2 Deliverables Nokia shall provide the following deliverables as part of this service. Confidential Statement of Work 7 / 11 4 Project Management For the duration of the project, Nokia will designate a Project Manager who will function as a single point of contact (SPOC) for Pitkin County for this Project and will coordinate project activities through acceptance of the contracted deliverables. The Project Manager(s) that are assigned to the project will be guided by the principles of Project Management established by the Project Management Institute (PMI®) in order to plan, schedule, and implement project activities, meeting industry recognized standards of quality and project control. Nokia’s Project Manager shall perform each of the following tasks for the project:  Collaborate with Pitkin County to establish a baseline project schedule, with key milestones and the project’s critical path identified based on signed SOW and verified Purchase Order.  Utilize a Project Management Plan to jointly manage and control the project with respect to: 1) Timely completion of deliverables 2) Quality of deliverables 3) Effective communication of project plans, status, and issues 4) Control of project changes  Identify and manage Nokia resources throughout the duration of the project.  Manage activities related to verification and Pitkin County acceptance of project deliverables  Provide appropriate records and documents associated with the completion of the project. 4.1 [Pitkin County] Responsibilities In support of Nokia’s Project Manager, Pitkin County shall:  Provide the name of the Pitkin County Project Manager who will function as the Single Point of Contact for all Pitkin County-related discussions, information exchange, and issue resolution  Provide Nokia with Pitkin County information reasonably requested by Nokia for effective management and control of the Project  Perform all agreed-upon Pitkin County-owned activities, including review of documents submitted for Pitkin County approval, in a timely manner and with quality sufficient to avoid hindering Nokia’s ability to perform its activities under this contract  For each 3rd party under contract with Pitkin County to provide products or systems, or to perform activities, in support of the Project as/if required: 1) Provide the name of an authorized Project Management contact 2) Secure the cooperation of the 3rd party as required for timely completion of the project 3) Where required, execute a letter of agency or similar document to authorize Nokia to manage and direct such third parties on Pitkin County’s behalf 4) Obtain from the 3rd Party any license rights necessary for the completion of the Project. 5 Schedule / Timeline  Nokia will schedule work within 4 weeks from receipt of Purchase Order (PO) and complete all work within 12 weeks from receipt of Purchase Order (PO). Confidential Statement of Work 8 / 11 6 General Assumptions Network Design – IP Service Routers:  All network elements are designed in a single batch.  Any requirements and/or design changes requested after the HLD sign-off will be subject to Change Control  All work will be performed remotely.  If delays to service schedule, once established, are caused by Pitkin County, additional charges may apply. 7 Exclusions Network Design – IP Service Routers does not include:  Design pertaining to transport planning/availability (e.g., analysis of available fiber/transport options, design of optical transport network, DWDM/CWDM design/wavelength assignments, specifications of XFPs/SFPs to be used for various inter-nodal transport links)  Optional designs – these can be custom quoted, as needed:  IPSec or firewall services  Network Group Encryption (NGE)  MEF design for standardized MEF L2 services (e.g., E-LINE, E-LAN, E-TREE, E-ACCESS)  OAM (Y.1731, TWAMP, 802.3ah, 802.1ag)  Packet Microwave Card (PMC)  AA, BNG, IPv6, CG-NAT, BGP Peering (ISP), PBB services  Service offerings which Pitkin County may want to provide in the future.  Additional service designs or configurations beyond what is outlined in “description / scope” sections above.  Any service type configuration, variants to those service or hierarchical service topologies that have not been described fully by Pitkin County prior to commencement of the network design.  Configuration file examples (these can be provided as part of a Low Level Network Design (“LLD”) Service).  Onsite design workshop.  Any design changes requested after the sign off of the design document. Confidential Statement of Work 9 / 11 8 Additional Terms Unless otherwise stated in previous sections of this SOW, the following terms apply to all Services. Additional terms and conditions are per the Agreement. 8.1 Conditions  Nokia reserves the right to determine which personnel to assign to perform Services. Nokia personnel shall at all times be subject to the employment conditions of Nokia and not those of Pitkin County. If Nokia personnel are present on Pitkin County’s premises, those Nokia personnel shall respect Pitkin County’s on-site conditions.  Nokia may use proprietary tools and software for providing this Service. The stated price does not include the sale, licensing or transfer of such tools or software to Pitkin County.  All work will be performed during normal business hours – 7 AM to 6 PM, local time, Monday through Friday (excluding holidays) - unless different working hours/schedule have been specified elsewhere in the SOW. 8.2 Change Management The pricing in this SOW is based upon performance of the tasks and provision of deliverables specifically defined in this SOW. Requests for additional work activities that are not described in this SOW, including Pitkin County-required overtime or night work, or the application of any different or additional criteria or testing in connection with any Services or deliverables, are subject to acceptance by Nokia and will entail additional charges to Pitkin County. Certain matters may require a new quotation under a separate Statement of Work. If Nokia agrees to perform additional work activities under a SOW, Pitkin County shall execute a Change Order in accordance with Nokia’s Change Management Process to confirm the schedule impact and Nokia’s authorization to perform and bill for such work activities. Additional charges may apply if performance or completion of the Service is delayed for any reason attributable to Pitkin County. In such cases, Pitkin County agrees to authorize: (a) Nokia’s billing for such work activities on a time and material basis at Nokia’s then current standard rates and subject to any applicable per incident and/or minimum hourly billing requirements then in effect and/or (b) the schedule extension attributable to the delay. 8.3 Acceptance Maintenance, management and other recurring services are deemed accepted as services are performed. For all other services, Nokia shall notify Pitkin County upon completion of Services either by providing a notice of completion or by providing Pitkin County the deliverable(s) specified in this SOW. Thereafter Pitkin County shall have ten (10) days from the notice to notify Nokia that the Services do not conform to the requirements described in this SOW. Such Services shall be deemed accepted on the earliest of: (1) the passage of ten days from date of notice of completion with no notice of non-conformance from Pitkin County; (2) Pitkin County's actual acceptance; or (3) Pitkin Pitkin County Microwave and IP / MPLS Deployment and Professional Services © Nokia 2019. Confidential Statement of Work 10 / 11 County's use of the Services, the result of the Services or any deliverable, whether or not the use is revenue-generating. 9 Pricing Summary 9.1 Pricing Notes  The quoted prices are valid for POs received within 60 days from the date of this SOW.  All prices are in $US, unless stated otherwise.  Prices do not include taxes.  If this SOW is accepted as is, please reference the quote number on your PO 19US864780.01.  Anything not specifically described above is not included in this SOW.  Changes involving additional scope or an extension of the project timeframe will require a change order in accordance with the Nokia Change Management process.  Unless otherwise explicitly stated within the framework of this SOW, Nokia shall perform all services remotely. For any Pitkin County request or requirement for travel by Nokia, all services support, travel and living expenses including lodging, airfare, meals, transportation, and any associated expenses and taxes shall be paid by Pitkin County. 9.2 Pricing Table Refer to pricing file. 10 Entire Agreement This SOW and the non-conflicting terms and conditions of the Agreement constitute the entire agreement, and supersede all prior oral and written understandings, between the parties regarding the subject matter hereof. Any modification or addition to this SOW shall be in writing and signed by authorized representatives of both parties. This SOW shall be governed by the laws of New York. Each party intends that a facsimile of its signature printed by a receiving fax machine, and/or a signature scanned in a PDF document, be regarded as an original signature and agrees that this SOW may be executed in counterparts, which together shall constitute a single instrument.
