PROJECT NAME: FBO Analysis

The Financial Consulting Services Master Services Agreement (the “Agreement”) dated October 1, 2018
between the Board of County Commissioners of Pitkin County (the “County”) and Ricondo & Associates,
Inc., 20 N. Clark Street Suite 1500, Chicago, IL 60602 (the “Contractor”), shall include the following
services:
1.Contractor’s Obligations. Contractor shall prepare an FBO Analysis report to include the
following:
a.Existing FBO Lease and Use Agreement Assessment. Contractor shall prepare a summary of the
business terms and conditions of the County’s existing FBO Agreement. This summary shall
include an overview of the key business terms and conditions of this Agreement as well as a 5-
year historical review (FY 2015 – 2019) of annual fuel sales, lease payments, general aviation
landing fees, and fuel flowage fees. In addition, this assessment will include a 3-year forecast
(FY 2020 – 2023) of fuel volumes, lease payments, general aviation landing fees, and fuel
flowage fees.
b.Options for future delivery of FBO services. Contractor shall describe the 3 options for
delivery of FBO services upon conclusion of the existing FBO Agreement including: A)
continuation of a traditional FBO Agreement with selection of a company through a County
Request for Proposals (RFP) process; B) entering into a management contract agreement with a
private-sector firm to provide FBO services on behalf of the County through a County RFP
process; and 3) the County exercising its proprietary right to offer FBO services. The
Contractor will describe each of the 3 options and provide an assessment of the advantages
and disadvantages of each approach for use and consideration by the County in determining its
preferred alternative for future delivery of FBO services.

c.Prepare Financial Pro-Forma Analysis. Contractor shall prepare 10-year financial pro-forma
analyses for each option. For the management contract agreement and proprietary rights
options, forecasts of annual operating revenues, expenses, cash flow, and capital funding
requirements will be provided. For the scenario related to the continuation of the traditional
FBO agreement, Contractor will model recommended business terms and conditions for a
new FBO agreement based upon current industry practices. Contractor will retain Andrew H.
Magenheimer, MAI of Slack, Johnston & Magenheimer, Inc. as a subcontractor
(Subcontractor) to validate its assumptions for future rental and fee terms for continuation of
the traditional FBO. Contractor will use data provided by County, along with 2 peer airports,
to model forecasts of operating revenues, expenses, and staffing plans associated with the pro-
forma analyses for scenarios 2 and 3 described in Section 1.b. Subcontractor to review and
validate assumptions for revenues and expenses associated with these scenarios. The County
is to provide Contractor with capital funding requirements to be used in all pro-forma
analyses.
d. Recommendation. Contractor is to prepare a summary of its findings and provide a
recommendation based upon the findings of this analysis.
Contractor to prepare its report in Word format and prepare and present a PowerPoint version of its report to
the County (original drafts and final versions of each document). It is anticipated that 2 on-site meetings will
be required for this Task to include an overview of the preliminary findings of the analysis and presentation
of the final analysis.
2.Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of Seventy-eight thousand, one-hundred four
dollars and NO cents ($78,104.00) for all services rendered. By Task Order or Task Order
Amendment, the County and Contractor may reallocate the budget among project tasks if the total
budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours
worked, with payment expected within thirty (30) days of invoice, but any payment by the County
may be offset by any amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 110.2018 F-1, FBO Analysis. Invoices shall be sent electronically in
PDF format to chris.padilla@aspenairport.com.
3.Pitkin County’s Obligations. Pitkin County shall administer this Task Order through a County
Representative. County Representative, Chris Padilla, Airport Controller, will manage the project as
the County’s Representative. The services provided and products delivered by the Contractor under
this contract will be subject to review by the County’s Representatives, or a designee, for compliance
with Contractor’s obligations prior to final payment.
4.Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.

Getting paper or electronic copies
