PITKIN COUNTY CONTRACT FOR THE PURCHASE OF GOODS
THIS CONTRACT, made June 1, 2020 by and between the Board of County
Commissioners of Pitkin County, Colorado, 530 E. Main St., Suite #302, Aspen, CO 81611,
(hereinafter called the "County") and KOVA Corp., 102 E Bay Avenue Suite J, Manahawkin,NJ
08050 (hereinafter called the "Vendor") to perform the following work: Emergency Alert
Notification System("Project").
I. Goods Purchased. Vendor shall provide County with the following goods conforming
to the stated description and any Technical Specifications attached to this contract: See
attachment A for description of goods with pricing proposal and attachment B for
details on outside agency pricing through GSA.
II. Delivery of Goods. Goods, together with all warranties, guarantees, manuals,
support information and notice of any extended warranties, shall be delivered by
Vendor to the County at the following place and time:

III. Risk of Loss. At all times prior to delivery and County's acceptance of the goods,
Vendor shall bear any and all risk of loss of or damage to the goods.During such period,
Vendor shall insure the goods for loss or damage in amounts and under appropriate
terms.
IV. Time is of the Essence. Vendor acknowledges that time is of the essence for the
delivery of goods.
V. Liquidated Damages. Vendor hereby agrees to be responsible to County for
liquidated damages for failure to deliver goods on time, (for delay and not as Penalty)
in the amount of Zero dollars and Zero cents ($0.00)per calendar day for each day or
part of a day that goods are not delivered on the date and time established in accordance
with this contract. The parties agree that the stated sum is a reasonable forecast of fair

compensation for the anticipated damages for delay and that they genuinely intend to
liquidate such damages. Any such damages are to be deducted from purchase price.
VI. Acceptance of Goods. Delivery of goods shall be complete only upon acceptance
by County. County shall have 1 week for inspection of goods. At delivery and after
inspection and acceptance, Vendor shall tender a Bill of Sale to the goods, together
with any and all other documents evidencing such ownership and title to the goods.
The goods shall be delivered to County free and clear of any liens, claims or
encumbrances, and Vendor shall warrant the same, which warranty shall survive
closing of this contract.
VII. Rejection of Goods. If goods are not delivered according to the specifications and
descriptions of this contract, County may reject goods. Vendor shall have 30 days
additional time to deliver goods in conformance with this contract. Upon Failure of
Vendor to deliver goods, County may terminate this contract or declare Vendor to be
in default and pursue remedies contained in this contract.
VIII. Warranty and Repairs.
A. Delivery of Warranty.Upon delivery of the goods, Vendor shall simultaneously
tender to County all warranties,guarantees,manuals and other documents specified
by the contract documents or in possession of Vendor.
B. Terms of Warranty and Repair. The Vendor hereby warrants that for a period of 1
year after goods are accepted, Vendor will, at Vendor's own expense, without any
cost to the County, replace all defective parts and make any repairs to the goods
that may be required or made necessary by reason of defective material or
workmanship. Where practicable, warranty repairs are to be made in the field;
however, in the event of major repairs, the goods may be transported to Vendor's
facility at no cost to the County.
C. Extended Warranties. In addition to the above, the County may avail itself of the
Vendor's standard and/or extended warranties. The Vendor shall offer to the
County any extended warranties, which may be available from the manufacturer at
the time of delivery, or any subsequent extended warranties, for which the County
may be eligible, which become available thereafter. The County is under no
obligation to accept and pay for these extended warranties however.
IX. Payment. Full payment shall occur upon acceptance of goods delivered in compliance
with this contract. In consideration of delivery and acceptance of the goods to County
in accordance with this contract,County shall pay Vendor,and Vendor agrees to accept
as its full and only compensation, the stated sum of Fifty Four Thousand Six Hundred
Seven dollars and Zero cents ($54,607.00), but any payment by the County may be
offset by any amount the Vendor owes the County for any reason.

X. Termination Prior to Expiration of Contract Term. County has the right to
terminate this contract, with or without cause, by giving written notice to the Vendor
of such termination and specifying the effective date thereof
XI. County's Remedies Upon Default of Vendor. Whenever Vendor shall default in
performance of this contract in accordance with its terms, County shall be entitled to
suit for damages, specific performance or other relief in law or equity.
XII. Assignability. This contract is not assignable by either party. Any use of
subcontractors by the Vendor for performance of this contract must be accepted in
writing by the County.
XIII. Severability. In the event that any provision of this contract shall be held to be
invalid or unenforceable, the remaining provisions of this contract shall remain valid
and binding upon the parties hereto.
XIV. Integration and Modification. This contract represents the entire and integrated
contract between the County and Vendor and supersedes all prior negotiations,
representations, or contract, either written or oral. This contract may be amended only
by written contract signed by both the County and Vendor.
XV. Exemptions. All purchases of construction or building or any other materials for
this contract shall not include Federal Excise Taxes or Colorado State or local sales or
use taxes. Pitkin County is exempt from such taxes under registration numbers 98-
02624 and 84-78000-5K.
XVI. Contract Made in Colorado. The parties agree that this contract was made in
accordance with the laws of the State of Colorado and shall be so construed. Venue is
agreed to be exclusively in the courts of Pitkin County, Colorado.
XVII. Attorney's Fees. In the event that legal action is necessary to enforce any of the
provisions of this contract,the substantially prevailing party shall be entitled to its costs
and reasonable attorney's fees.
XVIII. Governmental Immunity. Vendor agrees and understands that the County is relying on
and does not waive,by any provision of this contract,the monetary limitations or terms
(presently $150,000 per person and $600,000 per occurrence) or any other rights,
immunities, and protections provided by the Colorado Governmental Immunity Act,
C.R.S. § 24-10-101, et seq., as from time to time amended, or otherwise available to
the County or any of its officers, agents or employees. Further, nothing in this contract
shall be construed or interpreted to require or provide for indemnification of the Vendor
by the County for any injury to any person or any property damage whatsoever which

is caused by the negligence or other misconduct of the County or its agent or
employees.
XIX. Current Year Obligations.The parties acknowledge and agree that any payments
provided for hereunder or requirements for future appropriations shall constitute only
currently budgeted expenditures of Pitkin County as County. Pitkin County's
obligations under this contract are subject to Pitkin County's annual right to budget and
appropriate the sums necessary to provide the services set forth herein. No provisions
of the contract shall constitute a mandatory charge or requirement in any ensuing fiscal
year beyond the then current fiscal year of Pitkin County. No provision of the contract
shall be construed or interpreted as creating a multiple-fiscal year direct or indirect debt
or other financial obligation of Pitkin County within the meaning of any constitutional
or statutory debt limitation. This contract shall not directly or indirectly obligate Pitkin
County to make any payments beyond those appropriated for Pitkin County's then
current fiscal year.No provisions of this contract shall be construed to pledge or create
a lien on any class or source of Pitkin County's moneys,nor shall any provision of this
contract restrict the future issuance of Pitkin County's bonds or any obligations payable
from any class or source of Pitkin County's money.
XX. Notice. Any notice required or permitted under this Agreement shall be in writing
and shall be provided by electronic delivery to the e-mail addresses set forth below and
by one of the following methods 1) hand-delivery or 2) registered or certified mail,
postage pre-paid to the mailing addresses set forth below. Each party by notice sent
under this paragraph may change the address to which future notices should be sent.
Electronic delivery of notices shall be considered delivered upon receipt of
confirmation of delivery on the part of the sender. Nothing contained herein shall be
construed to preclude personal service of any notice in the manner prescribed for
personal service of a summons or other legal process.

SECTION I: Overview
KOVA Emergency Alert Notification System
KOVA Emergency Alert Notification Systems (KEANS) are installed in five of the top thirty largest airports
in the United States. This overview details why KEANS is so rapidly becoming the preferred choice and
reliability standard nationwide. KEANS is tailored to fulfill your emergency notification system needs and is
robust and customizable for individual airport operations. Below you will find the technical overview and
the platform the system runs on, as well as security and monitoring options, which includes all of the
following key features:
- Basic overview of the system itself
- Technical explanation of the Core PBX
- Endpoints the system supports
- Location and Connectivity
- Reporting and Monitoring of the system
KEANS OVERVIEW
In its basic form KEANS is a sip enabled, multi-path auto ring-down circuit with multiple endpoints for real
time and delayed playback. It has real time monitoring of system health and performance, as well as the
option for email alerts and printed reports for system usage or issues. The system has the ability to scale
from a few endpoints into the thousands. KEANS is able to grow with your needs and enable you to stream
line your alert process to cut down on response time. Since the system is fully customizable to your needs,
it can adjust to ensure your response time is kept to a minimum. Since the system utilizes the newest sip
technology, it is able to monitor the sip endpoints and calls in real-time without requiring taps or other
equipment. KEANS is also based on current software and protocols that are being actively developed and
maintained. KEANS is able to be upgraded in place with minimal down time, without the need to replace
equipment. KEANS is also has full IP compatibility, able to be placed on a separate LAN or be integrated
into an existing IP Scheme.
CORE PBX
At the heart of KEANS you will find redundant servers at its core which are configured with auto-failover
and backups. There is the ability to add additional servers and geographically diverse locations based on
security and layers of backup desired. These servers can contain dual power supplies, raid I or 5 hot
swappable disk configuration, and dual Ethernet network ports for redundancy. This hardware is
nonproprietary, enabling easy replacement of components. KEANS runs on CENTOS operating system,
which is a flavor of RED HAT UNIX and is constantly supported and updated with security and stability
patches. To handle SIP registrations and control, KEANS utilizes the latest version of Asterisk. This
provides configuration using a combination of dial plan, bash scripts, cron jobs, and agi scripts for powerful
configuration. Asterisk is also actively supported and updated with security and stability patches. This
ensures the system will not be left behind and rendered obsolete after install.

ENDPOINTS
The customization of endpoints is where KEANS really shines. Since asterisk is fully RFC 2543, it supports a
variety of endpoints which can deployed as needed on a scalable basis as the Agency's evolving mission and
operations structure dictates. In this proposal, a SIP Phone will be installed at two positions to
initiate and answer alerts (additional phone endpoints can be purchased using in the future, with
deployment scaled upon on the Airport's evolving needs). These phones can be configured to operate as
Bat phones (auto dial into alerting group as soon as phone is off hook), single button dial, delayed dial, or
with speed dials for various endpoints. KEANS can utilize regular handsets, push to talk, or speakerphone.
Programmable buttons enable these Main endpoints to playback multiple alerts, connect directly to single
endpoints, or other options as needed. These phones also utilize POE so they don't require addition
power supplies. Each endpoint can be configured separately, allowing you to enable or disable features
based on location and need. The sip protocol also enables auto failover registration in the event the main
CORE PBX becomes unavailable for seamless failover. Built into the protocol is the ability to monitor
registration of the endpoint, and alert the system if it becomes unavailable without user intervention. Along
with the phones, KOVA is implementing an emergency strobe/speaker unit in 2 locations as well,
which can be configured to go off during ringing, during an active alert, or however required. This adds a
visual presence as well as an audible presence to the system for added alerting power. The Airport can
choose to have KOVA program these strobes to display a specific color based upon the alert notification
type. Additionally, KOVA is installing the following endpoint interfaces once the proper technical
preparation is completed for each interface:
Interface to allow the alert message to be sent to the dispatch center PBX
Interface to allow the alert message to be sent to the PA system
Interface to allow the alert message to be sent to the radio system
KOVA will also add a software customization to allow a way file of the alert message to be sent to choice
email recipients.
LOCATION CONNECTIVITY
Since KEANS is IP version 4 and 6 compliant you will be able to connect multiple remote locations and
LAN segments. The system can utilize Point 2 Point, MPLS, VPN, wireless and inter VLAN connectivity.
Utilizing Layer 3 routers, we are able to interconnect multiple locations utilizing copper or fiber
interconnections. Using either multiple circuits, multipath MPLS mesh, or a combination of technologies
there is added failover and reliability added. Along with monitoring you can ensure that all locations are
available when needed in an emergency situation.
RFPnRTIN( R MnNITORINC
For reporting KEANS utilizes both log files and SQL for call history and errors. This includes the not only
all of the call details, but also any issues or unavailable remote endpoints during the call. An easy log
provides a brief overview of each call along with a unique ID. If the system is configured with remote
internet access this can be configured to be emailed to configured users. You can also have KEANS
automatically print out after every alert to a configured printer. Based on disk space you can keep years'
worth of history. For more detailed information, a searchable webpage is provided. This enables call history
based on a variety of fields such as who started or answered the alert, call time or duration, or offline
extensions. This webpage can be configured to give multiple layers of access to different users based on

need. In this proposal KOVA is also including an option on the customized webpage to allow users to send
a .wav file attachment from the Emergency Alerting system to an email recipient.
Included with this proposal is licensing to allow One Administrator to monitor alerts via a
KEANS web portal that they would access via their Agency owned PC. For an additional cost,
KOVA can provide all-in-one PCs which are furnished in a compact footprint and would be dedicated to
monitoring the KEANS system at Administrative Positions within the Airport. These consoles are a full
administrative workstation that allows you to perform roll calls, view current alert participants, and alert
history.
For Monitoring a separate server can optionally be purchased and installed for an added layer of protection.
Also utilizing a CENTOS operating system, the server runs SMTP and monitoring services. These provide
monitoring of all endpoints and circuits that are configured on the system. With a detailed map of the
locations and endpoints you can see an overview of the system. You can check trends of downtimes or
outages to find and eliminate problem areas. Email notifications of errors alert KOVA technicians to
problems before the end user is aware of the issue. This enables maximum uptime and stability of the
system.
Section 2: Statement of Work
OVERVIEW
The system proposed for Aspen Pitkin County Airport includes a modular design, affording your personnel
with the latest digital technology that is extremely flexible and functional, built around standard operating
procedures. The system can grow with your facility and will continue to provide unprecedented freedom of
expandability moving forward. In this proposal, KOVA is providing the following endpoint configurations,
based upon the specific location and the equipment where deployment will occur and is based on KOVA's
End User License Agreement:

SYSTEM INTERFACES TO BE PROVIDED BY KOVA:

• P.A. Interface This analog interface is for integration of the Emergency Alert Notification
System to send alert notifications to Aspen Airport's existing P.A. System via
2 wire analog, SIP interface or contact closure
• PBX Interface This PBX interface is for integration of the Emergency Alert Notification
System to send alert notifications to Aspen Airport's Dispatch center PBX
System. This requires either a SIP trunk interface or analog phone line
interface from the Vesta PBX.
• Radio Interface This analog interface is for integration of the Emergency Alert Notification
System to send alert notifications to Aspen Airport's existing Radio System.
The radio system needs to accept a SIP or 4 wire analog interface.
CUSTOMER RESPONSIBILITIES
All transport wiring between the redundant core servers (core servers to be provided by KOVA) and each
endpoint will be the responsibility of Aspen Pitkin County Airport. Connectivity can be achieved via fiber
(single mode or multi-mode) or Ethernet (Cat 6). Terminations for each telephone end point will be RJ-45
receptacles located within 10 feet of the end point location. Terminations for each strobe/speaker endpoint
will be RJ-45 receptacles located within 10 feet of the end point location. The strobe/speaker will be
plugged in and mounted to the wall. The receptacles should be red in color to distinguish then as dedicated
outlets for the Emergency Alert System. Any Ethernet to fiber conversions in the transport path between
the server and the endpoints are the responsibility of the customer. On the core side, each endpoint
should be terminated on an RJ-45 modular (male) connector within the rack or cabinet which will house
the Emergency Alert system servers. These connections will terminate to an Ethernet switch provided by
KOVA that will interface with the system. Any mutual Aid or off site location can be integrated into the
system via direct wiring, TI, DSL or any other high speed secure connection at the Customer's expense.
Maximum bandwidth for each endpoint is approximately 100 KB. As an example, an off-site location
connected via a standard TI interface can support up to 15 endpoints.
For the interfaces to the PA, Dispatch PBX and radio systems, the customer will provide the following:
• P.A. Interface — a SIP enabled, analog or contact closure handoff from the PA system. The adapter
will require 110 AC power and can be mounted on the wall or shelf near the PA interface.
• PBX Interface — Provide either a SIP trunk (including IP address, username, password) or a 2 wire
analog phone line connection from the Vesta system to the KEANS system.
• Radio Interface — a SIP enabled interface or a 4 wire analog interface is required to send the alert
message through the adapter into the radio system.

KOVA will provide the design, labor, materials, implementation, testing, training, documentation,
maintenance and support for a one year period as required to provision the system and enable the end-
users. KOVA will also provide on-going consultation with technical personnel to ensure the system is
operating at optimum levels within the customer environment. If required, KOVA will interface with
customer 3rd party vendors to pursue integration into other systems. Such integrations may carry
additional cost based upon complexity and development required. KOVA will keep the customer personnel
abreast about any information related to new and updated features as they are developed and released.

Section 3: System Operation
When the Tower initiates an Emergency Alert Call, the call is received and rings at a designated location
and activates strobe lights. The Tower will begin to announce the details of the incident when the call at
any location has been answered.
All interactions between endpoints are recorded by KEANS. For systems with playback-only endpoints,
such as speakers or communicator endpoints, the system can be programmed to replay the message up to
9 times (this is a programmable number between 2 and 9 replays, based upon Airport Administrator
preferences). The recording shall replay all aspects of the communication during the call, which is heard
over connected speakers (optional), and listen only endpoints (optional).
Recording of the message will begin as soon as the alert call is answered. Once the conversation is finished,
the call initiator should place the handset in the cradle, ending the call.
A visual indicator shall be left on the phone that a call has occurred if it was not picked up. Either the
Message Waiting Light Indicator or Missed Call will appear on the LCD display of the Phone in the case of a
non-answered alert. If the call is missed, the handset enables the user to review all messages (in either
direction) stored on the System. All handsets enable users to retrieve recordings of the alert from the core
system. The replayed recording will be the recording in its entirety (forward or backwards). The user will
be able to replay as many recordings as the System has stored without having to listen to each previous
recording.
In the event successive incident(s) occur(s) immediately after completing a previous broadcast, the System
shall allow a minimum of ten "new" incidents to broadcast before replay of previous messages can occur.
However, if during replay, a new alert is initiated, then it will supersede the playback in progress of any
previous alert.
During a recorded rebroadcast of an incident, KEANS shall halt the rebroadcast of the first alert if a second
alert occurs. The recording of the second alert is added to the previously recorded alert and all KEANS
phones begin to ring, repeating the entire new call procedure. Functionally the recordings remain separate
as they are "watermarked" or closed to modification. The System will play both (or all in the event of more
than 2) recordings up to nine times, once the last alert has been completed.

The following system options are available for the KEANS system at an additional
cost:
- One way or talk-back speakers (outside horns, wall mount or 2 x 2 ceiling speakers)
- Standard Desktop Communicators (listen-only/alert playback)
- Executive Desktop Communicators (one-way or talkback with alert playback and
ability to make discreet calling to other two-way endpoints)
- Additional Visual multi-color Strobes
- Additional Phone Endpoints
- Multi color Light towers for gradual waking/alerting with audible capability
- Printer (auto print alert summary, includes times, participants, duration, etc.)
- Integration into Everbridge or other enterprise alerting system
- UPS for core and primary endpoints
- Utilization of AT&T FirstNet or Verizon Public Safety Mobile network for primary or
backup communications are also available (requires site survey to submit a proposal)
