Contractor’s Obligations. Contractor shall provide geotechnical investigation and engineering design for road stabilization on Owl Creek Road as defined in Attachment A – SGM SOW. 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of seventy thousand dollars and zero cents ($70,000.00) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 002.20 B-6 and Owl Creek Road Stabilization. Contractor’s Obligations. A. Project Description This project consists of geotechnical investigation and engineering design for road stabilization on Owl Creek Road. B. Work Plan Phase 1 – Project Management and Meetings · We have assumed that the project will take approximately 5 months from kickoff to award of construction. We have estimated 4 hours per month will be required for ongoing project management which would include internal project coordination, communication with county staff and potential contractors. Phase 2 – Initial Project Development · Obtain right of entry permission for field surveying activities · Survey roadway corridor limits centered on existing road with sufficient lateral extents for slope stabilization and/or roadway relocation design. · Utility locations (by Roaring Fork Utility Locators – not SUE) · Conversion of field data to base map. · Property/ROW research and identification. Phase 3 – Civil Engineering Design · Identify limits of roadway repairs or develop roadway and grading plans if the roadway is shifted away from the landslide · Identify limits of guardrail replacement · Develop traffic control options for maintenance of traffic during construction Pitkin County On-Call Engineering Services Master Service Agreement #: 002.20 2 Phase 4 – Geotechnical Design Please refer to the attached proposal from RJ Engineering dated October 6, 2020 for detailed information related to the Subsurface Investigation and Geotechnical design scope items. Phase 5 – Structural Engineering · Design of slope stabilization measures and/or retaining walls. Note: this may be performed by the geotechnical engineer, depending upon which type of stabilization method or retaining wall is selected. Phase 6 – Bid Phase · SGM will provide plans and specifications to the County for inclusion into the bid documents. · An Engineer’s Opinion of Probable Cost will be prepared. · It is anticipated that a Pre-Bid meeting will be held and there will be a nominal effort during bidding to respond to questions and evaluate bid proposals. C. Deliverables Testing reports, plans, specs and estimate. D. Schedule Field work will be performed this Fall. Design will be completed over the Winter so the project can be advertised in the Spring. E. Sixth Street, Suite 200 Glenwood Springs, CO 81601 Subject: Proposal for a Subsurface Investigation and Stabilization Recommendations for Owl Creek Road in Pitkin County, Colorado Dear Mr. Fowler, This letter presents RJ Engineering & Consulting, Inc. (RJE) proposed scope of work, estimated project costs, fee schedule and general conditions for providing geotechnical recommendations for stabilization of Owl Creek Road. Project Description: We visited the site on September 30, 2020. Our observations suggested an embankment failure, or a deeper-seated landslide is occurring on the downhill side of Owl Creek Road. We were requested to provide geotechnical investigation and design services for potential mitigation of the roadway movement. Mitigation Alternatives Discussion: We were also requested to provide discussion on potential mitigation alternatives for the site. Potential mitigation options may include: • Realignment of the road into the hillside to avoid the existing downslope movement. However, the realignment of the roadway may still experience pavement distress depending on the depth and nature of the existing failure. • Drilled Single Row Shafts or Coupled Shear Piles o This system consists of drilling a single row or coupled shafts to provide lateral restraint for the embankment. The system is installed from the road grade and would provide complete mitigation. Costs of these systems are typically the limiting factor. • Deep Patch or EPS (Expanded Polystyrene) o A deep patch was utilized on Frying Pan Road (MP 22) for mitigation of an embankment failure. The system consists of excavating the road subgrade and replacing the materials with geosynthetic reinforced structural fill. A deep patch could be utilized at this site provided the owner understands movement would likely continue for the foreseeable future, however, at a slower rate. The poor-quality soils at this site would likely continue to creep after installation of a deep patch system. o EPS or more commonly known as Geofoam may be a viable mitigation alternative at this site. The system involves excavation of road subgrade and replacement with low density foam to reduce the driving force on the embankment. Additional investigation and analysis would be required to evaluate this alternative. Based on our observations, the slide mass appears to be too large to properly mitigate using soil nails as the likely failure surface will be below the depth of the soil nail. The weaker soils would likely not provide adequate bond values and not develop enough restraining capacity to mitigate the movement. Proposal for Geotechnical Investigation Owl Creek Road Stabilization, Pitkin County Page | 2 Scope of Work: We were requested to provide associated design costs for the potential mitigation alternatives. We believe a geotechnical investigation is required prior to development of reasonable mitigation alternatives. Based on our understanding of the project, we propose the following scope of work: Task 1 – Conduct geotechnical investigation for design of the selected mitigation system, which includes: • Contract traffic control services. • Contract drilling services for a geotechnical investigation. We propose to drill 1 to 2 test holes to a depth of 20-40 feet or practical drill rig refusal. • RJE will log the borings and collect samples for testing. • Provide laboratory testing to determine engineering characteristics and recommendations needed for the design of the mitigation system. Task 2 – Place inclinometers in the borings during the geotechnical investigation to monitor the rate, depth and direction of slope movement. The inclinometer data is one of the few methods to determine the depth and magnitude of deeper-seated landslide movements and necessary for mitigation design. Traffic control would be required to obtain inclinometer readings. Fee: The client will be invoiced a lump sum amount as shown below and in accordance with the attached General Conditions. All other requested work will be invoiced on a time and materials basis at a rate of $185 per hour and $0.55 per mile and in accordance with the attached General Conditions. Task 1 – $7,800 Task 2 – $900 plus $1,800 per reading (2 readings min.) GENERAL CONDITIONS INVOICES RJ Engineering & Consulting, Inc. (RJ E&C) will submit progress invoices to client monthly and a final bill upon completion of the services. Invoices will show charges for different personnel and expense classifications. A more detailed separation of charges and backup data, such as timesheets and invoices, is available. Each invoice is due on presentation and is past-due thirty (30) days from invoice date. Client agrees to pay a finance charge of one and one-half percent (1-1/2%) per month, or the maximum rate allowed by law, on past-due accounts. SAMPLES All samples of soil and rock will be discarded thirty (30) days after report submittal. Upon Client's written request and authorization, samples will be delivered in accordance with Client's instructions, or stored for an agreed charge. RIGHT-OF-ENTRY Unless otherwise agreed, Client will furnish right-of-entry for RJ E&C to make borings, surveys and/or explorations. RJ E&C will take reasonable precautions to reduce damage to property. However, it is understood by Client that in the normal course of work, some damage may occur. UTILITIES RJ E&C will request responsible utility owners to locate off-site lines. Client agrees to be solely responsible for designating the locations of all utility lines and subterranean structures within the property lines of the project. RJ E&C will not be liable for damage to subterranean structures (pipes, tanks, conduits, wires, etc.) which are not correctly located on or off the site. REPORTS Reports, plans and other work prepared by RJ E&C remain the property of RJ E&C. Client agrees that all reports and other work furnished to the Client and his agents not paid for will be returned upon demand, and will not be used for licensing, permits, design and/or construction. WARRANTY RJ E&C agrees in connection with services performed under this Agreement that such services are performed with the care and skill ordinarily exercised by members of the profession practicing under similar conditions at the same time and in the same or similar locality. No warranty, expressed or implied, is made or intended by rendition of consulting services or by furnishing oral or written reports of the findings made. Client recognizes that subsurface conditions beneath the project site may vary from those encountered in borings, surveys or explorations and that information and recommendations developed by RJ E&C are based solely on the information available to it. Any exploration, testing, surveys and analysis associated with the work will be performed by RJ E&C solely to fulfill the purpose of this Service Agreement and RJ E&C is not responsible for interpretation by others of the information developed. RISK ALLOCATION RJ E&C’s potential liability to Client and others is grossly disproportionate to RJ E&C’s fee due to the size, scope and value of the project. Therefore, unless Client and RJ E&C otherwise agree in writing in consideration for an increase in RJ E&C’s fee, Client, including its directors, officers, partners, employees, agents, contractors and their respective assigns, agree to limit RJ E&C’s liability (whether extent caused from contract, statutory violation or tort) to the lesser amount of the fee or $50,000. This limitation shall apply to all phases of Services performed in connection with this Project whether subsequent to or prior to the execution of this agreement. In no event shall RJ E&C be liable for consequential, incidental or special damages. DISPUTES Should either party hereto bring suit in court to enforce any terms of this Agreement, it is agreed that the prevailing party shall be entitled to recover his costs, expenses and reasonable attorneys' fees. CANCELLATION OR SUSPENSION OF VENDOR SERVICES For service agreements that include the use of outside vendors such as drilling, laboratory testing services, etc., in the event the client cancels or suspends the scheduled date of vendor service for any reason within 2 weeks before the agreed date, the client shall pay a cancellation fee that is 25% of the total contract amount in excess of the original total contract amount. Withdrawing your consent If you are an authorized DocuSign Account holder, you can decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. Described below is the process for informing us of your decision to receive future notices and disclosure in paper format and also how to withdraw your consent to receive notices and disclosures electronically. Consequences of changing your mind If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. To indicate to us that you are changing your mind, you must withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your DocuSign account. This will indicate to us that you have withdrawn your consent to receive required notices and disclosures electronically from us and you will no longer be able to use your DocuSign user account to receive required notices and consents electronically from us or to sign electronically documents from us. All notices and disclosures will be sent to you electronically Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through your DocuSign user account all required notices, disclosures, authorizations, acknowledgments, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us. How to contact Pitkin County: You may contact us to let us know of your changes as to how we may contact you electronically, to request paper copies of certain information from us, and to withdraw your prior consent to receive notices and disclosures electronically as follows: To contact us by email send messages to Helpdesk@provelocity.com To advise Pitkin County of your new e-mail address To let us know of a change in your e-mail address where we should send notices and disclosures electronically to you, you must send an email message to us at Helpdesk@provelocity.com and in the body of such request you must state: your previous e-mail address, your new e-mail address . In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected in your DocuSign account by following the process for changing e-mail in DocuSign. To request paper or electronic copies from Pitkin County To request delivery from us of paper or electronic copies of the notices and disclosures previously provided by us to you electronically, you should request those documents from Pitkin County under the Colorado Open Records Act by contacting the Pitkin County custodian who sent you the document for signature. To withdraw your consent with Pitkin County To inform us that you no longer want to receive future notices and disclosures in electronic format you may: i. decline to sign a document from within your DocuSign account, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an e-mail to Helpdesk@provelocity.com and in the body of such a request, you must state your e-mail, full name, Postal Address, telephone number, and account number.
