HomeMy WebLinkAbout030410 OSTB and AVLT signed Reg MINUTES OPEN SPACE AND TRAILS BOARD AND ASPEN VALLEY LAND TRUST BOARD OF TRUSTEES JOINT REGULAR MEETING OF MARCH 4,2010 Carbondale Town Hall 511 Colorado Avenue, Carbondale Open Space Board Members Present: Hawk Greenway (Chair), Howie Mallory, Tim McFlynn, Franz Froelicher Aspen Valley Land Trust Board Members Present: Wally Obermeyer(Chair), Louis Meyer, Cathy Porter, Sandy Jackson, Rosemary Patterson, Leeann Eustis, Steve Carter, Sue Edelstein Aspen Valley Land Trust Staff Present: Martha Cochran, Suzanne Stephens, l3ethany Collins,Melissa Sumera Others Present: Dale Will, Barb D'Autrechy, Gary Tennenbaum, Fran Soroka, Michael Owsley Public Present: Ray Pojman I-Iawk Greenway called the meeting to order at 12:15 p.m. in the Carbondale Town Ilall meeting room. The joint meeting between the Open Space and Trails Board of Trustees and Aspen Valley Land Trust Board of Trustees began with all present staff and board members introducing themselves. Wally Obermeyer expressed his option that although AVLT is limited by its focus primarily on private land, he personally believes in community resources that include public access. Continuing with an analogy that both entities are like right leg and left leg; without one it would be difficult to walk. Dale Will added although both entities have different wording in their mission statements,their core conservation values are exactly the same which are habitat, scenery, agriculture and recreation. Both entities have different roles with many overlaps. Co-Hold Agreement The contents of the draft Co-Hold Agreement had previously been accepted by the AVLT Board of Trustees. Discussion emphasized the following Co-Hold Agreement articles to clarify and add content. a. Article 4: Grantor Notice and Approval It was suggested to clarify the indicated ten days response time to ten work days. Article 11: Governing Law Include wording of agreement to work through dispute mediation first. Article 13: Amendment or Termination Include wording that would give the Directors of both agencies the authority to make additions to the asset list and ability to reassign asset lead agency. OSTB BOARD ACTION Tim McFlynn motioned for the Open Space and Trail Board to recommend the approval of the Co-Hold Agreement with Aspen Valley Land Trust as discussed and revised March 4, 2010. Howie Mallory seconded the motion. The motion passed. (4-0) The Co-Hold Agreement will need to be re-voted on by the Aspen Valley Land Trust Board of Trustees, Martha Cochran added. Working Together Tim began by suggesting areas for discussion which would enhance an optimal collaborative working relationship. o Seek opportunities to work together on creative innovative ideas. One area would be creative ideas to ease working ranches. o Recognize and take advantage of acknowledgement opportunities. Remember to acknowledge our unique partnership as opportunities arise in the media, press conferences, public meetings and organizational conferences. o Consider opportunities to jointly host an event. Possible idea would be to celebrate Open Space and Trails program's twentieth anniversary. These events could be multi-purposed to educate and bring public awareness to both agencies. The AVLT annual barn dance is a popular annual event and serves as a perfect example. o Work together to expand both agencies sphere of influence. Encourage other local governments to fund open space and conservation programs which in turn will increase opportunities for cross-boarder funding possibilities and funding capacity for both agencies. o Set a goal to meet jointly on a semi-annual basis. o Communicate early and often about issues or opportunities that are presented to each agency. Howie Mallory suggested both boards meet again in November. The meeting concluded with Hawk Greenway thanking the AVLT Board of Trustees for their attendance. And summarized the meeting's theme as one of looking forward to future collaboration equal to or better than our past collaborations.
