Contractor shall provide services for a CIP Update in accordance with the attached Scope of Work (Attachment A) and Fee Summary (Attachment B). 2.Compensation and Expenses, Invoicing, Payment and Offset. The Agreement is funded in part through grant funds the County will receive through the FAA. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of eleven thousand eight hundred and one dollars and forty-one cents ($11,801.41) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Further, the County and the Contractor agree as this Contract is federally funded, it is therefore subject to the requirements set forth in Title 49 CFR Part 18.36. The services provided and products delivered by the Contractor under this contract will be subject to review by the County’s Representatives, or a designee, for compliance with Contractor’s obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. Bob Jones, PE 16 Kearns Road, Suite 301 C Snowmass Village, CO 81615 Phone: (970) 429-8855 Robert.jones@kimley-horn.com START DATE: June 1, 2021 END DATE: December 31, 2021 SCOPE OF WORK Background This change order covers services to assist Aspen/Pitkin County Airport (ASE) staff with the preparation of an updated Capital Improvement Plan (CIP). Specifically, Kimley-Horn and Associates, Inc. (KHA) was asked to help ASE’s CIP team with scheduling and cost estimates for airfield pavement rehabilitation projects needed to maintain safety and adequate service levels until more substantial pavement reconstruction work is completed under the Airport Modernization and Standardization program. Task 1: Project Administration & Coordination Services KHA will provide general administrative tasks including project planning, invoicing, and project correspondence. Task 2: Scope and Fee Development KHA will develop the scope and fee of this Task Order and will coordinate review and approval with the Client. Task 3: Develop CIP KHA will develop a strategy for maintaining runway, taxiway, and apron pavements at service levels desired by ASE until the proposed ASE Modernization and Standards Program is implemented. It is anticipated that mill and overlay, isolated pavement patching, seal coats, crack sealing, and pavement marking will be required on an annual basis to keep these pavements in satisfactory condition. SCHEDULE KHA will perform the services described as expeditiously as possible on a schedule agreed to by the client. FEE The scope of services described herein shall be performed on a lump sum basis of $11,801.41. The lump sum amount is intended to cover all applicable labor and expense costs. Individual task amounts are provided for budgeting purposes only. KHA reserves the right to reallocate amounts among labor and expense tasks as necessary. This project shall be billed monthly on a percent complete basis according to our then-current rates. The attached Fee Summary Spreadsheet shows the basis for our lump sum fee.
