This Grant Agreement, is made this 18th of October 2018 by and between Cold Mountain
Ranch ("CMR") 4239 Highway 133 Carbondale, CO 81623 and Pitkin County Healthy Rivers
("Pitkin County") 530 E.Main St.Ste 301 Aspen, CO 81611.
The purpose of the Grant Agreement is to provide a process for payment of public funds to
be used exclusively for costs incurred by Cold Mountain Ranch in connection with the Helms
Ditch Piping Project.
The grant was extended for a 2 year term in order to allow applicant to secure additional
funding.
Through this Agreement, CMR and Pitkin County have agreed that:
CMR shall: Pipe 700 feet of the Helms Ditch resulting in a modern, efficient and sustainable
ditch, which can be showcased and replicated throughout the Crystal and Roaring Fork
Valleys.
Report back to the Healthy Rivers Board on the on-going status of the project,submit project
invoice, report to the Board when pipe is delivered, when excavation begins and when the
project is complete.
Pitkin County shall:
Grant $24,000 to CMR as approved for funding by the Healthy Rivers Board on September
20, 2018 and by the Board of County Commissioners of Pitkin County on October 16, 2018.

Contractor shall nut knowingly employ or contract with an tlkgal alien to perform work
under this contract or enter into a contract with a subcontractor that fails to certify to

to perform work under this contract. Contractor (a) shall not use F.•Vcrtfy Program or
Department prog-am procedures to undertake pre-employment screening of job applicants
while this contract Is being performed.(b)shall notify the subcontractor and the contracting
State agency within three days if Contractor has actual knowledge that a subcontractor Is
employing or contracting with an Ulegal at en for work under this contract.(e)shall terminate
the subcontract if a subcontractor does not stop employing or contracting with the illegal
alien within three days of rece.ving the notice,and(d)shall comply with reasonable request!'

education or political subdivision may terminate this contract for breach and. If so
