Re: Proactive Pay Equity Analysis
Dear Marykate:
I would like to thank you for your membership with Employers Council.We look forward to working with
you and the organization in crafting a Proactive Pay Equity Analysis. This letter is provided to clarify
Employers Council's services for a Proactive Pay Equity Analysis.
Your organization is a current Employers Council member, andyou have300+ employees overall. The

current flat rate for preparing a Proactive Pay Equity Analysis for an organization of your size is $19,000.
The following provisions describe the nature of this engagement.
Scope of Engagement:

The engagement begins with a consultation to discuss your goals for the analysis, and any areas of concern.
We will then send you our data and information collection forms.You will collect and submit to us
compensation and demographic data for your workforce as well as compensation structure and practice
information.
We will organize your workforce into job groups that allow us to evaluate equity amongst employees
engaged in comparable work while complying with the many state and federal regulations in this area.
Around the same time,we will review your compensation information to assess factors that may legally
justify pay disparities.

The engagement includes a job group and job title pay equity analysis run by both race and by gender. We
will run the analyses once without accounting for legal defenses to inform you of the impact of your current
structures and practices on race and gender.We will rerun the analyses if there are any business-neutral
and legally-defensible factors influencing the identified pay disparities in order to account for those factors.
We will then make recommendations about equity adjustments to eliminate any areas of remaining
concern.
We will then provide you with a letter that includes a summary of the analysis,recommendations,other
areas of potential pay equity concern,and pay equity best practices to avoid future liability.
We will send your organization each component of the process as it is completed. We will offer you the
opportunity to review each component,including with us via phone consultation,before moving forward
in the process.We will conclude by assisting your organization with presenting our findings and
recommendations to your leadership,if desired.
Our services include all data processing and pay equity analysis production costs,analysis of data and
statistical reports,unlimited phone consultation throughout the process,recommended areas for review
and adjustment,and assistance with presenting our findings and recommendations to your leadership.
Information Production:
During the course of our representation, we ask that all parties to fully cooperate with us by providing
accurate information and requested documents in a timely manner, including, but not limited to, salary
history,job descriptions, and certifications/education. We also ask that parties notify us with any material
changes that take place.Without such cooperation,Employers Council cannot process the case appropriately.
Processing Tirneframe:

Once you send in your pay equity analysis forms,we put your compensation data and information in our
queue to be analyzed in order of its submission.We are usually able to prepare your analysis within two to
three months after we begin the analysis;however,the timeline will greatly depend on the consultation and
consideration time requested in between steps in the process.

. Employers Council acknowledges that its employees and personnel may have access to confidential and
proprietary information and trade secrets of Pitkin County Government during the performance of the _
services outlined in this agreement.Employers Council agrees not to disclose any information or trade
secrets obtained during this engagement to any person or entity except as necessary to satisfy its
performance and any legal obligations.
In providing a Proactive Pay Equity Analysis,Employers Council will provide Pitkin County Government
documents that are specifically labeled"Attorney-Client Privileged."Pitkin County Government should
limit disclosure of such identified documents to executive decision makers in order to protect the attorney-
client privilege. Pitkin County Government may run the risk of waiving the privilege if the information is

shared too broadly within the Company.
Payment Schedule:
This is a"for fee"service of Employers Council provided for members through Employers Council Services,
. a subsidiary of Employers Council. Pitkin County Government will receive an invoice for the amount of
the Employers Council service fees and other expenses upon issue of the summary letter. Pitkin County
•
Government understands that they are NOT entering into an hourly fee arrangement.This means that
Employers Council will devote such time to the representation as is necessary,but Employers Council's fees
will not be increased or decreased based upon the number of hours spent.
Right to Terminate Representation and Fees on Termination:
Pitkin County Government has the right to terminate Employers Council's representation at any time and
for any reason, and Employers Council may terminate the representation in accordance with Rule 1.16 of
the Colorado Rules of Professional Conduct. In the event that Pitkin County Government terminates the
representation without wrongful conduct by Employers Council that would cause Employers Council to
forfeit any fee, or Employers Council justifiably withdraws in accordance with Rule 1.16 from representing •
Pitkin County Government,Pitkin County Government shall pay,and Employers Council shall be entitled
to,the fee or part of the fee earned by Employers Council as described below in section"When Fee Is
Earned,"up to the time of termination.If the representation is terminated between the completion of
increments described in the below section,Pitkin County Government shall pay a fee based on the
percentage of the task completed.

a. Organization of workforce into Pay Comparison Groups: 33%of final bill
b. Preparing Initial Results and Legal Review of Pay Factors: 50%of final bill
c.Accounting for Legal Factors and Final Results:66%of final bill
d. Calculation of Recommended Adjustments: 83%of final bill
. e.Delivery of Final Report: 100%of final bill
Communication:
The preferred method of communication is email. Please direct questions relating to this engagement to the
Attorney assigned to this matter.We will strive to respond to your inquiries within 24 hours.However,
response time may be delayed depending on the work volume at that time.
