Contractor's Obligations. Contractor shall A. Project Description This project consists of providing bid documents (plans and specifications) that the County can use to solicit bids for construction along the Emma Trail corridor near Basalt, CO. This segment is north of SH-82 between approximate MP 21 and MP 23. The existing trail will be removed with asphalt milling and replaced with new HMA. Pavement markings will be replaced along the same existing alignments and colors will stay the same. Two locations are being considered for milling and HMA replacement. The area to the west will be referred to as the "West Emma Trail" section, and the other area will be referred to as the "East Emma Trail" section. The West Emma Trail section is west of the old Emma Store front and is approximately 390' in length. The East Emma Trail section is east of the old. Emma Store Front and is approximately 4,264' in length. B.Work Plan Task 1 —Project Management, Field Visits and Meetings 1 Master Service Agreement#: 002.20 Rev:2018-10-10 btf This consists of ongoing project management, field visits, and as-needed coordination/review meetings will Pitkin County Open Space and other project stakeholders. Task 2—Preliminary Design (30%) This consists of preliminary layout and design of the two trail segments. Based on the November 5th, 2020 field visit with Ted O'Brien, no additional topographic field survey will be required. Aerial imagery, plan details, and project specifications should suffice to relay the correct information to contractor. Plans and specifications will be developed for the trail segments which will include the following; Cover Sheet,Notes, Details, Trail Plan, and Alignments will all be included in the 30% Plans for initial review. Task 3 —Final Design (90%) This consists of final layout and design of the two trail sections after addressing the 30% review comments. Striping Plans will all be added in the 90%Plans. No drainage analysis or Stormwater Management Plans are anticipated at this time. Task 4—Bid Documents and Bid Support This consists of preparing the final plans, technical specifications and the bid schedule. It also includes support during the Bid Phase (pre-bid meeting, addendums, bid evaluations). Task 5—Construction Management This consists of field engineering, inspections and materials work/coordination during the construction phase. Daily reports and documentation will be sent to Pitkin County Open Space weekly. SGM will coordinate all work with contractor to make sure they are following the specifications and plans. Materials testing will also be coordinated as needed or requested by Pitkin County Open Space. C. Exclusions and Limitations • Subsurface Utility Engineering (SUE) investigation is not included. • Geotechnical investigations are not included. • Public information and public outreach are not included. • Landscaping plans are not included. • Erosion Control and Stormwater Management Plans are not included. 2 Master Service Agreement#: 002.20 Rev:2018-10-10 btf 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of twenty thousand dollars and zero cents ($20,000) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 002.20 C-7 and Emma Trail Project.Invoices shall be sent electronically in PDF format to ted.obrien@pitkincounty.com and kim.arensdorf@pitkincounty.com. 3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County Representative. Ted O'Brien, Ted Obrien, Resource Manager will manage the project as the County's Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County's Representatives, or a designee, for compliance with Contractor's obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects the Agreement is in full force and effect and remains unchanged by this Task Order.
