Pursuant to 30-35-301 C.R.S.,the Board of County Commissioners of Pitkin County, Colorado("#OCC"), a home rule county, is authorized to make and publish ordinances for carrying into effect or discharging the powers and duties conferred upon such counties by law and as seems necessary. 2. Pursuant to Section 2.8.1 of the Home Rule Charter("1IRC"),the#OCC is authorized to take official action by Ordinance for certain matters where action is prescribed pursuant to the Colorado Revised Statues as amended 3. Section 2.8 1.1 of the Pitkin County Home Rule Charter provides that official action by ordinance shall be required for the"granting of easements in public lands, acquisition, vacation,sale,or purchase of any real property asset,lease in excess of one year of public lands, and authorization of proceedings in eminent domain. 4 Pursuant to Pitkin County Land Use Code section 2-30-30(h)(7)(a),the#OCC may vacate an easement in real property if rt is demonstrated that upon vacation there shall remain suitable access to public and private land presently accessed by the street or easement purposed for vacation 5. The Voters of Pitkin County and the Pitkin County Commissioners established an Open Space and Trails Fund fur the purposes of preserving and providing open space and trails resources,and established an Open Space and Trails Board of Trustees to guide the expenditure of those funds. 6 The Open Space and Trails Program is charged with providing recreational opportunities throughout Pitkin County. 7. The Louis F. On February 22,2018,the Pitkin County Open Space and Trails Board recommended that the BOCC accept and approve the public access and vacation. 9. The BOCC finds that adoption of this ordinance is in the best interest of the citizens of Pitkin County. NOW, THEREFORE,BE IT ORDAINED by the Board of County Commissioners of Pitkin County, Colorado that it hereby adopts an ordinance accepting a public easement for fishing and access to the Roaring Fork River and vacation of recreation easement and authorizes the Chair or the Chair's designee to sign the Ordinance and upon the satisfaction of the County Attorney as to form, execute any other associated documents necessary to complete this matter. Cole, as Trustee of the Louis F. Cole Revocable Trust dated April 25, 2012 and Maureen H. Cole, as Trustee of the Maureen H. Pursuant to Ordinance No. -2018 of the Board of County Commissioners of Pitkin County, recorded on the day of 2018, as Reception No. of the Records (the "2018 Ordinance"), Grantor applied for and Grantee agreed to vacate the Recreation Easement in return for the grant of the Easements (described below); D. Grantor now desires to grant the Easements to the Grantee consistent with the 2018 Ordinance; and E. Grantee desires by this instrument (a) to accept the Easements subject to the restrictions set forth herein, (b) to assume certain responsibilities in connection with the Easements, (c) and to vacate the Recreation Easement. _ 1 ARVR Lot 8B Access and Fishing Easement AGREEMENT NOW, THEREFORE, for and in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged,Grantor and Grantee agree as follows: 1. Grant of Access Easement and Fishing Easement. Grantor hereby grants, transfers and conveys unto Grantee and its successors and assigns, for the use and benefit of the general public, a 50-foot wide perpetual, non-exclusive easement for ingress and egress across the Property to the Roaring Fork River from an existing parking area on property owned by the Colorado Department of Transportation known as Parcel ID No. 246725300801 (the "Access Easement"), and a recreation easement for fishing extending 10' above the mean high water mark of the southwest bank and 5' above the mean high water mark of the northeast bank of the Roaring Fork River (the "Fishing Easement") (both the Access Easement and the Fishing Easement are collectively referred to herein as the"Easements"). The Easements are depicted on Exhibit A attached hereto and incorporated herein by this reference. 2. Scope of Easements. a. The Easements shall also be governed by the rules and regulations and other provisions of Title XII of the Pitkin County Code, as said Title XII may be amended or re-codified from time to time, provided always that the provisions of this Easement Agreement shall control wherever they are more restrictive than the provisions of said Title XII. b. Any and all signage installed within the Easements by either party will be approved by the other party and will be uniform to Pitkin County standards, provided that the placement of any signs will be agreed upon by the Parties in writing prior to installation of the same. c. Grantor reserves the right to use and enjoy the Easements, and the land beneath and the airspace above the Easements, for all purposes and uses which do not unreasonably interfere with the use and enjoyment by Grantee or members of the public of the rights herein granted. Without limitation to the foregoing, Grantor shall have the right to grant any easements to utility companies over or under the Easements. The Easements granted herein are also subject to all existing easements,restrictions and covenants of record 3. As-is conveyance. Grantee hereby accepts the Easements in an "as is" condition, subject to the restrictions herein contained. 4. Liability and insurance. The Parties expressly acknowledge that the Easements are granted for a "recreational purpose" under C.R.S. Section 33-41-101, et seq., and that Grantor is entitled to pursue the benefits, protections and limitations of liability afforded by Colorado law governing recreational easements, including without limitation said Sections 33- - 2 - ARVR Lot 8B Access and Fishing Easement 41-101, et seq. By granting these Easements,Grantor shall have no obligation to repair, clear or otherwise maintain the area within the Easements, nor any other liability to or obligation to insure or indemnify Grantee or the public for any injury, claim or damage to any person or property, whether alleged to have occurred as a result of use of the Easements for public non- motorized travel or otherwise, or due to the condition of the Easements. Additionally,unless and until the Easements are formally abandoned by Grantee, Grantee shall keep and maintain public liability and property insurance coverage in effect insuring against any injury to persons or property occasioned during or by any use of the Easements by Grantee or the general public. Such insurance shall be in commercially reasonable amounts, with coverage limits of no less than $1,000,000.00 per claim and $2,000,000.00 aggregate, and shall contain a waiver of subrogation against Grantor. Grantor shall also be named as an additional insured on such coverage and shall be provided with 30 days' notice prior to any cancellation or termination of said coverage. 5. Attorneys' Fees. In the event the interpretation or enforcement of this Easement should ever become the subject of litigation between Grantor and Grantee, the prevailing party shall be entitled to an award of its reasonable costs and attorneys' fees incurred in connection therewith. 6. Binding Effect. This Easement Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, personal representatives, successors and assigns forever, including all future record owners of the Property that is traversed by the Easements, or any part thereof. The benefits and burdens hereof shall also run with the title to the Property and all parts thereof traversed by the Easements. This Easement Agreement may only be amended in writing signed by Grantee and by the then-record owners of the Property traversed by the Easements. 7. Notice of Default, Right to Cure. In the event of any default under the provisions of this Easement Agreement, the non-defaulting party shall, prior to the exercise of any right or remedy, give the party alleged to be in default written notice of such default together with right for a period of ten days after receipt of such notice to cure said default. If an alleged default by its nature is not capable of being cured within the time provided, the party alleged to be in default shall, provided such party is proceeding with all due diligence, have up to an additional twenty days to cure said default. If a default is not cured within the time provided or any extension thereof (which right to cure period shall not under any circumstances exceed in the aggregate thirty days), the non-defaulting party shall then and thereafter be free to pursue any right or remedy allowed by this Easement Agreement or otherwise by law. 8. Vacation of Recreation Easement. The Recreation Easement is hereby released and vacated and shall be of no further force or effect.
