PROJECT NAME: BRIDGE INSPECTIONS

The On-Call Engineering Services(the"Agreement")dated January 1,2020 between the Board of County
Commissioners of Pitkin County (the "County") and SGM Inc. 118 West 6th St., Suite 200 Glenwood
Springs, CO 81601 (the "Contractor"), shall include the following services.
1. Contractor's Obligations. Contractor shall
Project Description This project consists of bridge inspection and reporting on 25 bridges in the OSTs
inventory. The following is our recommended scope of work based on the information provided, services
requested, and previous experience on recent bridge projects similar in nature:
• Bridge inspection will include an assessment of the condition of the deck, superstructure,
substructure, railings, channel (if over water), and approaches.
•A summary report will be developed assessing the condition of each of the components described
above.
• Repair and maintenance recommendations will be provided.
• Basic photos of the bridge showing deck, elevation, key structural components, and defects. B.
Exclusions and Limitations
•No calculation of structural capacity is included in this scope.
•Inspectors will wade in water to assess scour of bridge foundations. However,inspectors will not
wade in water above hip height or in fast-moving water.
• The Wildin OS Bridge was inspected by SGM in 2018. It will not be re-inspected this year, but
our findings will be included in the summary report.

•All inspection is routine. Routine inspection is defined as that done on foot and with basic access
methods and ladders. Inspection using fall protection methods, rope access methods, specialized
equipment such as a snooper, bucket truck, lift truck, or hydra platform is not included in this
scope.
• Inspection is limited to above ground and visible components. Pitkin County On-Call

•All inspection will be visual and measurements necessary to document defects will be taken using
basic tools such as tape measures and levels. Non-destructive testing or other types of materials
testing are not included in this scope.
Compensation and Expenses. Total compensation and reimbursement to be paid hereunder exceed the
sum of: twenty-one thousand dollars and zero cents ($21,000.00) for all services rendered.
2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of twenty one thousand dollars and zero cents
($21,000.00) for all services rendered. By Task Order or Task Order Amendment, the County and
Contractor may reallocate the budget among project tasks if the total budget amount remains
unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment
expected within thirty (30) days of invoice, but any payment by the County may be offset by any
amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 002.20 C-5 and Bridge Inspections.Invoices shall be sent electronically
in PDF format to kim.arensdorf@pitkincounty.com with a copy to ted.obrien@pitkincounty.com.
3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County
Representative. Ted O'Brien, Resource Manager will manage the project as the County's
Representative. The services provided and products delivered by the Contractor under this contract
will be subject to review by the County's Representatives, or a designee, for compliance with
Contractor's obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.

withdraw your consent using the DocuSign'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign user account to receive required notices and consents electronically from us or to sign
electronically documents from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgments, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process,please let us know as
described below. Please also see the paragraph immediately above that describes the

In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper or electronic copies from Pitkin County
To request delivery from us of paper or electronic copies of the notices and disclosures
previously provided by us to you electronically, you should request those documents from Pitkin
County under the Colorado Open Records Act by contacting the Pitkin County custodian who
sent you the document for signature.
To withdraw your consent with Pitkin County
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to Helpdesk@provelocity.com and in the body of such a request, you
must state your e-mail, full name, Postal Address, telephone number, and account
number.
