Contractor's Obligations. Contractor shall complete the following. 1.1 Field Reconnaissance The Contractor will complete a second year of sampling for the long-term monitoring study of this rare plant species to help understand whether populations are increasing,stable or declining. This work would be performed by Rea Orthner, Principal Plant Ecologist/Botanist with Peak Ecological Services, along with Denise Wilson,who completed her Master's Thesis on the pollination biology of Epipactis gigantea at Filoha Meadows in 2007 and 2008. The Contractor will measure stem density along the 5m x 20m macroplot and along the eight 12m x 3m linear quadrats across the Epipactis population at Filoha. The Contractor will use the information to run statistical tests to determine if there is a significant difference in the population numbers between the two years of monitoring. 1.2 Monitoring Report At the completion of the study the Contractor will prepare a report which describes the study area, sampling design, results, and conclusions. The Contractor will also provide Pitkin County will all GIS shapefiles and supporting data for the study. 1 Master Service Agreement#: 008.2019 Rev:2018-10-10 btf Budget(see attached spreadsheet) 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of twenty thousand, one hundred and seventy dollars and thirty cents ($20,170.30) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 008.2019 A-10 and Filoha Meadows Rare Plant Monitoring. Invoices shall be sent electronically in PDF format to lindsey.utter@pitkincounty.com and gary.tennenbaum@pitkincounty.com with a copy to kim.arensdorf@pitkincounty.com.. 3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County Representative. Gary Tennenbaum & Lindsey Utter, Planning & Outreach Manager will manage the project as the County's Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County's Representatives,or a designee, for compliance with Contractor's obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects the Agreement is in full force and effect and remains unchanged by this Task Order.
