PROJECT NAME: LAZY GLEN RIPARIAN AREA RESTORATION SERVICES

The Master Service Agreement For Provision of On-Call Ecological Services (the "Agreement") dated
January 1, 2019 between the Board of County Commissioners of Pitkin County (the "County") and Peak
Ecological Services, LLC PO Box 827, 301 Boulder Canyon Drive Nederland, CO 80466 (the
"Contractor"), shall include the following services.
1. Contractor's Obligations. Contractor shall complete the following.
1.1 On-Call Restoration Consulting Services
The Contractor and DHM will provide both field and office coordination to review the existing restoration
plan and discuss methodology and timing for implementing the plan with Open Space and Trails staff.
Specifically,the contractor can provide the following services as needed:
• Provide detailed review of the Lazy Glen Restoration Plan and Report with planning, stewardship
staff and crew from Pitkin County OST. The review will focus on the tenants of the plan-working
as a team to outline priorities and phasing for 2019. This effort will occur in the field and priorities
will be set for both the Pitkin County OST team and prioritize how the Contactor and DHM team
will provide assistance including scheduling and logistics.

• Provide specific information and overview of cultural and mechanical options to OST staff for
non-native pasture grass management within the interface of the restoration priority zones. This
may include, but not limited to, intensive mowing regimes, mowing regime timing, drill seeding
regimes associated with intensive mowing regimes, hand broadcast operations, evaluation and
treatment of thatch zones (options) and other techniques for mechanical treatments (avoiding
chemical treatments) of pasture zones.
• Provide OST staff with appropriate mow and cultural pasture grass treatment boundaries
associated with restoration efforts in pasture interface. Provide specific review of agricultural
vision for pasture and hayfield and incorporate into interface of for boundary development.
• Provide consulting on restoration seeding efforts including specific seed mixes, rates of
application, sources, order products, timing of seeding, and monitoring of seeding efforts in real
time/field based applications.
• Other restoration related objectives as needed.

2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of nine thousand dollars and zero cents
($9,000.00) for all services rendered. By Task Order or Task Order Amendment, the County and
Contractor may reallocate the budget among project tasks if the total budget amount remains
unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment
expected within thirty (30) days of invoice, but any payment by the County may be offset by any
amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 008.2019 A-04 and Lazy Glen Riparian Area Restoration Services.
Invoices shall be sent electronically in PDF format to lindsey.utter@pitkincounty.com and
gary.tennenbaum@pitkincounty.com with a copy to kim.arensdorf@pitkincounty.com..
3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County
Representative. Gary Tennenbaum & Lindsey Utter, Planning & Outreach Manager will manage the
project as the County's Representative. The services provided and products delivered by the
Contractor under this contract will be subject to review by the County's Representatives,or a designee,
for compliance with Contractor's obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.
