The Master Service Agreement For Provision of On-Call Ecological Services (the "Agreement") dated
January 1, 2019 between the Board of County Commissioners of Pitkin County (the "County") and Peak
Ecological Services, LLC PO Box 827, 301 Boulder Canyon Drive Nederland, CO 80466 (the
"Contractor"), shall include the following services.
1. Contractor's Obligations. Contractor shall complete the following.
1.1 Reconnaissance&Planning
Aerial Photo Evaluation
The Contractor will use County orthophotos, combined with existing data, to identify polygons of
montane shrublands and aspen forest where mechanical and hand treatments would achieve the greatest
impact on the ecology of SMP. The contractor will create generalized shapefiles which will then be
ground-truthed and refined in the field.
Field Reconnaissance&Ground Truthing
The Contractor and Colorado Wildlife Science will conduct pedestrian reconnaissance of the areas
identified during the aerial photo evaluation to ground-truth the condition of the selected stands, confirm
stand decadence, or other issues inhibiting regeneration or stand vigor. Stands selected by the Contractor
for mechanical and/or hand treatments will be delineated with survey tape and digitized into ArcMap
software using sub-meter accurate GPS technology(i.e. Trimble GPS Geo7x).

1.2 Reporting
The Contractor's deliverables will include a Vegetation Treatment Plan which will describe the purpose,
methods, results, conclusions, and recommendations. The Contractor will include photographs, GIS
maps and shapefiles depicting preliminary sites and final treatment areas. The Contractor will include
project design criteria to ensure that the proposed treatments will be conducted in an ecologically sensitive
manner. This information will be able to be directly used in a future County Request for Proposals(RFP)
to hire the contractors to conduct the work.

2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of nineteen thousand, nine hundred and
seventy two dollars and sixty seven cents ($19,972.67) for all services rendered. By Task Order or
Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if
the total budget amount remains unchanged. Contractor shall invoice for the project monthly based
on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the
County may be offset by any amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 008.2019 A-5 and Sky Mountain Park Vegetation & Habitat
Management.Invoices shall be sent electronically in PDF format to lindsey.utter@pitkincounty.com and
gary.tennenbaum@pitkincounty.com with a copy to kim.arensdorf@pitkincounty.com..
3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County
Representative. Gary Tennenbaum & Lindsey Utter, Planning & Outreach Manager will manage the
project as the County's Representative. The services provided and products delivered by the
Contractor under this contract will be subject to review by the County's Representatives,or a designee,
for compliance with Contractor's obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.
