Contractor's Obligations. Contractor shall perform the work as described below as companion services to the environmental services proposal prepared by Lotic Hydrological,Peak Ecological and DHM titled "Wetland Fen Restoration Permitting,North Star Nature Preserve"under Contract No. 008.2019. a. Project Description: SGM will coordinate with Lotic Hydrological, Peak Ecological and DHM to prepare bid set drawings for the North Star Nature Preserve Wetland Fen Restoration Plug, review erosion control plans prepared by environmental contractor and provide a 100-yr no-rise certificate for the plug design. b. Work Plan: 1) Site visit and review of available information, 2) Site characterization including soil sampling and testing, channel flow measurement and hydraulic model review and revisions, 3) Plug design in coordination with Lotic Hydrological, Peak Ecological and DHM, 4) Plug design breach analysis with memo, 5) Finalized design bid set (no more than 2 sheets), review erosion control plan prepared by environmental contractor, and prepare no-rise certificate as needed. c. Deliverables: Bid set drawings (no more than 2 sheets), no-rise certificate, plug breach analysis documentation. d. Schedule: Deliverables will be prepared within five months of authorization. 1 Contract#: 051.2017 C - 19 e. Costs: Time and materials to be billed at current SGM rates per Agreement. Not to exceed $10,000.00 for this Task Order. f. Limitations and Exclusions: This task order includes project work up to solicitation of bids. It does not include construction support or construction inspection/management. 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of$10,000.00 for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order Letter,Number,Amendment(if applicable)and Project Name.Invoices shall be sent electronically in PDF Format to gary.tennenbaum@pitkincounty.com with a copy to kim.arensdorf@pitIcincounty.com. 3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County Representative. Gary Tennenbaum will manage the project as the County's Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County's Representatives, or a designee, for compliance with Contractor's obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement.
