Contractor's Obligations. The false helleborine orchid (Epipactis gigantea) is a critically imperiled plant that occurs at Filoha Meadows Nature Preserve. However,there have been no comprehensive studies which document the extent of the entire population on the Preserve nor have there been any long-term studies which track population trends or investigate the effect of management actions on the health and long-term persistence of this unique plant species. A revision of the Filoha Meadows Nature Preserve Management Plan is slated for the near future. In addition, several high-profile projects such as the Crested Butte to Carbondale Trail may be constructed near this property. To successfully preserve and protect Pitkin County's elements of biodiversity including the rare false helleborine orchid, data on the population's extent andhealth is needed. In addition, this study will form the basis for future monitoring over the long-term. This information will aid the County in future land management decisions, setting appropriate protective buffers, and guiding future management options. Contractor approach includes mapping the maximum extent of Epipactis gigantea and designing and initiating a long-term monitoring study of this rare plant species to help understand whether 1 Master Service Agreement#: 117.2017 Rev:2018-01-17 btf populations are increasing, stable or declining. This work would be performed by Rea Orthner, principal plant ecologist/botanist with Peak Ecological Services, along with Denise Wilson, who completed her Master's Thesis on the pollination biology of Epipactis gigantea at Filoha Meadows in 2007 and 2008. At the completion of the study we will prepare a report which describes the study area, sampling design, results, and conclusions. Contractor will also provide PCOST with all GIS shapefiles and supporting data for the study(i.e. Excel spreadsheets,blank data forms, and photographs). Contractor have tentatively scheduled the field studies for the first week of July,2018. The report will be prepared before the end of the year. Budget Estimates: Professional Time $19,015.00 Expenses 2,886.00 Project Management @ 12% 2,628.12 Total $24,529.12 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of twenty four thousand five hundred twenty- nine dollars and twelve cents ($24,529.12) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 117.2017 C-18 and Filoha - Rare Plant Mapping and Monitoring. Invoices shall be sent electronically in PDF format to gary.tennenbaum@pitkincounty.co with copy to fran.soroka@pitkincounty.com. 3. Pitkin County's Obligations. Pitkin County shall administer this contract through a County Representative. Gary Tennenbaum, Director Open Space & Trails will manage the project as the County's Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County's Representatives, or a designee, for compliance with Contractor's obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement.
