The Provision of Airport Roofing On-Call & Maintenance (the “Contract”) dated June 1, 2020
between the Board of County Commissioners of Pitkin County, Colorado (the “County”) and
CRW, Inc. (the “Contractor”), is hereby amended as follows:
Description of Change:
1. Renewal of on-call contract term through May 31, 2023 with $30,000 allocated for on-
call services, maintenance, and repairs for the A.O.C. and Terminal roofs.
2. Allocation of $192,155.00 for the repairs and replacement of roofing at the Terminal as
detailed in Attachment A.
Reason for Change:
1. Renewal of Contract term and allocation of funding
2. Incorporation of Attachment A and funding to repair and/or replace roofing material at
the Terminal.

Roofing Services Proposal

CRW, Inc. proposes to provide the labor, materials, equipment and supervision necessary for the completion of the below
listed work according to the manufacturer’s recommendations, & local building code

Install New Firestone Full Force 60 mil Self Adhering EPDM Roof System to Roof Section A
(~6000 sq/ft) and Roof Section B (~3700 sq/ft) at the Pitkin County Airport:
➢ Remove existing polyurethane spray foam, EPDM membrane and insulation to deck
➢ Inspect decking and notify owner for any water damaged needing repair
➢ Remove curb, pipe, base, & wall flashings
➢ Install new ¼” per/ft. slope tapered Polyiso insulation to existing drains
➢ Install Firestone ½” Isoguard HD cover board mechanically attached
➢ Install new 60 mil Black Full Force EPDM membrane in a fully adhered configuration
➢ Includes Firestone ½” Isoguard HD cover board and Black Full Force membrane installed on back of steep slope of
daylight monitors
➢ Install curb, pipe, wall, & base flashings, & any associated flashings & terminations necessary to create a watertight
roof system
➢ Tie in existing roof system with new watertight transition to new Firestone roof system
➢ Reuse existing coping cap
➢ Includes 2-year contractors workmanship guarantee & 20-year NDL manufacturers total system warranty
➢ City, & State sales tax excluded
Proposal Cost for Roof Section A at ~ 6000 sq/ft:
One hundred eighteen thousand eight hundred fifty-eight dollars and 00/100 __________ $118,858.00
Proposal Cost for Roof Section B at ~ 3700 sq/ft:
Seventy-three thousand two hundred ninety-seven dollars and 00/100 __________ $73,297.00
TERMS AND CONDITIONS OF PROPOSAL AND CONTRACT
1. OFFER EXPIRES: This proposal expires automatically thirty (30) days from date if it is not accepted within that
time.
2. ACCEPTANCE OF PROPOSAL: The person or persons accepting this proposal (“Customer”) represent that they
are the owner of the premises on which the work is to be done or that they are the authorized owner’s
representative and that permission and authority is hereby granted to CRW, Inc. to perform such work on these
premises. The person or persons and/or company accepting this proposal hereby covenant and agree to hold
harmless CRW, Inc. from and against any and all damages, claims, costs, or expenses whatsoever arising from or
growing out of this contract.
If Customer terminates the Contract seventy-two (72) hours after the Acceptance Date of the Contract and no
materials or labor have been furnished, Customer agrees that CRW, Inc. is harmed to the extent that it has
provided pre-construction services to Customer. Customer further agrees that exact damages caused are not
reasonably ascertainable and therefore, Customer shall owe to CRW, Inc. twenty five percent (25%) of the value
of this contract upon demand. Customer agrees that said amount is not a penalty.
3. CONTRACT PRICE AND PAYMENT: The person or persons and company accepting this proposal each agree to
pay CRW, Inc. the full quoted price for the work as specified herein. Invoices will be issued upon arrival of
material to the job site (50% of the contract value) and monthly thereafter or at the project’s completion. Each
invoice rendered by CRW, Inc. will be paid when rendered, and payments shall be overdue and delinquent thirty
(30) days from the date thereof. CRW, Inc. may immediately stop all work on the project and terminate the
contract in the event of delinquent invoices. Interest shall accrue and be payable on delinquent amounts at the
rate of 2% per month (an ANNUAL PERCENTAGE RATE OF 24%). It is agreed that all costs, including attorneys’
fees, incurred in collections of amounts due through any means, including litigation, mechanic’s liens filing and
foreclosure actions, shall be borne by the person(s) or company accepting this proposal.
Customer recognizes that the construction industry is currently experiencing price and availability volatility with
regard to the materials used for this project. Because of market fluctuations, the prices of these materials are
subject to sudden and significant changes and firm prices cannot be obtained from suppliers. Therefore, if there
is an increase in the actual cost of the products charged to CRW in excess of 5% of the original price quoted, the
contract price shall be increased without the need for a written change order or amendment to the contract.
CRW will submit written documentation of the increased charges upon request.
4. PERFORMANCE: CRW, Inc. cannot give assurances as to a completion date since all work is subject to weather
conditions. In the event that CRW, Inc. is delayed more than 30 days in the performance of this contract for any
reason, you shall have the right upon seven days written notice to CRW, Inc. to terminate this contract in which
event CRW, Inc. shall be paid for the work performed by it to the date of such termination and all parties hereto
shall be released of any obligation hereunder.
Materials markets are experiencing significant, industry-wide economic fluctuations impacting the availability
and delivery time frames for materials to be supplied in conjunction with this project. If the work is delayed due
to the timing of delivery, or the unavailability, of a material or product then the time for performance and
installation shall automatically be extended commensurately with the extent of the delay, with the proviso that
either party may cancel in writing the undelivered portion of any order if the delay exceeds four (4) weeks from
the originally estimated delivery date. In such instance, CRW shall have no liability for any consequential
damages, liquidated damages, or business loss. If a material substitution is submitted due to unavailability or
delayed delivery, CRW shall be released from any and all liability arising from the substitution, with the exception
of claims related to failure to install pursuant the applicable manufacturer’s installation instructions.
5. DELAY OF WORK: If for any reason CRW, Inc. is refused the right to commence work within thirty days from
date of acceptance, or if for any reason there exists conditions that cause delay in completion of such work, the
person or persons accepting this proposal will be responsible for any increasing costs arising from such delay of
work, including any mobilization and re-mobilization costs.
6. STRUCTURAL INTEGRITY: Customer hereby acknowledges that CRW, Inc. has not and will not make any
warranties of any kind regarding the integrity of the structures involved, including but not limited to, said
structures load bearing capacities and abilities and the advisability of the work proposed. Customer assumes full
and complete responsibility for securing services of an engineer, as they see fit, to determine the load bearing
capacities, all applicable code compliance and abilities of the subject structure and the advisability of the work
proposed to be performed by CRW, Inc. and further agree to hold harmless and indemnify CRW, Inc. for any loss
and damage suffered as a result thereof.
7. PRE-EXISTING CONDITIONS: Customer acknowledges that CRW, Inc. may be repairing work or installing work
over substrates that were previously damaged by mold, water, termites, or other conditions (“Pre-Existing
Conditions”) unrelated to the work performed by CRW. Accordingly, CRW, Inc. disclaims all liability for all claims,
disputes, rights, losses, damages, causes of action or controversies (“Claims”) pertaining to Pre-Existing
Conditions. The Customer is solely liable and responsible for all damages, whether actual or consequential,
arising out of or relating to Pre-Existing Conditions and will defend and indemnify CRW, Inc. for same. The
Customer acknowledges that if conditions are encountered at the site which are sub-surface or otherwise
concealed or unknown physical conditions which materially differ from those contemplated or indicated by this
contract and cause an increase in CRW’s cost, or time required for performance of any part of the work, there
shall be an equitable adjustment to the contract price and/or an appropriate extension to the completion date.
8. INTERIOR PROTECTION: Customer is advised that the re-roofing work requires removal of the old roof prior to
installation of any new roofing materials and that during said time the premises will be open to the elements.
Protection of the building and interior of said structure shall be the responsibility of Customer, and CRW, Inc.
shall not be liable for any damages caused by exposure of said building or said contents to the elements as a
result of CRW’s activities. Customer acknowledges that re-roofing activities may cause a noise disturbance that
is audible from the building’s interior. Additionally, dust or debris may fall into the interior of the building during
tear-off or installation activities. The Customer agrees to remove and/or protect all property directly below the
roof in order to minimize the potential for interior damage. The contractor is not responsible for disturbances,
damage, clean up or loss to interior property that the Customer did not remove or protect prior to the start of
re-roofing activities. The Customer shall notify all tenants and/or building occupants of the re-roofing activities
and the need to provide interior protection underneath the areas being re-roofed. The customer agrees to hold
CRW, Inc. harmless from claims of tenants and/or building occupants.
9. LIMITATIONS OF CLAIMS: CRW, Inc.’s total liability for any and all injuries, claims, losses, expenses, or damages
arising out of or related to work performed by CRW, Inc. shall not exceed the amount of the fee paid to CRW,
Inc. for the work. The statute of limitations for any and all claims by Owner against CRW, Inc. shall begin to run
at the time that CRW, Inc. submits its last invoice for the work identified in the proposal.
10. CHANGE ORDER: No changes in or additions to the work specified herein shall be performed without a written
change order. Such written change order shall specify the additional or changed work to be done, shall specify
any additional costs agreed for such work, and shall be signed by CRW, Inc. and the Customer.
11. APPLICABLE LAW: This agreement shall be governed by the laws of the State of Colorado. If any provision stated
herein is declared to be invalid or unenforceable by a court of competent jurisdiction, such provision will be
deemed to be severed and deleted. The terms of this proposal will in all other respects remain unmodified and
continue in full force and effect.

Getting paper or electronic copies
