On July 1, 2000, Pitkin County, along with Chaffee, Eagle, Lake, Park, and Summit Counties, entered into an IGA for the purpose of establishing a Regional Emergency and Trauma Advisory Council known as the Central Mountain RETAC (CM- RETAC). 2. The purpose of this amendment is to reflect certain administrative changes to the IGA, which have been approved by the CM-RETAC's appointed members. 3. The most significant change is to name CM-RETAC as fiscal agent for CM- RETAC, replacing Summit County. This change has been requested by the State of Colorado because CM-RETAC, through its recently-fomaed nonprofit corporate entity, will now be contracting directly with the State of Colorado, starting July 1, 2003, instead of through Summit County. 4. The rest of the proposed changes are minor and are for the purposes of easing administration or clarifying the IGA. STAFF RECOMMENDATION: Staff recommends approval. RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF PITKIN COUNTY, COLORADO, APPROVING THE FIRST AMENDMENT TO THE INTERGOVERNMENTAL AGREEMENT REGARDING THE CENTRAL MOUNTAINS REGIONAL EMERGENCY AND TRAUMA ADVISORY COUNCIL RESOLUTION NO; -2003 1. Pursuant to the provisions of Section 18 of Article XIV of the Colorado Constitution and Section 29-1-203, CRS, as amended, Chaffee, Eagle, Lake, Park, Pitkin, and Summit Counties may cooperate or contract with one another to provide any function, service or facility lawfully authorized to each County. 2. The Counties entered into an Intergovernmental Agreement (IGA) dated July 1, 2000 for the purpose of establishing a regional emergency and trauma advisory council known as the Central Mountain RETAC (CM-RETAC), to recommend a regional emergency medical and trauma system plan for the Counties and satisfy any other regulatory of statutory requirements and obligations of the Counties pursuant to the Emergency Medical Services Act 25- 3.5-101 et seq., CRS and the Statewide Trauma Care System Act, 25-3.5-701 et seq., CRS, or as expressly delegated by the Counties. 3. The Counties desire to amend the IGA for the purpose of reflecting certain changes in the administration of the CM-RETAC that have been requested by the CM-RETAC's County appointed members. Modifications to IGA. The following changes to the IGA shall be effected upon 50 the signing of this document: 51 52 A. Section 4. Page 3, lines 105 through 107 shall be replaced with: 53 54 to their BOCC prior to April 1st of every third year, after a vote in the affirmative 55 by a majority of members at any official business meetings, the BOCC of each 56 county will forward a slate of approved candidates to the CM RETAC pr/or to 57 May 30th of every third year. 58 59 B. Section 4. Page 3, line 118 shall be replaced with: 60 61 shall appoint a new representative within ninety (90) days following removal or 62 notice 63 64 C. Section 6. Page 5, lines 187 through 200 shall be replaced with: 65 66 The CM RETAC shall provide for the keeping of accurate and correct 67 books of account on an accrual basis in accordance with the Local Government 68 Accounting Law, §29-1-501 et seq., C.R.S. and generally accepted accounting . 69 principles, showing in detail capital costs, costs of special services, maintenance 70 and operating costs and all financial transactions of the CM RETAC. CM 71 RETAC's books of account shall correctly show any and all revenues, costs, 72 expenses or charges paid from or to be paid by funds obtained fi:om federal or 73 state sources, each of the Counties, private contributions or revenue generated by 74 the CM RETAC's activities. CM RETAC's books shall be open to inspection 75 upon reasonable notice during normal business hours. CM RETAC shall provide 76 for the auditing of all books and accounts and other financial records of the CM 77 RETAC on an annual basis in accordance with the Colorado Local Government 78 Audit Law, § 29-1-601 et seq., C.R.S., by an independent Certified Public 79 Accountant selected by the CM RETAC. The audit shall be supplied to the 80 Counties upon request. 81 82 D. Section 4. Page 3, lines 115 and 117; Section 6. Page 4, lines 151,152, 153, 83 169, 175, 177 and Page 5, line 203; Section 8. Cr~erelna~er "Act'); and 33 34 WHERF~S, each County has participaled ia one of the following Area Trauma 35 ' Adwsory Councils" ("ATAC"s): Central MouaSains ATAC, Ch_affee County ATAC and 36 Roafin~ Fork ATAC. The purpose for said ATACs was to provide recom,~ndations 37 concern~n5 area traumu plans for the counties and cities throughout the s~ate in 38 compliance with ~e requirements of the Act; and 39 40 WHEREAS, recent Act revisions ma~etu,,, that the hoard of county 41 commissioners of each county replace existing A;FACs with raulticoumy Regional 42 Emergency MexLical and Trauma Advisory Councils (hereinafter "RETAC"s) which are 43 to be comprised of no fewer vha,~ five counties, or with ~ governing body of a city and 44 co~mty, for the purpose ' ' of providing recommendations concernin~u regional area 45 emergency medical and trauma servic~ plans ia compliance with the requixemen~s of the 46 Act; and Page 1 of 9 /~ · Approved by the BOCC-appointed Central Motmt, ln~ RETAC members 10/12/00 47 · 48 WHEREAS, the Counties recognize that appropriate care for those persons ...... necessary and that 49 experiencing a medical emergency or tranmattc injury ts ,mmediately 50 much of the infrastructure and cooperative spirit needed to create such a multicounty 51 organization including shared resources, equipment, and facilities that provide trauma 52 service already exists; and 53 54 WHEREAS, the Counties support the legislative dfi-ective and will extend their 55 best efforts to implement the legislative directive consistent with the funding 56 appropriated by the State of Colorado, or other sources designated for this purpose. 57 58 NOW, TI-~EREFORE, for and in consideration of the mutual promises, covenants, 59 and obligations herein set forth, the Counties agree as follows: 60 61 . 1. Th~ Counties agree to jointly establish a RETAC to 62 emergency medical and tra~jma system plan for the Counties and satisfy any other 63 regulatory of statutory requirements and obligations of the Counties pur~:,nt to the 64 Emergency Medical Services Act, § 25-3.5-101 et seq., C.tLS. and*~he Statewide Trauma 65 Care System Act, 25-3.5-701 et seq., C.K.8., or as expressly delegated by the Counties. 66 67 2. Th~s RETAC shall be known as the Central Mountains RETAC ("CM 68 RETAC"). Allowing each County to 98 work flexibly within this framework may alter the first and subsequent configurations of 99 the CM RETAC. Additionally, the CM RETAC sh~l! invite and encourage the people 100 fi'om key resource facil/fies to participate as non-voting members. 101 102 Existing members from the local EMS and Trauma Councils shall obtain 103 from health care facilities and EMS providers within the area served by th~ CM R~AC, 104 solicit nomi~,~ons and · · make a recommendation eoneern,ng the necessary appointments 105 to the/r BOCC prior to April 14 of each year, afar a vote in the a~rm-~ve by a majority 106 of members at'any official business meetings, The BOCC of each county will forward a 107 slate of approved candidates to the CM RETAC prior to May 30~ of each year. 10~ 109 The Board of County Commissioners for each participating county is under no 110 obligation to appoint the nominees The Board of County Commissioners for each 111 participating County shall approve, under a separate county resolution according to the 112 policies and Pr°eedures specific tn each county, each member in order to serve as an 113 official member of the CM RETAC. 114 I 15 RETAC members shall serve at the pleasure of their appointing County and the 116 appointing County may remove or replace its appointees at will. Each County shall 117 notify the RETAC in writing of appointments, removals and recitations. Each County 118 shall appoint a new representative within tMrty (30) days following a removal or notice 119 of resi~t,~ation. The Counties are encouraged to consider the diversity of interests in the 120 community and ecordinate their appointments to r~im~, the breadth and depth of 121 representation on the CM RETAC. Additional representatives from other counties 122 petitioning to join the CM RETAC after fuly 1, 2000 may only be added with the 123 unanimous consent of the Counties. 124 125 The CM RETAC shall elect a Chairperson, Vice Chairperson, and Secretary- 126 Treasurer from its members. These officers sh~l serve terms of one year and shall 127 perform the duties normal for flaei~ office. 128 129 5. All meetings of the CM RETAC a~d any S~Omm~ m~ of the 130 RETAC where business is discussed or at which form~! action m,y be taken shall be 131 open to the public and subject to the Colorado Open Meetings Law § 24-6-401, et seq., 132 C.R.S. Notices of all regular ~nd special meetlns~ shall include an agenda and shall be I33 posted in a designated public place at least twenty-four (24) hours in advance 134 one business day) of the commencement of the meeting. The membe~ of the CM 135 RETAC shall determine a regular frequency of meeting t~.s es necessary for all work to 136 be accomplished. The CM KETAC is limited in its spending anthor~ty to the an~,ml total 152 buitget approved by the RETAC. Annual expenditures shall not exceed revenues, 153 including any reserve ftmds, as approved by the RETAC. The RETAC shall adhere to 154 generally accepted accounting principles and Colorado law. 155 156 The Counties understand that the fifteen thousand dollars ($15,000.00)pex 157 County, or other amounts appropriated by the Stale of Colorado, shall be dis'uibute, d to 158 the RETAC by the State of Colorado on or after July 1, 2002, fi:om the state EMS 159 account pursuant to § 25-3.5-603(2.5)0=)(I) C.R.S. 160 161 In the event that the Counties offer fmaneial support for the CM RETAC, the · anticipated contribution for the next year 162 RETAC shall notify the Counties of the 163 in¢lurl~ng any proposed changes in the level of service by Februa~15, of each yeax. The 164 Counties understand that any firmncial support that they provide to the CM RETAC shall 165 be accepted solely for the purpose of CM RETAC system development and that the 166 Counties may not earmark the financial support that they provide for an)' specific purpose 167 or geographic area. 168 169 No later than February 15, of each year, the RETAC shall prepare a proposed 170 annualbudget for the next fiscalyear and shall submit a copy to the Counties. The 171 proposed a~nual budget shall be balanced, shall conform with the requkements of Local 172 Government Budget Law of Colorado, § 29-1-101 et seq., C.R.S. and shall include, at a .... and the 173 _m~nim~rm, a detailed estimate of all proposed expenditures, ant~mpated revenues, 174 contributions to be made by the Counties. The proposed annual budget shall contain a 175 statement of the level of service the RETAC anticipates it will provide for the next fiscal 176 year and shall identify any change in the level of semdee from the precedimg year. Summit County 1 g8 shall provide ' 189 for the keeping of accurate And con, ct books of account on an accrual basis in accordance with the Local Government Acooun~g Law, § 29-1-501 et seq., 190 C.R.S. and generally accepted accounting principles, showing in detail capital costs, costs 191 of special services, maintenance and operating costs and all financial transactions of the 192 RETAC. Summit County's books of account shall correctly show any and all revenues, 193 c°sts' expenses °r charges paid from or to be paid by funds obtained from federal or state 194 sources, each of the Counties, private contributions or revenue generated by the 195 RETAC's activities. Summit Coumy's books shall be open to inspectiOn upon 196 reasonable notice during normal business hours. Summit County shall provide for the 197 auditing of all books and accounts and other financial records of the RETAC on an 198 annunl basis in accordance with the Colorado Local Government Audit Law, § 29-1-601 199 et seq., C.R.S., by an independent Certified Public Accountant selected by Summit 200 County. The audit shall be supplied to the Counties upon request. 201 202 Notwithstanding anything in this agreement to the contrary, financial obligations 203 of the respective Counties to make payments to the RETAC are expressly contingent 204 upon funds for the intended purposes herein being appropriated, budgeted and otherwise 205 made available. In the event that funds are not appropriated in wt~ole or in part sufficient 206 for performance of any County's obligation under this agreement, or appropriated funds 207 m,y not be expended flue to a County's spending limitation raider Article X, Section 20, 208 of the Colorado ' · . Constitution, then the non-funding party may terminate its participation 209 in this agreement and such termination shall not be deemed a default or breach ofthl, 210 agreement by such party. This section of the agreement shalJ con~xol and supereede'all 211 other provisiSns of this agreement inconsistent therewith. It is the intention of the 212 Counties that the annual appropriation requirements set forth in this agreement shall bring 213 this agreement and any renewals into compliance with Article X, Section 20, of the 214 Colorado Constitution. 215 216 7. The CM RETAC shall adopt Bylaws as necessary for the conduct of the 217 RErAC within one-hundred twenty (120) days a/~er the effective date of this agreement 218 s° l°ng as such Bylaws are consistent and not in conflict with this agreement. Central 219 Mountains Area Trauma Advisory Council bylaws, attached as Exhibit "A," would be 220 applied to meet the needs of the CM RETAC with respect to membership issues until 221 such time that the CM RETAC dra/=~s and adopts its own bylaws. Bylaws statlng all 222 necessary rules and regulations concerning the operation of this RETAC shall be 223 recommended by the CM RETAC to the Counties. 224 225 8. T"ne CM RETAC shall submit its rex;ommendad Regiona_] Eme. rgency 226 Me~lical and Trauma System Plan (the "Plan") for approval by the Counties on or before 227 January 15, 2003. The Plan shall conform to the requirements of § 25-3.5-704(2Xc) 228 C.R.S. and other requirements duly established by the Colorado Board of I-Ie.~lth and the 229 Colorado Department of Public Health and the Environment. The report will indicate the RETAC's accomplishments to date and will list 239 the goals of the CM RETAC for the coming year.
