Grueter, Pitkin County, CO GMQS COVENANT: PROTECTIVE COVENANT IN ASSOCIATION WITH THE PITKIN COUNTY 2022 URBAN GROWTH BOUNDAY RESIDENTIAL GROWTH MANAGEMENT QUOTA SYSTEM FOR A 2,500 SQUARE FOOT ALLOTMENT AWARDED TO LOT 18, FILING 2 OF THE MEADOWOOD SUBDIVISION KNOWN AS 293 HEATHER LANE. Parcel ID No. 2735.114.01.014 These Protective Covenants (the "Covenants") are made on this 18th day of January , 2023 by Bear and Bolt Holdings LLC, a Colorado Limited Liability Company RECITALS A. Bear and Bolt Holdings LLC, a Colorado Limited Liability Company ("Owner"), is the fee owner of certain real property legally described as Lot 18, Filing No. 2, according to the Plat thereof recorded December 4, 1972, in Plat Book .4 at Page 335 as Reception No. 155683, Pitkin County, Colorado, and commonly known as 293 Heather Lane (the "Property"). . B. The Owner submitted a land use application (the "Application") in January of 2022 to obtain Urban Growth Boundary Residential Growth Management Allotments for Additional Floor Area for 2,500 square feet of floor area for a total residential floor area per Section 6-30-100 (b) (3) of the Land Use Code. C. On • July 5, 2022, the Pitkin County Planning and Zoning Commission granted a growth management allotment of 2,500 square feet of floor area to the Property, subject to conditions (the "GMQS Approval"). The GMQS Approval is reflected in Pitkin County Planning and Zoning Commission Resolution No. 13-2022. D. On July 5, 2022, the Pitkin.County Planning and Zoning Commission reviewed and approved, with conditions, the Activity Envelope and Site Plan Application ("the AE/SP Approval"). The AE/SP Approval is reflected in Pitkin County Planning and Zoning Commission Resolution No. 10-2022. E. Condition number one of the GMQS Approval reads as follows: "Each allotment shall be conditioned upon recordation of a covenant documenting the commitments and representations made by the Applicants in, the . application for the allotment and any amendments thereto. The covenant shall be reviewed and approved by the Community Development Department as well as the County Attorney's Office and recorded against the property within 180 days of the date of this resolution and prior to any issuance of a building permit to utilize the awarded floor area." F. Condition number two of the GMQS Approval reads as follows: "Each Applicant shall also satisfy any commitments and representations — such as recordation'of a property interest or commitment to finance or provide capital improvement — made in the application for. an allotment, .and any amendments thereto, prior to or concurrent with recordation of the GMQS covenant. Except that, those commitments logically related to any existing or subsequent development application or permit and memorialized as such in the covenant as a condition that will be satisfied prior to recordation of the Final Plat or any other County review or approval, may be satisfied at the, time specified in the covenant. Grueter, Pitkin County, CO covenant memorializing the square footage allotment for the property and satisfaction of the commitments stated in the application' within 180 days or any extension thereof approved by the Community Development Director for cause, the approval granting the allotment shall have no force and effect." • G. This Covenant is submitted by the Owner within the 180-day period, as extended to January 10, 2023, to satisfy the above stated conditions of the GMQS Approval and perfect the grant • of 2,500 square feet of additional floor area to be developed on the Property. NOW THEREFORE, the allocation of an additional 2,500 square feet of floor area, an allocation from the 2022 Pitkin County Urban Growth Boundary Residential Growth Management System, is awarded conditioned upon the satisfaction and fulfillment of the following representations and commitments made by the Owner. Section One — General Requirements: 1.1 In addition to • P&Z Resolution No. 13-2022 granting the GMQS Approval, the Property is currently bound by the terms of the following documents (collectively, the "Associated Approvals") and the Owner acknowledges and agrees that, in addition to the matters provided herein regarding the commitments of the GMQS Approval, the Owner will comply With the terms and conditions of the following Associated Approvals: a. The plat of the Meadowood Subdivision, Filing 2, approved by resolution of -the Pitkin County Planning. and Zoning Commission and recorded with the Pitkin County Recorder in Plat Book 4, Page 335. b. BoCC Resolution No. 124, 1999, recorded as reception no. 433874 with the Pitkin County Recorder, granting a Minor Plat Amendment and certain floor area allowances to properties within the Meadowood Subdivision. c. Pitkin County Planning and Zoning Commission Resolution No. 10, 2022, recorded as reception no. 688933 with the Pitkin County Recorder, granting, with conditions, the Activity Envelope and Site Plan approval for the Property. d. The Activity Envelope and Site Plan for the Property, reviewed and approved by Pitkin County and recorded as reception no. AcI34 33 with the Pitkin County Recorder. 1.2 Development of the Property shall be according to applicable adopted development codes including the provision of affordable housing impact fees. Because affordable housing impact fees were paid for a previous floor area expansion of the Property, .the affordable housing impact fees due shall be based on the net increase in floor area presented in forthcoming building permit application(s). Section Two — GMQS Commitments: The following commitments were made by the Owner in connection with the review, consideration, and decision of the Pitkin County Planning and Zoning Commission to grant the GMQS Approval. 2.1 The applicant .committed to provide $50,000 to Pitkin County for pedestrian safety enhancements in the Maroon Creek Road corridor. This project has been identified by the Pitkin County Engineer as a desired near -term project. This commitment has been satisfied, please see attachment 1. Grueter, Pitkin County, CO 2.2 The Owner committed to provide $50,000 to WeCycle for the WeCycle Roundabout to ABC Expansion project. The WeCycle system has proven to be a popular alternative for locals and tourists and is an effective transportation management strategy. This project has been identified as a desirable near -term project by the County Engineer. This commitment has been satisfied, please see attachment 2. 2.3 The Owner committed to provide $50,000 to the Roaring Fork Conservancy to assist their efforts associated with in -stream flow protection efforts for the Roaring Fork River. This commitment has been satisfied, please see attachment 3. 2.4 The Owner committed to provide $100,000 to the Aspen Fire Protection District Wildfire Community Action Fund. These funds can be leveraged with matching Federal funds to support wildfire risk assessments, risk reduction efforts, and early warning technology. This commitment has been satisfied, please see attachment 4. 2.5 The Owner committed to provide $100,000 to Aspen Strong to assist with local mental health • awareness and access to services. Aspen Strong is a qualified and trusted local partner in the mental health arena with a track record of effectiveness. Current initiatives focus on awareness of services, removing insurance obstacles, and addressing Covid-related effects on local youth. This commitment has been satisfied, please see attachment 5. 2.6 The Owner committed to provide $70,000 to The Cottage Preschool at Aspen School District, which provides an optimal learning environment for children of teachers as well as the general community. The Cottage has a variety of educational services for children ages 0-5 that could be assisted with these funds. Their Early Intervention (El) services supports children two and younger with developmental needs; their special education services through an Individualized Education Program (lEP) assists children ages 3-5 who are in need of special education within the school setting, such as academic intervention, social/emotional/behavioral skills, speech/language therapy, occupational therapy, and physical therapy. lEP students also qualify for tuition assistance. There are other programs these monies could be allocated toward, such as eFund for lunch and tuition payments, or Child Find, a developmental screening and evaluation program for children ages 0-5 who are not enrolled in a district preschool program. This commitment has been satisfied, please see attachment 6. 2.7 The Owner committed to provide $30,000 to Woody Creek Kids, a year-round childcare facility located on the Aspen Community School Campus in Woody Creek that serves children ages • 1 — 6. Little Red Schoolhouse, a preschool and toddler center in Snowmass Village that educates children ages one year to pre-K, is under the same ownership as Woody Creek Kids. Both childcare centers are inclusive, enriching, and relevant schools for all the. members • that form a part of our community. This commitment has been satisfied, please see attachment 7. 2.8 The Owner committed to provide $100,000 to the Farm Collaborative, a local non-profit focused on sustainable farming practices with a home base at the publicly -owned Cozy Point Ranch. Through experiential education, Farm Collaborative has taught thousands of children where their food comes from and nurtured a culture of young environmental stewards dedicated to a better tomorrow. Monies will assist with the Farm Center building being able to come to fruition. This learning and demonstration center will be a net -zero emissions building and enable classes, events, trainings, and farm -to -table meals. Grueter, Pitkin County, CO Section Three — Miscellaneous: 3.1 Recordation. Once fully executed, this Covenant shall be recorded in the Office of the Pitkin County Clerk and Recorder. 3.2 Notices. The provisions of this Covenant shall run with and constitute a burden on the Property and shall be binding on and inure to the benefit of the Owner of the Property from time to time, and such Owner's heirs, successors, personal representatives, and assigns, and Pitkin County, its successors, personal representatives, and assigns. 3.4 Commitments Fulfilled. The GMQS Commitments enumerated in Section two have been fully' satisfied and fulfilled by the Owner as demonstrated by the acknowledgements attached hereto as Exhibits 1 through 8. 3.5 Amendment. This Covenant may be amended only by written instrument executed by the parties, upon approval by the Pitkin County Community Development Director. 3.6 Amendment for Beneficiary Adversity. If for any reason an organization listed in this Covenant cannot or chooses not accept funding, has ceased operation, is not in good standing, or is otherwise in organizational distress, this Covenant may be amended to identify an alternate beneficiary upon approval by the Pitkin County Community Development Director, which approval shall not be unreasonable withheld. 3.7 Beneficiary Discretion. The organizations receiving funds pursuant to this Covenant may allocate or expend the funds in a manner consistent with their mission and as determined necessary and prudent by the specific organization without requiring an amendment to this Covenant and without affecting the validity of the GMQS Approval. 3.8 Expiration. The allocated allotments shall expire five (5)-years from the date of Resolution No. 13-2022 pursuant to Section 6-40-40(a) of the Code, unless an application for a building permit is filed with the Community Development Department. The award of a GMQS Allotment is not a site -specific development plan and do_ es not result in the creation of a vested right for use of the allotment. 3.9 Abandonment. Grueter, Pitkin County, CO GMQS Approval, in writing, through a form acceptable to the Pitkin County Community Development Director. 3.10 Severability. If any of the provisions of this Covenant are determined to be invalid, it shall not affect the validity of the remaining provisions hereof. 3.11 Non -Waiver. Any failure to enforce a requirement of the Covenant shall not constitute a waiver of the right to enforce any other requirement, and shall not constitute a waiver of the right to any further enforcement of any requirement of this Covenant.
