Terms and Conditions: 1. Term and Termination 1.1 Term. The second term of this Agreement is from 08/27/2023, through 08/26/2024 (the "Second Term"), unless terminated earlier in accordance with the terms of this Agreement. 1.2 Termination. This Agreement may be terminated if any of the following conditions are met. 1.2.1 Bankruptcy. Pitkin County/Pitkin911 may, in its sole discretion, terminate this Agreement in the event Vendor becomes insolvent or undergoes a bankruptcy. 1.2.2 Material Breach. If either Party materially defaults in the performance of any of its obligations under this Agreement or applicable statement of work (SOW). 1.2.3 Termination Due to Lack of Funds or Change in Law. Effect of Termination Upon termination of this Agreement, unless otherwise specified by Pitkin County/Pitkin 911 in writing, Vendor shall cease to perform the Services and take all necessary or appropriate steps to limit disbursements and minimize costs.
