HomeMy WebLinkAboutbocc.res.044.2024P A G E 3 RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS (“BOCC”) OF PITKIN COUNTY, COLORADO APPROVING AND AUTHORIZING THE CHAIR TO SIGN A GRANT AGREEMENT WITH THE WEST MOUNTAIN REGIONAL HOUSING COALITION TO FUND THE GOOD DEEDS HOUSING PROGRAM RESOLUTION NO. 044-2024 RECITALS WHEREAS, pursuant to Section 2.8.3 (Actions) of the Pitkin County Home Rule Charter (“HRC”) official action by formal resolution shall be required for all actions of the Board not requiring ordinance power on matters of significant importance affecting citizens, and; WHEREAS, Pitkin County has a long history of funding and supporting affordable community housing, and: WHEREAS, Pitkin County wishes to fund the creation and management of additional workforce community housing, and; WHEREAS, on May 28, 2024, the BOCC supported $1,000,000 worth of funding to the West Mountain Regional Housing Coalition to fund the pilot stage of their Good Deeds Housing Program, and; WHEREAS, the West Mountain Regional Housing Coalition will use the funds to purchase deed restrictions on existing housing units to house the region’s local workforce, and; WHEREAS, the purchase of deed restrictions will help local workforce buy a free market home that would have otherwise been financially out of reach for the buyer, and; WHEREAS, the conversation of free market homes to permanent deed restricted homes helps build the region’s inventory of affordable homes without needing to construct new homes, and; WHEREAS, the BOCC finds that it is in the best interests of the citizens of Pitkin County to approve this Resolution. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Pitkin County, Colorado that it hereby adopts a Resolution Approving and Authorizing the Chair to Sign, a Grant Agreement attached hereto as Exhibit A, with the West Mountain Regional Housing Coalition to Fund the Good Deeds housing program and authorizes the Chair to sign the Resolution and upon the satisfaction of the County Attorney as to form, execute any other associated documents necessary to complete this matter. Whereas, the Coalition, a private non-profit agency, serves the community by increasing the availability and accessibility of affordable community housing in the Roaring Fork and middle Colorado River valleys, and whereas Pitkin County wishes to award a grant for the provision of these community services. 1. Term and Renewal of Agreement: Absent any termination for cause under paragraph 5 ofthe Agreement, the term of this Agreement shall continue from January 1, 2024, to December 31, 2024. 2. Agency Obligations: Agency shall:a) Strictly adhere to all applicable Federal, State and Local laws or regulations thathave been or may hereafter be established. b) Submit quarterly reports to the County, compliant with the attached Reporting Requirements. Each report will, at the minimum contain the following:i. Total grant funds receivedii. Funds used to dateiii. Description of how funds have been used to date iv. Remaining grant funds balance v. Project completion timelinec) Hold and maintain for the term hereof the necessary licenses(s) as specified underState law, which permits the performance of the service(s) to be provided herein.d) Be responsible for the performance of any subcontractor. f) Maintain written requirements for safeguarding client information and comply with the same.g) Maintain service program records, fiscal records, documentation and otherrecords relevant to this Grant for the duration of the grant plus six years. Theabove shall be subject at all reasonable times to inspections, review or audit by Federal, State or County personnel, and other persons authorized in writing by the County.h) Use the grant funds solely for the purpose of funding the purchase of deedrestrictions on homes through the Good Deeds programi) j) Agency shall manage the supplied grant funds responsibly and measurably to ensure that the mission, goals, and outcomes hereto listed are met to thesatisfaction of the granting agency. 3. Pitkin County’s Obligations: a) County agrees to grant $1,000,000 to the Coalition as approved in the County’sannual budget, which was approved by the Board of County Commissioners. Exhibit A 2 4. General Provisionsa. The Parties to this Grant intend that the relationship between them contemplated by the Grant is that of independent agency. No agent, employee, or servant of Agency will be solely and entirely responsible for its acts and the acts of its agents, employees, servants and subcontractors during the performance of the Grant.b. Payment pursuant to the Grant, if in County, State or Federal funds, whether in whole or in part, is subject to and contingent upon the continuing availability and appropriation of County funds for the purpose thereof.c. This Grant constitutes the full and complete agreement of the parties and supersedes or incorporates any prior written and oral agreements of the parties. In addition, the Agency understands that no County official or employee, other than the Board of County Commissioners acting as a body at a Board meeting, has authority to enter into a Grant or to modify the terms of this Grant on behalf of the County. Any such Grant or modification to this Grant must be in writing and be executed by the parties hereto. 5. Default/Cancellation. If Agency shall default in the performance of Agency’s Obligations pursuant to the terms of this Agreement, and/or fails to provide an accounting or use or appropriation of monies granted in the manner in which such accounting was represented to the County, Agency shall have the right to cure said default after written notice by the County of the default to Agency. If Agency fails to cure such default within sixty (60) days after written notice is given from the County to Agency specifying the nature of such default (or if such default cannot be cured within the aforesaid period of time, if the Agency shall fail to promptly commence to cure the same and to thereafter diligently proceed with such cure), County shall reserve the right to cancel this Agreement and make a demand for the return of all monies that County determines, at its sole discretion, were not appropriated in accordance with this Agreement. 6. Entire Agreement: This Agreement constitutes the full and complete Agreement of the parties hereto and shall not be modified except by a written agreement signed by the parties. 3 IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of the latest date written below.
