Main St., Suite #302, Aspen, CO 81611 (the “County”), Tyler Technologies, Inc., with offices located at One Tyler Drive, Yarmouth, Maine 04096 (“Tyler”). WHEREAS, County and Tyler are parties to an agreement dated July 23, 2018 (“Agreement”); and WHEREAS, County and Tyler desire to amend the terms of the Agreement as provided herein. NOW, THEREFORE, in consideration of the mutual promises hereinafter contained, County and Tyler agree as follows: 1.The following Tyler Software as a Service (SaaS) are hereby removed from the Agreement as of August 1, 2023: a.Cash Management Subscription b. Recruiting Subscription As of August 1, 2023, County’s right to access the above-listed software is terminated, as are Tyler’s obligations to maintain, support, host and update such software. For the avoidance of doubt, this change memorializes the change made in the October 17, 2023 amendment to the Agreement. 2.As a result of the removal of SaaS indicated above, County’s obligation to pay annual SaaS fees for Cash Management and Recruiting ended on July 31, 2023. 3.This Amendment, upon execution, shall serve as County’s documentation for the credit issued (the executed Amendment is County’s credit invoice from Tyler). 4.This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 5.The County has elected to renew the Agreement, which is set to expire July 31, 2024. Per the terms of the Agreement, at the expiration of the initial term, the Agreement may be extended for additional terms in one-year increments, by the express written consent of both parties. County hereby authorizes the renewal of County Contract # 001.2018 with Tyler Technologies, Inc. for a period of one (1) year from the current expiration date; the new expiration date is now July 31, 2025.
