Clark Street Suite 1500, Chicago, IL 60602 (the “Contractor”), shall include the following services: 1.Contractor’s Obligations. Contractor will provide airport business and financial consulting services to County for PFC Application & Amendment Services. Services will include preparation of a Type A Amendment to PFC Application 12-11-C-00-ASE (Type A Amendment) as well as the development and implementation of PFC Notice of Intent 25-13-C-00-ASE (NOI 13) in accordance with Federal Aviation Administration (FAA) regulations. The scope of work will include data collection; preparation and participation in up to five (5) telephone conference call meetings with the County or FAA; development of the necessary documentation for the airline consultation meeting and public notice for NOI 13; participation in the airline consultation meeting for NOI 13; preparation of documentation for the submittal of the PFC NOI 13 as well as for the Type A Amendment; and preparation of notifications to the airlines upon approval by the FAA for NOI 13 and the Type A Amendment. Contractor to provide the following specific services in conjunction with this task order: a)Draft NOI 13 and Type A Amendment. Contractor will submit a data request to the County seeking the necessary information to prepare NOI 13 and the Type A Amendment. Upon receipt of the requested data and documentation from the County, Contractor will prepare a draft of NOI 13 and Type A Amendment for review by the FAA. This review will allow the FAA to offer Master Service Agreement #: 110.2018 Rev: 2018-01-17 btf 2 preliminary feedback on the completeness of NOI 13 and Type A Amendment. While the FAA’s feedback is not binding, it will provide the County with a preliminary indication of what the FAA’s Final Agency Decision (FAD) will be after its formal review. Draft NOI 13 and Type A Amendment will include a preliminary FAA 5500-1 Form, Attachment H, and other relevant information to allow the FAA the opportunity to conduct a comprehensive review and to acknowledge that all PFC criteria and procedures are being met or are being properly planned. b) Airline Consultation and Public Notice. Contractor will prepare the required consultation notice for distribution to the airlines and the public notice required to be posted on the County’s website for NOI 13. Contractor will attend (1 Contractor staff member) and direct a PFC airline consultation meeting at the Airport for NOI 13 and ensure that the proper procedures are undertaken and documented. c) Submit Notice of Intent and Air Carrier Notification. Contractor will finalize NOI 13 and Type A Amendment while awaiting airline comments, incorporating, and responding to airline comments that may arise, and will submit the original and required copies of NOI 13 and Type A Amendment to the County for transmittal to the FAA. Once NOI 13 and Type A Amendment are approved by the FAA, the Contractor will notify the airlines as required. 2. Compensation and Expenses, Invoicing, Payment, and Offset. The County shall compensate Contractor for its services set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of Sixty-Two Thousand Two Hundred Eighty-Five Dollars and no cents ($62,285.00) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order and Contract Number. Invoices shall be sent electronically in PDF format to dan.bartholomew@aspenairport.com 3. Pitkin County’s Obligations. Pitkin County shall administer this Task Order through a County Representative. Dan Bartholomew, Director of Aviation, will manage the project as the County’s Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County’s Representatives, or a designee, for compliance with Contractor’s obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects the Agreement is in full force and effect and remains unchanged by this Task Order.
