START DATE: June 1, 2025 END DATE: December 31, 2025 The Master Service Agreement for Provision of On-Call General Engineering Services (the “Agreement”) dated February 1, 2025 between the Board of County Commissioners of Pitkin County (the “County”)
and SGM, Inc. 118 W Sixth St, Suite 200 Glenwood Springs, CO 81601 (the “Contractor”), shall include the following services. 1. Contractor’s Obligations. Contractor shall provide the professional engineering and design support services described in the attached Scope of Work (“Attachment A”)
2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of Seventy-Four Thousand Four Hundred
Ninety-Nine dollars and Thirty- Six cents ($74,499.36) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 012.25 I-1 and Buttermilk Crossing Design . Invoices shall be sent electronically in PDF format to linda.dupriest@pitkincounty.com.

3. Pitkin County’s Obligations. Pitkin County shall administer this contract through a County
Representative. Linda DuPriest, Transportation Director will manage the project as the County’s Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County’s Representatives, or a designee, for compliance with Contractor’s obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects the Agreement is in full force and effect and remains unchanged by this Task Order.

RE: Buttermilk At-Grade Crossing Safety Improvements
Change Order - Design and Engineering Services
Project Background
In 2024 SGM was contracted to evaluate various improvements to the at-grade pedestrian
crossing at the intersection of SH-82 and Owl Creek Road. The evaluation of improvements
produced the following recommendations:
•Modify the existing shared left- and right-turn lane to be two exclusive 12-foot lanes,
extend curb and gutter around the SE corner of the intersection, and place a speed table
across the Owl Creek Road approach
•Remove existing pedestrian push button on SE corner signal pole and replace with free-
standing push button
•Add third traffic signal for proposed right turn lane on Owl Creek Road
•Add light poles to provide vertical illuminance on pedestrians in and approaching the
crosswalk
The EOTC has asked SGM to proceed with the design of the above improvements. A description
of tasks associated with this scope of work can be found below in more detail.

Section 1 - Project Plan
Task 1 – Project Management and Meetings
This task includes monthly progress meetings, CDOT coordination meetings, as well as project
management, invoicing, and memos.
Task 2 – Additional Survey
Additional topographic survey will be needed west of the intersection to the Buttermilk driveway
to design the proposed right-turn lane. The survey area will be from right-of-way to right-of-way
for approximately 200 feet. In addition, the layout of the existing crossing (curb ramps and
crossing striping) has been altered since the project location was last surveyed by SGM, so
updated information for those existing features will be collected as well.
It is not anticipated that Temporary Construction Easements will be required for this project.
Task 3 – Engineering and Design
Civil Engineering: Alignments will be generated for the Owl Creek Road roadway centerline and
the southeast curb return flow lines. Positive drainage will be created throughout the proposed
curb and gutter. It is assumed that the curb, gutter, and curb ramp will be replaced along the
southeast curb return. The roadway and sidewalks will be designed in accordance with Pitkin
County, CDOT, AASHTO and ADA standards.
This task represents the actual design development effort required for the project. As with nearly
all design projects, this is a sequential process that engages multiple disciplines at key milestones
during the project. The proposed steps outlined below are consistent with a typical project
development model of 90% design and 100% (For Construction) documents. Using this model
will allow reviews to occur at key times and inputs from these reviews to be efficiently incorporated
into the design.
Lighting Design: A site visit will be made after dark, using a light meter to measure the
performance of the existing streetlights with respect to pedestrian visibility targets for crosswalks
defined by industry best practice standards (such as ANSI/IES RP-8). This data will be used to
quantify the supplemental lighting needed to bring pedestrian areas up to the standard
performance targets. Photometric modelling will then be used to select and locate new fixtures.
Existing power infrastructure will be investigated to identify the most practical power and control
strategy for the new lighting.
Task 3.1 – 90% Design
In this stage, the design team will assemble the design package. All project elements, including
calculations, reports, plans, specifications, and estimates will be completed to a 90% level. All
details needed for construction, applicable standard drawings, and utility information are
consolidated into the plan package. The 90% package will be submitted to the EOTC for final
comments. In general, this is the review period where the team and stakeholders have their last
chance at changes prior to advertising for bids. We would expect only minor changes to the plans
at this point.

Task 3.2 – 100% Design
SGM will provide a complete 100% package that is bid-ready. This work element is the
culmination of a lot of effort by the entire team. For this project to be ultimately successful (on
time and within budget) the bid work element requires careful production and QA/QC on the part
of SGM and our subconsultants. These documents must be carefully and clearly put together and
reviewed to avoid ambiguity and confusion during construction.
Review comments will then be addressed and incorporated into the final Contract Documents
which are submitted to the City for solicitation of bids. The Contract document will include
invitations to bid, bid forms, and a bid schedule of all project cost items and quantities.

Task 4 – Bid Phase Services
SGM will provide a continuation of technical support throughout the bid solicitation period. In this
stage, the project team will assist the County from the time of advertisement to the time of the
award. SGM will assist the County in conducting the Pre-Bid meeting. The project team will also
prepare the bidding addenda, bid tabs, and the Award Plan Set.
Total Task 4 Fee - $3,080
Task 5 – Construction Observation
SGM will provide part-time construction observation, consisting of a part-time (16 hours per
week) Project Manager and a part-time Project Inspector. The Project Manager will be

responsible for contract administration and invoicing, and the Project Inspector will be
responsible for part-time (16 hours per week over 4 days per week) inspection of the work, to
verify that is being performed in general conformance with the contract documents. The
inspector will maintain a daily diary for each day they work on the project, to be transmitted to
County staff regularly during the project.
Project Inspector responsibilities include inspection of the work to verify general compliance with
contract documents, regular communication and coordination with County staff and Contractor,
participation in weekly construction meetings, and measurement of quantities in the field.
Section 2 – Fee Estimate and Project Schedule
The table below shows a tentative design schedule for this project. The schedule is based on a
Notice to Proceed date of July 1. 2 weeks has been given between plan submittal milestones and
plan review meetings. A project duration of 5 months has been assumed.

The overall anticipated project costs are presented on the following pages, including detailed
man-hour, task and fee breakdowns. The project is divided into five tasks, as laid out in Section
1. The proposed method of compensation is time and materials not-to-exceed.
A summary of overall project costs is given below, and a breakdown of SGM labor hours by task
is on the following page. The project is divided into five tasks- 1) Project Management and
Meetings, 2) Survey, 3) Engineering and Design, 4) Bid Phase Services, and 5) Construction
Management. The proposed method of compensation is time and materials not-to-exceed.

Section 3 – Assumption/Exclusions/Clarifications
The following assumptions were made in the development of this fee estimate:
•The project is anticipated to include a 5-month design and engineering phase, followed by a
2.5-month construction duration.
•Periodic project update meetings are expected to begin at the onset of preliminary design.
The project manager will attend all meetings, with discipline leads participating as needed.
Relevant project stakeholders will also be in attendance.
•The total disturbance area is assumed to be less than one acre; therefore, a Storm Water
Management Plan (SWMP) will not be required.
•A formal drainage report is not anticipated.
•No environmental investigation is assumed to be necessary.
•It is assumed that no utility potholing will be required. Should potholing become necessary, it
will be considered an additional service.
•All site drainage is assumed to be conveyed via surface flow using curb and gutter and valley
pans; no inlets or storm sewer infrastructure are included in this scope.
•The Construction Observation fee does not include materials testing services.

withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign user account to receive required notices and consents electronically from us or to sign
electronically documents from us.

Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgments, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.
How to contact Pitkin County:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To let us know of a change in your e-mail address where we should send notices and disclosures
electronically to you, you must send an email message to us at Helpdesk@provelocity.com and
in the body of such request you must state: your previous e-mail address, your new e-mail
address .
In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper or electronic copies from Pitkin County
To request delivery from us of paper or electronic copies of the notices and disclosures
previously provided by us to you electronically, you should request those documents from Pitkin
County under the Colorado Open Records Act by contacting the Pitkin County custodian who
sent you the document for signature.
To withdraw your consent with Pitkin County
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to Helpdesk@provelocity.com and in the body of such a request, you
must state your e-mail, full name, Postal Address, telephone number, and account
number.
