START DATE: October 1, 2025 END DATE: December 31, 2025 The ASE On-Call Roofing (the “Agreement”) dated September 3, 2025 between the Board of County Commissioners of Pitkin County (the “County”) and CRW, Inc 1850 W Baker Ave Englewood, CO 80110
(the “Contractor”), shall include the following services.
1. Contractor’s Obligations. Contractor shall perform all work outlined in (“Attachment A”) in accordance with applicable codes, manufacturer specifications and industry standards. The Contractor shall ensure the roof system is watertight upon completion and shall correct, at not cost to the County, any defects in
materials or workmanship discovered during the warranty period. 2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of Two Hundred Eight Thousand One Hundred dollars and Zero cents ($208,100.00) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County
may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 098.25 H-1 and Airport Terminal Roof Repair . Invoices shall be sent electronically in PDF format to Greg.Boyd@PitkinCounty.com.

3. Pitkin County’s Obligations. Pitkin County shall administer this contract through a County Representative. Greg Boyd, Manager of Airport Facilities and Construction will manage the project as the County’s Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County’s Representatives, or a designee, for compliance
with Contractor’s obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.

Roofing Services Proposal & Agreement

CRW, Inc. proposes to provide the labor, materials, equipment and supervision necessary for the completion
of the below listed work according to the manufacturer’s recommendations, local building code, and the
terms and conditions below:
GAF 115 mil Fleeceback TPO Roof System (+-11,000 SF) Including Perimeter Base and Wall Flashings. Included is as follows:
Engage Division 7 Design roof consulting to perform moisture scan and identify any saturated areasneeding replaced
Remove and replace up to 1,000 sq. ft. roofing and wet board insulation identified in thermal scan
Install new 1/4" per ft. tapered Polyiso insulation to slope water to drains in (X) area denoted in section D& E
Install new GAF 115mil Fleeceback TPO roof sytem in a mechanically attached configuration overexisitng roof to remain on roof sections D & E including any and all flashings, tie-ins, and terminationsneccessary to create a watertight roof system
Restore approx. 1,080 SF translucent clerestory daylight panels with Mulehide clear silicone restorationproduct.

QUOTE VALID: This Proposal Agreement is only valid for a period of Thirty (30) calendar from the date on this
Quote unless CRW, Inc. revokes this Proposal Agreement prior to such date.
ACCEPTANCE OF PROPOSAL AGREEMENT: The person or persons accepting this Proposal Agreement represent
that they are the owner of the premises on which the work is to be done or that they are the authorized owner’s
representative, and that permission and authority is hereby granted to CRW, Inc. to perform such work on these
premises. Acceptance of this Proposal Agreement by appropriate signatures below will constitute a contract
acceptable to CRW, Inc. and the responsible, authorized Owner/Owner’s representative. All prior
representations or agreements not incorporated herein are superseded.
SCHEDULING: CRW, Inc. accepts only signed and dated Proposal Agreements. Requests for roofing service with
valuations under $________ require a simple purchase order and a signed and dated copy of this Proposal
Agreement.
TERMS OF PAYMENT: The person or persons and company accepting this proposal agreement each agree to pay
CRW, Inc. the full quoted price for the work as specified herein. Each invoice rendered by CRW, Inc. will be paid
when rendered, and payments shall be due upon receipt. Interest shall accrue and be payable on delinquent
amounts at the rate of 2% per month (an ANNUAL PERCENTAGE RATE OF 24%). It is agreed that all costs of
collections of amounts due (including attorney’s fees) shall be borne by the person(s) or company accepting this
proposal agreement.
MOBILIZATION: Project pricing is based on one (1) mobilization. If the project site is not ready for CRW, Inc.
and CRW, Inc. must mobilize again, a change order will be issued for time and materials required to remobilize,
including, but not limited to, travel costs, equipment rental costs, and labor costs.

Getting paper or electronic copies

required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign user account to receive required notices and consents electronically from us or to sign

To request paper or electronic copies from Pitkin County
To request delivery from us of paper or electronic copies of the notices and disclosures
previously provided by us to you electronically, you should request those documents from Pitkin
County under the Colorado Open Records Act by contacting the Pitkin County custodian who
sent you the document for signature.
To withdraw your consent with Pitkin County
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
