Contractor’s Obligations. 1. General Obligation - Contractor shall provide professional, qualified, and fully compliant security services at the Pitkin County Health and Human Services (HHS) Building, located at 405 Castle Creek Road, Aspen, Colorado, in accordance with the Master Services Agreement #111.25, this Task Order, RFP 111.25, and the Contractor’s awarded proposal. Services shall support HHS operations and shall comply with all applicable federal, state, and local laws and regulations. 2. Scope of HHS Security Services - The Contractor shall furnish all labor, supervision, coordination, and administrative support necessary to provide security services at the HHS Building, including but not limited to:  Uniformed unarmed security personnel  Monitoring and control of public access areas  Maintaining a safe and professional environment for staff and visitors  Coordination with HHS staff and County representatives  Coordination with local law enforcement, as necessary 3. Staffing Schedule and Coverage - Security services under this Task Order shall be provided in accordance with the following schedule, unless otherwise directed by the County: Master Service Agreement #: 111.25 Rev: 2023.12.15 CDD 2 HHS Building – Dedicated Unarmed Guard Coverage  Monday–Friday: 7:30 AM – 5:30 PM Staffing levels and schedules may be adjusted by the County based on operational needs, public activity levels, special events, or security considerations. 4. Duties and Responsibilities - Security personnel assigned to the HHS Building shall perform duties including, but not limited to:  Maintaining a visible security presence within and around the HHS Building  Monitoring and controlling access to designated areas  Assisting with crowd management and de-escalation of disruptive behavior  Responding promptly to incidents, disturbances, or suspicious activity  Coordinating with HHS staff, County representatives, and law enforcement  Assisting with emergency procedures and building evacuations  Completing required incident reports and activity logs 5. Personnel Qualifications - All personnel assigned under this Task Order shall meet or exceed the qualifications and requirements set forth in the Master Services Agreement and RFP 111.25 and shall maintain all required credentials throughout the term of this Task Order. 6. Uniforms and Equipment - The Contractor shall ensure all personnel are professionally attired in approved uniforms clearly identifying them as security personnel and equipped with radios and other necessary equipment to perform assigned duties. 7. Billable Rates - Rates applicable to this Task Order shall be those in effect under Master Services Agreement No. 111.25 at the time services are performed and shall be subject to County approval. Any proposed rate adjustments shall require prior written authorization by the County and shall not be effective unless formally incorporated into the Master Services Agreement or otherwise approved in writing by the County. All rates charged under this Task Order shall be subject to review and approval by the County. 8. Performance Standards and Remedies - Contractor shall comply with all performance standards set forth in the Master Services Agreement and RFP 111.25. Failure to meet such standards may result in corrective action, assessment of liquidated damages, withholding of payment, or termination, as provided in the MSA and RFP. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1 of this Task Order. It is expressly understood and agreed that in no event will the total compensation and reimbursement to be paid hereunder exceed the sum of One Hundred and Fifty Thousand dollars and Zero cents ($150,000.00) for all services rendered. By Task Order or Task Order Amendment, the County and Contractor may reallocate the budget among project tasks if the total budget amount remains unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment expected within thirty (30) days of invoice, but any payment by the County may be offset by any amount the Contractor owes the County for any reason. Any invoices not sent in the following manner may have payment delayed. All invoices for this Task Order shall reference Task Order 111.25 E-2 and HHS Building Security Services. Invoices shall be sent electronically in PDF format to wendy.elkin@pitkincounty.com. 3. Pitkin County’s Obligations. Pitkin County shall administer this contract through a County Representative. Brett Bergman, Risk & Benefits Manager will manage the project as the County’s Representative. The services provided and products delivered by the Contractor under this contract will be subject to review by the County’s Representatives, or a designee, for compliance with Contractor’s obligations prior to final payment. 4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects the Agreement is in full force and effect and remains unchanged by this Task Order.
