The Provision of Advantage Services and Equipment Upgrades (the “Contract”) dated April 25,
2024 between the Board of County Commissioners of Pitkin County, Colorado (the “County”)
and Critical Facilities Technology (the “Contractor”), is hereby amended as follows:
Description of Change:
1. Extend the contract term through January 16, 2027, rather than April 24, 2027, to
align the contract expiration dates between the County and the contractor.
2. Add $29,212 for the renewal term to cover continued UPS Warranty and
Maintenance Services at Pitkin County’s North 40 Building and Jail Building, based
on the attached quotes for Advantage Service Plans, attached as Attachment A and
Attachment B.
Reason for Change: The original contract expiration dates for the County and the contractor did
not align. This Change Order corrects the discrepancy and provides additional funding to support
the renewal term.

Notes and Clarifications:
- Purchasing party is responsible for confirmation of asset and service locations. This shall be called out on the purchase order
submitted to Critical Facilities Technology in the "Ship To" information. If multiple addresses exist for the purchased services,
please detail locations in the notes section of the Purchase Order.
Three Phase UPS and Critical Cooling Service Contracts:
- Advantage Service Plans include Technical Support, Next Business Day Response (Geographical restrictions may apply), Annual
PM Visits ( Power =1 visit and Cooling = 2 visits), Priority Access to the Supply Chain.
- Advantage Service Plans do not include Labor or Material associated with UPS batteries.
Ultra Service Contracts:
- The Advantage Ultra Service Plan includes preventative maintenance visit(s) [One visit for power systems, two visits for cooling
systems], next business day response for break fix situation, all parts, labor and travel. Excludes batteries on UPS equipment.
Response/Scheduling Upgrades:
- Response upgrade options upgrades the break fix response time from the standard, next business day response. The upgrades
available are 4 hour and 8 hour response times. These response upgrades are dependent upon equipment type, age, condition and
geographic location. Reference the SKU and product description in the quoted bill of materials for the upgraded response time.
- Scheduling upgrade options allows services to be scheduled outside of the standard normal business hours (Monday - Friday, 8
A.M.- 5 P.M.,Holidays Excluded) to include weekends, after hours and select holidays. Contact your CFT representative for full
details.
- Service scheduling is dependent upon Schneider Electric's availability. Schneider Electric will make reasonable accommodations
to fit your scheduling requirements.
Terms and Conditions:
- Applicable sales tax has not been included in the quoted price, unless shown above.
- Payment terms are net 30-days after shipment, subject to credit approval. A service charge of 1-1/2% per month (Effective rate
of 18% per annum) will be charged on past due accounts.
- The purchaser agrees that any additional tariffs, duties, or taxes imposed after the order has been awarded and confirmed shall
be the responsibility of the purchaser. The seller shall not be liable for any costs associated with these additional charges. The
purchaser agrees to indemnify and hold the seller harmless from any claims, damages, or expenses related to such tariffs, duties,
or taxes.
- Freight is F.O.B. origin with freight costs prepaid and added to the final invoice. Standard ground shipping will be utilized unless
instructed otherwise.
- Cancellation Policy: The material ordered may not be canceled after the order is placed; the rest of the efforts described may
require payment for items purchased, if they cannot be returned, and CFT would require compensation for our efforts to administer
your instructions to not to proceed, including but not limited to restocking fees.
- This quote is valid for 30-days from date first shown above.
- Prices shown on the above quotation are the discounted price for paying with cash, check, or electronic deposit. Credit Card
transactions are not eligible for this discount and are always 3% higher than the discounted price on the quote.

To let us know of a change in your e-mail address where we should send notices and disclosures
electronically to you, you must send an email message to us at Helpdesk@provelocity.com and
in the body of such request you must state: your previous e-mail address, your new e-mail
address .
In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper or electronic copies from Pitkin County
To request delivery from us of paper or electronic copies of the notices and disclosures
previously provided by us to you electronically, you should request those documents from Pitkin
County under the Colorado Open Records Act by contacting the Pitkin County custodian who
sent you the document for signature.
To withdraw your consent with Pitkin County
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to Helpdesk@provelocity.com and in the body of such a request, you
must state your e-mail, full name, Postal Address, telephone number, and account
number.
