The On-Call Engineering Services (the “Agreement”) dated Agreement Start Date between the Board of
County Commissioners of Pitkin County (the “County”) and SGM, Inc 118 West 6th St., Suite 200
Glenwood Springs, CO 81601 (the “Contractor”), shall include the following services.
1. Contractor’s Obligations. Contractor shall provide surveying and civil engineering services for
improvements to the Emma Store Site as described in (“Attachment A”).
2. Compensation and Expenses, Invoicing, Payment and Offset. The County shall compensate
Contractor for its services in accordance with the Project Budget and Schedule set out in Paragraph 1
of this Task Order. It is expressly understood and agreed that in no event will the total compensation
and reimbursement to be paid hereunder exceed the sum of Eighty Eight Thousand dollars and Zero
cents ($88,000.00) for all services rendered. By Task Order or Task Order Amendment, the County
and Contractor may reallocate the budget among project tasks if the total budget amount remains
unchanged. Contractor shall invoice for the project monthly based on hours worked, with payment
expected within thirty (30) days of invoice, but any payment by the County may be offset by any
amount the Contractor owes the County for any reason.
Any invoices not sent in the following manner may have payment delayed. All invoices for this Task
Order shall reference Task Order 012.25 C-9 and Emma Store Site Improvements. Invoices shall be sent
electronically in PDF format to kim.arensdorf@pitkincounty.com.

3. Pitkin County’s Obligations. Pitkin County shall administer this contract through a County
Representative. Jessie Young, Planning and Outreach Manager will manage the project as the County’s
Representative. The services provided and products delivered by the Contractor under this contract
will be subject to review by the County’s Representatives, or a designee, for compliance with
Contractor’s obligations prior to final payment.
4. Formation of Task Order. This Task Order is issued in accordance with the provisions of the
Agreement. Contractor agrees to provide services subject to the terms of this Task Order and for the
avoidance of doubt this Task Order consists of the terms set out in the Agreement. In all other respects
the Agreement is in full force and effect and remains unchanged by this Task Order.

A.Project Description
This work includes the engineering design for the replacement of a segment of the
Emma Trail which runs in front of the historic building, design of a driveway access and
hammerhead turnaround, design of a snow throw barrier to protect the storefront from
debris on SH-82, and the preliminary layout for future electric, water and sewer
connections for the building. The project also includes coordination and permitting with
CDOT as a significant portion of the improvements are expected to occur in the SH-82
right-of-way.
B.Work Plan
Task 1: Project Administration
Coordinate with OST staff and manage project team activities. Communicate with
CDOT. Coordinate with existing and proposed utilities.
Task 2: Existing Conditions & Baseline Information:
Provide additional topo survey of the Emma Trail to supplement previous survey
performed by SGM in 2025. Locate existing utilities and prepare SUE plans.
Task 3: Civil Engineering Design:
Design trail and driveway elements. The anticipated trail width is 8 feet, and the length of
replacement is approximately 850 feet. The driveway is anticipated to be approximately
400 feet long and 12-feet wide and will be designed to accommodate a WB-40 design
vehicle. It will incorporate a hammerhead design to facilitate a 3-point-turn of the design
vehicle on the site. The trail and driveway will be designed in accordance with Pitkin
County, CDOT, AASHTO and ADA standards. Design a snow throw barrier. Lay out
proposed utility connections for the building.

used. If a different system is selected, the barrier design fee may change.
• A drainage report/analysis is not included in the scope of work.
• Geotechnical investigation is not included in the scope of work.
• Public information and public outreach are not included in the scope of work.
• Landscaping plans are not included in the scope of work.
• Construction Management, field engineering, inspection and/or materials
work/coordination during the construction phase is not included in the scope of work.

Design and Engineering Services
Project Background
Pitkin County Open Space and Trails (PitCo OST) has requested SGM to prepare a scope of
design and engineering services associated with improvements at the Emma Store Site. The
proposed project includes replacement of a segment of the Emma Trail which runs in front of the
historic building, design of a driveway access and hammerhead turnaround, design of a snow
throw barrier to protect the storefront from debris on SH-82, and the preliminary layout for future
electric, water and sewer connections for the building. A significant portion of the improvements
are expected to occur in the CDOT right-of-way, which will require additional coordination and
permitting.

Section 1 - Project Plan
Task 1 – Project Administration
SGM will work closely with Open Space & Trails staff to develop the framework of the project at
the initial kickoff meeting. From that point forward, SGM’s project manager will coordinate all
phases of the work with the Project Team and provide regular progress reports to the County. As
we know from similar projects, active project management is critical to ensuring the project
remains on schedule and important milestones are met. Once the preliminary design begins
periodic check-in meetings will be held to keep the project on track.
SGM will work with CDOT in the design phase to communicate proposed improvements to be
made within the CDOT right-of-way and procure a CDOT Special Use Permit for construction.
Finally, SGM will also coordinate with any utilities in the project area as needed to establish water,
sewer, and electric connections to the site.

Task 2 – Existing Conditions & Baseline Information
Task 2.1 Topographic Survey
Topographic survey for the project area was completed by SGM in October 2025. However,
additional survey services will be required for the replacement of the Emma Trail from the East
end of the site to the end of the project area. The scope includes an allowance for one day of field
survey and associated office processing and mapping to incorporate the collected information into
the existing base survey.
Task 2.2 Subsurface Utility Engineering Investigation
SGM will comply with the “Colorado SUE Law,” through the implied ASCE standards. This will
include depicting lines on the deliverable via Quality Levels, which will convey the level of relative
nonquantifiable, uncertainty of the data. SGM’s utility locating subconsultant, Adept will use the
industry-leading and CDOT-preferred ProStar PointMan mobile mapping software application to
capture and record utility data with survey-grade accuracy.
SUE Scope Area. SGM anticipates providing a baseline of existing utility information for the
project scope area which lies within the CDOT right-of-way, and any additional utility information
needed to design utility connections.
Test Holes. No Test holes have been included in this scope of work, as utility impacts are
unknown at this time.
Finalizing Data and Deliverables. In the final phase of the project design, we will finalize all
necessary utility coordination with the various utility owners and finalize our deliverables. Final
deliverables will include the underlying existing utility basemap used in all other design sheets,
the existing utility plans and all relevant notes and depictions from the investigation, and any utility
specifications.

Task 3 – Civil Engineering Design
Alignments will be generated for Emma Trail centerline and driveway centerline within Town’s
existing ROW. Positive drainage will be created throughout the proposed improvements. A
structural section for the roadway will be evaluated based on similar projects completed in the
region. The anticipated trail width is 8 feet, and the length of replacement is approximately 850
feet. The driveway is anticipated to be approximately 400 feet long and 12-feet wide and will be
designed to accommodate a WB-40 design vehicle. It will incorporate a hammerhead design to
facilitate a 3-point-turn of the design vehicle on the site. The trail and driveway will be designed
in accordance with Pitkin County, CDOT, AASHTO and ADA standards.
A snow throw barrier will be designed to protect the historic façade of the building from snow and
debris originating from SH-82. Previous studies, including a 2019 Memorandum to PitCo OST,
evaluated the use of ACRYLYTE® acrylic panels. The design will build upon this prior work by
further assessing a range of barrier types and materials to balance safety, aesthetics, and site
constraints and consider barriers that could provide a reduced profile to better accommodate the
narrow trail section. The barrier is anticipated to be mounted atop the existing Type 7 concrete
barrier, or other suitable support depending on the selected system. Due to its proximity to the
traveled way, the barrier will be designed to meet applicable traffic-rated standards. Additional
considerations, such as potential sound attenuation benefits, will also be evaluated as part of the
design process.
After any underground utilities in the area are located, SGM will lay out future proposed utility
connections for the building. A water service will be connected to an existing “Y” for its water
supply. A sewer service will be connected to a new tank, which will be designed to accommodate
the Townsite building. The County has also discussed the possibility of installing solar panels
onsite. If this option is exercised, SGM will provide electrical engineering support. Sanitary sewer
service will likely be connected to the existing leach field onsite. SGM will coordinate the layout
of the utility connections and ensure that they are in accordance with County standards.
This task represents the actual design development effort required for the project. As with nearly
all design projects, this is a sequential process that engages multiple disciplines at key milestones
during the project.
Task 3.1 Preliminary Design (30%)
In this stage, the design team begins assembling the preliminary design package. The conceptual
design is further developed with added detail. The preliminary design is committed to plan
drawings which will become the basis for presenting the limits and impacts of the project to the
stakeholders. The preliminary design will cover all project elements to a level of detail that defines
how all elements interact with each other so that no unexpected conflicts occur in later phases of
design. The preliminary design will not have all the details necessary to construct the project but
will provide an accurate snapshot of project impacts and costs.

Task 3.2 Final Design (90%)
In this stage, the design team will resolve any issues identified in the 30% design. All project
elements, including calculations, reports, plans, specifications, and estimates will be completed
to a 90% level. All details needed for construction, applicable standard drawings, and utility
information are consolidated into the plan package. Additional plan subsets, such as driveway
details, signing and striping plans, erosion control plans, and construction traffic control that were
not in the 30% set are included in the Final Design plan set. The 90% package will be submitted
to PitCo OST for final comments. In general, this is the review period where the team and
stakeholders have their last chance at changes prior to advertising for bids. We would expect only
minor changes to the plans at this point.

Task 3.3 Finalize Bid Documents
SGM will provide a complete 100% package that is bid-ready. This work element is the
culmination of a lot of effort by the entire team. For this project to be ultimately successful (on
time and within budget) the bid work element requires careful production and QA/QC on the part
of SGM. These documents must be carefully and clearly put together and reviewed to avoid
ambiguity and confusion during construction.
Review comments will then be addressed and incorporated into the final Contract Documents
which are submitted to the County for solicitation of bids. The Contract document will include
invitations to bid, bid forms, and a bid schedule of all project cost items and quantities.

Section 2 – Fee Estimate and Project Schedule
The table below shows a tentative design schedule for this project. The schedule is based on a
Notice to Proceed date of April 28. 3 weeks have been given between plan submittal milestones
and plan review meetings. A 30% Engineer’s Estimate of Probable Cost will be provided to the
County prior to Pitkin County’s budgeting meeting in June of 2026. A project duration of 6 months
has been assumed.

method of compensation is time and materials not to exceed.

From time to time, Pitkin County (we, us or Pitkin County) may be required by law to provide
you with certain written notices or disclosures. Described below are the terms and conditions for
providing to you such notices and disclosures electronically when we send you documents for
electronic signature.
Acknowledging your Access, Intent, and Consent to Receive and Sign Materials
Electronically
To confirm that you can access this information electronically, which will be similar to other
electronic notices and disclosures that we will provide to you, please verify that you were able to
read this electronic disclosure and that you also were able to print on paper or electronically save
this page for your future reference and access or that you were able to e-mail this disclosure and
consent to an address where you will be able to print on paper or save it for your future reference
and access. Further, if you consent to receive notices and disclosures exclusively in electronic
format on the terms and conditions described above, please let us know by clicking the 'I agree'

Signing Documents without a Pitkin County DocuSign Account:
Pitkin County may not require all document signers to be authorized users of the Pitkin County
DocuSign Account. Please read the information below carefully and thoroughly, and if you can
access this information electronically to your satisfaction and agree to these terms and
conditions, please confirm your agreement by clicking the 'I agree' button at the bottom of this
document. When you don't have a DocuSign account, you will be provided the opportunity to
agree to the Legal Disclosure each time you open an "envelope" for signing, at this time, you can
download and retain this disclosure. Pitkin County will forward completed documents that
you've reviewed, processed or signed via email. Should you require copies of these signed
documents (e.g., if they get deleted from your email account) you should request those
documents from Pitkin County under the Colorado Open Records Act by contacting the Pitkin
County custodian who sent you the document for signature.

Getting paper or electronic copies
At any time, you may request from us a paper or electronic copy of any record provided or made
available electronically to you by us. For such copies, as long as you are an authorized user of
the DocuSign system you will have the ability to download and print any documents we send to
you through your DocuSign user account for a limited period of time (usually 30 days) after such
documents are first sent to you. After such time, if you wish for us to send you paper or
electronic copies of any such documents from our office to you, you may be charged a per-page
fee. You may request delivery of such paper or electronic copies from us by following the
procedure described below.
Withdrawing your consent
If you are an authorized DocuSign Account holder, you can decide to receive notices and
disclosures from us electronically, you may at any time change your mind and tell us that
thereafter you want to receive required notices and disclosures only in paper format. Described
below is the process for informing us of your decision to receive future notices and disclosure in
paper format and also how to withdraw your consent to receive notices and disclosures
electronically.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. To indicate to us that you are changing your mind, you must
withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign user account to receive required notices and consents electronically from us or to sign
electronically documents from us.
All notices and disclosures will be sent to you electronically
Unless you tell us otherwise in accordance with the procedures described herein, we will provide
electronically to you through your DocuSign user account all required notices, disclosures,
authorizations, acknowledgments, and other documents that are required to be provided or made
available to you during the course of our relationship with you. To reduce the chance of you
inadvertently not receiving any notice or disclosure, we prefer to provide all of the required
notices and disclosures to you by the same method and to the same address that you have given
us. Thus, you can receive all the disclosures and notices electronically or in paper format through
the paper mail delivery system. If you do not agree with this process, please let us know as
described below. Please also see the paragraph immediately above that describes the
consequences of your electing not to receive delivery of the notices and disclosures
electronically from us.
How to contact Pitkin County:
You may contact us to let us know of your changes as to how we may contact you electronically,
to request paper copies of certain information from us, and to withdraw your prior consent to
receive notices and disclosures electronically as follows:

To let us know of a change in your e-mail address where we should send notices and disclosures
electronically to you, you must send an email message to us at Helpdesk@provelocity.com and
in the body of such request you must state: your previous e-mail address, your new e-mail
address .
In addition, you must notify DocuSign, Inc to arrange for your new email address to be reflected
in your DocuSign account by following the process for changing e-mail in DocuSign.
To request paper or electronic copies from Pitkin County
To request delivery from us of paper or electronic copies of the notices and disclosures
previously provided by us to you electronically, you should request those documents from Pitkin
County under the Colorado Open Records Act by contacting the Pitkin County custodian who
sent you the document for signature.
To withdraw your consent with Pitkin County
To inform us that you no longer want to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your DocuSign account, and on the subsequent
page, select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an e-mail to Helpdesk@provelocity.com and in the body of such a request, you
must state your e-mail, full name, Postal Address, telephone number, and account
number.
