HomeMy WebLinkAboutBy-laws Sr.Services 8-20-03BYLAWS OF PITKI COUNTY SENIOR SERVICES COUNCIL ORIGIN 2/18/87 REVISION C 8/20/03 ARTICLE I NAME The name of this organzation shall be the Pitk County Senior Services CounciL. ARTICLE II PUROSE The purose of the Council shall be as follows; Section i. To serve as a strong advocate for those residents of the County over sixty years of age in regard to their needs, problems and concerns. Section 2. To identify and address the concerns of the County's older citizens' paricularly Those having the greatest economic and/or social needs, and to tae appropriate action to Deal with these concerns and needs. Section 3. To stimulate and develop cooperation and coordination among all the govern- Mental agencies and private groups involved with the senior citizens withn the County with the view toward inurg tht an effective comprehensive umbrella of services is available to anyone of the County's older citizens who may be in need of such services. Section 4. The Council shall also serve as the Pitkn County Senior Nutrition Site Council, and in so doing shall comply with the guidance provided by the Skyline Six Are Agency on Aging in caring out its responsibilities in this role. r :,\\,'1ci\\ ARTICLE III MEMBERSHIP Section 1. Membership on the Council shall be open to any county resident who meets the age requirements and who has an interest in the concerns of the elderly. Section 2. The Council shal consist of twelve (12) reguar and not more than twelve (12) alternate members. Of the total regular and alternate members not less than 50 percent shall be sixty (60) years of age or older. Section 3. Alternte members shal vote only in the absence of a reguar member. Ideally, an alternate member shall serve a minmum of one (1) year prior to appointment as a reguar member. Alternate members are expected to attend Council meetings. Upon servng two consutve tes (four years) a member shal retire from the Council for one year, afer which he/she may retu to the Council as an alternate member. He/she may serve on committees durng the off-year. Alternate members shall ascend to regular Council membership based upon seniority as Alternate members. Section 5. A vacancy on the Council shall occur upon resignation, death, upon two (2) Consecutive unexcused absences of a member from regularly scheduled meetings, or upon expirtion of a member's term. 2. Section 6. When a regular member resign in the course of a term, the first raed alteniate/ '\ 'y f '¡:':"i ' shall be appointed: to fufill the existing term (up to 4 years) of a resigning regular/ ~..d".....,i "i'mmber, thea~pointed alternate shall begin a new first term at the next anua election. ARTICLE iv OFFICERS OF THE COUNCIL Section 1. Offcers of the Council shall consist of a Chaan, Vice-Chairman, Secretar, and Treasurer. Section 2. CHAIRMAN. The duties of the Chairman shall be: To preside at meetings of the Council; to appoint commttees and to be an ex-offcio member of these commttees; to represent the Council whenever necessar; and to be an alternate signer on checks. Section 3. VICE-CHAIRM. The duties of the Vice-Chaian shall be: To preside in the absence of the Chaan and in the event of the offce of the Chaian becomig vacant to assume the duties of the duties of the Chaian for the remaider of the term; and to be an alternate signer on checks. Section 4. SECRETARY. The duties of the Secreta shall be: To attend and keep the minutes of all meetings of the Council; to issue notice of all meetings; and to conduct the correspondence of the Council; and to be an alternate signer on checks. Section 5. TREASURR. The duties of the Treasurer shall be: To account for the disbursement of any fuds for the operations afer approval of the Council, and to be 3. /'I \,/ V), '\- " \ ¡j the primar signer on checks. Section 6. In Februar of each year, the Council Chairman wil appoint a Nominating Committee to present a slate of officers at the March meeting. Offcers wil be elected in March from ths slate of nominees, and/or from nomiations made from the floor. New Offcers will assume their duties on April 1. In case of offcer vacancies prior to Februar, the Chaian will appoint Council members to fill the un-expired terms. Section 7. The Chaian and one other member of the Council shall serve as members of of the Advisory Council at the Skyline Six Area Agency on Aging. If the Chairan can not serve in ths capacity, he/she will appoint a replacement. An additional Board member shal serve as an alternate to the Skyline. Six Area Agency on Agig. ARVICLE V MEETINGS OF THE COUNCIL Section 1. Meetings shall be held on a reguar monthy basis, or as determed by a vote of the majority of the Council with the time and place to be designated. Section 2. The Chairman and two or more members of the Council may call special meetings of the Council upon a minum of two days notice. Section 3. All Council meetings will be open to the public. Section 4. A simple majority of the Council shall constitute a quoru. 4. ARTICLE VI COMMITTEES Section 1. The Council shall establish committees as needed: A. The Council shall have the authority to establish such other commttees as may be deemed necessar. B. When establishig such a committee the Council shall specify for each the following: purose, authority, work, projects, term, number of members and chairman. 1. The Chaian of the Council shall appoint a Chaan of each committee. Committee Chairmen wil in tu appoint members to their respective commttees. 2. Committees shall meet at the call of their Chaan; Commttee Chaian shall be voting members of the CounciL. 3. The duties and responsibilities of each commttee shall be determed by the CounciL. Reports of commttee activity shall be made to the Council at it's reguar and special meetings. C. Commttee membership need not be restrcted to Council members but may be composed of qualified county residents who express a wilingness to serve. D. Each commttee may adopt it's own rues and procedures providing they are not inconsistent with law or these By-Laws. E. Committees shall meet on the call of the Council Chairan or the respective committee chairman. ARTICLE VII AMENDMENTS TO THE BY -LAWS 5. Section 1. These By-laws shall become effective upon their adoption by the Pitkin County Council on Senior Services. Section 2. Amendments to these By-laws may be proposed at any regular meeting of the Council meeting. The vote on the proposed amendment shall be taken at the next regular Council meeting. Section 3. The rues contaed in "Robert's Rules of Order Revised" shall govern in matters not covered by these By-laws. 6. AMNDMENTS TO PITKIN COUNTY SENIOR SERVICES BY-LAWS REVISION A APPROVED 9/18/91 Aricle III Membership, Section 4 WAS Members and alternates shall serve two-year terms aranged on a staggered basis. This wil assure that approximately one-half of the Council will at all times be second- year members. There shall be no limt on the number of terms served. is Members shall serve two-year terms aranged on a staggered basis with thee new members to be elected to the Council each year. REVISION B APPROVED 7/6/01 Aricle III Membership, Section 5; 2nd paragraph: "In April of each year....." Move to Aricle IV Offcers of the Council to Section 6. Change existing Section 6 to Section 7 as is. REVISION C Aricle III Membership ADD: Section 6. When a regular member resigns in the course of a term, the first raned alternate shall be appointed to fufill the existing term (up to 4 years) as defined above. In the event that less than a ful year remains on the second term (4th year) of a resigning regular member, the appointed alternate shall begin a new first term at the next anual election.
